COURSE WORK ASSIGNMENT

THE SALE OF GOODS AND SUPPLY OF SERVICES ACT, 2017
AND
IN THE MATTER OF SALE OF A MOTOR VEHICLE REG NO. UBB 226X

This agreement is made this 06th day of June, 2018.


BETWEEN
Y MOTORS LIMITED of C/o P.O. Box _____ Kampala hereinafter referred to as the “seller”
of the one part;
AND
Mr. Ojuku of C/o P.O. Box……….., Kampala, Telephone;…………………. Hereinafter
referred to as the “Buyer” of the other part;
Both jointly hereinafter referred to as “Parties”.
RECITALS
Whereas:
A. The seller is the lawful and registered owner of Motor Vehicle Reg No. UXX 111P, and is
desirous of selling, and the Buyer is ready and willing to buy the said Motor Vehicle to
transport his farm products from Ntungamo to Kampala;
Now This Agreement Witnesseth As Follows:
1. Consideration
1.1 The buyer shall pay Ugx 10,000,000/= only as the total consideration for the Motor
Vehicle payable in 2 equal instalments.
1.2 The buyer has paid Ugx 5,000,000/= at the execution of this Agreement and the balance
shall be paid on the 31st of July, 2018.
2. Documents and Possession
2.1 The seller has surrendered the photocopy of the logbook and the motor vehicle keys at
the execution of this agreement.
2.2 The seller shall surrender and the buyer shall take possession of the Motor Vehicle
immediately upon the execution of this agreement.
3. Title
3.1 The seller covenants with the buyer that it is has the right to sell or deal with the motor
vehicle to the buyer.
3.2 The seller covenants with the buyer that the Motor vehicle is free from third party
claims and the buyer shall enjoy quiet possession and use of the Motor Vehicle.
3.3 In the event of any third party claim, the seller shall indemnify the Buyer.
4. Risks
The buyer shall bear all the risks associated with the use of the Motor Vehicle upon taking
Possession.

Mr. Ojuko (Buyer)

Mr. Ojuko went to Mutungo and loaded matooke for transportation for sale in kampala. However
along Masaka the Motor Vehicle broke down. The mechanics fixed it and advised that the engine
of the motor vehicle was too old for such long journey. However, along kyangera it broke down
again, the Vehicle was toed to Nateeta where the mechanic advised a new engine replacement.
Mr. Ojuko contacted Y MOTORS who have denied any responsibility for the Motor Vehicle.
In the Mean time, Mr. Ojuko has been served with summons to file a defence before the
Commercial Court for unlawful possession of the Vehicle by One Bad Black who claim that she
is the owner of the Vehicle.
Confused by these recent developments, Mr. Ojuko is in your Chambers for legal Advise. In a well
reasoned memorandum advise Mr. Ojuko on his rights, liabilities, and remedies if any.
