EMPLOYEE NON-DISCLOSURE AND

NON-COMPETE AGREEMENT

This Agreement is made effective between:

NAME OF EMPLOYEE, of legal age, Filipino, with address at


_____________________________________________________, hereinafter referred
to as EMPLOYEE.

and

PFC PRINT DEPOT, a single proprietorship owned by OWNER of legal age,


Filipino, and a resident of General Santos City, hereinafter referred to as EMPLOYER.

Witnesseth:

WHEREAS, the EMPLOYER desires to employ the EMPLOYEE and the


EMPLOYEE desires to be employed by the EMPLOYER in connection with the tarpaulin,
printing, and signage business, specifically for PFC PRINT DEPOT in General Santos
City;

WHEREAS, in connection with such employment, EMPLOYEE hereby agrees not


to directly or indirectly compete with the business of the EMPLOYER;

WHEREAS, the EMPLOYEE acknowledges that the EMPLOYER may, in reliance


of this agreement, provide the EMPLOYEE access to trade secrets, customers and other
confidential data and good will.

NOW THEREFORE, in consideration of the foregoing premises, and other good


and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereto each agree as follows:

1. The EMPLOYEE agrees to retain said information as confidential and not


to use said information on his or her own behalf or disclose same to any third party. The
EMPLOYEE also agrees to take reasonable security measures to prevent accidental
disclosure.

2. The EMPLOYEE shall not own, manage, operate, consult or be employed


in a business substantially similar to, or competitive with, the present business of the
EMPLOYER or such other business activity in which the EMPLOYER may substantially
engage during the term of employment.

3. The EMPLOYEE shall not, directly or indirectly, solicit or attempt to solicit


any business from the EMPLOYER’s customers, Customer Prospects, or vendors;

4. The EMPLOYEE shall not, directly or indirectly, on the EMPLOYEE’s own


behalf or on behalf of or in conjunction with any person or legal entity, recruit, solicit, or
induce, or attempt to recruit, solicit, or induce, any non-clerical employee of the
EMPLOYER with whom the EMPLOYEE had personal contact or supervised while
performing Job Duties, to terminate their employment relationship with the EMPLOYER;

5. This agreement shall extend to cover the entire Region 12 of the Philippines
and shall be in full force and effect during the period of employment and for TWO (2)
YEARS following employment termination, notwithstanding the cause or reason for
termination.

6. Should any party breach any material provision of this Agreement, and

unless the breach shall have been caused by force majeure, such party shall be liable for
damages to the other party in an amount to be determined by the Court.

This agreement shall be binding upon and inure to the benefit of the parties, their
successors, assigns, and personal representatives.
