Defendants. AUTHORIZING LOAN
This action was initiated by Plaintiff, City of Cincinnati, against Declan Square
Apartments, LLC (“Declan”) for injunctive and declaratory relief, and for the appointment
of a Receiver. By Order dated April 24, 2018, Prodigy Properties, by and through its
Manager, Jeff Lane (“Receiver”), was appointed Receiver over the Property.
Upon the appointment of the Receiver, the Property had multiple code violations and
was subject to utility disconnect orders for gas, electric, water, and sewer to the Property.
deteriorated and blighted condition. These code violations date back for a number of years.
Attached as Exhibit 1 are copies of the code violations from August 18, 2016 to May 10,
2018.
By Entry dated June 20, 2018, the Court found the Property to constitute a public
nuisance under Ohio law and continued the receivership specifically authorizing the
Receiver to “take all actions permitted” in the Order Appointing Receiver entered April 24,
2018.

The Receiver has undertaken actions to bring the Property into a habitable condition
and has incurred liabilities in the amount of $116,492.82 as of August 28, 2018. Attached
The monthly income from the Property is insufficient to cover its expenses and bring
the Property into a habitable condition in which it can be occupied and rented. Attached as
Exhibit 3 is a spreadsheet of monthly income and expenses. Moreover, the monthly cash
flow will not allow for the Property to be repaired and brought into a habitable condition
before 2020. Attached as Exhibit 4 are the Cash Flow Projections based on current
information.
The Receiver has determined that the work required to remediate all of the current
Building Code violations will cost $465,216. A copy of the estimates for the code violation
receivership needs funds of $599,708.82 to bring the Property into compliance with the
Building Code and cover its current liabilities as set forth in Exhibit 5.
The Receiver has procured a Term Sheet from Cincinnatus Savings and Loan to
borrow $600,000 over a period of 12 months, with interest only payments, at an interest
rate of 10%. A copy of the Term Sheet for such lending is attached as Exhibit 6.
The Receiver seeks an Order from the Court authorizing it to borrow $600,000 on
substantially the same terms as contained in the Term Sheet from Cincinnatus Savings and
Loan, for approval to pay the Receiver’s current liabilities, and for approval to undertake
the work necessary to bring the Property into compliance with the Building Code. The
Receiver further requests that the Order authorize the Receiver to execute a promissory

note and mortgage to Cincinnatus Savings and Loan, together with such instruments as
may be necessary to effectuate the closing of the loan, and to do those things as necessary to
maintain and preserve the Property until further order of the Court.
