ARTICLES OF INCORPORATION

OF
LAOAG CITY INSTITUTE

KNOW ALL MEN BY THESE PRESENTS:

That we, of legal age, citizens and residents of the


Republic of the Philippines, having this day voluntarily
associated ourselves together for the purpose of forming
a corporation under the laws of the Philippines.

AND WE HEREBY CERTIFY:

FIRST: That the name of the said corporation shall


be:

LAOAG CITY INSTITUTE

SECOND: That the purposes for which the said


corporation is formed are:

PRIMARY PURPOSE

To establish and operate an educational institution


offering pre-school, elementary, secondary, and tertiary
formal education, and post graduate courses, as well as,
short term courses in the application of computer
programs, and computer education training and seminars;
to provide computer services, such as, but not limited
to programming, systems designs and other related
activities.

This shall not be construed as a grant of authority


to operate the school; the establishment, operation,
administration and management of the said school shall
be subject to existing laws, rules and regulations and
policies and standards of the Commission on Higher
Education pursuant to Batas Blg. 232 otherwise known as
the “Education Act of 1992”, Republic Act No, 7798” An
Act amending Section 25 of B.P. Blg. 232 and Republic Act
7722 otherwise known as the “Higher Education Act of
1994” and the rules and regulation of the Technical
Education and Skills and Development created under RA
7796 otherwise known as the “TESDA ACT of 1994.
SECONDARY PURPOSES

1. To purchase, acquire, own, lease, sell, convey real


properties such as lands, buildings, factories and
warehouses and machineries, equipment and other
personal properties as may be necessary or
incidental to the conduct of the corporate
business, and to pay in cash, shares of its capital
stock, debentures and other evidences of
indebtedness, or other securities, as may be deemed
expedient, for any business or property acquired
by the corporation;
2. To borrow or raise money necessary to meet the
financial requirements of its business by the
issuance of bonds, promissory notes and other
evidences of indebtedness, and to secure the
repayment thereof by mortgage, pledge, deed of
trust or lien upon the properties of the
corporation or to issue pursuant to the law, shares
of its capital stock, debentures and other
evidences of indebtedness in payment for
properties acquired by the corporation or for money
borrowed in the prosecution of its lawful business;
3. To invest and deal with money and properties of
the corporation in such a manner as may from time
to time be considered wise or expedient for the
advancement of its interests and to sell, and
dispose of or transfer the business, properties
and goodwill of the corporation or any part thereof
for such consideration and under such terms as it
shall see fit to accept;
4. To hold, purchase or otherwise acquire, or be
interested in, to sell or otherwise dispose of,
shares of capital stock, bonds issued or created
by the corporation, whether domestic or foreign,
and while the holder of any such shares of stock,
to exercise all the rights and privileges of
ownership, including the right to vote thereon to
the extent, now and hereafter, permitted by law;
5. To acquire all or any part of securities, goodwill,
rights, properties or assets of all kinds, and to
undertake or assume the whole or any part of the
obligations or liabilities of any corporation,
association, partnership, entity, person or
governmental authority, domestic or foreign,
located in or organized under the laws if any
authority in any part of the world, and to pay for
the same in cash, stocks, bonds, debentures or
other securities of this or any other corporation,
to the extent, now or hereafter permitted by law;
and to conduct in any lawful manner the whole or
any part of any business so acquired;
6. To purchase or otherwise acquire, hold, sell,
pledge, transfer or otherwise dispose of, and to
reissue the shares of its own capital stick or any
securities or other obligations of the corporation
in any manner and to extent, now or hereafter,
permitted by law.
7. To enter into lawful arrangement for sharing of
profits, union of interest or far mount agreement,
reciprocal concession, or cooperation, with any
corporation, association, partnership, entity,
person or governmental authority, domestic or
foreign, in the carrying of any business or
transaction deemed necessary, convenient or
incidental to carrying out of the purposes of this
corporation;
8. To conduct and transact any and lawful activities
and to do or cause to be done any one or more of
the acts and things herein set forth as it
purposes, within and without the Philippines, and
in any and all foreign countries, and to do
everything necessary, desirable or incidental to
the accomplishment of the purposes or the exercise
of any time appear conducive to the protection or
benefit of this corporation.

THIRD: That the place where the principal office


of the corporation is to be established or located
at Rizal St., Brgy 16 ,San Jacinto, Laoag City.

FOURTH: That the term for which said corporation


is to exist is fifty (50) years from and after the
date of incorporation.

FIFTH: That the names, citizenships and


residences or postal addresses of the incorporators
of said corporation are as follows:

corporation is Fifteen Million Pesos
(P15,000,000.00), Philippine Currency, and said
capital stock is divided into Fifty Thousand shares
(150,000) with a par value of One Hundred Pesos
(P100.00) each.

EIGHT: That at least 25% of the authorized capital


stock has been subscribed and at least 25% of the
total subscription has been paid as follows:

NINTH: That no transfer of shares of stock or


interest which will reduce the ownership of the
Filipino citizens to less than the required
percentage of the total capital stock shall be
allowed or permitted to be recorded in the proper
books, and this restriction shall be indicated in
all the stock certificates to be issued by the
corporation.

TENTH: That Mr. Jan Michael Vincent Rillon has been


elected by the subscriber as Treasurer-In-Trust of
the corporation to act as such until her successor
is duly elected and shall have qualified, in
accordance with the By-laws and that as such
Treasurer has been authorized to receive for the
corporation, and to issue in its name receipts, in
its name for all subscription paid in by subscribers.

ELEVENTH: That the Corporation manifests its


willingness to change its corporate name in the event
another person, firm, or entity has acquired a prior
right to use the said firm name or one deceptively
or confusingly similar to it.

IN WITNESS WHEREOF, we have hereunto set our

I, Jan Michael Vincent T. Rillon, being duly sworn, depose


and say:
That I have been elected by the subscribers of the Corporation
as Treasurer thereof to act as such until my successor has been
duly elected and qualified in accordance with the by-laws of the
Corporation, and that as such Treasurer, I hereby certify under
oath that at least twenty five percent (25%) of the authorized
capital stock of the Corporation has been subscribed and at least
twenty five (25%) of the subscription has been paid, and received
by me in cash for the benefit of the corporation.

This is also to authorize the Securities and Exchange


Commission and Bangko Sentral ng Pilipinas to examine and verify
the deposit in BPI Savings, Laoag City Branch in my name as
Treasurer in Trust of Laoag City Institute, Inc. in the amount of
Fifteen Million pesos (P15,000,000.00) representing the paid-up
capital of the Corporation, which is in the process of
incorporation. This authority is valid and inspection of said
deposit may be made even after the issuance of the Certificate of
Incorporation to the Corporation. Should the deposit be transferred
to another bank prior or after the incorporation, this will also
serve as authority to verify and examine the same. The
representative of the Securities and Exchange Commission is also
authorized to examine the pertinent books and records of accounts
of the Corporation as well as all supporting papers to determine
the utilization and disbursement of the said paid-up capital.
