LEASE AGREEMENT

(with Contract to Sell1)

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made and entered into at Cebu City, Philippines, this

JANINE L. GUMERA, of legal age, Filipino, single, and with residential

address at Mohon, Talisay City, Cebu Province, hereinafter referred to as the
LESSOR-SELLER;

-and-

RICHARD DADANG, Filipino, of legal age, single, and with residential

address at Torre, Inayawan, Cebu City, Cebu Province hereinafter referred to as
the LESSEE-BUYER.

The LESSOR-SELLER and LESSEE-BUYER are collectively referred

hereafter as PARTIES.

- WITNESSETH -

WHEREAS, the LESSOR-SELLER owns a motor vehicle, more particularly

described as follows:

WHEREAS, the LESSOR-SELLER is selling the above-mentioned motor

vehicle in a lease-to-own payment method;

WHEREAS, the LESSEE-BUYER is interested and assents in buying the said

vehicle under such method.

NOW, THEREFORE, for and in consideration of the foregoing premises, the

parties have agreed to the following:
RICHARD DADANG

1. That the LESSEE-BUYER will be paying the LESSOR-SELLER the amount of

ONE THOUSAND FIVE HUNDRED TEN AND 50/100(Php1,510.50)
PESOS for the aforesaid motor vehicle in a weekly manner for 104 weeks
commencing on ______________ and until ______________. This payment
shall be in the form of rent unless until the entire 104 weeks have been
completely paid off. Once complete payment is made, the payments shall be
considered amortizations and the provisions of the immediately subsequent
paragraph governs.

2. That the LESSOR-SELLER will execute a Deed of Absolute Sale to transfer the
title of the motor vehicle to the LESSEE-BUYER after all weekly payments
are completed by him;

3. In case of unjustified refusal on the part of the LESSEE-BUYER to faithfully

comply with the provisions of this contract including, but not limited to, delay
in paying any of the weekly payments for at least ______________, entitles
the LESSEE-SELLER to rescind this contract, repossess the motor vehicle,
and resell the same to another buyer or, the option of the LESSEE-SELLER,
she may opt to charge a penalty/interest on the LESSEE-BUYER’s overdue
amount;

4. That this contract shall be binding to the PARTIES’ heirs, assigns, and
successors-in-interest;

5. That no waiver by any of the PARTIES of any breach of the provisions of this
contract shall be held or construed to be a waiver of any other subsequent or
antecedent breach;

6. That all PARTIES are duly bound to comply and faithfully respect the
provisions of this Lease Agreement with Contract to Sell.

place and on the date first mentioned above.
