Executive Summary

The manifesto written out for GreeOx is based on a fundamental objective of


meeting the growing demand for safe & more sustainable food supply for an ever
growing population. Conventional agriculture is used to till & plough precious arable
land that is fast depleting, hence any alternative farming method is envisioned to
reduce the pressure on life in planet earth. The 2nd pillar of our vision is to build a
unique community that is global in scale & to enable that we integrate blockchain
technology which will provide a decentralized & distributed farming economy. The
3rd pillar is about fractional ownership of an enterprise that the owners & the
consumers together will be partaking in, to make it a uniquely borderless egalitarian
system. The open system allows for investors & consumers to contribute to building
superior solutions. Token sales will be used for securitization of global farming units,
installing supply chain traceability and clearly showing operations efficiency lending
maximum transparency.

WHO WE ARE?
GreeOx was born in the era of changing social structure enabled by a open market
economy transcending borders yet merging diversity. GreeOx is a result of
far-reaching innovation in conventional sectors like farming. The business model
has attracted acclaim not only for its revolutionary indoor growing technology using
40 ft shipping containers, but for its mission to reframe the age-old food market,

bringing forth clean, safe, and nutritional food through the use of agronomic
techniques that allow the production of foods in any climate. By applying proprietary
advanced agricultural methods, GreeOx is ready to introduce its decentralized
platform for indoor farming.

The Founding Company has been operating for over four years in the capacity of
Research and Development in all aspects of AgriTech. GreeOx has also manufactured
and sold a number of container farms, whilst operating and selling produce from
their own farms.

The company and its employees have realised the limitations of conventional
business models related to agriculture & the immense possibilities of adopting new
technology including blockchain to leapfrog into the future with a new order of
distributed farming.

WHAT PROBLEM IS GREEOX SOLVING?


GreeOx is addressing 2 specific challenges of the future as outlined in the manifesto.
Making farming a part of lifestyle choice in an erstwhile unavailable urban
environment (“I get to invest in the project and eat clean fresh food directly from
the farm at an incredible discount”). Second, building a totally new parallel
economy based on fractional ownership which was hitherto visible in mostly
knowledge based business models. Stock ownership in a farming company is a
progressive way to equitable wealth creation across social strata. Agriculture is one
of the most secure investments you can make, because food will always be in
demand. Investing in agriculture however can be expensive and not all people have
the knowledge or expertise to operate a productive farming operation, in order to
contribute or profit from this investment.

Coupled with this, agriculture and horticulture specialists will face some of the
greatest challenges in the 21st century. They will need to assist in the supply of food
and fibre products for a growing, increasingly-urbanized population that is expected
to exceed 9.5 billion by 2050. The process of rural-to-urban migration places
tremendous strain on high-density urban environments, and also their surrounding
areas as agricultural output is bolstered.

In this hyper-urbanized future, the main challenge for the agriculture industry will be
to supply safe produce needed for quality of life, while maintaining a sustainable
environment.

The majority of commercial farming practices are unsustainable and have many
limiting factors, only 10.3% of the land on earth is considered arable and are restricted
to growing produce which suits the climate, resulting in space being a major factor

for unsustainability. Because of this, certain varieties need to be shipped from all
over the world, which is an added cost and has a disproportionate impact on our
carbon footprint. The open nature of agriculture results in irresponsible and excessive
use of pesticides and fertilisers, also requiring large amounts of water to sustain the
produce.

The land and resource-intensive practices of traditional agricultural systems result


in unsafe produce, depriving low and mid-income brackets access to fresh, nutritious
food. The challenges are glaring at our face and is only set to worsen as urbanisation
remains inevitable and water, land and other precious resources become more
scarce. Conventional agricultural methods fail to meet the demands of the earth’s
population, and a more advanced, environmentally-sound solution will be needed
to effectively sustain this forecasted growth. Open hydroponic and greenhouse
technology, aquaculture and aquaponics, organic and urban farming technologies
are intensive plant-production systems that are all well-placed to meet the
challenges ahead. Their current manifestations, while a step in the right direction, fail
to address some problems conventional agriculture faces and in the future it will be
necessary to develop alternative production systems that are more efficient in terms
of space.

Gearing up to the challenges ahead are consumer and government pressures to


produce safe, nutritious food in a way that is sustainable and does not harm the
environment.

The biggest impact on environment that GreeOx is mitigating is water scarcity &
depleting arable land, whilst helping to sustain the fertile soil for longevity of life crops
& the natural ecosystem.

HOW WILL GREEOX SOLVE THESE PROBLEMS?


By building the first decentralized and distributed open farming ecosystem to address
a growing need for a traceable, affordable and sustainable fresh produce while
relying on an healthy economic model, rewarding all stakeholders fairly. We believe
it can now be achieved with the rightful set of technology, such as blockchain, IoT
and automated systems. Any individual will be able to contribute to the community
through an in-built mechanism to qualify for membership. Members are subsequently
incentivised for the use and participation of harnessing the farm. Be it in human
resources, technology, land, building of the farms or investment. The community
member will then be distributed GROX tokens for their contribution. By utilising the
block chain and exchanges we remove the barriers to entry allowing anyone to invest
any amount to become a benefitting member of indoor farms worldwide and reaping
dividends proportionately.

At the core of this economy is the “GroBinn” container farm, GreeOx’s tested and
established technological solution, to provide year-round sustenance to any location
in the world - from the most populous urban environments, to remote latitudinal
areas suffering from extreme climatic conditions. Each GroBinn container farm take
up a concise 40 x 9 x 8.5 feet surface area, yet have an annual yield equivalent to
1.5-2 acres’ worth of produce.

All vegetables are grown indoors without pesticides or contaminants, allowing for
high yields of any leafy green or fruit, anywhere in the world. Grobinn containers are
mobile, modular, stackable, and highly automated. GroBinn containers allow for rapid
deployment of indoor farms and its pre-built modular growing system can be shipped
and installed quickly in any existing warehouse or building to support consumers
demand for quality food. Critically, the GreeOx solution is environmentally-sound,
resulting in a high-output agricultural economy requiring negligible amounts of water
and other resources compared to conventional farming methods.

Grobinn is a micro-agri-system developed to scale up to a gigantic network of indoor

First Phase:
Build a global community of like minded people who have bought into the purpose
and share our vision. The participative formulae of the farming ecosystem will ensure
securitization of farming units. Our community turns into ambassadors who will fuel
farm investment through global networks. GreeOx blockchain integration will serve
as the bridge between real world operations and our virtual decentralized
management system. Four core usage of blockchain technology includes Global
Farming Finances and Accounting, Real World Operation Monitoring, Human
Workforce Management, and Supply Chain Traceability.

Second Phase:
The monetisation process is executed through GROX tokens & will expand the GreeOx
stakeholders through token exchange into Manufacturing and distribution of farming
units (Grobinn) in resorts, groceries, schools, corporations, etc. Blockchain technology
enhancement and incentive programs will provide easy access for end-users to
participate in nurturing the farming ecosystem.

GREEOX ECONOMY: THE FUTURE OF FARMING
The GreeOx Economy decentralizes the production of quality produce, allowing any
community to have autonomy as they contribute and consume in a truly localized
way.

Revenue Distribution - The blockchain protocol enables all participants to be a part


of the farming economy; truly rewarding farmers for their contribution to maintain
and operate the distributed farm which includes harvesting and packaging. Land or
building owners are rewarded by contributing real assets to the community farm
operations. GreeOx token holders, as defined in the business model carry the right
to receive monthly distribution from the actual realisation of profits (after costs)
from the harvests.

Payments are calculated with sales of container orders and crop production yields
as part of revenue, but not as profits, therefore before fund accruals are made into
the distribution payout pool, the costs of maintenance, electricity, regional farmer
wages, etc. must be deducted. The tokenization ecosystem is a turn-key process
that ensures transparencies of calculations in costs and revenues. The balance sheet
will be audited from a Big 4 Firm to ensure mirroring of the profits paid out to token
holders as being accurate & unambiguous. The timing of the distribution payouts

will be planned to ensure there are minimum thresholds set in as triggers to protect
the payout, so it does not become consumed by transaction charges (“gas fees”)
and if too low, will continue accruing until the fees are a smaller percentage than the
payout. The strategy is to ensure the first token holders receive their initial “healthy”
payments, generating an awareness to attract more investors to the token sales.
GreeOx manufactures additional GroBinns and produce more crops, where future
payment will be more frequent as the operations scale up. The end goal is to provide
visibility to the performance and production yield of GroBinns through a token holder’s
dashboard with features in reports rolled after token sale activities conclude. GreeOx’s
real-time UI platform provides interactive visibility to incentivize the token owners to
hold the equity because once the tokens are sold, the distributions payments will
route to the new owner’s wallet, generating a demand for circulation and hence
raising the value vas a dual prong initiative.

Human Resource Contribution - The farming economy has many human resource
requirements, considering the many roles and responsibilities needed to run farm
operations. The Foundation, an independent non-profit organization will be developed
to support, promote, and educate urban farming communities across the globe to
operate the world’s first distributed - autonomous indoor farms.

Traceability - Track, identify, and trace the entire growing process starting with the
nutrient intake, cultivation process, identity and certification, location and inventory
management. In a world where every business has its own “book” for record keeping,
GreeOx aims to put every transaction onto one distributed ledger to maintain
transparency along the complete food chain. We will do our best to integrate as
much data as possible onto the blockchain to ensure transparency but there are
many activities which require human intervention when recording data. As solutions
become available, we will actively incorporate them.

Farm Development and Operating Costs - The challenges to allocate funding for
farm development and location distribution is dependent on the token holders
location, demand creation & the individual Go-to-Market strategy. Farm operations
and production costs are pre-determined during farm-site preparation and each
unique condition (labour, water, and electricity cost) will be considered to the overall
costs within the ecosystem. Modular farm development and manufacturing material
costs are facilitated on the public ledger to track every element of the business
process.

Use Case for
Blockchain Technology

Smart Contracts & Blockchain Technology - The whole ecosystem will rely on
blockchain technology to build the bridge between real world operations and our
virtual decentralized management system. GreeOx will have 4 core usages for
blockchain technology:

FARMING UNITS: FINANCES & ACCOUNTING


• A smart contract is defined for each container as a starting point of its
financial and blockchain life.
• Each container will have different “token capacity” that vary according to its
building price for its location. Example: a container cost (03/15/2018), $50,000
USD, the token worth 1 usd, the smart contract associated to the container will be
able to receive and hold a maximum of 50k tokens.
• Tokens funds placed on a container, are blocked, until a property transfer is
decided between the owner and third parties. (other mechanism of unblock can
be defined).
• A container has only 1 unique smart contract, that will be the “signature” used
in every operation transaction- this will allow PnL and traceability.
• The smart contract details are defined through GreeOx platform, (voted by the
community). A mini “ICO” is made after each decision of container creation.

REAL WORLD OPERATION MONITORING


• In order to define the PnL of a container, its cost and revenues have to be
tracked and recorded on the blockchain. Costs are mainly billable in FIAT so as
to ensure correct transparency, all invoices will be “apostilled” (notarized) on the
blockchain complemented by a digital copy of documents stored on a cloud
server.
• IoT devices will be used to monitor basic needs of a container:
◊ Sensors for water consumption and environment variables (humidity,
temperature, etc.),
◊ Sensors for electricity consumption,
◊ Tagging of plants and nutrients supply.

HUMAN WORKFORCE MANAGEMENT
• GreeOx is not 100% automated as of yet. Therefore, any community contributor
can register on GreeOx platform as a service provider. The individual will then be
assigned a unique Signature as “WorkForce” (blockchain address).
• The WorkForce Signature will be used to identify their activities related to a
container, and reward them in tokens for their efforts.
• Entry in and out of a container: Tracked via scanning a QR code.
• Growing/Planting/Harvesting: Every action will have a specific token reward
granted after the operator provides a “proof of work”.
• The proof of work: Tracked with a combination of IoT/Hardware and AI.

SUPPLY CHAIN TRACEABILITY


• GreeOx guarantees traceability and transparency from seed to plate, certified
for consumers via the GreeOx platform.
• During plantation, each batch of seeds will have its initial blockchain history
secured by the operator using a connected device.
• The batch number, type, origin, planting date, allocated container and growing
rack will be its recorded genesis.
• AI technology will be used to monitor and detect which racks are almost ready
to harvest, making a robust harvesting schedule that is available to the
community of operators.
• Immediately after harvest, the operator associates each consumer package
(box/jar/bag) with one or multiple rack numbers.
• Finally, upon entering the delivery process, QR scanning at each respective
stage of transportation will ensure details of the product’s path-tracking until it
arrives in the consumer’s hand.

The Founder’s calling to provide fresh high quality food to his family was like a
universal call. An in-bred interest & early successful experiments in indoor farming
turned into passion & from passion was born GreeOx, a Company that presents as
a harbinger of fortune to the food supply chain.

Our first indoor farm was built in a converted warehouse in San Francisco. GreeOx
was officially launched in 2014 with a vision to distribute farming units across borders
and in the process democratizing wealth creation for everyone participating through
the farm holding. GreeOx has operated in the capacity of offering growing technology
as a solution. The acceptance levels are highly encouraging as we provide produce
to groceries, direct to consumer portal, and co-ownership in investment program.
The transformation of the converted warehouse into Indoor farming was the start of
building a GreeOx universe of community farms & thus was born the World’s first
distributed farming token.

Our core team have had significant success and a track record of operating in
different continents with core competencies in the fields of farming, finance,
technology, marketing, human resources, manufacturing, logistics, and blockchain
development. The team participating in GreeOx shares the passion to create a new
farming economy for its members and build GreeOx Foundation with a single

GreeOx continues to expand the evolution of its original mission to strengthen the
transparency promise by providing its GreeOx token (GROX) to the community. The
token will accelerate the growth of its business, on this premise and thereby paving
the way to expand the farming ecosystem.

GROX is uniquely placed as the founding Company of the blockchain-powered


indoor farming initiative. Other indoor farming operators across the globe are still
operating on an old economic model. All other indoor farming operations are
heavily invested by large venture capitalists (VCs), corporations, governments, and
individual farmers.

We believe our community business model which includes but is not limited to token
crowdfunding is a game changer. The development of farming units, transparency
in our operations and a lifetime opportunity for the average person to reap rich
dividends from our operations worldwide, will ultimately come out ahead of the old
system because we have the first mover advantage. There is also the question of
large hydroponic operators worldwide looking to get into the indoor farming space
but are unsuccessful due to technology integration challenges, supply chain
dynamics, and product pricing comparisons in local market. Take a look at Figure 4
below for comparisons.

It will take a long period of time before any outdoor and/or indoor hydroponic
farming operations may actually enter the blockchain and community driven
business model. Other entrants such as FreightFarm, are focusing on selling
container farms at premium MSVP prices to individual farmers, schools, and
companies. Until to date, they are facing scalability challenges because of
disproportionate amount of upfront funding needs in farm operating requirements
across continents specifically Europe, USA, Middle East and Asia. Plenty, for example,
has a massive US$ 200 million investment deployed across all major densely
populated cities. They offer low-pricing vegetables/herbs by utilizing Amazon’s
(Jeff Bezos) distribution retailers, Whole Foods.

We have overcome real issues at growing technologies, vetting the business


models with rigor and hence our upstream pace has increased barriers of entry for
other entrants. This is a result of our deep research and our repository of data
analytics from the past 4 years. To persuade the farming community to collectively
invest in farming units for resorts, schools, companies, groceries, etc. needs a solid
understanding of the works built on unwavering trust.

In contrast to the companies described, GreeOx has been conducting innovative


farming operations for many years supported by team members across different

The GreeOx Foundation was founded as a non-profit organization to distinguish


between the profit making part of the business and the social aspect of building a
community. The foundation lends credibility to the overall vision of ‘reaching out’ as
a social empowerment entity and act as a guiding force to the larger farming
society per se. GreeOx Foundation is endorsed by a global network of partners,
urban farmers, customers, and investors to join forces to operate an indoor farming
infrastructure worldwide. The GreeOx team provides this through their global

partnerships which will engage in training and education for a new generation
of urban farmers, managing our farms and facilitating the decentralization
infrastructure. Our open democratic leadership community sets the initial foundation

across the Foundation. GreeOx Foundation is committed to work with governments
to support integration of urban farming in cities.

Current Structure
This section describes how GreeOx currently assists investors across the globe
to partake in co-ownership opportunities.

GreeOx’s current co-ownership structure is based on a simple principle of buying


into the opportunity cost & letting investors get direct access to the system
workflow, end-to-end of the supply chain. US$75,000 per container farm is the entry
point which can further be let out in fractional units or increased in multiple units.
Investors engage in a hands-off farm management and decision making process
with continuous real time support from our core team.

GreeOx mitigates investment risk and ensures members security and peace of
mind by securing long-term agreements with end users such as resorts, groceries,
schools, corporations, etc..

By joining the GreeOx community, members gain access to details of every farm
investment proposal, location, pre-negotiated earnings and terms of sale, and

Grobinn is the core product of the GreeOx proposition. The proprietary ‘growing
technology’ that is planted in the Grobinn is a automated hydroponic system that
is embedded with a climate control software & is designed to develop modular
farm units based on a clear set of operating rules and guidelines.

Token Profit
Share

Farms will be allocated to business partners who require produce, be it for retail, use
in restaurants, schools, corporations etc. GreeOx Foundation will ensure these farms
are allocated profitably, to provide token holders with a share of the profits.

Each farm will generate revenue from the sale of produce, which will be distributed
to The Foundation and token holders as per the smart contract. The portion
distributed to The Foundation will be used to pay expenses related to operating the
container (electricity, water, seed, etc.), payment of salaries for members of The
Foundation and to develop more container farms to benefit the community.
Remaining revenue/ profits will be distributed - as GROX - to token holders, based
on their overall token share (eg. total token supply is 500,000 and the token holder
owns 100,000 tokens, he will be allocated 20% of the revenue allocated to token
holders). Tokens will be distributed monthly.

The GROX tokens carry the right to a profit share from the farming operations. Profit
shares are calculated solely on the basis of the net profit of the farming operations.
They are not based on GreeOx’s profit and loss (P&L) statement, which might carry
risks not related to the farming business.

It is important to understand that the profit share payouts to token holders will not
be at its full potential, but will increase exponentially over time. This is because the
profit share payouts are a function of active farms generating profits. The first
months will be dedicated to developing the blockchain technology required to run
the smart contracts each container is based on, which means there will be no active
farms and therefore profit payouts will not be possible. Only once, the blockchain
technology has been developed will farms be manufactured to start generating
revenue. It is not possible to manufacture and allocate all farms instantly and will
therefore require time, resulting in an increase in profit share payouts over time, as

GreeOx is a Singaporean corporation, headquartered in Singapore, and we are looking


forward to opening GreeOx foundations across the globe.

Our structure is transparent and simple: The communities are the network of members
supporting the ecosystem. There is no need for institutional investors or venture funds

technical terms and abbreviations (or descriptions thereof in some cases) have

Restrictions in some Jurisdictions

GreeOx truly believe fresh quality food should be available to everyone and the global
community deserves a share in the profits of distributed farming. It is sad to witness
only a handful of large agriculture investment groups controlling the majority of this
explosive indoor farming industry. Since our container farm has been able to distribute
to any part of the world and in any climate conditions, why not open it to everyone
to support the network and benefit from an open democratic, decentralized, and
distributed operation.

We have created the GROX token based on these principles. We are offering investors
the opportunity to receive the full pay-out of our distributed farming operation. As a
result, in some jurisdictions, our GROX token might be classified as a security. In the
US security laws, holding a token is strictly limited to three categories of investors.
• Investors who:
◊ Do not hold a US passport;
◊ Are not in possession of a US Green Card;
◊ Have no residence in the United States.
• Accredited investors under the US Securities Act, Regulation D, Rule 506, i.e.
investors with a net worth of more than $1 million, excluding their Primary residence,

• Investors whose residency lies in Germany are limited to a maximum of
200,000 tokens.

The SEC guidelines concerning Regulation D, Rule 506(c) demand that the issuer
undertakes “reasonable steps” to secure that investors meet the above mentioned
criteria. Our ICO apply the SEC safe harbor verification: investors have to submit a
scanned confirmation by a securities attorney or certified public accountant that
the investor is indeed verified as accredited. If such confirmation is not submitted
funds already transferred shall be remitted to the investor’s wallet or bank account.

These restrictions on holding tokens contradict our idea of giving everyone a fair
chance to participate in our distributed farming operation and the competitive
advantages of the growing system - Grobinn. However, we have to comply with

tradable asset. Right after the private and public sales, GreeOx will begin preparing
