FOUNDER AND CEO OF GREEOX
H. John Tran
Executive Summary
WHO WE ARE?
GreeOx was born in the era of changing social structure enabled by a open market
economy transcending borders yet merging diversity. GreeOx is a result of
far-reaching innovation in conventional sectors like farming. The business model
has attracted acclaim not only for its revolutionary indoor growing technology using
40 ft shipping containers, but for its mission to reframe the age-old food market,
The Founding Company has been operating for over four years in the capacity of
Research and Development in all aspects of AgriTech. GreeOx has also manufactured
and sold a number of container farms, whilst operating and selling produce from
their own farms.
The company and its employees have realised the limitations of conventional
business models related to agriculture & the immense possibilities of adopting new
technology including blockchain to leapfrog into the future with a new order of
distributed farming.
Coupled with this, agriculture and horticulture specialists will face some of the
greatest challenges in the 21st century. They will need to assist in the supply of food
and fibre products for a growing, increasingly-urbanized population that is expected
to exceed 9.5 billion by 2050. The process of rural-to-urban migration places
tremendous strain on high-density urban environments, and also their surrounding
areas as agricultural output is bolstered.
In this hyper-urbanized future, the main challenge for the agriculture industry will be
to supply safe produce needed for quality of life, while maintaining a sustainable
environment.
The majority of commercial farming practices are unsustainable and have many
limiting factors, only 10.3% of the land on earth is considered arable and are restricted
to growing produce which suits the climate, resulting in space being a major factor
The biggest impact on environment that GreeOx is mitigating is water scarcity &
depleting arable land, whilst helping to sustain the fertile soil for longevity of life crops
& the natural ecosystem.
‘
All vegetables are grown indoors without pesticides or contaminants, allowing for
high yields of any leafy green or fruit, anywhere in the world. Grobinn containers are
mobile, modular, stackable, and highly automated. GroBinn containers allow for rapid
deployment of indoor farms and its pre-built modular growing system can be shipped
and installed quickly in any existing warehouse or building to support consumers
demand for quality food. Critically, the GreeOx solution is environmentally-sound,
resulting in a high-output agricultural economy requiring negligible amounts of water
and other resources compared to conventional farming methods.

LOCATION
The successful growth of produce is Climate control allows us to grow any
suited to specific climates and results type of produce anywhere. Allowing us
in high distribution costs and to place the farms directly where the
contributes to our carbon footprint. end demand is.
First Phase:
Build a global community of like minded people who have bought into the purpose
and share our vision. The participative formulae of the farming ecosystem will ensure
securitization of farming units. Our community turns into ambassadors who will fuel
farm investment through global networks. GreeOx blockchain integration will serve
as the bridge between real world operations and our virtual decentralized
management system. Four core usage of blockchain technology includes Global
Farming Finances and Accounting, Real World Operation Monitoring, Human
Workforce Management, and Supply Chain Traceability.
Second Phase:
The monetisation process is executed through GROX tokens & will expand the GreeOx
stakeholders through token exchange into Manufacturing and distribution of farming
units (Grobinn) in resorts, groceries, schools, corporations, etc. Blockchain technology
enhancement and incentive programs will provide easy access for end-users to
participate in nurturing the farming ecosystem.
Third Phase:
Build momentum to gain wider adoption & acceptance of GreeOx offerings through
Outreach programmes.
3 strategies at work will be to introduce the next line up of farming solutions with a
compelling investment package & identifying next circle of communities across
regions who are most amenable to the proposition.
Deploy a variety of agriculture solutions targeting a sizeable share of the $5.5 trillion
dollar global agriculture industry. Our vision is to evangelize one billion people currently
employed in the agriculture sector to join this cooperative movement & become 1st
citizens of our community & be proud owners of GreeOx farming units.
Payments are calculated with sales of container orders and crop production yields
as part of revenue, but not as profits, therefore before fund accruals are made into
the distribution payout pool, the costs of maintenance, electricity, regional farmer
wages, etc. must be deducted. The tokenization ecosystem is a turn-key process
that ensures transparencies of calculations in costs and revenues. The balance sheet
will be audited from a Big 4 Firm to ensure mirroring of the profits paid out to token
holders as being accurate & unambiguous. The timing of the distribution payouts
Human Resource Contribution - The farming economy has many human resource
requirements, considering the many roles and responsibilities needed to run farm
operations. The Foundation, an independent non-profit organization will be developed
to support, promote, and educate urban farming communities across the globe to
operate the world’s first distributed - autonomous indoor farms.
Traceability - Track, identify, and trace the entire growing process starting with the
nutrient intake, cultivation process, identity and certification, location and inventory
management. In a world where every business has its own “book” for record keeping,
GreeOx aims to put every transaction onto one distributed ledger to maintain
transparency along the complete food chain. We will do our best to integrate as
much data as possible onto the blockchain to ensure transparency but there are
many activities which require human intervention when recording data. As solutions
become available, we will actively incorporate them.
Farm Development and Operating Costs - The challenges to allocate funding for
farm development and location distribution is dependent on the token holders
location, demand creation & the individual Go-to-Market strategy. Farm operations
and production costs are pre-determined during farm-site preparation and each
unique condition (labour, water, and electricity cost) will be considered to the overall
costs within the ecosystem. Modular farm development and manufacturing material
costs are facilitated on the public ledger to track every element of the business
process.
Smart Contracts & Blockchain Technology - The whole ecosystem will rely on
blockchain technology to build the bridge between real world operations and our
virtual decentralized management system. GreeOx will have 4 core usages for
blockchain technology:

The World’s First
Distributed Farming Token
The Founder’s calling to provide fresh high quality food to his family was like a
universal call. An in-bred interest & early successful experiments in indoor farming
turned into passion & from passion was born GreeOx, a Company that presents as
a harbinger of fortune to the food supply chain.
Our first indoor farm was built in a converted warehouse in San Francisco. GreeOx
was officially launched in 2014 with a vision to distribute farming units across borders
and in the process democratizing wealth creation for everyone participating through
the farm holding. GreeOx has operated in the capacity of offering growing technology
as a solution. The acceptance levels are highly encouraging as we provide produce
to groceries, direct to consumer portal, and co-ownership in investment program.
The transformation of the converted warehouse into Indoor farming was the start of
building a GreeOx universe of community farms & thus was born the World’s first
distributed farming token.
Our core team have had significant success and a track record of operating in
different continents with core competencies in the fields of farming, finance,
technology, marketing, human resources, manufacturing, logistics, and blockchain
development. The team participating in GreeOx shares the passion to create a new
farming economy for its members and build GreeOx Foundation with a single
minded purpose of producing global farming units.
We believe our community business model which includes but is not limited to token
crowdfunding is a game changer. The development of farming units, transparency
in our operations and a lifetime opportunity for the average person to reap rich
dividends from our operations worldwide, will ultimately come out ahead of the old
system because we have the first mover advantage. There is also the question of
large hydroponic operators worldwide looking to get into the indoor farming space
but are unsuccessful due to technology integration challenges, supply chain
dynamics, and product pricing comparisons in local market. Take a look at Figure 4
below for comparisons.
It will take a long period of time before any outdoor and/or indoor hydroponic
farming operations may actually enter the blockchain and community driven
business model. Other entrants such as FreightFarm, are focusing on selling
container farms at premium MSVP prices to individual farmers, schools, and
companies. Until to date, they are facing scalability challenges because of
disproportionate amount of upfront funding needs in farm operating requirements
across continents specifically Europe, USA, Middle East and Asia. Plenty, for example,
has a massive US$ 200 million investment deployed across all major densely
populated cities. They offer low-pricing vegetables/herbs by utilizing Amazon’s
(Jeff Bezos) distribution retailers, Whole Foods.
GreeOx is now assisting investors all over the world to fulfill the pipeline deals.

Current Structure
This section describes how GreeOx currently assists investors across the globe
to partake in co-ownership opportunities.
GreeOx mitigates investment risk and ensures members security and peace of
mind by securing long-term agreements with end users such as resorts, groceries,
schools, corporations, etc..
By joining the GreeOx community, members gain access to details of every farm
investment proposal, location, pre-negotiated earnings and terms of sale, and
dividend payouts.
Before the advent of blockchain technology, there were many friction costs inherent
in middlemen process of a traditional agriculture supply chain. Transparency and
trust were non-existent.
GreeOx and the Community is built on important core values of open democratic
ecosystem, trust, transparency and sharing of common interests. GreeOx was
founded to unite people across borders to leverage buying power to feed the world
and realize consistent returns while reducing risk. GreeOx facilitates the unity of the
world’s community by harnessing the power of the crowd, connecting both the farm
investor and businesses, building the community worldwide to participate in the new
farming economy.
Through the ownership of GROX token, GreeOx aims to raise awareness to sustainable
farming, promote real local food to urban communities, and take care of the planet
along the way.
GreeOx Distribution
Farming Process
GreeOx current container farm distribution process makes it easy for an investor to
participate in the global pre-packaged farming assets that were previously only
available through a small investment network negotiated in private deals but
soliciting a higher investment amount. The earnings through distributed farming
yields higher returns than any other high capital investments such as real estate.
Our current targeted farming investment industries are hospitality, education,
Individual Farm
Profitability
Farm profitability largely depends on where they are located and what produces is
being grown by the farms. GreeOx has 4 years of experience in indoor farming and
has realised factors that contribute to profitability - these range from whether or not
the produce being grown is available in the region concerned and are customers
willing to pay a premium for fresh pesticide free produce. Below is a graphic
showing the range of profitability GreeOx has experienced over the years and
provides a picture of just how profitable these farms are.
Average
Farms will be allocated to business partners who require produce, be it for retail, use
in restaurants, schools, corporations etc. GreeOx Foundation will ensure these farms
are allocated profitably, to provide token holders with a share of the profits.
Each farm will generate revenue from the sale of produce, which will be distributed
to The Foundation and token holders as per the smart contract. The portion
distributed to The Foundation will be used to pay expenses related to operating the
container (electricity, water, seed, etc.), payment of salaries for members of The
Foundation and to develop more container farms to benefit the community.
Remaining revenue/ profits will be distributed - as GROX - to token holders, based
on their overall token share (eg. total token supply is 500,000 and the token holder
owns 100,000 tokens, he will be allocated 20% of the revenue allocated to token
holders). Tokens will be distributed monthly.
The GROX tokens carry the right to a profit share from the farming operations. Profit
shares are calculated solely on the basis of the net profit of the farming operations.
They are not based on GreeOx’s profit and loss (P&L) statement, which might carry
risks not related to the farming business.

GreeOx has an innovative revenue model and turn-key system to use GreeOx tokens
(GROX). Community members from around the globe will buy into farming
ecosystem, which GreeOx and its vendors will manufacture and distribute using the
support of GreeOx Foundation. The community is the core of the ecosystem, whereby
all parties involved will exchange tokens for produce, receive dividends based on
their token ownership and redeem discounts based on their membership level.

Manages
Throughout history, agriculture investing has always been one of the most desirable
investment. Citizens all over the world just love a do-good project but the process
can take months or even years and farming investment is known to be hard-work.
So most investors start out with small farms, such as greenhouse structure which
requires too much investment. Every year during tax season, investor hires an
experienced tax advisor or accountant to manage the year-end accounting books.
The complicated investment process is repeated again and again in every country
which brings more complexity and hassle to the investors.
No Trust in
No Transparency Higher Fees
Current System
Agriculture investment is known for its complexity, from the point of management
and maintenance of the farm, to addressing legal issues, and giving due attention
to asset management. The international management process is even more
complicated and time consuming,
GreeOx and it’s Foundation removes the complexities to farm ownership and
management, partnering in due diligence and farm distribution, managing legal
structure and taxation, and especially investment calculations and dividend payouts.
GreeOx platform handles all “know your customer” (KYC) and “anti-money
laundering” (AML) requirements. Through GreeOx’s partner application in due
diligence process, and pre-negotiated terms and earning potentials, investors can
move forward with smart investing decisions.
Investors can participate by signing up on GreeOx.io, provide information for KYC and
AML. Lastly, investors add funds to their trading wallet (Bitcoin or Ethereum) to enable
investing in any amounts.
Farm ownership structures are not required, returns are paid as a dividend, and
therefore tax can be easily managed in your home country. Scheduled returns are
paid automatically into the investor’s trading wallets, so no need to establish foreign
bank account. Accumulated investment amount means that your agriculture asset
portfolio can be globally diversified across different farming units, currency, and
agriculture asset classes.
All the farming operations are managed by the urban farmers community. GreeOx
ensures residual returns and provide transparency throughout the process. In
summary investing into distributed farming ecosystem has major upside and very
little of the downside.
GreeOx is consistently working to reduce the development cycle costs and secured
partners relationship. By using the blockchain and smart contracts, GreeOx can
facilitate and reduce the costs of operations which will ensure bottom line profitability
and increase earnings for members of the community. The GreeOx community and
farming units are the center of the farming ecosystem and we do not take it lightly,
to make sure the members interest aligns with community policies related to source
of funds verified and their identities. In most jurisdictions, regulatory requirements for
investing in agriculture to mostly any part of the world requires GreeOx to perform
KYC and AML checks to protect the investments for all investors. GreeOx innovation
is the key driver to lead the global market in four main ways:
Market Segment
Opportunities
• Resorts and Hotels - GreeOx will ship container farms to resorts and hotels
worldwide for easy access to fresh vegetables.
• Restaurants and Schools - Restaurants will share the farm production in the
local market. Schools will use it to feed students, provide urban farming
education, and connect community.
• Groceries and Corporations - Grocery retailers could offer farm-to-table
on-demand for their customers. Companies can have the container farm in
their land to provide food to their employees.
• Residential/Commercial Buildings - Residents and workers could subscribe
to a farm service at their doorstep.
• Speciality Greens - Cannabis is becoming legalised in many countries like
Canada & USA. Under strict legal jurisdiction & Government approvals we can
grow this for special needs particularly for use in medical grounds.
Segment Two
Working people with extra savings looking to invest internationally. Smart investor to
create wealth for families at the same time feed the world with clean sustainable
food. This is mainly be targeted mid-range (middle class) investors looking to
capitalise on returns and use membership discounts for products and services.
Later in mid-2019, GreeOx plans to actively focus on other markets in India and
APAC. Emerging markets growing populations joining the middle class are on the
rise and investments are starting to flow into the international markets. GreeOx is
looking forward to position itself as an agriculture investment of choice.
The blockchain has provided the platform to enable many people and organizations
to accomplish what they thought was never possible. For GreeOx this is no different,
the ability to transfer funds across borders has allowed us to truly create a
decentralised farming ecosystem. Not only this, but transparency and the use of
smart contracts leads to trust from our community, which before would not have
been possible. Below are examples of how we intend to use blockchain technology
in our business model:

• Simplify the Investment Process - The outcome for investors are enormous,
having the ability to invest any amount from anywhere in the world is a paradigm
shift. GreeOx blockchain integration was designed as a solution to provide
transparency to investors worldwide. Each investment transaction on the blockchain
provides evidence to the investment on the platform. Our blockchain technology will
eliminate the middlemen in the investment process and minimizes many investment
costs and transaction fees.
GreeOx membership levels and benefits will be calculated based on the tiered tokens
basis similar to the airline frequent flyer mileage program. Members with more GROX
tokens accumulated naturally fall into higher tier of membership which will get
greater benefits. GreeOx membership levels are organized into different statuses
beginning from Green Level and increase to Bronze, Silver, Gold, Platinum, Diamond,
and Titanium. Each status and membership levels will require maintaining the
number of GROX tokens accordingly.
As each member progresses through the membership levels, the member qualifies
for more discounts for products and services. The higher the levels, the deeper the
discounts.
Furthermore, the total number of tokens members have in their wallet qualifies for
different GreeOx membership levels and members will use tokens to exchange for
products and services.
GREEN $1 Annually 0%
The GreeOx farming ecosystem and GROX tokens are designed to incentivize
members to participate to help the ecosystem expand and create more demand
for GROX tokens. The list below outlines some activities that GreeOx farming members
can perform to earn more GROX tokens.
GreeOx has been offering container farm investment opportunities to the public the
last few years in Asia. That means that people are already investing in quality farming
investment opportunities and earning consistent returns. With GROX tokens, the
global farming investment is open for easy access and boost wealth creation to
another level. The tokens are the next evolution to GreeOx business model and the
details of how to earn and spend is enumerated here.
There are many ways members can earn tokens by participating in the farming
activities in each of these sectors. Members can also use GROX token to exchange
for produce in farm.
Providing a Service
GreeOx Tokens Ecosystem - There are other key drivers to help drive value growth
in the GROX ecosystem and bridge the wealth gap and empower millions of
members using GROX token. Here are some main areas.
• When community members invest in GROX tokens, the entire ecosystem
benefits from the total money invested for Green to Titanium levels. The level of
benefit depends on their membership status.
• Dividends are paid or tokens will be burnt to shorten the total supply to help
drive growth in the GROX ecosystem.

Roadmap
Company Structure
Our structure is transparent and simple: The communities are the network of members
supporting the ecosystem. There is no need for institutional investors or venture funds
to take part of the ecosystem if it is unnecessary. By doing this, the GreeOx community
will invest in the system, contribute time and efforts, and get incentivized through the
process.
The GreeOx Foundation will facilitate and support the operating structures while the
community operating members will manage set of business functionalities. The
community of token holders are key operating decision makers of the direction of
company. Immediately after token offerings, GreeOx will form multiple non-profit
foundations in jurisdictions where we operate our distributed farms.

GreeOx truly believe fresh quality food should be available to everyone and the global
community deserves a share in the profits of distributed farming. It is sad to witness
only a handful of large agriculture investment groups controlling the majority of this
explosive indoor farming industry. Since our container farm has been able to distribute
to any part of the world and in any climate conditions, why not open it to everyone
to support the network and benefit from an open democratic, decentralized, and
distributed operation.
We have created the GROX token based on these principles. We are offering investors
the opportunity to receive the full pay-out of our distributed farming operation. As a
result, in some jurisdictions, our GROX token might be classified as a security. In the
US security laws, holding a token is strictly limited to three categories of investors.
• Investors who:
◊ Do not hold a US passport;
◊ Are not in possession of a US Green Card;
◊ Have no residence in the United States.
• Accredited investors under the US Securities Act, Regulation D, Rule 506, i.e.
investors with a net worth of more than $1 million, excluding their Primary residence,
The SEC guidelines concerning Regulation D, Rule 506(c) demand that the issuer
undertakes “reasonable steps” to secure that investors meet the above mentioned
criteria. Our ICO apply the SEC safe harbor verification: investors have to submit a
scanned confirmation by a securities attorney or certified public accountant that
the investor is indeed verified as accredited. If such confirmation is not submitted
funds already transferred shall be remitted to the investor’s wallet or bank account.
These restrictions on holding tokens contradict our idea of giving everyone a fair
chance to participate in our distributed farming operation and the competitive
advantages of the growing system - Grobinn. However, we have to comply with
security laws and regulations. In order to reconcile these regulations with our
concept of fairness, we are already working hard to turn the token into a publicly
tradable asset. Right after the private and public sales, GreeOx will begin preparing
a prospectus, register with the SEC and apply for a listing as a security token on
regulated exchanges. Afterward, the GROX token will finally be accessible for
everyone - provided the SEC grants permission.
