TERMS AND CONDITIONS

SECTION 1 - PARTIES:
Indigo Park Canada Inc. (hereinafter referred to as "Manager”) hereby grants the signatory (hereinafter referred
to as "User") on a monthly basis, exclusive right to park only at the following parking location 1451 Coldrey
(hereinafter referred to as “Parking”); located in the City of Ottawa

SECTION 2 - MONTHLY PAYMENT:


An annual amount of: $1,080.00 payable monthly (hereinafter called the "Monthly Payment") of: $90.00 (taxes
included) by VISA, MasterCard or Electronic Fund Transfer (EFT) is payable to the Manager, in advance, on the first
(1) day of each month at the Manager's office. The lease agreement will automatically renew itself on a yearly
basis until cancellation notice is given (see section 6: Cancellation).

The Monthly Payment is subject to adjustment, at Manager’s discretion or because of any multi-stage tax, use tax,
consumer tax, tax on goods and services, business tax, or any other similar tax imposed by the Government of
Canada or by any provincial or municipal authority. Monthly payment will be taken on or before the 5th business
day. If on the fifth (5th) business day of the current month, no monthly payment is received, your access to the
parking facility will be automatically suspended until the Manager receives your full payment. The manager will
retain his rights to collect this payment.

It is further understood that the User agrees to pay the Monthly Payment regardless of his/her use of the parking
facility. No deductions shall be applied for any absences or non-use of the parking space during the term of this
agreement. Use of this parking facility is non-transferrable.

A service charge of $30.00 will apply to all payments returned from our banking institution (no exceptions).

SECTION 3 - MAGNETIC ACCESS CARD/HANGTAG:


The User will be issued a magnetic access card or hangtag (hereinafter called the "Access Device"). The User
agrees to pay $15.00 (plus HST) as a non-refundable activation fee for the issuance of the access device. This
access device is not transferable, and must be returned upon cancellation of this Agreement. There will be a
$15.00 (plus HST) charge for any lost, damaged, or unreturned access devices.

The access device can be obtained two ways:


1. In person, at our office (address shown in adjoined “parking rules”).
2. By mail, a fee of $5.00 (shipping and handling) will apply to your first payment. In both cases, we cannot make
the access device available, until payment terms have been finalized with our office.

The Manager will make every effort to ensure you receive your access device, before your start date, however,
we cannot be held responsible for loss/damage/delays caused during shipping. If you choose the “mail” option,
and your access device is not received by your start date, you will be responsible for all daily parking fees (without
credit/refund for same), until your access device is received.
SECTION 4 - REPAIRS AND RENOVATIONS:
The Manager can from time to time redirect circulation, change parking areas and block parking spaces to let him
repair or renovate the Parking. In case of an emergency, the Owner or the Manager of the building may require,
from the User, the immediate removal of his automobile to perform the necessary repairs. In the event where the
Manager is unable to advise the User, the Manager or the Owner of the building shall have the right to move the
vehicle and shall not be responsible for any damage to the car, unless the damage is the result of negligence on the
part of the Manager.

SECTION 5 - RESPONSIBILITIES:
The Manager will not be responsible for any damage (including supplemental parking fees incurred elsewhere)
incurred because of limited (or zero) access to the Parking, caused by circumstances out of The Manager’s
control, including without limitations: acts of god, strikes, lock-outs, fire-explosions, negligence, and repairs and
maintenance to the building/city streets or sidewalks. The Manager, in these cases, will make no credit or
reimbursement regarding the Monthly Payment.

The Manager will not be responsible for any damage that occurs to the vehicle, to his owner and occupants, or
objects left in the vehicle. The User is responsible to notify the Manager of any relevant change to the
information provided in “Parking Request Form”.

SECTION 6 - CANCELLATION:
This parking lease can be cancelled by the User or Manager with written notice of thirty (30) days. Failure to
provide adequate written notice may result in the matter being sent to a collection agency (any fees for collection
will be the responsibility of the User), and note applied against User’s file, with appropriate credit bureau.

PARKING LEASE: ANNEX 1 - RULES

1. Circulation:

a) Users must follow directions from any signage system and from the Manager's employees or the Owner's
security service.
b) Maximum speed always is ten (10) kilometres/hour.
c) Maximum height for the circulation of vehicles (entrance/exit and drive aisles only) in the Parking is: N/A
Please be aware at all times, of height restrictions for individual parking spaces, User to park at own risk.

2. Infractions:

a) Any vehicle not parked in its permitted space, not displaying a valid access device or the access device is
not properly displayed, may receive City of Ottawa infraction notice.
b) Any vehicle not having the correct license plate information, registered in their account (at time of
infraction), may receive a City of Ottawa infraction notice.
c) Towing fees will be at the charge of the User and payable to the towing company. The Manager will not
be liable for any damage incurred during the towing process

3. Usage:

a) The Parking can only be used as a parking facility. Any washing, repair or storage (more than 24 hours) to
vehicles made in the Parking is forbidden always.
b) No signs or marks can be posted or made to the wall or columns in the Parking.
c) Vehicles must have headlights on always while driving in the Parking

4. Vehicles:

a) Exhaust systems of every vehicle in the Parking must function properly and no oil or fuel leaks will be
tolerated. If an oil, or fuel leak is detected, the Manager will do the following:
• We will notify the Property Manager or Owner
• We will attempt to reach the owner of the vehicle
• We will notify the Fire department
• We will notify the Police department
• If we cannot reach the owner of the vehicle, the vehicle will be towed at the
owner’s expense
b) No flammable products can be stored in the Parking in any type of containers.
c) To protect the floor membrane, vehicles with studded tires are strictly prohibited from entering the
parking lot.

5. Accident/Theft/Vandalism:

a) Use of the Parking is at the User's risk. All doors of the vehicles must be properly locked. All personal
belongings and valuables should not be left in the vehicle. The Manager will not be responsible for any
theft or vandalism.
b) In case of an accident, involving an employee of the Manager, the Manager must be informed
immediately, prior to leaving the Parking (all liability claims refused if not reported before leaving) to
inspect the damage, and complete an incident report.
6. Late payment:

a) If on the fifth (5th) business day of the current month, no Monthly payment is received, the access
device and/or access to the Parking will be automatically suspended until the Manager receives the full
payment. The Manager will retain his rights to collect this payment and issue a City of Ottawa infraction
notice (where applicable).

7. Access Device usage:

a) No additional copies of the access device will be given to the User.


b) Any access device obtained under false representation will be automatically cancelled.
c) Access devices are non-transferrable
d) Access devices (hangtags) must be visible always (from rear-view mirror only), no exceptions. If the
access device (hangtag) is lost/stolen/forgotten, and cannot be displayed, you must pay the posted rate
for that day (without credit/refund for same).

8. Provincial and municipal regulations:

a) Users shall conform to all federal, provincial and municipal regulations (vehicle registration, drivers
permit…)

9. Respect of the rules:

a) Security agents and parking attendants are fully authorized to refuse access to the Parking at any time to
vehicles operated by drivers who refuse to follow the present rules or that show a prejudicial attitude in
keeping the peace.
b) Any User that does not follow any of the present rules may be subject to the cancellation of his Access
Device and his/her right to park in the facility.
c) The Manager can modify from time to time any of the present rules and if so will advise the User.

10. Hours of operations:


a) This Parking location is open 24/7
b) The management office is located at 500-251 Laurier Ave W, Ottawa, ON K1P 5J6 from Monday to Friday
8:30am to 5:00pm

11. Security:
a) To ensure security in the Parking lot and/or the building, the Manager reserves the right to request,
without notice, a complete inspection of the User’s vehicle, before accessing the parking area or during
their stay.

12. Valet Service (if applicable)


a) The Manager reserves the right to commence valet service in the Parking when the demand is present.
Should this occur, you should be prepared to surrender the keys to your vehicle to the valet staff. You
must provide us with a phone number you can be reached at; you will be informed of the time at which
you must pick-up your keys, at the end of the day (signage, Manager’s staff on-site);every attempt to
reach you (by phone) will be made by our staff, however, should those attempts fail (or you do not
provide your phone number)and you do not pick-up your keys at the appropriate time, your keys will be
held until the next business day. At the discretion of the Manager, and/or the owners of the Parking, a
“key return fee” may be applicable, should you need your keys returned to you, after the posted pick-up
time.
