Refer to our meeting held at Shakar Ganj plant and subsequent email dated 17th May, 2018
regarding the subject enquiry. We take pleasure in submitting herewith our proposal based on
scope. We are eager and open for any addition discussion on technical or commercial aspects of
the project.

1. PROPOSAL BACKGROUND
SHAKARGANJ FOODS PRODUCTS LTD (hereinafter referred to as the “Client”) invited AG TEK PVT
LTD (hereinafter referred to as the “AG TEK PVT LTD) to bid for the supply and installation for “DRY
VENTILATION SYSTEM, FOR DIFFERENT PROCESSING AREAS” at their existing facility at Jaranwala,
Pakistan.
2. PROPOSAL DESIGN DATA
2.1 Design Conditions:
 Max Dry bulb temperature of ambient air 48°C

 Climate Classification BWh
 Altitude 196 m
 Relative humidity of ambient air 50 %
 Condition of ambient air Hot & Semi-Arid
2.2 Design Parameters:
 Air Changes per hour 10-12

 Positive pressure 2-4mm water column/ 20-30 Pa
 Air Filtration System G4 & F7
2.3 Concept Design:
The dry ventilation system shall include air inlet, louver dry panel type aluminum washable
pre filters, fine filter, centrifugal fan, duct work, air supply grills, volume control dampers,
exhaust fans and pressure relief dampers for the following area’s
1. AMF Room
2. One Step Plant
3. New CIP Room
4. Mixing Room
5. Dry End
3 PROPOSAL SCOPE
3.1 Scope of Ventilation Equipment
3.1.0 Supply of Single Skin Fresh Air Handling Units complete with Air Intake Louvers, Sand
Trap, Pre-Filter Section & Filters G3, Fine Filter Section & Filters F7, Centrifugal
Fan, Supply Air Section as per the capacities defined in DETAILED BOQ.
3.2 Scope of Local Material & Services
3.2.1 Supply and installation of fabric ducts complete with SS hanging supports, wires,
frames, nut bolts, and other accessories
3.2.2 Supply & Installation GI Duct Work including cutting, bending, fabrication, hangers, threaded
rods & supports, and allied accessories for supply air complete in all respect as per SMACNA
Standards.
3.2.3 Supply & installation of VCD (volume control dampers).
3.2.4 Supply of two years’ operational spares
3.2.5 Equipment Off loading, rigging, uplifting, placement of unit
3.2.6 Equipment identification and painting with arrow marking
3.2.7 Electrical & Mechanical Engineering
3.2.8 Material & Equipment Delivery at Jaranwala Site
3.2.9 Supervision of Installation
3.2.10 Commissioning of Ventilation System
3.2.11 Site Training
3.3 Project Completion Time
3.3.1 Twelve (12) to Fourteen (14) Weeks for equipment delivery after confirm PO in
accordance with PAYMENT TERMS
3.3.2 Eight (08) to Ten (10) Weeks for Installation after confirm PO and Three (03) Weeks for
Commissioning Works, After Equipment Delivery and in accordance with PAYMENT
TERM
4 COMMERCIAL TERMS AND CONDITIONS
4.1 Project Cost

On the basis of Client’s enquiry for above mentioned scope, AG TEK PVT. LTD price for the subject
scope mentioned in points 3.1 and 3.2 is

4.2 Order of Precedence of Documents

In case of a conflict among the various contractual documents, the order of precedence will
be as follows:
4.2.1 Client PO duly accepted by AG TEK PVT. LTD

4.2.2 AG TEK PVT. LTD ’s proposal document including all post-bid clarifications by AG
TEK PVT. LTD .
4.3 Price Basis
4.3.1 Since this is a supply & service contract, our offer is based on the assumption that
17% & 16% GST will be applicable on our invoices of SUPPLY & SERVICE respectively
and will be charged separately against our GST invoices.
4.3.2 Currency exchange rates, Government taxes, surcharges, laws and levies etc. as
prevalent at present rate are included in our price. Any increase in existing
currency exchange rates/ levies / duties / taxes/ etc. or imposition of new taxes,
duties etc. shall be to the client’s account.
If after the date of signing of contract any Pakistani law, regulation ordinance or
bylaw having the force of law is enacted, promulgated, abrogated or changed,
which materially affects the costs and expenses of the supplier, shall be accordingly
adjusted by the client.
4.3.3 In case of change in law, which increases the liabilities of AG TEKC PVT. LTD, both
AG TECK PVT. LTD and the Client will comply with such changes in law and the
parties will within 30 (thirty) days of the change in law use all reasonable
endeavours to agree such adjustments as may be fair and reasonable to put the
parties back in the same commercial and financial positions in which they were
under the original contract immediately prior to such change in law.
4.3.4 AG TEK PVT LTD does not consider any manpower idling on account of delays in
Client’s obligations. In case of occurrence such event, AG TEK PVT LTD will charge
the cost on per man-hour basis and shall intimate the client time by time.
4.4 Terms of Payment
4.4.1 Payment to AG TEK PVT. LTD will be made under the with following terms:
 50% of the contract value as an advance along with the PO.

 30% of contract value at delivery of equipment at site .
 15% of the contract value on completion of installation.
 05% on commissioning and sign off
4.4.2 All payments to AG TEK PVT. LTD will be made through Cheques.
4.4.3 Payments will be made within ten (10) days of submission of invoice by AG TEK
PVT. LTD.
4.4.4 All payment will be deemed to have been effected if and when they have been
transferred and credited in respective currency of contract to AG TEK PVT. LTD’
designated bank account.
4.5 Validity
4.5.1 This offer is open for acceptance for Thirty (30) days from the date of bid
submission. Upon expiry of this validity period, AG TEK PVT. LTD reserves the right
to review and adjust, if necessary, prices, terms, and services.
4.5.2 The above price and delivery is valid for the project scope, clarifications, and
exceptions mentioned in AG TEK PVT. LTD ’s proposal. Any change in the same will
lead to change in AG TEK PVT. LTD ’s price and committed services.
4.6 Taxes & Other Levies
AG TEK PVT. LTD price does not include sales tax, SED and any applicable tax. This will
be charged additionally to the client every invoice.
5 GENERAL TERMS & CONDITIONS
AG TEK PVT. LTD further assures to use its best effort to effect any necessary correction,
additions, or modifications in a timely manner at the mutual convenience of the Client and
AG TEK PVT. LTD. The liability of AG TEK PVT. LTD is strictly to performing necessary
correction, additions and modifications agreed as necessary and that AG TEK PVT. LTD will
in no way be liable for any damages, whether from loss or lack of use, of business
interruption, or any claim for consequential damages.
Force Majeure
AG TEK PVT. LTD will not be responsible for failure to meet the delivery schedules of the
contract nor for any losses or damages to the Client (or any third party/person) occasioned
by delay in the performance or the non-performance of any AG TEK PVT. LTD ’s obligations
under the order, or by loss of or any damage to the material when caused directly or indirectly
by, or in any manner arising from the act of God, acts of government or military authority,
casualty, riots, strikes, sabotage, terrorism or any other similar or different cause or causes
beyond AG TEK PVT. LTD ’s control or of its suppliers or sub-contractors / vendors.
Force Majeure will extend the time of AG TEK PVT. LTD ’s execution of the work, and give it
the right to make price adjustments, if necessary, under the contract by the effects of such
Force Majeure event considering the necessary restart period on the performance of AG TEK
PVT. LTD or its suppliers or sub-contractors / vendors.
Liability and Indemnity
AG TEK PVT. LTD will have no liability whatsoever under this proposal or any subsequent
contract for any special, indirect, incidental, or consequential loss or damage of any kind,
whether suffered by the Client or any third party arising out of any breach of warranty,
breach of contract, negligence, operation of law, or otherwise.
Title and Risk Transfer
The title for the material and equipment supplied by AG TEK PVT. LTD shall transfer to the
Client upon receipt of all payments from the Client. The risk for material and equipment
supplied by AG TEK PVT. LTD shall transfer to Client upon delivery at plant site
6 PROJECT EXCLUSIONS
6.1 All grounds for attachments of hangers or support

6.2 Main Power Cable from Main MCC to Panels & to Power Up the FAHU’s
6.3 Provision of main incoming electrical supply during work
6.4 Foundations/Steel structure for placement of FAHU’s
6.5 Food and Accommodation for our workers/technicians/supervisors/engineers
6.6 Adequate safe storage area
6.7 Supply of Utilities (Electricity, Water etc.) for installation and commissioning works
6.8 Alarm or BSM System
6.9 Any special safety requirements
6.10 Any GOVT approvals
6.11 Any third party inspections
6.12 Any ITEM or SERVICE not explicitly mentioned in this proposal
