accordance with terms and conditions stated herein and reverse side hereof, which shall override
exclude, and supersede and terms proposed but not covered herein

ARTICLE 2 : CONTRACT PRICE

2.1/ Price to be understood CIF (Incoterms 2010) Pusan Port

2.2/ Total value of CIF Saigon Port USD 170,000.00

To be: US Dollars seven-teen hundred thousand only

ARTICLE 3 : PAYMENT
3.1/ By TT 100% In Advance
3.2/ Document for payment: :payment shall be made upon presentation to bank of the
following documents
a) Ocean (Clean on Board) Bill of Lading
b) Commercial invoice: 02 original
 c) Packing list: 02 original
d) Certificate of quality in triplicate issued by seller
e) Certificate of origin – Form D
f)the seller’s confirmation in triplicate advising the byer the shipping particulars

ARTICLE 4 : SHIPMENT AND INFORMATION FOR INSURANCE

4.1/ Time of delivery: within April, 2017
4.2/ Port of loading: Ho Chi Minh port
4.3/ Port of destination: Pusan port
4.4/ After shipment, within 24 hours, the Seller shall telex advising unimex of
commodity, contract number, quantity, weight, invoice value, name of carrying vessel, loading
port, number of Bill of Lading, date of shipment.
ARTICLE 5 : PACKING AND MARKING

5.1/ Packing: Export standard.

ARTICLE 6 : FORCE MAJEURE
This contract shall not be biding on the Seller and the Buyer and contractual performance is possible
because of Force Majeure in which includes but not limited to War, major strikes, import restrictions, fine and
Act of God.
ARTICLE 7 : GENERAL CONDITIONS

Both party undertake to fulfill absolutely and strictly this contract accordance with INCOTERMS
2010 revision. Any changes and amendments of this contract shall be made in writing and subject to mutual
agreement.

All disputes arising out of or in relation to this contract, which both parties can not reach an amicable
agreement, shall be finally settled by the Vietnam International Arbitration Centre (VIAC) at the Chamber of
commerce and Industry of Vietnam in accordance with its Arbitration Rules.

ARTICLE 8: AMENDMENT/ALTERATIONS
Any amendments or alterations of the terms of this contract must be mutually agreed
previously and made in writting.
Made at Hochiminh City, this day of Jan 1st, 2017 in English language, in 02 copies, of
which 01 for each party.
