ISRO Satellite Centre [ISAC], ISRO, Government of India proposes to invite EOI for the
“Outsourcing of Spacecraft Harness Fabrication”. Brief description and scope of work is
available in EOI document containing Vendor compliance Forms.
Interested vendors having adequate know-how, experience and financial background are
invited to express their interest in “Outsourcing of Spacecraft Harness Fabrication”. The
Vendors must be capable of realizing the above given work.
EOI documents can be downloaded from our website www.isro.gov.in or can be collected
from our Office against submission of document fee. EOI Document should be submitted
along with document fee of Rs. 500 /- in the form of Demand Draft drawn in favour of
Accounts Officer, ISAC, Bengaluru within the due date.
EOI with all necessary required information shall reach the undersigned, quoting our Ref
No. ISGE 2017-0-37734-01 on or before 14.00 Hrs, dated 26.10.2017. This proposal is
initiated as a Pre-Bid Qualification. Vendor compliance Forms in documents shall be duly
filled and signed by authorized signatory and attach along with EOI. Inadequate/incomplete
information shall attract rejection. ISAC reserves the right to accept or reject all or any such
EOI without assigning any reason whatsoever.
Addendum/Corrigendum if any, to this EOI, will be hosted at our website, www.isro.gov.in

Modus Operandi:
The Intending Vendor[s] are advised to read the EoI documents, Terms and
Conditions and other details carefully relating to the work contemplated in the
Spacecraft Harness realization & associated activities and fully acquaint themselves
as to all conditions and matters which may in anyway affect the work or cost thereof.
The intending Vendor[s] shall mean Single Vendor only and no consortium is
entertained. The Vendor[s] shall be deemed to have known the nature, scope and
magnitude of the work. Vendor[s] should express the interest only if he considers
himself eligible and if it is in possession of all documents required as per the EoI. The
Vendors are required to study EoI document and express interest after carefully
examining all instructions, eligibility criteria, forms, terms, standards and specifications
as per the EoI document with full understanding of its implications.
If the Vendor[s] is found ineligible after opening of the EoI, his EoI document shall
become invalid ipso facto, and costs of the tender document and processing fees, as
applicable shall not be refunded. EoI which are not in compliance with our EoI
conditions will be rejected, without assigning any reasons thereof. Failure to furnish all
requisite information or and/or documents shall result in repudiation of the EoI.
Notwithstanding the foregoing, ISRO Satellite Centre [ISAC], Bengaluru reserves the
right to assess the capability of the Vendor[s] to perform the Contract keeping in view
the overall interest of ISAC. In the event, the Vendor[s] capability and capacity are
found to be unsatisfactory; ISAC reserves the right to reject the EoI document, without
assigning any reasons thereof
Any neglect or omission or failure on the part of the Vendor[s] in obtaining necessary
information as stated above or in any other matter affecting the Vendor[s] shall not
relieve him from any risks or liabilities or the entire responsibility for completion of the
Spacecraft Harness realization & associated Activities in accordance with the EoI
Documents.
The requirements stated herein below are a minimum and ISAC reserves the right to
request for any additional information and also reserves the right to reject the EoI
document of any Vendor[s], if in the opinion of ISAC, the qualification or data is
incomplete or if the Vendor[s] is found not qualified to satisfactorily perform the
Contract. The Vendor[s] shall bear all costs and expenses associated with
preparation and submission of EoI document including post EoI clarifications,
discussions, technical and other presentations and ISAC will in no case be responsible
or liable for such costs, regardless of the outcome of the EoI process. The Vendor[s]
shall also not be entitled to claim any costs, charges and expenses incidental to or
incurred by him through or in connection with the submission of the EoI or its
consideration by ISAC, even though ISAC may elect to modify or withdraw the
Invitation to EoI or not to accept the EoI.
At any time prior to the deadline for submission of EoI, ISAC may for any reason on its
own initiative modify the EoI document by amendment. The amendment will be
notified in writing or by fax or e-mail to the Vendor[s] or uploaded online on the
website. ISAC shall bear no responsibility or liability arising out of non-receipt of the
same in time or otherwise. Notwithstanding the above, ISAC may at its discretion
extend the deadline for submission of EoI in order to afford reasonable time to
Vendor[s] to take into account the amendment in preparing the EoI.
All the EoI must be submitted before the time and date fixed for the receipt of EoI as
set forth in the EoI document. ISAC will not be responsible for non- receipt of EoI due
to any postal delays/loss of EoI documents in transit and delay due to customs/courier,
etc. and it shall be the sole responsibility of the Vendor[s] to ensure delivery of the EoI
within the time fixed. ISAC reserves the right to accept or reject any of the EoI in full
or part without assigning any reason thereof. EoI received after stipulated time and
date will be rejected.
Vendor[s] can procure the EoI Documents from Head, Purchase & Stores, ISRO
Satellite Centre, P.B.No.1795, HAL Airport Road, Vimanapura Post,
Bengaluru – 560 017, on all working days between 10.00 Hrs to 16.00 Hrs IST on
payment of prescribed Tender Fee by way of Demand Draft/Bank Draft. The Contact
Phone No. (080) 2508 4030 for the Purchase of EoI Documents. EoI documents will
also be uploaded on the ISAC website i.e. www.isro.gov.in. Interested Vendor[s] may
download the EoI document from website and submit their response to EoI along with
prescribed Tender Fee (in the form of Demand Draft/Bank Draft) as per details
mentioned in the Tender Notification.
Tender fee of Rs. 500/- shall be payable in the form of Demand Draft [DD] or Bank
Draft drawn in favour of Accounts Officer, ISRO Satellite Centre [ISAC] payable at
Bengaluru. No other mode of payment for tender fee is acceptable. Vendor[s]
Name/Firm’s Name and Tender/EoI Number shall be indicated on the reverse side of
the Demand Draft/Bank Draft. The Demand Draft/Bank Draft drawn in favour of ISAC
towards Tender Fee shall not be dated prior to the date of publication of Tender
Notification. In the event the Demand Draft or Bank Draft has been issued prior to the
date of publication of Tender Notification, such offer[s] shall be invalid and will not be
accepted.
In the event Vendor[s] request for EoI Documents by post, the postal envelope must
be marked as “Request for EoI Documents”.
If the EoI opening date happens to be on an unidentified Holiday due to any reason,
including Force Majeure, tender(s) shall be opened on the next working day.
Vendor[s] shall submit EoI document only in sealed envelopes, super-scribing the
Tender Number and the due date of opening of the Tender. The EoI shall be
complete in respect of all technical specifications, instructions, drawings, pamphlets
and catalogues, as per the EoI document. Failure to furnish all information as per the
requirements of the EoI document and submission of EoI not substantially responsive
to the EoI document shall render the EoI/Vendor liable for rejection. Any/all EoI by
way of fax/e-mail shall not be accepted.
The Vendor should provide along with his EoI document the Name of his Bankers, if
required by ISRO Satellite Centre [ISAC], Bengaluru.
The Suppliers need to get enrolled in the e-tender portal to access tender and submit their
offer online during RFP stage. Vendor[s] need to have Digital Signature Certificate as detailed
on ISAC e-portal and corporate e-mail ID to register on the above portal.
1. EoI Objective:
Driven with the mandate of realizing 12-18 Satellites Per Annum, SIG/ISAC is planning
to augment the existing in-house Spacecraft Harness realization support through
Industry participation. ISAC is planning to involve multiple Vendors to take up
Spacecraft Harness realization and associated activities.
The purpose of this EoI is to invite proposals from the potential vendors to carry out
end-to-end Spacecraft Harness Realization at Vendor premises or Spacecraft Harness
realization & associated activities at ISAC premises for ISRO satellites. End-to-End
Spacecraft Harness Realization at Vendor premises is categorised as Model-1
henceforth, and Spacecraft Harness Realization at ISAC/ISITE and support for
associated activities is categorised as Model-2. On successful completion of EoI
and RFP stage, depending on the response of vendors and their capability, multiple
vendors shall be selected with parallel rate contracts for each Model. The Tenure of
the Contract is planned for a period of three years and can be extended to an
additional two years subject to satisfactory performance of the vendors and mutual
agreement between ISAC and Vendors. Spacecraft Harness realization workload for
different Spacecrafts will be distributed among the selected vendors during the tenure
of the contract as per vendor capacity, performance and ISAC requirements.
2. Introduction:
ISRO Satellite Centre [ISAC] is one of the lead Centres of the Indian Space Research
Organisation [ISRO] responsible for Design, Development, Assembly and Integration
of Satellites for various applications.
ISAC main campus is spread across a 32 acre campus at Old Airport Road,
Vimanapura post in Bengaluru. To cater to the growing demand for satellite
applications, ISRO Satellite Integration & Testing Establishment [ISITE], a 110 acre
campus which is about 8 km away from the main campus was also established.
ISAC/ISITE houses state-of-the-art design, fabrication, and test facilities and large
clean rooms for the assembly, integration and testing of various types of satellites.
Laboratory for Electro-Optics Systems [LEOS], situated at Peenya Industrial Estate,
Bengaluru is engaged in design, development and production of Electro-Optic sensors
and camera optics for satellites and launch vehicles.
The ISAC main campus and ISITE campus are hereinafter collectively referred to as
‘ISAC’. The specialised teams of scientists, engineers and technicians at ISAC have
built more than 90 complex and advanced satellites for various applications in areas of
telecommunications, television broadcasting, VSAT services, tele-medicine, tele-
education, navigation, weather forecasting, disaster warning, search & rescue
operations, earth observations, natural resource management, space science and
interplanetary missions etc.
Based on the mass and power generation the satellites are also classified into mainly
three bus platforms. Satellites built at ISAC are realised around the configurations
from this table.

ISAC has set the target of building about 12-18 satellites per year to cater to the
growing demand for satellite based applications and the centre is presently engaged
in the challenging task of building future generation advanced communication, remote
sensing, navigation and space science satellites. In order to meet this huge demand,
ISAC is striving for increasing collaboration and contribution from Indian vendors to
build various subsystems for Satellites. Presently, vendors are involved in various
satellite building activities such as electronic and mechanical subsystem parts
manufacturing, subsystem fabrication and testing, etc. There is an opportunity for
vendors to contribute in the field of Spacecraft Harness and the scope of vendors’
participation is bound to increase, both in terms of volume and complexity.
ISAC will provide the required Data pack and Flight component/materials for Harness
realization to Vendor. Vendor has to realize the end-to-end Harness as per the scope
of work at his premises and upon final clearance & acceptance by ISAC; Vendor shall
deliver the Spacecraft harness to ISAC as per the terms & conditions. There will be
few mandatory inspection points (MIP) from ISAC team during Harness realization
phase, subsequent to the clearance from ISAC at each stage or MIP, vendor shall
carry out further activities. Realized harness will under go series of Harness
qualification tests before handing over to ISAC team for Spacecraft integration &
testing activities.
It is proposed to carry out Spacecraft Harness Realization for ISRO spacecrafts with
support from Vendor at his premises. The entire contract will be executed in 3
different phases as follows.

Phase-3 activities for every selected vendor, will be performed at different timelines
depending upon ISAC requirement and the workload of satellites. Hence, selected
vendors will be carrying out Spacecraft Harness realization for which ISAC will reserve
the rights to decide on the allocation of satellite project and in which case the vendor
shall not have any objection or any Legal remedy.
1. Vendor is not entitled for any payment during Phase-1 & Phase-2. Work order
for each spacecraft Harness shall be released to vendor based on the need
and ISAC requirements.
2. Vendor has to establish required facilities/infrastructure and procure all required
Tools and Equipments to carry out Spacecraft Harness Realization. Details of
the Facilities/Infrastructure, Tools and Equipments will be mentioned in RFP.
3. Work order validity for each Spacecraft Harness will be 12 months from the
date of Work order release.
4. Vendor team shall realize a Spacecraft Harness within 12 weeks from the last
FIM or Data Pack issued from ISAC for the respective Spacecraft Harness.
5. During Phase-1 & Phase-2, eligible candidates from Vendor team would be
provided required training on the ISAC standard process & quality aspects to
realize a spacecraft harness. All these candidates, post Training, based on
their individual performance, ISAC team will certify them to carry out required
operations on Spacecraft Harness. Only ISAC certified candidates from Vendor
team are allowed to work on Spacecraft Harness Realization including quality
aspects.
6. Vendor has to properly maintain all the fabrication and qualification records for
each Spacecraft Harness. All documents/records shall be handed over to ISAC
along with the respective Harness during delivery.
7. Vendor has to maintain & provide consumption report for each delivered
Harness, if any excess of materials exists at the time of Harness delivery, then
same thing has to be returned to ISAC with reference to Material issued Gate
Pass. However, in some cases ISAC will take decision to share the resources
across different ISAC satellite Projects.
8. ISAC reserves the right to release work orders and date of release of Work
Order to vendors based on the requirement of project load. ISAC also reserves
the right to withdraw the work order if the performance of the selected vendor is
found to be unsatisfactory or not meeting the contractual terms. In such cases,
remaining work will be assigned to other eligible vendor through separate work
order.
9. Payment shall be made upon acceptance & clearance from Preshipment
Review [PSR] committee.
10. Payment shall be made on pro-rata basis based on Crimp units. Quantum of
Spacecraft Harness realization is accounted in-terms of Crimp units for payment
purpose.
Spacecraft Harness realization is quantified in terms of Crimp units and its definition is
given in the following table. Each crimp unit involves, activities mentioned in Table-3b
from Stage-1 to Stage-4, in addition to specific activity mentioned in Table-3c.
The Vendor is required to provide the following eligible candidates for Spacecraft
Harness Realization at his premises. Spacecraft Harness realization is quantified in
terms of Crimp units. A typical Spacecraft harness with 10,000 crimp units involves
the workforce set mentioned in the Table 4.1 for 3 months.

5. Tenure of Contract:
The total tenure of Contract is scheduled for a period of five years from the date of
release of Contract/Purchase Order. Firm and Fixed price is applicable for five years
from the date of release of Contract/Purchase Order. ISAC will enter into parallel rate
contract with multiple vendors to execute the contract. Project Work load will be
distributed among vendors based on ISAC requirements & projects schedule.
ISAC will provide the required Data pack and Flight component/materials for
Harness realization to Vendor. Vendor has to realize the end-to-end Harness as
per the scope of work at ISAC. Vendor team shall maintain and provide required
records/documents of Spacecraft Harness. Vendor team shall also support in
Spacecraft Harness realization & associated activities in Cleanroom, refer section
6.1 & 6.2
It is proposed to carry out Spacecraft Harness Realization & associated Activities for
ISRO spacecraft with support from Vendor at ISAC. The entire contract will be
executed in 3 different phases as follows.
Phase-2: Vendor has to realize end to end sample harness as per ISAC requirements,
as part of Qualification programme, for the Vendor to take up flight Harness
realization. On-job Training will be provided for Spacecraft Harness associated
activities & Testing support in Cleanroom.
Phase-3: Vendor will independently carry out Spacecraft Harness realization &
associated activities as per the scope of the work and ISAC’s standard process &
quality guidelines.
ISAC will provide the required Data pack and Flight component/materials for Harness
realization to Vendor at ISAC. Vendor has to realize the end-to-end Harness as per
the scope of work at ISAC.
Vendor team shall provide required Harness related support in the following
Spacecraft Realization activities.
d) Harness preparation (Routing, Shaping and anchoring) for Panel closure and
Closed-mode IST.
Phase-3 activities along with end-to-end harness realization activity, for every selected
vendor, will be performed at different timelines depending upon ISAC requirement and
the workload of satellites. Hence, selected vendors will be carrying out Spacecraft
Harness realization for which ISAC will reserve the rights to decide on the allocation of
satellite project and in which case the vendor shall not have any objection or any
Legal remedy.

Phase-2 shall be completed within 1st month from the Date of Purchase order
release.
2. Vendor has to establish required facilities/infrastructure and procure all required
Tools and Equipments to carry out Spacecraft Harness Realization. Details of
the Facilities/Infrastructure, Tools and Equipments will be mentioned in RFP.
3. During Phase-1 & Phase-2, eligible candidates from Vendor team would be
provided required training on the ISRO standard process & quality aspects to
realize a spacecraft harness & associated activities in cleanroom. All these
candidates, post Training, based on their individual performance, ISAC team
will certify them to carry out required operations on Spacecraft Harness &
associated activities in cleanroom. Only ISAC certified candidates from Vendor
team are allowed to work on Spacecraft Harness Realization & associated
activities in cleanroom, including quality aspects.
4. Vendor has to properly maintain all the fabrication and qualification records for
each Spacecraft Harness & associated supporting activities in Cleanroom. All
documents/records shall be handed over to ISAC.
5. Payment shall be made upon acceptance & clearance from SIG/ISAC.
6. Payment shall be made on Test-AID units. Quantum of Spacecraft Harness
realization & associated activities in cleanroom is accounted in-terms of Test-
AID units. Refer-Table[6a]
The Vendor shall take up the activity within ISAC premises or at ISITE (ISRO
Satellite Integration and Test Establishment), Marathahalli, Bengaluru only. ISAC
will provide all necessary infrastructures & facilities to facilitate vendor to carry out
Spacecraft Harness realization & associated activities.
The Vendor is required to provide following eligible candidates for Spacecraft Harness
Realization & associated activities, at ISAC/ISITE for the contract period. Spacecraft
Harness realization & associated activities is quantified in terms of Test aid units. A
typical Spacecraft harness & associated activities with 800 test aid units involves the
workforce set mentioned in the Table 7.1 for 1 month.

8. Tenure of Contract:
The total tenure of Contract is scheduled for a period of five years from the date of
release of Contract/Purchase Order. Firm and Fixed price is applicable for five years
from the date of release of Contract/Purchase Order. ISAC will enter into parallel rate
contract with a multiple vendor to execute the contract. Project Work load will be
distributed among vendors based on ISAC requirements, projects schedule.
The entire exercise of selecting a viable industry partner for outsourcing complex
satellite Harness realization and associated activity is carried out in two stages ie
Expression of Interest (EoI) stage and Request for Proposal (RFP) Stage. The
following is the flow chart depicting the structure process flow that would be adopted in
the vendor selection process.
10.2.7 The certificates should be valid at the time of EOI submission and should be
certified by an authorized signatory. A copy of PAN Card should also be
submitted.
10.2.8 Aerospace business in this EOI means any Harness or Cables realized,
qualified and successfully tested to meet the Design requirements for ISRO
Centres/units, DRDO Centres/Units, Aircraft or Defence Projects/systems.
10.2.9 The applicant must have, in the past 3 years under taken aerospace business.
If such a project is yet under execution, the applicant will have to provide all
the relevant details of the current status of the project.
10.2.10 Income Tax Returns of the last three years duly certified by a Charted
Accountant has to be submitted.
10.2.11 An undertaking (self-certificate) is to be submitted that, the Organization
hasn’t been blacklisted by any Central/ State Government Department/
Central Government funded organizations/ State Government funded
organizations/ World Bank, or other World Bank organizations and is not
under any illegal expression by Government of India.
10.2.12 The applicant, should not have, during the last five years, either failed to
perform on any agreement, or been expelled from any project or agreement
or have any agreement terminated for breach by the applicant.
10.2.13 Persons who are individually or institutionally, in any manner, involved with
the selection/screening process of the EOI, and employees of ISRO are
ineligible for applying.
10.2.14 An undertaking (self-attested) is to be submitted that there has been no
outstanding bankruptcy, judgment or pending legal action that could impair
operating as a going Concern. Also the Vendor must be solvent, in the Legal
Court of Law.
10.3 Terms & Conditions: General
10.3.1 This EoI is not an offer and is issued with no commitment. ISAC reserves the
right to withdraw the EoI or change or vary any part thereof at any stage. ISAC
also reserves the right to disqualify any vendor/proposal, should it be so
necessary at any stage.
10.3.2 Timing and sequence of events resulting from this EoI shall ultimately be
determined by ISAC.

10.3.17 Participation of Vendors for Pre-EoI Meeting: A Pre-EoI Meeting is
arranged at ISRO Satellite Centre, Bengaluru in order to have a better
understanding of the EoI document with regard to Technical and Commercial
aspects, clarify doubts if any, and other allied technical details. The Vendors
who do not participate in the Pre-EoI Meeting, such Expression of Interest will
not be considered and it will be disqualified.
10.3.18 Predatory Pricing: The Vendor[s] shall specifically take note that “Predatory
Pricing” at the Request for Proposal [RFP] stage will not be accepted and
such Bids not meeting even the basic cost of input i.e., Quoting unreasonably
low Prices to undercut and obtain the Contact are liable to be ignored/rejected,
in order to obtain Quality, Products/Services.
10.3.19 Non Disclosure Agreement: All documents prepared for fabrication,
assembly, integration, test procedures, log books, drawings, schematics and
any other communication, codes revealed during the satellite realization will
be exclusive property of ISAC and vendor shall have no right whatsoever on
them.
10.3.20 Further, the vendor must not quote any of these works in any publications or
to any of their customers without explicit permission from ISAC and adhere to
strict confidentiality.
10.3.21 On behalf of the deployed Manpower/Workforce, Contractor has to sign a
Secrecy/Non-Disclosure Agreement [NDA] in ISAC standard template, which
will be applicable during tenure of the Contract, so that neither through the
deployed Manpower/Workforce nor through the Industry Management, the
Secrecy/NDA clause is violated. Contractor who will provide Service has to
conclude a Bond between Contractor and his Workforce identified for
Spacecraft Harness Realization.
10.3.22 Model-1 related Special Clauses:
10.3.22.1 Maximum FIM worth of 2.5 Crores shall be sent to Vendor at any point of
time during the Contract tenure, provided Vendor has submitted Bank
Guarantee or equivalent Insurance for 2.5 Crores before releasing Work
order.
10.3.22.2 FIM sent for particular Project shall be used for same project unless and
until there is a shortage of material. In such scenarios, FIM sent for
other projects may be used after ISAC team clearance. Vendor to
maintain proper material tracking record with traceability for each item
used for Spacecraft Harness fabrication. Vendor team to provide
communication/approved supporting documents for Material usage by
sharing from other Satellite Harness materials sent to the same Vendor.
10.3.22.3 Cost of any other support accessories & material sent from ISAC other
than materials from Bonded stores, will be decided by ISAC team and
that is final.
10.3.22.4 Vendor shall submit 10% of the order value as Peformance Bank
Guarantee (PBG) and Security Deposit (SD).
10.3.22.5 Vendor shall submit Bank Guarantee or Insurance before releasing the
work order.
10.3.22.6 ISRO will have right to re-audit or ask Vendor to show the tools at any
point during the Contract tenure.
10.3.22.7 Vendor must have Harness Manufacturing Unit in Bangalore limits for
operational convenience.
10.3.22.8 Payment shall be made on pro-rata basis on successful completion of
Spacecraft Panel[s]/Segment[s] Harness equivalent to number of crimp
units and certification by ISAC focal point as per existing ISAC norms.
10.3.22.9 ISAC certified tools, accessories and Test systems shall be made

10.3.23 Model-2 related Special Clauses:
10.3.23.1 Vendor shall provide support for nominal work load ISAC, 48hrs/week.
10.3.23.2 Appr. 800 Test Aid units/month is envisaged with activities as mentioned
in Table-6a.
10.3.23.3 Vendor must have Regional/Branch/Main office in Bangalore limits for
operational convenience.
10.3.23.4 In case of Model-2, Vendor team shall provide certified tools and
accessories for Spacecraft Harness realization, but these tools are

The vendor has to provide the information as per the formats as prescribed in chapter
8 Response Format. The overall compliance matrix as per section 8.8 should also be
submitted as per of the EOI proposal. All these inputs may be furnished in MS word
document neatly typed in the said formats.
