MEMORANDUM OF CONFORMITY ON COMMERCIAL TERMS

B. Monthly Rent: TWENTY THOUSAND PESOS (Php 20, 000) NET OF TAXES Monthly rent includes
any and all costs for succeeding additional installations and upgrading of telecom equipment and
appurtenances.

F. Right of Way: LESSOR shall provide LESSEE with Right of Way, FREE OF CHARGE, for the LESSEE’s
telecommunication activities including but not limited to (i) the installation of electric poles, poles, wires,
conduits, risers, catwalk, ladder, and cables (e.g. copper, fiber optic); (ii) ingress and egress for personnel,
mode of transportation (e.g. motor vehicles, animal-drawn vehicles) and other effects and equipment to the
Leased Premises as may be deemed necessary by LESSEE for the construction, installation, maintenance
and operation of LESSEE’s telecommunication cell site and facilities on the Leased Premises.

G. Access to Leased Premises: LESSOR shall allow LESSEE, its authorized representatives and sub-
contractors 24/7 access on the Leased Premises upon prior notice to the LESSOR as well as access to
other telecommunication equipment, in connection with LESSEE’s installation, operation or maintenance
thereof.

H. Costs for Utility: LESSEE shall bear costs for utility in connection with the Use of the Leased Premises.

I. Subject to finalization and execution of a Contract of Lease and acquisition of all clearances,
licenses and permits necessary for construction

J. Demolition of existing structure, if any, shall be shouldered by the LESSOR.

K. Installation of Genset at no additional cost to LESSEE

L. Cutting of trees on site or access to site and related expenses (e.g. permits, labor), if any, shall be FREE
OF CHARGE.

M. Others : 4.5% escalation rate starting on the 4th year and every year thereafter

Note: This Memorandum of Conformity on Commercial Terms (MOC) is intended to serve only as an expression of the parties’ intent and not
as a binding obligation to consummate the contemplated transactions. Any such obligation will be created only by the execution and
delivery of definitive agreements (e.g. Contract of Lease), the provisions of which will supersede this MOC and all other understanding
between the parties. Any alterations or erasures without the countersignatures of Head-SAQ and Head-WAI will invalidate this MOC.
