MEMORANDUM OF AGREEMENT

THIS MEMORANDUM OF AGREEMENT is made this 16th day of June 2016 between
CHIFY NIGERIA LIMITED, a company incorporated under the Laws of the Federal
Republic of Nigeria with its registered offices at Plot 216 Trans- Amadi Industrial Layout,
Port Harcourt, Rivers State (herein referred to as uCHIFY" which expression shall where
the context so admits include its successors -in -title and assigns) of the one part.

AND

MOJUST GLOBAL RESOURCES LIMITED (MGRL) , a company incorporated under the

Laws of Nigeria with its registered offices at NO 10 Hon . Gideon Street, off Peter Odili
Road . Trans Amadi, Port Harcourt (Herein after referred to as "MOJUST," where
expression shall be the context so admits include its successors-in-title and assigns) of
the other part.

This agreement is for the purpose of executing contract for Fabrication, Construction
and Installation services.

WHEREAS:

I. CHIFY NIGERIA LIMITED is a limited liability oil Servicing Company duly

incorporated under the laws of the Federal Republic of Nigeria.RC-11S744

II. MOJUST GLOBAL RESOURCES LIMITED is a company incorporated under

the laws of the Federal Republic of Nigeria. RC-808075

III. CHIFY NIGERIA LIMITED has the necessary technical and financial standing to
enter into a memorandum of agreement with MOJUST GLOBAL RESOURCES
LIMITED under the terms and condition acceptable to both parties.

IV. MOJUST GLOBAL RESOURCES LIMITED has technical expertise and

Equipment for the purpose of providing the requisite class room module of
training services .
v. In furtherance of the parties intention and subject to the final terms and
conditions of this MEMORANDUM OF AGREEMENT being entered into, it is
hereby agreed in principles as follows:

1. It is understood that MOJUST GLOBAL RESOURCES LIMITED shall .

provide but not limited to the following: technical expertise, training modules
and resources for Nigerian Content personnel etc. In the proVision of
Fabrication, Construction and Installation services

2. The scope of the work for the services anticipated under this agreement shall
include without limiting:
a. Technical Expertise & Resource Person for the training
b. Training modules/Equipment'srrutorials
c. Training Class room/environment

3. CHIFY NIGERIA LIMITED shall take responsibility for the overall Project
Management of all projects covered by this agreement.

4. CHIFY NIGERIA LIMITED undertakes that it is a company duly incorporated ,

validly existing and in good standing under Laws of the Federal Republic of
Nigeria and has all necessary corporate powers to enter into a
MEMORANDUM OF AGREEMENT and carry on business contemplated
hereof.

5. CHIFY NIGERIA LIMITED undertakes that it has the ability and capability to
provide all necessary technical and operational support for the conduct of the
operations completed herein.

6. The Parties agree that the terms of this MEMORANDUM OF AGREEMENT

and any information divulged or received in the course of negotiations is
confidential and shall not be disclosed to any other person, firm , corporation
or entity without the prior written consent of the parties.

7. It is further understood that this MEMORANDUM OF AGREEMENT remains

valid and in force until both parties conclude and execute this project.
 8. The pnrties agreed that at project implementation stage a new MOU shall be
signed to address modalities of operations regarding OGTAN approve

9. MOJUST GLOBAL RESOURCES L1MITEDaccepts to indemnify CHIFY

NIGERJA LTO. of all liabilities in this regard.
