This pertains to the engagement of your company of the services of our office as your
company retainer, both for legal and accounting services, in _____________. For future
reference and guidance to both of us, (your company, hereafter referred to as the “client”; and
our office, hereafter referred to as the retained counsel) hereunder are our terms and
conditions:

a) As retained counsel, we may be required to perform all services in the nature of

consultations, advices, and drafting of documents, appearances in Court, Quasi-
Judicial and administrative body, rendering of legal opinions, representation in
official communications and negotiations, and like services, and in general, to
perform such other work for the client where knowledge of law is required.
b) As retainer for accounting and bookkeeping services, we may be required to
perform the services of maintaining your books of accounts, prepare remittances of
taxes, permits and licenses to BIR and other government agencies, and the
necessary documentary requirements to different offices and agencies.
c) No Court case may be initiated without the client’s consent.
d) Transportation expenses
e) Out of pocket expenses like filing fees, Sheriff fees, summons fees, etc. of small
amount not exceeding P500.00 maybe advanced by us without prior consultation
with you but each disbursement will be supported by receipt when being claimed for
reimbursement.
f) Out of town representation for the client and all expenses thereto shall be borne by
client.
g) The rules of the profession prevent us or any of our associates to represent you in
cases where the adverse party is also our client or related to us or our associate. In
such case, you shall accordingly be informed to give you ample opportunity to refer
the matter to another counsel. The following are our retained clients:

h) Our retainership shall have no fixed and definite period but either one of us is free
to terminate the contract anytime provided notice in advance of at least thirty (30)
days is given the other party.
i) The retainership between us shall include the availment of the services of the two
(2) associates of our office.

quasi-judicial bodies which will beP3,000.00 per appearance for courts and quasi-
judicial bodies in ____________________;
l) The retainer’s fee for accounting services shall not include fees for the preparation
of annual audited financial statements and processing of annual business permits;
m) Finally, attorney’s fees for cases reaching the court and quasi-judicial bodies shall be
charged on a case by case basis depending on the issues involved and nature of the
case, you will be informed accordingly by our office.
