CONTRACT OF SALE OF FUTURE FRUITS

KNOW ALL MEN BY THESE PRESENTS:

This Instrument, executed by and between:

JOSEFINA R. DIZON, of legal age, Filipino, married and with

residence and postal address at P-3, Delta, Concepcion
Grande, Naga City (hereinafter collectively referred to as the
"VENDOR");

- and -

VICENTE J. OBIAS, of legal age, Filipino, married, with

residence and postal address at San Juan, San Jose,
Camarines Sur, (hereinafter referred to as the "VENDEE");

WITNESSETH: that -

WHEREAS, the VENDOR is the absolute and registered owner of a parcel of land,
designated as Lot No. 3708-P, covered by ARP No: R-97-16018-01495 with an area of
more or less 59,876 SQUARE METERS (sq.m) located at Barangay Napawon, Goa,
Camarines Sur;

WHEREAS, the VENDOR desires to sell and the VENDEE agrees to buy the future
fruits or POSTOR of the aforementioned property specifically those of the CALAMANSI
fruit trees located in the lemon farm ,which is a portion of the property of the VENDOR,
during the duration of the contract;

NOW, THEREFORE, for and in consideration of the foregoing premises and the
stipulations and covenants hereinafter provided, the VENDOR does hereby agree to SELL,
TRANSFER and CONVEY, absolutely and unconditionally free from all liens and
encumbrances, or POSTOR the future fruits of the CALAMANSI trees, unto the VENDEE,
his heir, successors and assigns, in consideration of the sum of THREE HUNDRED
FIFTY THOUSAND PESOS (PHP350,000.00), the payment of which shall be made
upon signing of the contract. The following conditions shall be followed during the
existence of this contract:

1. The period of the contract shall be for FOUR (4) years from the signing thereof,
unless otherwise terminated/rescinded by either or both parties;

2. That the subject property is non-tenanted and the VENDEE is not the tenant of
the VENDOR;
 3. The VENDEE shall be the one who will provide for the maintenance, which shall
include but not limited to weeding/clearing, pruning and application of organic
fertilizers and spraying, of the Calamansi fruit trees and such other needs for the
preservation of the latter and for the proper harvest of the future fruits;

4. The VENDEE shall at all times exercise the diligence of a good father of a family in
dealing with the property and the subject fruits thereof to prevent damages;

5. Should any of the parties fail to strictly comply with any of their obligations
contained herein, the offended party shall have the option of either rescinding this
Contract of Sale and demand the return of any payments made or advanced, as
the case may be, or require the strict performance by the guilty party of his/her
obligations contained herein.;

5. The VENDOR hereby undertakes that she, her heirs and her assigns shall warrant
and defend the rights to the subject fruits of this Contract against all just claims
of all persons or entities;

6. This Agreement shall be valid and binding not only on the parties represented
herein but also on their heirs, agents, representatives, successors and assigns.
