DEFINITION AND INTERPRETATION

Contract Period refers subject to earlier termination in harmony with its terms or by operation of law the duration of the Contract,
starting on the Commencement Date, as set out in the Order and/or the Specification or if the Order and/or the Specification does
not set out such a duration, the period from the date of the Order until the (side B) terminates by giving not less than ____ month's
notice in writing to the (side A).

PERFORMANCE OF SERVICES
If at whichever time the (side A) becomes aware of whichever act or omission or whichever proposed act or omission by the (side B)
or whichever Beneficiary or by whichever member, official or employee of the (side B) or whichever Beneficiary which prevents or
hinders or may prevent or hinder the (side A) from providing the Services in harmony with the Contract then the (side A) shall
immediately inform the Authorized Officer of that fact. For the avoidance of doubt, the (side A)s compliance with this Clause is not
in whichever way relieve the (side A) of whichever of its obligations under the Contract.

PERFORMANCE MEASUREMENT
For each Service, the (side B) or whichever Beneficiary shall ascertain whether the (side A)'s provision of the Service in question
meets whichever performance criteria as specified in the Specification or, if the criteria are not so specified, meets the standards of
a professional provider of the Services. On or before the fifteenth working day of each calendar month during the Contract Period
and within 14 days after termination of the Contract, the (side B) or whichever Beneficiary may.
CONTRACT PRICE AND PAYMENTS
The (side A) will keep accurate books and records in relation to the provision of the Services in harmony with sound and prudent
financial management. All such books and records shall be made available to the (side B) at regular intervals of not less than
quarterly.

EMPLOYEES
In relation to the Services, the (side A) will employ only such persons as are careful, skilled and experienced in the duties needed of
them, and will guarantee that every such person is properly and sufficiently trained and instructed at the (side A)'s expense) and
carries out the Services.

CONTROL AND SUPERVISION OF STAFF

The (side A) shall forthwith give notice in writing to the Authorized Officer of the identity of the person appointed as Contract
Manager and of whichever subsequent appointment. Until notice of a subsequent appointment shall have been given the (side B)
and whichever Beneficiary shall be entitled to treat as Contract Manager the person last notified to the Authorized Officer as being
the Contract Manager.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
