(side B) _____________ (Authority), _____________. The two concern sides have completely read, fully understand and hereto
agree as follows:

DEFINITION AND INTERPRETATION

Good Industry Practice refers the exercise of that degree of skill, diligence and foresight which would reasonably and ordinarily be
expected from a skilled and experienced service provider engaged in the provision of services similar to the Services under the
same or similar circumstances as those applicable to the Contract and which are in harmony with whichever codes of practice
published by relevant Deal associations.

PERFORMANCE OF SERVICES
In the event of the (side A) being unable to maintain the Services to the Contract Standard, the (side A) shall with no prejudice to the
remedies of the (side B) and whichever Beneficiary permit the Authorized Officer and his staff, to have access to and unrestricted
use of such machinery, equipment and materials which being the property of the (side A) deemed necessary to maintain the
Services by the Authorized Officer during industrial action, or whichever other such occurrence, with no additional charge.

PERFORMANCE MEASUREMENT
If needed by the (side B) or whichever Beneficiary, the concern sides shall co-operate in sharing information and developing
performance measurement criteria with the object of improving the concern sides efficiency. whichever such agreements shall be
fully recorded in writing by the (side B) or Beneficiary as the case may be.

CONTRACT PRICE AND PAYMENTS

Invoices must show the period to which they relate and the aspects of the Services for which payment is claimed together with the
agreed charging rates and whichever other details the (side B) or the Beneficiary may require. Failure to provide such information
will entitle the (side B) or the Beneficiary to setback payment of the Contract Price until such information is provided.

EMPLOYEES
The (side A) shall procure that the (side B) is kept advised at all times of whichever member of staff who, subsequent to his/her
commencement of employment as a member of staff receives a Conviction or whose previous Convictions become known to the
(side B).

CONTROL AND SUPERVISION OF STAFF

The (side A) shall guarantee that his staff carry out their duties and behave while on the (side B)s or whichever Beneficiarys
premises in an orderly manner and in as quiet a manner as may reasonably be practicable having regard to the nature of the duties
being performed by them. The (side A)s staff is not cause whichever unreasonable.

HEALTH AND SAFETY

The (side A)s staff shall be trained to recognize situations which involve an actual or potential hazard.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
