1.0Scope of Work. : Mechanical Design, Preparation of General Arrangement &

Fabrication Drawings, Procurement Of Raw Materials With Test Certificates,
Fabrication, Internal Stage wise Inspection, Procurement All material.

Pls. Note.:Any Clause not agreed upon in discussion Or in Minutes or Meeting during Finalization
shall not be Valid. Any Condition for Other Matters relating to this Offer not Expressly Stipulated will
be matter of mutual discussion and agreement at the time of accepting the Order. If the Order is
Placed on us than, all the terms & Condition of sale stand automatically accepted by the Client.

TERMS & CONDITIONS

2.0 Delivery Period :

Supply (Ex. Works) : 120 to 150 Daysafter Receipt of Your Confirmed Techno - Commercially
Clear Order & Advance.

3.0 Payment Terms

Advance : 45% of the order value along with the purchase order, .

With work progress : 35% of the order value with work progress.

Against Delivery : 15 % of the Basic Price along with all taxes levied against
Performa Invoice prior to dispatch but only after final inspection &
clearance from our end at our Factory.

Balance remaining : 5 % Against successful completion of erection at your site

4.0 Price : Prices are Ex-Works /Site , Loading at Our Site / Factory shall be in our scope
of supply, Taxes are extra at actual as indicated in our Annex "B ".

5.0 Transit Insurance : Transit Insurance shall be in your Scope.

6.0 Transportation : Transportation of the Equipments shall be in your Scope

7.0 Spares :Included in our quoted Prices. Required Compressor in your Scope.

8.0 Inspection
* Internal Inspection : Stage Wise Internal Inspection shall be in our Scope.

* Party Inspection : We welcome you to inspects the job during manufacturing but
Must be inspection before Dispatch.

9.0Order Cancellation :
Since the Equipments & Components are Tailor made to Customer'sspecific needs. We cannot Accept Deletion of
Equipment / Cancellation of the Order. Incase an Equipment or it's Component or the order in part or full is cancelled /
deleted or removed from our scope the customer has to Reimburse 70% of the Basic cost of the Equipment or the
Component, this is because the same cannot be utilised& has to be treated as scrap only. The Balanced 30% is
Considered as Realizable as Scrap. The customer has choice to Lift the Equipment at the 100% Value & Salvage at his
end .

10.0Note.:=
During Erection& Installation of Plant &Machinary at your site Hydra,
Labours Residence, Required Power & Equipments supplied by you. The expenses provide by you at your site for
above mentioned work is not included in our quoted prices it is in your scope.

11.0 Statutory / Regulatory Requirement :

Any Statutory / Regulatory requirement If Applicable to be in Clients

Scope

12.0 Equipment Warranty :

Our Equipment shall be guaranteed for faulty materials & workmanship
for a period of 12 months from Supply.

13.0 Force Majeure :

Force Majeure Clause which includes Unforeseen Events due to Natural
Calamities, War etc. which is beyond the Management Control, any
Delays due to the above happenings shall be within Acceptable norms of
the Situation.

14.0 Foundation & Civil Works :

Shed Fabrication, Machinery Foundation & Civil Works is in Client's Scope.

All Drawing Provided By us.

15.0 Jurisdiction :All Contracts Between the Client &AADEETYA PROJECTS INDIA PVT.LTD.
Shall be Deemed to be entered THANE, India &
therefore Subject to the Jurisdiction of Courts at Thane, India.

16.0 Validity : 30 Days from the date of offer and thereafter subject to our Confirmation.

17.0 Above quoted price is firm and in Indian Rupees for the scope of works as per CL. NO. 1 of this
specification. However, any change in the Technical Specification shall affect financial implication
