After initial consideration, we are open and willing to Service/Manage the specific needs of Client, as
those needs are currently known by us, Including but not limited to any additional or intrinsic needs
currently Unknown to us. We accept the basic aspects and terms of the offer as it is Known to us, and
we will henceforth deliver our Rates, Terms and Policy In exercising and fulfilling the needs of client.

For clarity, we will itemize those needs on the basis of our understanding:

1). To Remit Assets from Current account holdings to the Destination

2). To make conversions of currency
3). To Act as Fiscal Agent in all related transactions and process
4). To provide structure where necessary to meet these end

Further, it would be advantageous to announce and define our placement And involvement in regards
to these needs and future handling. We have a special Business Structure for these kinds of
Matters. This particular organization in regards to client, would act as Fiscal Agent, as the sole or
primary capacity.

This would, of course, include and involve formal yet discreet documentation And express consent to
act in said capacity, allowing this organization The following abilities. To have and exercise
cognizance over the handling, disbursement, disposal, appropriation transfer and conversion
(Hereinafter "Fiscal Management") regarding: Account(s), Funds, Representative Values, Moneys,
Financial items, interests, and/or their equivalent (Hereinafter "Assets"), and over, where applicable,
Related companies, institutions and the development of the same (Hereinafter Corporate
Designations") for the fulfillment of responsible Fiscal Management, quality protections of Assets And
equitable remittance of Assets to accounting Destination ("Venezuela").

In addition, we will provide the appropriate measures, Special purpose Vehicles for financial and/or
legal process, and the Proprietary technologies and assistance, In a Private and Discreet manner, but in
accordance with governing or applicable laws.

As a further aspect of Corporate Designations, we will engage and cooperate where directed
And where reasonable, with Client's possible partners, contacts, affiliates, agents
And corporate structures and holdings, to ensure practical solutions.

Our objectives of Fiscal Management will be to segment Assets In distinct deliveries, under contract
with proprietary technologies To ensure delivery to recipient within Venezuela.
The probability exists where we, as Fiscal Agent,

May need to create entities under the ownership and/or control of Client Between United States and
Venezuela, facilitating discreet transfer of assets. This E-mail should constitute effective description
for the time being, As an introductory to this company. We acknowledge that more Information may or
will be elaborated in regards to these contents Within the near future.

The Rates, Terms and Policy, will henceforth be disclosed in Consecutive Email(s) and other
communications. Specifically, Rates and Terms can be further elaborated and negotiated To a
professional extent at any point before ratification of agreement.

In conclusion, we mean to infer the provisions of any or all safeguards, Secure business practices and
cognizance for fair and equitable Benefit of Client.
