Este
Contrato
de
servicios
(Contrato)
constituye
un
contrato
legal
entre
una
empresa
independiente
en
la
actividad
comercial
de
prestar
servicios
de
transporte
(Cliente)
y
Uber
B.V.,
una
sociedad
de
responsabilidad
limitada
constituida
en
los
Pases
Bajos,
con
sede
en
Vijzelstraat
68-78,
4th
floor,
1017
HL,
Amsterdam,
The
Netherlands,
registrada
en
la
Cmara
de
Comercio
de
msterdam
con
el
nmero
de
registro
56317441
(Uber).
Uber
ofrece
los
Servicios
Uber
(segn
se
define
a
continuacin)
con
el
fin
de
proporcionar
los
ltimos
avances
a
los
proveedores
de
servicios
de
transporte.
Los
Servicios
Uber
permiten
el
transporte
autorizado
para
localizar,
recibir
y
dar
cumplimiento
a
peticiones
de
servicios
de
transporte
por
parte
de
un
usuario
autorizado
de
la
aplicacin
mvil
de
Uber.
El
Cliente
est
autorizado
a
ofrecer
servicios
de
transporte
en
el(los)
estado(s)
y
jurisdiccin
o
jurisdicciones
en
los
que
opera,
y
desea
celebrar
este
Contrato
con
la
finalidad
de
acceder
y
utilizar
los
Servicios
Uber
para
mejorar
su
actividad
comercial
de
transportes.
El
Cliente
reconoce
y
acepta
que
Uber
es
un
proveedor
de
servicios
de
tecnologa
que
no
ofrece
servicios
de
transporte,
no
funciona
como
transportista,
ni
opera
como
agente
para
el
transporte
de
viajeros.
Para
utilizar
los
Servicios
Uber,
el
Cliente
debe
aceptar
los
trminos
y
condiciones
establecidos
a
continuacin.
Con
la
ejecucin
del
Cliente
(electrnica
o
de
otro
modo)
del
presente
Contrato,
el
Cliente
y
Uber
estarn
vinculados
por
los
trminos
y
condiciones
establecidos
en
el
presente
documento.
1. Definiciones
1.1. Afiliado
significa
una
entidad
que,
directa
o
indirectamente,
controla,
se
encuentra
bajo
el
control
o
control
conjunto
con
una
parte,
donde
control
significa
disponer
de
una
participacin
mayor
que
el
cincuenta
por
ciento
(50
%)
de
las
acciones
con
derecho
a
voto
u
otros
derechos
de
titularidad,
la
mayora
de
los
derechos
de
voto
de
dicha
entidad,
la
capacidad
de
dicha
entidad
para
asegurarse
de
que
las
actividades
y
las
actividades
comerciales
de
dicho
Afiliado
se
lleven
a
cabo
conforme
a
los
deseos
de
dicha
entidad
o
el
derecho
a
obtener
la
mayora
de
los
ingresos
de
dicho
Afiliado
sobre
cualquier
distribucin
realizada
por
ese
Afiliado
de
todos
sus
ingresos
o
de
la
mayora
de
sus
activos
en
un
proceso
de
liquidacin
de
la
empresa.
1.2. Anexo
municipal
significa
un
anexo
o
informacin
complementaria
al
presente
Contrato
que
establece
unas
condiciones
adicionales
especficas
del
Territorio,
segn
proceda,
as
como
sus
actualizaciones
por
Uber
de
cuando
en
cuando.
1.3. Dispositivo
significa
el
Dispositivo
Uber
o
el
Dispositivo
proporcionado
al
conductor,
segn
sea
el
caso.
1.4. Conductor
significa
director,
empleado
o
contratista
del
Cliente:
(a)
que
cumple
los
requisitos
de
Uber
actuales
en
ese
momento
para
ser
un
conductor
activo
mediante
los
Servicios
Uber;
(b)
a
quien
Uber
autoriza
el
acceso
a
los
Servicios
Uber
a
fin
de
proporcionar
Servicios
de
transporte
en
nombre
del
Cliente;
y
(c)
quien
ha
celebrado
al
Anexo
del
conductor.
1.5. Anexo
del
conductor
significa
los
trminos
y
condiciones
que
el
Cliente
debe
celebrar
con
el
Conductor
antes
de
que
dicho
Conductor
ofrezca
Servicios
de
transporte
en
nombre
del
Cliente
(teniendo
en
cuenta
las
actualizaciones
de
Uber
de
cuando
en
cuando).
1.6. Driver
App
significa
la
aplicacin
mvil
de
Uber
que
permite
a
los
proveedores
de
transporte
el
acceso
a
los
Servicios
Uber
con
el
fin
de
localizar,
recibir
y
dar
cumplimiento
a
las
peticiones
sobre
demanda
de
servicios
de
transporte
por
parte
de
los
Usuarios,
teniendo
en
cuenta
las
actualizaciones
o
modificaciones
realizadas
por
Uber
a
su
discrecin
de
cuando
en
cuando.
1.7. ID
del
conductor
significa
la
clave
de
identificacin
y
contrasea
asignada
por
Uber
a
un
Conductor
que
permite
a
un
Conductor
utilizar
y
acceder
a
la
Driver
App.
1.8. Dispositivo
proporcionado
al
conductor
significa
un
dispositivo
mvil
de
propiedad
o
controlado
por
el
Cliente
o
Conductor:
(a)
que
cumple
las
especificaciones
de
Uber
actuales
en
ese
momento
para
dispositivos
mviles
segn
lo
establecido
en
www.uber.com/byod-devices;
y
(b)
sobre
las
que
la
Driver
App
se
ha
instalado
conforme
a
la
autorizacin
exclusiva
de
Uber
con
el
nico
fin
de
ofrecer
Servicios
de
transporte.
1.9. Tarifa
tiene
el
significado
establecido
en
el
Apartado
4.1.
1.10. Tasa
de
servicio
tiene
el
significado
establecido
en
el
Apartado
4.4.
1.11. Servicios
de
taxi
tiene
el
significado
establecido
en
el
Apartado
3.1.
1.12. Territorio
significa
la
zona
urbana
o
metropolitana
fuera
de
los
Estados
Unidos
y
China
continental
en
la
que
el
Cliente
y
sus
Conductores
estn
autorizados
por
la
Driver
App
a
recibir
peticiones
de
Servicios
de
transporte.
1.13. Peajes
significa
cualquier
tasa
y
peaje
de
carretera,
puente,
ferry,
tnel
y
aeropuerto,
incluidas
las
tasas
por
congestin
del
casco
urbano,
tasas
medioambientales
o
tasas
similares
segn
lo
determinen
razonablemente
los
Servicios
Uber
basndose
en
la
informacin
disponible.
1.14. Servicios
de
transporte
significa
la
provisin
de
servicios
de
transporte
de
pasajeros
a
Usuarios
a
travs
de
los
Servicios
Uber
en
el
Territorio
por
el
Cliente
y
sus
Conductores
utilizando
los
Vehculos.
1.15. Datos
de
Uber
significa
todos
los
datos
relacionados
con
el
acceso
y
el
uso
de
los
Servicios
Uber
aqu
establecidos,
incluidos
todos
los
datos
relacionados
con
los
Usuarios
(incluida
la
Informacin
de
usuario),
todos
los
datos
relacionados
con
la
provisin
de
Servicios
de
transporte
a
travs
de
los
Servicios
Uber
y
la
Driver
App,
adems
de
la
ID
del
conductor.
1.16. Dispositivo
Uber
significa
un
dispositivo
mvil
propiedad
de
Uber
o
controlado
por
ella
que
haya
sido
proporcionado
al
Cliente
o
al
Conductor
con
el
nico
propsito
de
que
dicho
Conductor
utilice
la
Driver
App
a
fin
de
proporcionar
Servicios
de
transporte
y
para
ningn
otro
fin
distinto
a
este.
1.17. Servicios
Uber
significa
los
servicios
electrnicos
de
Uber
prestados
a
travs
de
una
plataforma
de
tecnologa
digital,
siendo
intermediario
sobre
demanda
y
los
servicios
relacionados
que
permiten
a
los
proveedores
de
transporte
localizar,
recibir
y
dar
cumplimiento
a
las
peticiones
sobre
demanda
de
servicios
de
transporte
por
parte
de
los
Usuarios
que
buscan
servicios
de
transporte;
dichos
Servicios
Uber
incluyen
el
acceso
a
la
Driver
App
y
al
software
relacionado
de
Uber,
pginas
web,
servicios
de
pago
conforme
a
lo
descrito
en
el
Apartado
4
a
continuacin,
as
como
a
los
servicios
de
apoyo
relacionados
y
sus
actualizaciones
o
modificaciones
por
Uber
a
su
exclusiva
discrecin
de
cuando
en
cuando.
1.18. Usuario
significa
el
usuario
final
autorizado
por
Uber
para
utilizar
la
aplicacin
mvil
de
Uber
a
fin
de
obtener
Servicios
de
transporte
ofrecidos
por
los
clientes
del
proveedor
de
transporte
de
Uber.
1.19. Informacin
de
usuario
significa
informacin
sobre
un
Usuario
puesta
a
disposicin
del
Cliente
o
de
un
Conductor
en
relacin
con
la
peticin
de
dicho
Usuario
y
para
el
uso
de
los
Servicios
de
transporte,
que
puede
incluir
el
nombre
del
Usuario,
la
ubicacin
de
recogida,
la
informacin
de
contacto
y
una
fotografa.
1.20. Vehculo
significa
cualquier
vehculo
del
Cliente
que:
(a)
cumple
los
requisitos
de
Uber
actuales
en
ese
momento
para
un
vehculo
en
los
Servicios
Uber;
y
(b)
que
Uber
autoriza
para
el
uso
por
un
Conductor
con
el
fin
de
proporcionar
Servicios
de
transporte
en
nombre
del
Cliente.
2. Uso
de
los
Servicios
Uber
2.1. ID
del
Conductor.
Uber
enviar
al
Cliente
una
ID
del
conductor
para
cada
Conductor
que
ofrece
Servicios
de
transporte
para
permitir
al
Cliente
y
a
cada
Conductor
acceder
a
la
Driver
App
y
utilizarla
en
un
Dispositivo
conforme
al
Anexo
del
conductor
y
al
presente
Contrato.
El
cliente
acepta
que
se
asegurar
de
que
sus
Conductores
mantendrn
las
ID
del
conductor
en
confidencialidad
y
no
las
compartirn
con
ningn
tercero
distinto
del
Conductor
asociado
a
dicha
ID
del
conductor
con
el
propsito
de
proporcionar
Servicios
de
transporte.
El
Cliente
notificar
inmediatamente
a
Uber
de
cualquier
incumplimiento
o
sospecha
de
incumplimiento
o
uso
o
revelacin
de
una
ID
del
conductor
o
de
la
Driver
App.
2.2. Provisin
de
Servicios
de
transporte.
Cuando
la
Driver
App
est
activada,
las
peticiones
de
Servicios
de
transporte
por
el
Usuario
pueden
mostrarse
a
un
Conductor
a
travs
de
la
Driver
App
si
el
Conductor
est
disponible
y
cerca
del
Usuario.
Si
un
Conductor
acepta
la
peticin
de
Servicios
de
transporte
de
un
Usuario,
los
Servicios
Uber
proporcionarn
determinada
Informacin
de
usuario
a
dicho
Conductor
a
travs
de
la
Driver
App,
incluido
el
nombre
de
pila
del
Usuario
y
la
ubicacin
de
recogida.
Para
aumentar
la
satisfaccin
del
Usuario
con
la
aplicacin
mvil
de
Uber
y
los
Servicios
de
transporte
del
Cliente
y
del
Conductor
o
Conductores,
se
recomienda
que
el
Conductor
espere
al
menos
diez
(10)
minutos
para
que
un
Usuario
se
presente
en
la
ubicacin
de
recogida
solicitada.
El
Conductor
obtendr
el
destino
del
Usuario,
ya
sea
en
persona
en
el
momento
de
la
recogida
o
desde
la
Driver
App
si
el
Usuario
opta
por
introducir
dicho
destino
a
travs
de
la
aplicacin
mvil
de
Uber.
El
Cliente
reconoce
y
acepta
que
una
vez
un
Conductor
ha
aceptado
la
peticin
de
Servicios
de
transporte
del
Usuario,
la
aplicacin
mvil
de
Uber
puede
proporcionar
determinada
informacin
sobre
el
Conductor
al
Usuario,
incluido
el
nombre
de
pila
del
Conductor,
informacin
de
contacto,
nombre
de
la
entidad
del
Cliente,
fotografa
y
ubicacin,
y
la
marca
y
nmero
de
matrcula
del
Vehculo
del
conductor.
El
Cliente
no
deber
ponerse
en
contacto
con
ningn
Usuario
ni
utilizar
la
informacin
personal
del
Usuario
para
un
propsito
distinto
de
la
prestacin
de
los
Servicios
de
transporte
y
se
asegurar
de
que
los
Conductores
cumplan
esta
norma.
En
cuanto
al
acuerdo
celebrado
entre
Uber
y
el
Cliente,
el
Cliente
reconoce
y
acepta
que:
(a)
el
Cliente
y
sus
Conductores
son
los
nicos
responsables
de
determinar
la
forma
ms
eficaz,
eficiente
y
segura
de
llevar
a
cabo
cada
Servicio
de
transporte;
y
(b)
excepto
en
cuanto
a
los
Servicios
Uber
o
cualquier
Dispositivo
Uber
(si
procede),
el
Cliente
deber
proporcionar
todo
el
equipamiento
necesario,
herramientas
y
otros
materiales,
asumiendo
los
gastos
correspondientes,
conforme
precise
para
prestar
los
Servicios
de
transporte.
2.3. Relacin
del
Cliente
con
los
Usuarios.
El
Cliente
reconoce
y
acepta
que
la
prestacin
de
Servicios
de
transporte
por
el
Cliente
a
los
Usuarios
crea
una
relacin
comercial
legal
y
directa
entre
el
Cliente
y
el
Usuario,
con
respecto
a
la
que
Uber
no
forma
parte
alguna.
Uber
no
se
hace
responsable
de
ningn
acto
u
omisin
de
un
Usuario
en
relacin
con
las
actividades
del
Cliente,
de
un
Conductor
o
de
ningn
Vehculo.
Los
clientes
asumirn
responsabilidad
exclusiva
por
cualquier
obligacin
o
responsabilidad
ante
los
Usuarios
o
terceras
partes
que
puedan
surgir
de
su
prestacin
de
Servicios
de
transporte.
El
Cliente
reconoce
y
acepta
que
l
y
cada
Conductor
son
los
nicos
responsables
de
tomar
dichas
precauciones
segn
sea
razonable
y
adecuado
(incluida
la
contratacin
y
mantenimiento
de
un
seguro
adecuado
que
cumpla
los
requisitos
de
toda
la
legislacin
aplicable)
en
relacin
con
cualquier
acto
u
omisin
de
un
Usuario
o
cualquier
tercero.
El
Cliente
reconoce
y
acepta
que
Uber
podr
proporcionar
la
informacin
de
contacto
y/o
la
informacin
de
seguros
del
Cliente
y/o
del
Conductor
a
un
Usuario
a
peticin
razonable
del
mismo.
El
Cliente
reconoce
y
acepta
que,
a
menos
que
un
Usuario
lo
acepte
expresamente,
ni
un
Cliente
ni
un
Conductor
pueden
transportar
o
admitir
a
un
Vehculo
a
ninguna
persona
distinta
del
Usuario
o
cualquier
persona
autorizada
por
dicho
Usuario
durante
la
prestacin
de
los
Servicios
de
transporte
para
dicho
Usuario.
El
Cliente
reconoce
y
acepta
que
todos
los
Usuarios
debern
ser
transportados
directamente
a
su
destino
especfico,
segn
establezca
el
Usuario
correspondiente,
sin
interrupciones
ni
paradas
no
autorizadas.
2.4. Relacin
del
Cliente
con
Uber.
El
Cliente
reconoce
y
acepta
que
la
provisin
de
la
Driver
App
y
los
Servicios
Uber
al
Cliente
por
Uber
crea
una
relacin
comercial
legal
y
directa
entre
Uber
y
el
Cliente.
Uber
no
dirige
ni
dirigir
ni
controlar
al
Cliente
o
a
sus
Conductores
de
forma
general
ni
se
considerar
que
deba
hacerlo
para
la
prestacin
de
sus
servicios
con
arreglo
a
este
Contrato,
incluido
en
relacin
con
el
desempeo
de
la
actividad
comercial
del
Cliente,
la
prestacin
de
Servicios
de
transporte,
los
actos
u
omisiones
de
los
Conductores
o
el
uso
y
mantenimiento
de
cualquier
Vehculo.
Los
Clientes
y
sus
Conductores
conservan
el
derecho
exclusivo
de
determinar
cundo
y
por
cunto
tiempo
cada
uno
de
ellos
utilizar
la
Driver
App
o
los
Servicios
Uber.
El
Cliente
y
sus
Conductores
se
reservan
la
opcin,
a
travs
de
la
Driver
App,
de
intentar
aceptar
o
rechazar
o
ignorar
la
peticin
de
Servicios
de
transporte
por
un
Usuario
a
travs
de
los
Servicios
Uber
o
cancelar
una
peticin
de
Servicios
de
transporte
aceptada
a
travs
de
la
Driver
App,
con
sujecin
a
las
polticas
de
cancelacin
de
Uber
actuales
en
ese
momento.
El
Cliente
no
har
lo
siguiente,
y
se
asegurar
de
que
sus
Conductores
tampoco
lo
hagan:
(a)
mostrar
los
nombres,
logotipos
o
colores
de
Uber
o
de
cualquiera
de
sus
Afiliados
en
ningn
Vehculo;
ni
(b)
llevar
uniforme
ni
ninguna
otra
prenda
que
muestre
los
nombres,
logotipos
o
colores
de
Uber
o
de
cualquiera
de
sus
Afiliados.
Lo
antedicho
no
es
aplicable
si
el
Cliente
y
Uber
lo
han
convenido
de
otro
modo
o
si
as
lo
exige
la
ley.
El
Cliente
reconoce
y
acepta
que
podr
operar
su
actividad
comercial
independiente
y
dirigir
a
sus
Conductores
a
su
exclusiva
y
total
discrecin,
incluida
la
capacidad
de
prestar
servicios
en
cualquier
momento
a
cualquier
tercero
de
forma
separada
e
independiente
de
los
Servicios
de
transporte.
Para
mayor
claridad,
el
Cliente
entiende
que
el
Cliente
conserva
el
derecho
ntegro
a
prestar
servicios
de
transporte
a
sus
clientes
ya
existentes,
as
como
a
utilizar
otros
servicios
de
aplicacin
de
software
adems
de
los
Servicios
Uber.
Uber
conserva
el
derecho,
en
cualquier
momento
a
exclusiva
discrecin
de
Uber,
a
desactivar
o
restringir
de
otro
modo
el
acceso
o
el
uso
de
la
Driver
App
o
de
los
Servicios
Uber
al
Cliente
o
a
cualquier
Conductor
en
caso
de
incumplimiento
del
presente
Contrato,
un
incumplimiento
del
Anexo
del
conductor,
el
descrdito
por
el
Cliente
o
cualquier
Conductor
de
Uber
o
cualquiera
de
sus
Afiliados,
cualquier
acto
u
omisin
del
Cliente
o
de
cualquier
Conductor
que
cause
daos
a
la
marca,
reputacin
o
actividad
comercial
de
Uber
o
de
sus
Afiliados
segn
determine
Uber
a
su
nica
discrecin.
Uber
se
reserva
asimismo
el
derecho
de
desactivar
o
restringir
de
otro
modo
el
acceso
o
uso
del
Cliente
o
de
cualquier
Conductor
de
la
Driver
App
o
los
Servicios
Uber
por
cualquier
otro
motivo
a
la
nica
y
razonable
discrecin
de
Uber.
2.5. Relacin
del
Cliente
con
los
Conductores.
El
Cliente
asumir
responsabilidad
exclusiva
por
cualquier
obligacin
o
responsabilidad
ante
los
Conductores
que
puedan
surgir
de
su
relacin
con
sus
Conductores
(incluida
la
prestacin
de
Servicios
de
transporte).
El
Cliente
reconoce
y
acepta
que
ejercitar
un
control
exclusivo
sobre
los
Conductores
y
cumplir
la
legislacin
aplicable
(incluidos
los
impuestos,
seguridad
social
y
leyes
de
trabajo)
que
regule
o
sea
aplicable
de
otro
modo
a
su
relacin
con
sus
Conductores.
Sin
perjuicio
del
derecho
del
Cliente,
si
procede,
a
hacer
uso
de
sus
recursos
disponibles
ante
el
Conductor,
el
Cliente
reconoce
y
acepta
que
ser
en
todo
momento
responsable
de
los
actos
y
omisiones
de
sus
Conductores,
Usuarios
directos
y
de
Uber,
incluso
cuando
dicha
responsabilidad
no
sea
obligatoria
conforme
a
la
legislacin
aplicable.
El
Cliente
requerir
a
cada
Conductor
que
suscriba
el
Anexo
del
conductor
(y
sus
actualizaciones
de
cuando
en
cuando)
y
deber
proporcionar
a
Uber
una
copia
de
cada
Anexo
del
conductor
ejecutado.
El
Cliente
reconoce
y
acepta
que
Uber
es
un
tercer
beneficiario
de
cada
Anexo
del
conductor
y
que,
tras
la
ejecucin
del
Conductor
del
Anexo
del
conductor
(electrnicamente
o
de
otro
modo),
Uber
tendr
el
derecho
irrevocable
(y
se
considerar
que
ha
aceptado
el
derecho
a
menos
que
sea
rechazado
de
inmediato
tras
la
recepcin
de
una
copia
del
Anexo
del
conductor
ejecutado)
a
imponer
el
Anexo
del
conductor
al
Conductor
como
tercer
beneficiario
del
mismo.
2.6. Valoraciones.
2.6.1. El
Cliente
reconoce
y
acepta
que:
(a)
despus
de
recibir
los
Servicios
de
transporte,
la
aplicacin
mvil
de
Uber
solicitar
al
Usuario
que
valore
los
Servicios
de
transporte
y
del
Conductor
y,
opcionalmente,
que
escriba
sus
observaciones
u
opinin
sobre
dichos
Servicios
de
transporte
y
Conductor;
y
(b)
despus
de
proporcionar
Servicios
de
transporte,
la
Driver
App
solicitar
que
el
Conductor
proporcione
una
valoracin
del
Usuario
y,
opcionalmente,
que
escriba
sus
observaciones
u
opinin
sobre
el
Usuario.
El
Cliente
deber
indicar
a
todos
los
Conductores
que
proporcionen
sus
valoraciones
y
opinin
de
buena
fe.
2.6.2. El
Cliente
reconoce
que
Uber
desea
que
los
Usuarios
tengan
acceso
a
unos
servicios
de
alta
calidad
a
travs
de
la
aplicacin
mvil
de
Uber.
Para
seguir
teniendo
acceso
a
la
Driver
App
y
los
Servicios
Uber,
cada
Conductor
debe
mantener
una
valoracin
media
por
los
Usuarios
que
exceda
la
valoracin
media
mnima
aceptable
establecida
por
Uber
para
ese
Territorio,
que
podr
ser
actualizada
de
cuando
en
cuando
por
Uber
a
su
exclusiva
discrecin
(Valoracin
media
mnima).
Si
una
valoracin
media
del
Conductor
desciende
por
debajo
de
la
Valoracin
media
mnima,
Uber
se
pondr
en
contacto
con
el
Cliente
para
informarle
al
respecto
y
podr
darle
al
Conductor,
a
discrecin
de
Uber,
un
plazo
lmite
de
tiempo
para
aumentar
su
valoracin
media
por
encima
de
la
Valoracin
media
mnima.
Si
dicho
Conductor
no
aumenta
su
valoracin
media
por
encima
de
la
Valoracin
media
mnima
dentro
del
plazo
establecido

Uber
se
reserva
el
derecho
a
desactivar
el
acceso
de
dicho
Conductor
a
la
Driver
App
y
los
Servicios
Uber.
Adems,
el
Cliente
reconoce
y
acepta
que
el
fallo
repetido
de
un
Conductor
en
aceptar
las
peticiones
del
Usuario
de
Servicios
de
transporte
mientras
dicho
Conductor
est
registrado
en
la
Driver
App
generar
una
experiencia
negativa
para
los
Usuarios
de
la
aplicacin
mvil
de
Uber.
Por
tanto,
el
Cliente
acepta
y
se
asegurar
de
que
si
el
Conductor
no
desea
aceptar
peticiones
de
Usuarios
de
los
Servicios
de
transporte
durante
un
perodo
de
tiempo,
dicho
Conductor
cerrar
sesin
en
la
Driver
App.
2.6.3. Uber
y
sus
Afiliados
se
reservan
el
derecho
a
utilizar,
compartir
y
mostrar
valoraciones
y
comentarios
del
Conductor
y
Usuario
relacionados
de
cualquier
modo
a
la
actividad
comercial
de
Uber
y
sus
Afiliados
sin
la
atribucin
o
autorizacin
del
Cliente
o
del
Conductor
correspondiente.
El
Cliente
reconoce
que
Uber
y
sus
Afiliados
son
distribuidores
(sin
ninguna
obligacin
de
verificacin)
y
no
publicadores
de
las
valoraciones
y
observaciones
del
Conductor
y
el
Usuario,
siempre
que
Uber
y
sus
Afiliados
se
reserven
el
derecho
a
editar
o
borrar
comentarios
en
caso
de
que
dichos
comentarios
sean
obscenos
u
objetables
de
otro
modo,
incluyan
el
nombre
de
un
particular
u
otra
informacin
personal
o
violen
cualquier
ley
de
privacidad,
otras
leyes
aplicables
o
polticas
de
contenidos
de
Uber
o
sus
Afiliados.
2.7. Dispositivos.
2.7.1. Uber
anima
al
Cliente
a
utilizar
los
Dispositivos
proporcionados
al
conductor
para
ofrecer
los
Servicios
de
transporte.
De
otro
modo,
Uber
proporcionar
al
Cliente
a
previa
peticin
del
mismo
los
Dispositivos
Uber
a
cada
Conductor
autorizado,
as
como
el
plan
de
datos
necesario
para
el
operador
de
servicios
inalmbricos
para
dichos
Dispositivos,
teniendo
en
cuenta
que
Uber
requerir
que
el
Cliente
reembolse
los
gastos
asociados
con
el
plan
de
datos
para
el
operador
de
servicios
inalmbricos
de
cada
Dispositivo
Uber
y/o
solicite
una
fianza
por
cada
Dispositivo
Uber.
El
Cliente
reconoce
y
acepta
que:
(a)
Los
Dispositivos
Uber
solo
pueden
ser
utilizados
con
el
fin
de
permitir
el
acceso
del
Conductor
a
los
Servicios
Uber;
y
(b)
los
Dispositivos
Uber
no
pueden
transferirse,
prestarse,
venderse
ni
proporcionarse
de
otro
modo
a
ninguna
otra
parte
distinta
del
Conductor
asignado
a
utilizar
dicho
Dispositivo
Uber.
Los
Dispositivos
Uber
sern
en
todo
momento
propiedad
de
Uber
y,
al
finalizar
el
presente
Contrato
o
al
cancelar
o
desactivar
un
Conductor,
el
Cliente
se
compromete
a
devolver
a
Uber
los
Dispositivos
Uber
correspondientes
en
un
plazo
de
diez
(10)
das.
El
Cliente
reconoce
y
acepta
que
si
no
devuelve
a
tiempo
cualquiera
de
los
Dispositivos
Uber,
o
causa
daos
en
ellos
fuera
del
desgaste
normal
de
uso,
ello
tendr
como
consecuencia
la
prdida
de
las
fianzas
relacionadas.
2.7.2. Si
el
Cliente
opta
por
utilizar
cualquiera
de
los
Dispositivos
proporcionados
al
Conductor:
(i)
el
Cliente
y/o
sus
Conductores
son
responsables
de
la
adquisicin,
el
costo
y
el
mantenimiento
de
dichos
Dispositivos
proporcionados
al
conductor,
as
como
de
cualquier
plan
de
datos
necesario
a
travs
de
un
operador
de
servicios
inalmbricos;
y
(ii)
Uber
proporcionar
la
Driver
App
para
su
instalacin
en
dichos
Dispositivos
proporcionados
al
conductor.
Uber
otorga
por
el
presente
al
usuario
autorizado
de
cualquier
Dispositivo
proporcionado
al
conductor
una
licencia
de
uso
no
exclusiva
y
no
transferible
para
instalar
y
utilizar
la
Driver
App
en
un
Dispositivo
proporcionado
al
conductor
nicamente
con
el
propsito
de
ofrecer
Servicios
de
transporte.
El
Cliente
se
compromete
a
no
ofrecer,
distribuir
o
compartir,
ni
permitir
la
provisin,
distribucin
o
uso
compartido
de
la
Driver
App
(o
los
datos
asociados
a
la
misma)
con
terceros
y
se
har
responsable
de
que
cada
uno
de
los
Conductores
correspondientes
se
atenga
a
esta
norma.
Lo
antedicho
se
traducir
en
la
inmediata
rescisin
y
el
Conductor
borrar
y
eliminar
completamente
la
Driver
App
del
Dispositivo
proporcionado
al
conductor
si
el
Cliente
y/o
el
Conductor
correspondiente
dejan
de
proporcionar
Servicios
de
transporte
utilizando
el
Dispositivo
proporcionado
al
conductor.
El
Cliente
acepta,
y
deber
informar
de
ello
al
Conductor
correspondiente,
que:
(i)
el
uso
de
la
Driver
App
en
un
Dispositivo
proporcionado
al
conductor
requiere
un
plan
de
datos
activo
con
un
proveedor
de
servicios
inalmbricos
asociado
al
Dispositivo
proporcionado
al
conductor,
cuyo
plan
de
datos
ser
proporcionado
por
el
Cliente
o
el
Conductor
correspondiente
que
asumirn
los
gastos
correspondientes;
y
(ii)
el
uso
de
la
Driver
App
en
un
Dispositivo
proporcionado
al
conductor
como
interfaz
con
los
Servicios
Uber
podra
consumir
grandes
cantidades
de
datos
a
travs
del
plan
de
datos.
Uber
aconseja
que
los
Dispositivos
proporcionados
al
conductor
solo
deben
ser
utilizados
bajo
un
plan
de
datos
con
lmites
de
uso
de
datos
muy
altos
o
ilimitados,
y
Uber
no
ser
responsable
de
ningn
cargo,
gasto
o
tasa
por
gastos
por
excedente
de
datos
en
ningn
plan
de
datos.
2.8. Servicios
basados
en
la
ubicacin.
El
Cliente
reconoce
y
acepta
que
la
informacin
de
geolocalizacin
de
cada
Conductor
debe
ser
proporcionada
a
los
Servicios
Uber
a
travs
de
un
Dispositivo
a
fin
de
proporcionar
Servicios
de
transporte.
El
Cliente
reconoce
y
acepta,
y
debe
informar
y
obtener
el
consentimiento
de
cada
Conductor
con
respecto
a
lo
siguiente:
(a)
la
informacin
de
geolocalizacin
del
Conductor
ser
controlada
y
localizada
por
los
Servicios
Uber
cuando
el
Conductor
est
registrado
en
la
Driver
App
y
disponible
para
recibir
solicitudes
de
Servicios
de
transporte,
o
cuando
el
Conductor
ofrezca
Servicios
de
transporte;
y
(b)
la
ubicacin
aproximada
del
Vehculo
del
Conductor
se
mostrar
al
Usuario
antes
y
durante
la
prestacin
de
Servicios
de
transporte
a
dicho
Usuario.
Adems,
Uber
podr
controlar,
localizar
y
compartir
la
informacin
de
geolocalizacin
de
un
Conductor
obtenida
a
travs
de
la
Driver
App
y
del
Dispositivo
para
salvaguardar
la
seguridad,
para
fines
tcnicos,
de
marketing
y
comerciales,
incluidas
la
provisin
y
mejora
de
los
productos
y
servicios
de
Uber.
3. Conductores
y
vehculos
3.1. Requisitos
del
Conductor.
El
Cliente
reconoce
y
acepta
que
cada
Conductor
deber
en
todo
momento:
(a)
ser
titular
y
mantener
(i)
un
carnet
de
conducir
vigente
con
el
nivel
de
certificacin
vlido
para
utilizar
el
Vehculo
asignado
a
dicho
Conductor,
y
(ii)
todas
las
licencias,
permisos,
autorizaciones
y
autoridad
aplicable
al
Cliente
y/o
Conductor
que
sean
necesarios
para
prestar
Servicios
de
transporte
de
pasajeros
a
terceras
partes
en
el
Territorio;
(b)
poseer
el
nivel
de
formacin,
pericia
y
experiencia
adecuados
para
prestar
Servicios
de
transporte
de
forma
profesional
con
la
debida
habilidad,
atencin
y
diligencia;
y
(c)
mantener
alto
nivel
de
profesionalidad,
servicio
y
cortesa.
El
Cliente
reconoce
y
acepta
que
cada
Conductor
puede
estar
sujeto
a
determinadas
revisiones
de
antecedentes
y
registros
de
conduccin
de
cuando
en
cuando
para
que
dicho
Conductor
est
autorizado
a
prestar
Servicios
de
transporte
y
seguir
siendo
apto
para
ello.
Adems,
si
el
Cliente
y/o
el
Conductor
utilizan
la
Uber
App
para
prestar
Servicios
de
transporte
en
combinacin
con
su
actividad
de
servicio
de
taxi
(Servicios
de
taxi),
dicho
Cliente
y/o
Conductor
debern
cumplir
la
legislacin
vigente
al
respecto.
El
Cliente
reconoce
y
acepta
que
Uber
se
reserva
el
derecho,
en
cualquier
momento
y
a
su
exclusiva
discrecin,
a
desactivar
o
restringir
el
acceso
o
uso
de
la
Driver
App
o
los
Servicios
Uber
a
un
Conductor
si
un
Cliente
o
dicho
Conductor
incumple
los
requisitos
establecidos
en
el
presente
Contrato
o
en
el
Anexo
de
Conductor.
3.2. Requisitos
del
vehculo.
El
Cliente
reconoce
y
acepta
que
cada
Vehculo
deber
en
todo
momento:
(a)
estar
correctamente
registrado
y
disponer
de
la
licencia
correspondiente
para
operar
como
vehculo
de
transporte
de
pasajeros
en
el
Territorio;
(b)
ser
propiedad
o
estar
arrendado
por
el
Cliente
o
de
otro
modo
en
posesin
legal
del
Cliente;
(c)
ser
apto
para
llevar
a
cabo
los
Servicios
de
transporte
de
pasajeros
contemplados
en
el
presente
Contrato;
y
(d)
ser
mantenido
en
buen
estado
de
funcionamiento,
conforme
a
las
normas
de
seguridad
y
mantenimiento
del
sector
para
un
Vehculo
de
su
tipo
y
cualquier
norma
o
requisito
adicional
en
el
Territorio
correspondiente,
as
como
estar
en
un
estado
limpio
e
higinico.
3.3. Documentacin.
A
fin
de
asegurar
el
cumplimiento
del
Cliente
y
de
cada
uno
de
sus
Conductores
con
todos
los
requisitos
de
los
Apartados
3.1
y
3.2
anteriores,
el
Cliente
debe
proporcionar
a
Uber
copias
por
escrito
de
todas
estas
licencias,
permisos,
autorizaciones,
autoridad,
registros
y
certificaciones
previamente
a
la
prestacin
de
cualquier
Servicio
de
transporte
por
el
Conductor
al
Cliente.
Despus,
el
Cliente
debe
enviar
a
Uber
un
justificante
por
escrito
de
todas
estas
licencias,
permisos,
autorizaciones,
autoridad,
registros
y
certificaciones,
as
como
sus
renovaciones
en
el
momento
correspondiente.
Uber
tendr
derecho,
previo
envo
de
la
peticin
correspondiente,
a
examinar
estas
licencias,
permisos,
autorizaciones,
autoridad,
registros
y
certificaciones
de
cuando
en
cuando,
y
si
el
Cliente
no
proporciona
o
renueva
cualquiera
de
los
documentos
antedichos,
ello
constituir
un
incumplimiento
sustancial
del
presente
Contrato.
Uber
se
reserva
el
derecho
de
verificar
de
manera
independiente
la
Documentacin
del
Conductor
y/o
del
Cliente
ocasionalmente
tal
como
Uber
lo
considere
pertinente
a
su
entera
discrecin.
4. Trminos
financieros
4.1. Clculo
de
tarifa
y
pago
del
Cliente.
El
Cliente
tiene
derecho
a
cobrar
una
tarifa
por
cada
Servicio
de
transporte
realizado
y
prestado
a
un
Usuario
que
haya
sido
obtenido
a
travs
de
los
Servicios
Uber
(Tarifa),
donde
dicha
Tarifa
se
calcular
basndose
en
una
tarifa
base
ms
la
distancia
recorrida
(segn
lo
determine
Uber
utilizando
los
servicios
basados
en
la
ubicacin
activados
a
travs
del
Dispositivo)
y/o
los
importes
por
tiempo,
segn
se
detalla
en
www.uber.com/cities
para
el
Territorio
correspondiente
(Clculo
de
tarifa).
El
Cliente
tiene
derecho,
asimismo,
a
cobrar
al
Usuario
cualquier
peaje,
impuesto
o
tasa
incurridos
durante
la
prestacin
de
los
Servicios
de
transporte,
si
procede.
El
Cliente:
(i)
designa
a
Uber
como
agente
de
cobro
de
pagos
limitado
para
el
Cliente
nicamente
para
el
propsito
de
aceptar
la
Tarifa,
los
peajes
aplicables
y,
segn
la
regin
y/o
si
el
Cliente
as
lo
solicita,
los
impuestos
y
tasas
aplicables
del
Usuario
en
nombre
del
Cliente
a
travs
de
la
funcin
de
tramitacin
de
pagos
facilitada
por
los
Servicios
Uber;
y
(ii)
acepta
que
el
pago
realizado
por
el
Usuario
a
Uber
sea
considerado
como
el
mismo
que
el
pago
realizado
directamente
por
el
Usuario
al
Cliente.
Adems,
las
partes
reconocen
y
aceptan
que
igual
que
sucede
entre
el
Cliente
y
Uber,
la
Tarifa
es
un
importe
recomendado,
y
el
propsito
principal
de
la
Tarifa
acordada
de
antemano
es
actuar
como
el
importe
por
defecto
en
caso
de
que
el
Cliente
no
negocie
un
importe
distinto.
El
Cliente
siempre
tendr
derecho
a:
(i)
cobrar
una
tarifa
inferior
a
la
Tarifa
acordada
de
antemano;
o
bien,
(ii)
negociar,
a
peticin
del
Cliente,
una
Tarifa
inferior
a
la
tarifa
acordada
de
antemano
(cada
uno
de
los
apartados
(i)
y
(ii)
del
presente
documento,
denominados
Tarifa
negociada).
Uber
considerar
todas
estas
peticiones
del
Cliente
de
buena
fe.
Uber
se
compromete
a
remitir
al
Cliente
al
menos
semanalmente:
(a)
la
Tarifa
menos
la
Tasa
de
servicio
aplicable;
(b)
los
peajes;
y
(c)
segn
la
regin,
ciertos
impuestos
y
tasas
complementarios.
Si
el
Cliente
lo
acuerda
por
separado,
podrn
deducirse
otros
importes
de
la
Tarifa
antes
de
enviarla
al
Cliente
(p.
ej.,
pagos
de
financiacin
del
vehculo,
pagos
de
arrendamiento,
tasas
por
uso
del
dispositivo
mvil,
etc.),
donde
el
orden
de
dichas
deducciones
de
la
Tarifa
ser
exclusivamente
determinado
por
Uber.
Sin
perjuicio
de
ningn
aspecto
en
contra
de
este
Apartado
4.1.,
si
el
Cliente
proporciona
Servicios
de
taxi,
sern
aplicables
las
siguientes
disposiciones:
(x)
la
Tarifa
se
calcula
conforme
a
las
normativas
locales
en
materia
de
servicios
de
taxi
en
el
Territorio;
(y)
el
Cliente
y
el
Conductor
se
comprometen
a
introducir
el
importe
exacto
de
la
Tarifa
(segn
lo
indicado
por
el
taxmetro
del
vehculo)
en
la
Driver
App
al
finalizar
un
Servicio
de
transporte;
y
(z)
en
algunas
jurisdicciones
los
Usuarios
pagan
al
Cliente
o
Conductor
directamente
en
lugar
de
a
travs
de
la
aplicacin
de
Uber
(Uber
notificar
al
Cliente
si
(z)
es
aplicable
en
su
Territorio).
4.2. Cambios
en
el
Clculo
de
tarifa.
Uber
se
reserva
el
derecho
a
modificar
el
Clculo
de
tarifa
en
cualquier
momento
a
su
propia
discrecin
basndose
en
factores
del
mercado
local,
y
Uber
notificar
al
Cliente
en
caso
de
que
dicha
modificacin
tuviera
como
resultado
un
cambio
en
la
Tarifa
recomendada.
El
uso
continuado
de
los
Servicios
Uber
despus
de
cualquiera
de
dichos
cambios
en
el
Clculo
de
tarifa
implica
el
consentimiento
del
Cliente
para
que
se
realicen
dichos
cambios.
4.3. Ajuste
de
tarifa.
Uber
se
reserva
el
derecho
de:
(i)
ajustar
la
Tarifa
a
un
caso
determinado
de
Servicios
de
transporte
(p.
ej.,
el
Conductor
tom
una
ruta
poco
eficiente,
el
Conductor
no
finaliz
un
servicio
determinado
de
Servicios
de
transporte
en
la
Driver
App,
se
produjo
un
fallo
tcnico
en
los
Servicios
Uber,
etc.);
o
bien,
(ii)
cancelar
la
Tarifa
para
un
caso
determinado
de
Servicios
de
transporte
(p.
ej.,
se
ha
cobrado
a
un
Usuario
por
Servicios
de
transporte
que
no
se
le
prestaron,
en
caso
de
reclamacin
del
Usuario,
fraude,
etc.).
La
decisin
de
Uber
de
reducir
o
cancelar
la
Tarifa
en
cualquier
modo
deber
llevarse
a
cabo
de
forma
razonable.
4.4. Tasa
de
servicio.
Como
retribucin
de
la
prestacin
de
los
Servicios
Uber
por
Uber,
el
Cliente
se
compromete
a
pagar
a
Uber
una
tasa
de
servicio
por
transaccin
de
Servicios
de
transporte
calculada
en
forma
de
porcentaje
de
la
Tarifa
(independientemente
de
cualquier
Tarifa
negociada),
segn
se
establece
para
el
Cliente
por
e-mail
o
electrnicamente
de
otro
modo
por
Uber
de
cuando
en
cuando
para
el
Territorio
correspondiente
(Tasa
de
servicio).
A
menos
que
las
normativas
vigentes
en
el
Territorio
del
Cliente
lo
requieran
de
otro
modo,
los
impuestos
se
calcularn
y
cobrarn
sobre
la
Tarifa,
y
Uber
calcular
la
Tasa
de
servicio
basndose
en
la
Tarifa
ms
dichos
impuestos.
Uber
se
reserva
el
derecho
a
modificar
la
Tasa
de
servicio
en
cualquier
momento
a
su
propia
discrecin
basndose
en
factores
del
mercado
local,
y
Uber
notificar
al
Cliente
en
caso
de
que
dicha
modificacin
tuviera
lugar.
El
uso
continuado
de
los
Servicios
Uber
despus
de
cualquiera
de
dichos
cambios
en
la
Tasa
de
servicio
implica
el
consentimiento
del
Cliente
para
que
se
realicen
dichos
cambios.
Adems,
en
relacin
con
los
Servicios
de
taxi
en
el
Territorio
correspondiente,
el
Cliente
se
compromete
a
pagar
a
Uber
una
tasa
de
reserva
en
retribucin
de
la
provisin
por
Uber
de
la
Driver
App
y
de
los
Servicios
Uber.
4.5. Costos
de
cancelacin.
El
Cliente
reconoce
y
acepta
que
los
Usuarios
pueden
optar
por
cancelar
peticiones
de
Servicios
de
transporte
que
hayan
sido
aceptados
por
un
Conductor
a
travs
de
la
Driver
App
en
cualquier
momento
antes
de
la
llegada
del
Conductor.
Si
dicho
Usuario
cancela
una
peticin
de
Servicios
de
transporte
aceptada,
Uber
podr
cobrar
al
Usuario
una
tasa
de
cancelacin
en
nombre
del
Cliente.
Si
se
cobra,
esta
tasa
de
cancelacin
se
considerar
la
Tarifa
del
Servicio
de
transporte
cancelado
con
el
propsito
de
envirsela
al
Cliente
aqu
establecido
(Tasa
de
cancelacin).
Las
partes
reconocen
y
aceptan
que
como
sucede
entre
el
Cliente
y
la
Empresa,
esta
Tasa
de
cancelacin
es
un
importe
recomendado,
y
el
propsito
principal
de
dicha
Tasa
de
cancelacin
es
actuar
como
el
importe
por
defecto
en
caso
de
que
el
Cliente
no
negocie
un
importe
distinto.
El
Cliente
siempre
tendr
derecho
a:
(i)
cobrar
una
tasa
de
cancelacin
inferior
a
la
Tasa
de
cancelacin;
o
bien,
(ii)
negociar,
a
peticin
del
Cliente,
una
tasa
de
cancelacin
inferior
a
la
Tasa
de
cancelacin
(cada
uno
de
los
apartados
(i)
y
(ii)
del
presente
documento,
una
Tasa
de
cancelacin
negociada).
Si
se
cobra,
la
Tasa
de
cancelacin
(independientemente
de
cualquier
Tasa
de
cancelacin
negociada)
se
considerar
la
Tarifa
del
Servicio
de
transporte
cancelado
con
el
propsito
de
envirsela
al
Cliente
aqu
establecido.
4.6. Recibos.
Como
parte
de
los
Servicios
Uber,
Uber
ofrece
al
Cliente
un
sistema
para
la
entrega
de
recibos
a
Usuarios
por
los
Servicios
de
transporte
prestados.
Cuando
un
Conductor
finaliza
los
Servicios
de
transporte
para
un
Usuario,
Uber
elabora
el
recibo
correspondiente
y
emite
dicho
recibo
al
Usuario
por
e-mail
en
nombre
del
Cliente
y
Conductor
correspondiente.
Estos
recibos
tambin
se
proporcionan
a
travs
de
e-mail
o
del
portal
de
Internet
disponible
para
el
cliente
en
los
Servicios
Uber.
Los
recibos
incluyen
el
desglose
de
los
importes
cobrados
al
Usuario
por
los
Servicios
de
transporte
y
pueden
incluir
informacin
especfica
sobre
el
Cliente
y
el
Conductor
correspondiente,
incluido
el
nombre
de
entidad
y
la
informacin
de
contacto
del
Cliente
y
el
nombre
y
la
foto
del
Conductor,
as
como
un
mapa
de
la
ruta
tomada
por
el
Conductor.
El
Cliente
deber
informar
a
los
Conductores
de
que
cualquier
correccin
en
el
recibo
de
un
Usuario
por
los
Servicios
de
transporte
prestados
deber
enviarse
a
Uber
por
escrito
en
un
plazo
de
tres
(3)
das
hbiles
a
contar
desde
la
fecha
de
finalizacin
de
dicho
Servicio
de
transporte.
Si
no
se
realiza
dicha
notificacin,
Uber
no
se
har
responsable
de
ningn
error
en
el
recibo
ni
de
las
correcciones
realizadas
en
el
recibo
o
por
el
nuevo
clculo
o
desembolso
de
la
Tarifa.
4.7. Ningn
importe
adicional.
El
Cliente
reconoce
y
acepta
que,
en
beneficio
mutuo
de
las
partes,
a
travs
de
la
publicidad
y
el
marketing,
Uber
y
sus
Afiliados
podrn
intentar
atraer
a
nuevos
Usuarios
al
servicio
de
Uber
y
aumentar
el
uso
de
la
aplicacin
mvil
de
Uber
por
los
Usuarios
existentes.
El
Cliente
reconoce
y
acepta
que
dicha
publicidad
o
marketing
no
otorga
ningn
derecho
al
Cliente
a
recibir
ninguna
retribucin
econmica
adicional
ms
all
de
los
importes
expresamente
establecidos
en
el
presente
Contrato.
4.8. Impuestos.
El
Cliente
reconoce
y
acepta
que
debe
acatar
lo
siguiente:

cumplir
con
todas
las
obligaciones
sobre
registro
fiscal
y
calcular
y
asumir
las
responsabilidades
fiscales
inherentes
a
la
disposicin
de
los
Servicios
de
transporte
tal
como
lo
establezca
la
ley
aplicable;
y
(b)
proporcionarle
a
Uber
informacin
tributaria
relevante
(incluido
un
nmero
de
VAT
vlido
asociado
al
Cliente
y/o
a
cualquier
Conductor,
siempre
y
cuando
sea
obligatorio
obtener
un
nmero
VAT
para
el
Cliente
y/o
Conductor
en
virtud
de
las
leyes
aplicables.
El
Cliente
adems
reconoce
y
acepta
que
el
Cliente
y
cada
uno
de
sus
Conductores
asumen
la
responsabilidad
fiscal
por
cuenta
propia
en
relacin
a
la
ejecucin
de
los
Servicios
de
transporte.
Independientemente
de
cualquier
disposicin
que
establezca
lo
contrario
en
este
Contrato,
Uber
puede,
a
su
entera
discrecin,
segn
las
consideraciones
legislativas
y
tributarias
aplicables,
cobrar
y
remitir
impuestos
inherentes
a
la
prestacin
de
los
Servicios
de
transporte
por
parte
del
Cliente
y/o
proporcionar
cualquier
fiscal
que
el
Cliente
y/o
el
Conductor
hayan
proporcionado
en
virtud
de
los
requisitos
mencionados
en
la
Seccin
4.8
directamente
a
las
autoridades
tributarias
gubernamentales
pertinentes
y/o
a
cualquier
representante
del
Conductor,
o
de
otra
manera.
5. Derechos
de
propiedad;
Licencia
5.1. Otorgamiento
de
licencia.
Con
sujecin
a
los
trminos
y
condiciones
del
presente
Contrato,
Uber
otorga
por
el
presente
al
Cliente
una
licencia
no
exclusiva,
libre
de
derechos
de
autor,
no
transferible,
no
sublicenciable,
intransferible,
durante
el
perodo
de
vigencia
del
presente
Contrato,
para
utilizar
(y
permitir
a
sus
Conductores
utilizar)
la
Driver
App
en
relacin
con
la
disposicin
establecida
por
Uber
de
los
Servicios
Uber
nicamente
para
el
propsito
de
ofrecer
Servicios
de
transporte
a
Usuarios
y
localizar
las
Tarifas
y
Tasas
resultantes.
Uber,
sus
Afiliados
y
sus
respectivos
licenciatarios
se
reservan
todos
los
derechos
no
expresamente
otorgados
al
Cliente.
5.2. Restricciones.
El
Cliente
no
deber,
ni
deber
permitir
a
ninguna
otra
parte:
(a)
licenciar,
sublicenciar,
vender,
revender,
transferir,
ceder,
distribuir
o
entregar
u
ofrecer
de
otro
modo
a
ninguna
otra
parte
los
Servicios
Uber,
la
Driver
App
o
cualquier
otro
Dispositivo
de
Uber
en
ningn
modo;
(b)
modificar
o
realizar
tareas
derivativas
basadas
en
los
Servicios
Uber
o
la
Driver
App;
(c)
utilizar
indebidamente
los
Servicios
Uber
o
la
Driver
App,
incluida
la
creacin
de
enlaces
de
Internet
a
cualquier
parte
de
los
Servicios
Uber
o
la
Driver
App,
realizar
integracin
a
travs
de
marcos
o
mirroring
de
cualquier
parte
de
los
Servicios
Uber
o
la
Driver
App
o
cualquier
otra
pgina
web
o
sistema;
o
realizar
copias
de
contenidos
u
obtener
indebidamente
de
otro
modo
datos
de
los
Servicios
Uber
o
la
Driver
App;
(d)
realizar
ingeniera
de
inversin,
descompilar,
modificar
o
desensamblar
los
Servicios
Uber
o
la
Driver
App,
excepto
en
la
medida
permitida
por
la
legislacin
aplicable;
o
bien,
(e) enviar
mensajes
de
spam
o
de
otro
modo
duplicativos
o
no
solicitados.
Adems,
el
Cliente
no
deber
ni
permitir
a
ninguna
otra
parte,
acceder
o
utilizar
los
Servicios
Uber
o
la
Driver
App
para:
(i)
disear
o
crear
un
producto
o
servicio
competitivo
o
sustancialmente
similar;
(ii)
copiar
o
extraer
funciones,
funcionalidad
o
contenido
de
los
mismos;
(iii)
lanzar
o
facilitar
el
lanzamiento
en
o
en
relacin
con
los
Servicios
Uber
un
programa
automatizado
o
script,
incluidos
web
spiders,
crawlers,
robots,
indexadores,
bots,
virus
o
gusanos,
as
como
cualquier
otro
programa
que
pudiera
realizar
varias
peticiones
de
servidor
por
segundo
o
perturbar
o
impedir
indebidamente
el
funcionamiento
y/o
la
ejecucin
de
los
Servicios
Uber;
o
bien
(iv)
intentar
obtener
acceso
no
autorizado
a
los
Servicios
Uber
o
a
sus
sistemas
o
redes
relacionados,
todo
excepto
en
la
medida
en
que
dichas
acciones
deban
ser
permitidas
por
la
legislacin
holandesa.
5.3. Titularidad.
Los
Servicios
Uber,
la
Driver
App
y
los
Datos
Uber,
incluidos
todos
los
derechos
de
propiedad
intelectual
en
los
mismos
y
los
Dispositivos
Uber
son
y
seguirn
siendo
propiedad
de
Uber,
sus
Afiliados
o
sus
licenciatarios
respectivos.
Ni
el
presente
Contrato
ni
el
uso
que
el
Cliente
hace
de
los
Servicios
Uber,
la
Driver
App
o
los
Datos
Uber
ofrece
u
otorga
ningn
derecho:
(a)
sobre
o
en
relacin
con
los
Servicios
Uber,
la
Driver
App
o
los
Datos
Uber,
excepto
en
cuanto
a
la
licencia
limitada
otorgada
anteriormente;
o
bien
(b)
a
utilizar
o
mencionar
en
cualquier
modo
a
Uber,
sus
Afiliados
o
los
nombres
de
empresa
de
sus
respectivos
licenciatarios,
logotipos,
nombres
de
producto
y
servicio,
marcas
comerciales,
marcas
de
servicio
u
otros
indicios
de
titularidad.
Adems,
el
Cliente
reconoce
los
derechos
de
Uber
en
su
familia
de
marcas
comerciales
y
nombres
UBER,
incluido
UBER,
solos
y
en
combinacin
con
otras
letras,
puntuacin,
palabras,
smbolos
y/o
diseos,
el
logotipo
de
UBER
y
EVERYONES
PRIVATE
DRIVER
(Marcas
y
nombres
comerciales
de
UBER).
El
Cliente
acepta
que
no
intentar
y
se
asegurar
de
que
sus
Conductores
no
intenten
registrarse
o
reclamar
la
titularidad
de
otro
modo
sobre
cualquiera
de
las
Marcas
y
nombres
comerciales
de
UBER,
solos
o
en
combinacin
con
otras
letras,
puntuacin,
palabras,
smbolos
y/o
diseos,
o
en
cualquier
marca
o
nombre
similar
que
pudiera
generar
confusin.
6. Confidencialidad
6.1. Cada
una
de
las
partes
reconoce
y
acepta
que
en
el
ejercicio
del
presente
Contrato
podra
tener
acceso
o
estar
expuesta,
ya
sea
de
forma
directa
o
indirecta,
a
informacin
confidencial
de
la
otra
parte
(Informacin
confidencial).
La
Informacin
confidencial
incluye
Datos
de
Uber,
ID
del
conductor,
Informacin
de
usuario
y
el
volumen
de
transacciones,
planes
de
marketing
y
actividad
comercial,
informacin
de
actividad
comercial,
tcnica,
operativa
y
otra
informacin
no
pblica
distinta
de
cada
parte
(ya
se
revele
por
escrito
u
oralmente)
que
dicha
parte
designe
como
informacin
privada
o
confidencial
o
informacin
que
la
otra
parte
conozca
razonablemente
que
deba
tratarse
en
confidencialidad.
6.2. Cada
una
de
las
partes
reconoce
y
acepta
que:
(a)
toda
la
Informacin
confidencial
deber
permanecer
en
propiedad
exclusiva
de
la
parte
reveladora;
(b)
no
debe
utilizar
la
Informacin
confidencial
de
la
otra
parte
para
ningn
otro
propsito
excepto
para
el
cumplimiento
del
presente
Contrato;
(c)
no
debe
revelar
Informacin
confidencial
de
la
otra
parte
a
ninguna
tercera
parte,
excepto
a
sus
empleados,
representantes,
contratistas,
agentes
y
proveedores
de
servicios
(Personas
autorizadas)
segn
sea
necesario
para
operar
conforme
al
presente
Contrato,
siempre
que
las
Personas
autorizadas
estn
vinculadas
por
escrito
a
las
obligaciones
de
confidencialidad
y
no
utilizacin
de
la
Informacin
confidencial
de
forma
menos
cuidadosa
que
la
establecida
en
los
trminos
del
presente
documento;
y
(d)
deber
devolver
o
destruir
toda
la
Informacin
confidencial
de
la
parte
reveladora
a
la
extincin
del
presente
Contrato
o
a
peticin
de
la
otra
parte
(con
sujecin
a
la
legislacin
aplicable
y
en
relacin
con
Uber,
sus
requisitos
internos
de
conservacin
de
registros).
6.3. Sin
perjuicio
de
lo
antedicho,
la
Informacin
confidencial
no
incluir
ninguna
informacin
en
la
medida
en
que:
(a)
sea
o
se
convierta
en
dominio
pblico
a
travs
de
ningn
acto
u
omisin
por
parte
de
la
parte
receptora;
(b)
sea
poseda
por
la
parte
receptora
antes
de
la
fecha
de
este
Contrato
sin
ninguna
obligacin
de
confidencialidad;
(c)
sea
revelada
a
la
parte
receptora
por
una
tercera
parte
que
no
est
sujeta
a
ninguna
obligacin
de
confidencialidad
en
relacin
a
la
misma;
o
bien,
(d)
deba
ser
revelada
conforme
a
la
legislacin
vigente,
por
orden
de
un
tribunal,
medida
cautelar
u
orden
de
una
autoridad
gubernamental,
siempre
que
la
parte
receptora
notifique
a
la
parte
reveladora
de
ello
y
conceda
a
la
parte
reveladora
una
oportunidad
razonable
para
contestar
o
limitar
dicha
revelacin
requerida.
7. Privacidad.
Con
sujecin
a
todas
las
legislaciones
aplicables,
Uber
puede
proporcionar
a
una
tercera
parte
cualquier
informacin
(incluidos
datos
personales
y
cualquier
Dato
Uber)
sobre
los
Conductores
establecida
aqu
si:
(a)
se
produce
una
reclamacin,
disputa
o
conflicto,
incluido
un
accidente,
entre
un
Conductor
y
un
Usuario;
(b)
es
necesario
hacer
valer
los
trminos
del
Contrato;
(c)
es
obligatorio,
a
exclusiva
discrecin
de
Uber
o
de
cualquier
Afiliado,
por
la
legislacin
o
reglamento
aplicable;
(d)
es
necesario,
a
exclusiva
discrecin
de
Uber
o
de
cualquier
Afiliado
para
(1)
velar
por
la
seguridad,
los
derechos,
la
propiedad
o
proteccin
de
la
Empresa,
de
los
Servicios
Uber
o
de
cualquier
tercera
parte,
(2)
detectar,
prevenir
o
abordar
de
otro
modo
el
fraude,
la
seguridad
o
los
problemas
tcnicos,
y/o
(3)
impedir
o
detener
la
actividad
que
Uber
o
cualquiera
de
sus
Afiliados,
a
su
nica
discrecin,
considere
que
es
o
pudiera
constituir
un
riesgo
de
ser
ilegal,
no
tica
o
enjuiciable
desde
un
punto
de
vista
legal;
o
bien
(e)
se
establece
o
requiere,
a
entera
discrecin
de
Uber
o
cualquier
Afiliado,
para
conformar
un
seguro
o
para
cualquier
otro
fin
en
relacin
a
la
capacidad
del
Cliente
y/o
el
Conductor
de
cualificar,
o
continuar
cumpliendo
los
requisitos,
para
hacer
uso
de
los
Servicios
de
Uber.
El
Cliente
entiende
que
Uber
podr
retener
los
datos
personales
del
Cliente
y/o
del
Conductor
o
Conductores
con
fines
de
cumplimiento
legal,
reglamentario,
de
seguridad
y
con
otros
fines
necesarios
con
posterioridad
a
la
extincin
del
presente
Contrato.
Uber
procesa
datos
personales
(incluidos
los
mencionados
en
el
Apartado
2.8
anterior)
de
conformidad
con
su
poltica
de
privacidad
ubicada
en
www.uber.com/legal.
8. Seguros
8.1. El
Cliente
se
compromete
a
mantener
durante
el
perodo
de
vigencia
del
presente
Contrato
en
todos
los
Vehculos
operados
por
el
Cliente
y
sus
Conductores
un
seguro
de
responsabilidad
para
vehculo
comercial
que
ofrezca
proteccin
frente
a
las
lesiones
fsicas
y
daos
a
la
propiedad
de
terceras
partes
a
unos
niveles
de
cobertura
que
cumplan
todas
las
leyes
aplicables
en
el
Territorio.
Esta
cobertura
tambin
debe
incluir
cualquier
cobertura
contra
todo
riesgo
requerida
por
la
ley
en
el
Territorio
a
la
que
un
asegurado
no
pueda
renunciar.
8.2. El
Cliente
se
compromete
a
mantener
durante
el
perodo
de
vigencia
del
presente
Contrato
un
seguro
de
responsabilidad
general
que
ofrezca
proteccin
frente
a
lesiones
personales,
daos
por
publicidad
negativa
y
daos
a
la
propiedad
ante
terceras
partes
a
los
niveles
de
cobertura
requeridos
por
la
legislacin
vigente
en
el
Territorio.
8.3. El
Cliente
se
compromete
a
mantener
durante
el
perodo
de
vigencia
del
presente
Contrato
el
seguro
de
compensacin
para
los
trabajadores
segn
lo
requerido
por
todas
las
legislaciones
aplicables
en
el
Territorio.
Si
as
lo
permite
la
legislacin
aplicable,
el
Cliente
puede
optar
por
asegurarse
frente
a
daos
contra
la
propiedad
industrial
manteniendo
un
seguro
de
accidentes
laborales
en
lugar
de
un
seguro
para
compensacin
de
trabajadores.
Los
subcontratistas
tambin
podrn
mantener,
hasta
el
mximo
permitido
por
la
legislacin
aplicable,
un
seguro
de
accidentes
laborales
en
lugar
del
seguro
para
compensacin
de
trabajadores.
8.4. El
Cliente
deber
agregar
a
Uber
(o
a
cualquier
Afiliado
que
pueda
ser
designado
por
Uber
de
cuando
en
cuando)
a
las
plizas
de
seguros
del
Cliente
requeridas
en
los
Apartados
8.1
y
8.2
anteriores
como
tomador
adicional
y
deber,
a
peticin
de
Uber,
proporcionar
a
Uber
una
copia
de
dicho(s)
certificado(s)
de
seguros
en
un
plazo
de
siete
(7)
das
a
contar
desde
dicha
peticin.
9. Declaraciones
y
garantas;
Casos
de
exclusin
9.1. Por
el
Cliente.
Por
el
presente,
el
Cliente
declara
y
garantiza
que:
(a)
tiene
todo
el
poder
y
autoridad
para
celebrar
el
presente
Contrato
y
cumplir
sus
obligaciones
aqu
establecidas;
(b)
est
debidamente
organizado,
vlidamente
constituido
y
en
cumplimiento
de
las
legislaciones
de
su
jurisdiccin
de
origen;
(c)
no
ha
celebrado,
y
durante
el
perodo
de
vigencia
no
celebrar,
ningn
contrato
que
le
impida
cumplir
el
presente
Contrato;
(d)
cumplir
todas
las
legislaciones
vigentes
en
su
ejecucin
del
presente
Contrato,
incluida
la
titularidad
y
el
cumplimiento
de
todos
los
permisos,
licencias,
registros
y
otras
autorizaciones
gubernamentales
necesarios
para
la
prestacin
de
(i)
Servicios
de
transporte
utilizando
los
Conductores
y
Vehculos
de
conformidad
con
el
presente
Contrato,
y
(ii)
Servicios
de
transporte
de
pasajeros
a
terceras
partes
en
el
Territorio
en
general;
y
(e) requerir
a
todos
los
Conductores cumplir
el
Anexo
del
conductor,
los
trminos
y
condiciones
aplicables
establecidos
en
el
presente
Contrato
y
todas
las
legislaciones
aplicables.
9.2. Exencin
de
garantas.
Uber
ofrece
y
el
Cliente
acepta
los
Servicios
Uber,
la
Driver
App
y
los
Dispositivos
Uber
en
un
estado
tal
cual
y
segn
disponibilidad.
Uber
no
declara
ni
garantiza
que
el
acceso
del
Cliente
o
de
cualquier
Conductor
a
los
Servicios
Uber,
la
Driver
App
o
los
Dispositivos
Uber,
as
como
el
uso
que
ellos
hacen
de
los
mismos:
(a)
se
producir
de
forma
ininterrumpida
o
sin
errores;
o
bien,
(b)
resulte
en
cualquier
peticin
de
Servicios
de
transporte.
Uber
funciona
como
un
servicio
de
captacin
de
clientes
sobre
demanda
y
exclusivamente
como
servicio
relacionado
y
no
realiza
ninguna
declaracin
ni
otorga
garanta
con
respecto
a
los
actos
u
omisiones
de
los
Usuarios
quienes
puedan
solicitar
o
recibir
Servicios
de
transporte
del
Cliente
o
de
cualquier
Conductor
conforme
a
los
trminos
aqu
establecidos,
y
Uber
no
necesita
controlar
o
evaluar
de
otro
modo
a
los
Usuarios. Mediante el uso
de
los
Servicios
Uber
y
la
Driver
App,
el
Cliente
reconoce
y
acepta
que
el
Cliente
o
un
Conductor
puede
ser
presentado
a
una
tercera
parte
(incluidos
Usuarios)
que
pueda
constituir
un
peligro
o
riesgo
para
el
Cliente,
un
Conductor
u
otra
tercera
parte.
Se
recomienda
a
los
Clientes
y
los
Conductores
que
tomen
las
medidas
de
precaucin
razonables
con
respecto
a
las
interacciones
con
terceras
partes
conocidas
en
relacin
con
el
uso
de
los
Servicios
Uber
o
la
Driver
App.
Sin
perjuicio
de
la
designacin
de
Uber
como
agente
de
cobros
limitado
del
Cliente
con
la
finalidad
de
aceptar
pagos
de
Usuarios
en
nombre
del
Cliente
segn
lo
establecido
en
el
Apartado
4
anterior,
Uber
renuncia
expresamente
toda
responsabilidad
por
cualquier
acto
u
omisin
del
Cliente,
cualquier
Conductor,
cualquier
Usuario
u
otra
tercera
parte.
9.3. Ninguna
garanta
de
servicio.
Uber
no
garantiza
la
disponibilidad
o
el
tiempo
de
actividad
de
los
Servicios
Uber
o
la
Driver
App.
El
Cliente
reconoce
y
acepta
que
los
Servicios
Uber
o
la
Driver
App
podran
estar
fuera
de
servicio
en
cualquier
momento
y
por
cualquier
motivo
(p.
ej.,
debido
a
un
mantenimiento
programado
o
fallo
de
red).
Adems,
los
Servicios
Uber
o
la
Driver
App
pueden
estar
sujetos
a
limitaciones,
retrasos
u
otros
problemas
inherentes
al
uso
de
Internet
y
la
comunicacin
electrnica,
y
Uber
no
se
hace
responsable
de
ninguna
demora,
fallos
de
entrega
u
otros
daos,
responsabilidades
o
prdidas
resultantes
de
dichos
problemas.
10. Indemnizacin
10.1. El
Cliente
debe
indemnizar,
defender
(a
discrecin
de
Uber)
y
eximir
de
responsabilidad
a
Uber
y
sus
Afiliados
y
responsables,
directores,
empleados,
agentes,
sucesores
y
cesionarios
respectivos
de
y
frente
a
cualquier
y
todas
las
responsabilidades,
gastos
(incluidas
tasas
legales),
daos,
penalizaciones,
multas,
aportaciones
a
la
seguridad
social
e
impuestos
derivados
de
o
relacionados
con:
(a)
el
incumplimiento
del
Cliente
de
sus
declaraciones,
garantas
u
obligaciones
de
conformidad
con
el
presente
Contrato;
o
bien,
(b)
una
reclamacin
por
una
tercera
parte
(incluidos
los
Usuarios,
los
organismos
reguladores
y
las
autoridades
gubernamentales)
directa
o
indirectamente
relacionados
con
la
disposicin
del
Cliente
de
los
Servicios
de
transporte
o
el
uso
de
los
Servicios
Uber.
10.2. Al
igual
que
sucede
entre
el
Cliente
y
Uber,
el
Cliente
es
y
deber
ser
el
nico
responsable
de
la
prestacin
de
los
Servicios
de
transporte
por
sus
Conductores.
Como
tal,
el
Cliente
debe
indemnizar,
defender
(a
discrecin
de
Uber)
y
eximir
de
responsabilidad
a
Uber
y
sus
Afiliados
y
responsables,
directores,
empleados,
agentes,
sucesores
y
cesionarios
respectivos
de
y
frente
a
cualquier
y
todas
las
responsabilidades,
gastos
(incluidas
tasas
legales),
daos,
penalizaciones,
multas,
aportaciones
a
la
seguridad
social
e
impuestos
derivados
de
(directa
o
indirectamente)
o
relacionados
con
la
prestacin
de
los
Servicios
de
transporte
o
el
uso
de
los
Servicios
Uber
por
parte
de
sus
Conductores.
11. Lmites
de
responsabilidad.
Ni
Uber
ni
sus
Afiliados
sern
responsables
conforme
al
presente
Contrato
o
en
relacin
a
l
por
cualquiera
de
los
siguientes
aspectos,
ya
sea
basndose
en
el
Contrato,
agravio
u
otro
fundamento
legal,
incluso
si
una
parte
ha
sido
avisada
de
la
posibilidad
de
dichos
daos:
(i)
cualquier
dao
incidental,
punitivo,
especial,
ejemplar,
resultante
o
cualquier
otro
tipo
de
dao
indirecto;
o
bien
(ii)
daos
a
la
propiedad
del
Cliente,
el
Conductor
o
cualquier
tercera
parte
o
prdida
o
inexactitud
de
datos,
o
bien,
prdida
de
actividades
comerciales,
beneficios,
uso
u
otra
ventaja
econmica.
Excepto
en
cuanto
a
las
obligaciones
de
Uber
de
pagar
importes
adeudados
al
Cliente
de
conformidad
con
el
Apartado
4
anterior,
aunque
con
sujecin
a
las
limitaciones
u
otras
disposiciones
contenidas
en
el
presente
Contrato
que
sean
aplicables
aqu,
en
ningn
caso
la
responsabilidad
de
Uber
o
sus
Afiliados
con
arreglo
al
presente
Contrato
exceder
el
importe
de
las
Tasas
de
servicio
realmente
abonadas
o
adeudadas
a
Uber
por
las
presentes
disposiciones
en
el
perodo
de
seis
(6)
meses
inmediatamente
precedentes
al
acontecimiento
que
haya
dado
lugar
a
dicha
reclamacin.
El
Cliente
reconoce
y
acepta
que
cualquier
reclamacin
que
tenga
el
Cliente
o
que
pretenda
tener
ante
Uber
o
sus
Afiliados
deber
notificarse
a
Uber
y/o
a
sus
Afiliados
en
un
plazo
de
un
(1)
ao
a
contar
desde
el
acontecimiento
o
acontecimientos
que
hayan
dado
lugar
a
dicha
reclamacin
y
que
el
Cliente
renuncia
a
todos
los
derechos
con
respecto
a
dicha
reclamacin
y
el
Cliente
no
acta
de
ese
modo.
Estas
limitaciones
no
suponen
ninguna
limitacin
de
responsabilidad
que
no
pueda
excluirse
por
la
legislacin
aplicable.
12. Plazo
y
resolucin
o
rescisin
12.1. Plazo.
El
presente
Contrato
comenzar
en
la
fecha
en
la
que
el
Contrato
se
ha
ejecutado
por
el
Cliente
(electrnicamente
o
de
otro
modo)
y
seguir
teniendo
vigencia
hasta
su
fecha
de
extincin
conforme
a
lo
establecido
en
el
presente
Contrato.
12.2. Rescisin.
Cada
una
de
las
partes
podr
rescindir
este
Contrato:
(a)
sin
necesidad
de
presentar
ningn
motivo
con
siete
(7)
das
de
preaviso
a
la
otra
parte;
(b)
inmediatamente,
sin
preaviso,
por
incumplimiento
sustancial
del
presente
Contrato
por
la
otra
parte;
o
bien
(c)
de
inmediato,
sin
preaviso,
en
caso
de
concurso
de
acreedores
o
declaracin
de
insolvencia
de
la
otra
parte,
o
cuando
la
otra
parte
enve
o
presente
una
solicitud
de
suspensin
de
pagos
(o
cualquier
otra
actuacin
o
acontecimiento
similar)
ante
la
parte
rescindidora.
Adems,
Uber
podr
rescindir
el
presente
Contrato
o
desactivar
al
Cliente
o
a
un
Conductor
determinado
de
inmediato,
sin
preaviso,
en
relacin
al
Cliente
y/o
a
cualquier
Conductor
si
el
Cliente
y/o
cualquier
Conductor,
segn
sea
aplicable,
deje
de
estar
capacitado
conforme
a
la
legislacin
vigente
o
las
normas
y
polticas
de
Uber
para
prestar
Servicios
de
transporte
o
para
operar
el
Vehculo,
o
como
se
establezca
de
otro
modo
en
el
presente
Contrato.
12.3. Efecto
de
la
rescisin.
Al
rescindirse
el
Contrato,
el
Cliente
y
todos
los
Conductores,
segn
sea
aplicable,
debern:
(a)
devolver
sin
demora
a
Uber
todos
los
Dispositivos
Uber;
y
(b)
borrar
y
eliminar
completamente
la
Driver
App
de
cualquier
Dispositivo
proporcionado
al
conductor.
Las
obligaciones
de
pago
pendientes
y
los
Apartados
1,
2.3,
2.5,
2.6.3,
4.7,
4.8,
5.3,
6,
7,
9,
10,
11,
12.3,
13,
14
y
15
seguirn
teniendo
vigencia
posteriormente
a
la
rescisin
del
presente
Contrato.
13. Relacin
de
las
Partes
13.1. Excepto
en
lo
expresamente
dispuesto
en
el
presente
documento
en
relacin
a
Uber
actuando
como
agente
de
cobros
de
pago
limitado
exclusivamente
para
el
propsito
de
cobrar
los
adeudos
de
Usuarios
en
nombre
del
Cliente,
la
relacin
entre
las
partes
conforme
al
presente
Contrato
es
exclusivamente
la
de
contratistas
independientes.
Las
partes
acuerdan
expresamente
que:
(a)
este
Contrato
no
es
un
contrato
laboral,
ni
genera
ninguna
relacin
de
empleador-empleado
(incluido
desde
la
perspectiva
del
derecho
laboral,
derecho
fiscal
o
derecho
de
la
seguridad
social)
entre
Uber
y
el
Cliente
o
Uber
y
cualquier
Conductor;
y
(b)
no
existir
ninguna
relacin
de
empresa
conjunta,
asociacin
comercial
o
relacin
de
agente
entre
Uber
y
el
Cliente
o
entre
Uber
y
cualquier
Conductor.
13.2. El
Cliente
no
tiene
ninguna
autoridad
para
vincular
a
Uber
y
se
compromete
a
no
considerarse
y
asegurarse
de
que
cada
Conductor
no
se
considere
empleado
agente
o
representante
autorizado
de
Uber
o
de
sus
Afiliados.
Cuando,
por
implicacin
de
la
legislacin
vigente
o
de
otro
modo,
el
Cliente
o
cualquier
Conductor
sea
considerado
como
empleado,
agente
o
representante
de
Uber,
el
Cliente
asume
y
se
compromete
a
eximir,
defender
(a
discrecin
de
Uber)
y
exonerar
de
toda
responsabilidad
a
Uber
y
a
sus
Afiliados
ante
cualquier
reclamacin
presentada
por
cualquier
persona,
entidad,
organismo
regulador
o
autoridad
gubernamental
basndose
en
dicha
implicacin
de
empleo,
agencia
o
relacin
de
representacin.
13.3. El
Cliente
reconoce
y
acepta
expresamente
que
al
aceptar
los
trminos
y
condiciones
del
presente
Contrato,
el
Cliente
pretende
prestar
Servicios
de
transporte
de
forma
no
incidental
y,
como
tal,
Uber
considerar
al
Cliente
y
a
sus
Conductores
personas
con
obligacin
de
tributar
de
conformidad
con
toda
la
legislacin
fiscal
aplicable
con
respecto
al
IVA
e
impuestos
indirectos.
14. Otras condiciones
14.1. Modificacin. Uber se reserva el derecho a modificar los trminos y condiciones del presente
Contrato o el Anexo del conductor en cualquier momento, con vigencia a partir de la fecha de
publicacin de una versin actualizada del presente Contrato o del Anexo del conductor, segn
sea aplicable, en el portal de Internet disponible para el Cliente en los Servicios Uber. Uber se
reserva el derecho a modificar cualquier informacin a la que se haga referencia en los enlaces
del presente Contrato de cuando en cuando. El Cliente reconoce y acepta por el presente que, al
hacer uso de los Servicios Uber o descargar, instalar o utilizar la Driver App, el Cliente est sujeto
a cualquier modificacin o adicin futuras al presente Contrato, informacin de referencia en los
enlaces contenidos en l, o documentos incorporados en l, incluido en relacin a los Clculos
de tarifa. El uso continuado de los Servicios Uber o de la Driver App despus de cualquiera de
esos cambios implica el consentimiento del Cliente para que se realicen dichos cambios.
14.2. Condiciones complementarias. Las Condiciones complementarias pueden aplicarse al uso que el
Cliente o el Conductor hagan de los Servicios Uber, como el uso de las polticas o las condiciones
relacionadas con determinadas funciones y funcionalidad, que podrn ser modificadas de
cuando en cuando (Condiciones complementarias). El Cliente puede recibir determinadas
Condiciones complementarias de cuando en cuando. Las Condiciones complementarias se
incorporan al presente Contrato y deben considerarse como parte del mismo. Las Condiciones
complementarias prevalecen sobre el presente Contrato en caso de conflicto.
14.3. Divisibilidad. Si cualquier disposicin del presente Contrato se considerara ilegal, nula o
anulable, ya sea en su totalidad o en parte, de conformidad con cualquier legislacin, dicha
disposicin o parte de la misma se considerar que no forma parte del presente Contrato,
aunque la legalidad, validez y aplicabilidad del resto de disposiciones del presente Contrato no
se ver afectada. En ese caso, las partes debern reemplazar dicha (parte de) disposicin ilegal,
nula o anulable por una (parte de) disposicin legal, vlida y aplicable que posea, en la medida
de lo posible, un efecto similar al que tena la (parte de la) disposicin ilegal, nula o anulable,
dados los contenidos y el propsito del presente Contrato.
14.4. Cesin. El Cliente no tiene derecho a ceder o transferir este Contrato ni ninguno de sus derechos
u obligaciones conforme a las presentes disposiciones, ya sea en su totalidad o en parte, sin
consentimiento previo de la otra parte. Uber puede ceder o transferir este Contrato o
cualquiera de sus obligaciones con respecto a l, ya sea en su totalidad o en parte, conforme al
presente Contrato, de cuando en cuando y sin consentimiento.
14.5. Contrato ntegro. Este Contrato, incluida la introduccin y todas las Condiciones
complementarias, constituyen el contrato ntegro y el entendimiento entre las partes en
relacin con el objeto del Contrato y sustituye y anula todos los contratos o acuerdos anteriores
o contemporneos en relacin con dicho objeto del Contrato. En este Contrato, las palabras
incluido/a/os/as e incluye/n significa incluido, de forma enunciativa aunque no limitativa.
El prefacio forma parte del presente Contrato.
14.6. Ningn tercer beneficiario. Excepto en lo dispuesto de otro modo en el Apartado 2.5 anterior, el
Cliente reconoce que no existen terceros beneficiarios con respecto al presente Contrato.
Ningn aspecto contenido en el presente Contrato est previsto ni deber interpretarse como
que genere ningn derecho de tercer beneficiario.
14.7. Notificaciones. Cualquier notificacin enviada por Uber al Cliente con arreglo al presente
Contrato ser entregada por e-mail a la direccin de e-mail asociada a la cuenta del Cliente o
mediante publicacin en el portal de Internet disponible para el Cliente en los Servicios Uber.
Cualquier notificacin entregada por el Cliente a Uber con arreglo al presente Contrato ser
entregada contactando a Uber a travs del apartado Contacto de la pgina web
http://partners.uber.com. Puede que sea necesario realizar notificaciones adicionales
especficas de Territorio de cuando en cuando.
15. Legislacin aplicable; Arbitraje. Salvo que se especifique lo contrario en el presente Contrato, el
presente Contrato se regir e interpretar exclusivamente en virtud de la legislacin de los Pases
Bajos, con exclusin de sus normas sobre conflicto de leyes. La Convencin de Viena sobre los
Contratos de Compraventa Internacional de Mercaderas de 1980 (CISG) no se aplicar. Cualquier
disputa, conflicto o controversia, del tipo que sea, que resulte del presente Contrato o est en
relacin con el mismo, incluyendo sin limitacin las relativas a su validez, interpretacin y
exigibilidad, debern someterse forzosamente a procedimiento de solucin en virtud de los
Reglamentos de la Cmara de Comercio Internacional (Reglamentos de Mediacin de la CCI). Si
dicha disputa no fuese solucionada en un plazo de sesenta (60) das desde la fecha en la que se
formalice la solicitud de Mediacin en virtud de los Reglamentos de Mediacin de la CCI, se har
referencia a la disputa y se solucionar exclusiva y definitivamente mediante arbitraje en virtud de
los Reglamentos de Arbitraje de la Cmara de Comercio Internacional (Reglamentos de Arbitraje de
la CCI). Las disposiciones del rbitro de Emergencia de los Reglamentos de la CCI no se aplicarn. La
disputa ser resuelta por un (1) rbitro nombrado a tal fin en virtud de los Reglamentos de la CCI. El
lugar de celebracin del arbitraje ser msterdam, Pases Bajos. La lengua del arbitraje ser el
ingls. La existencia y contenido de los procedimientos de mediacin y arbitraje, incluidos los
documentos e informes presentados por las partes, la correspondencia de y a la CCI, la
correspondencia del mediador y la correspondencia, pedidos y galardones emitidos por el nico
rbitro debern permanecer en estricta confidencialidad y no debern ser revelados a ninguna

revelacin a la tercera parte sea razonablemente necesaria para llevar a cabo la mediacin o

confidencialidad estipulada en el presente documento.
Al pulsar Acepto o firmar a continuacin (ya que podra requerirlo por la legislacin vigente), el Cliente
reconoce expresamente que el Cliente ha ledo, entendido y tomado las medidas necesarias para
sopesar cuidadosamente las consecuencias del presente Contrato, que el Cliente se compromete a

Services
Agreement
(Agreement)
constitutes
a
legal
agreement
between
an
independent
company
in
the
business
of
providing
transportation
services
(Customer)
and
Uber
B.V.,
a
private
limited
liability
company
established
in
The
Netherlands,
having
its
offices
at
Vijzelstraat
68-78,
4th
floor,
1017
HL,
Amsterdam,
The
Netherlands,
registered
at
the
Amsterdam
Chamber
of
Commerce
under
number
56317441
(Uber).
Uber
provides
the
Uber
Services
(as
defined
below)
for
the
purpose
of
providing
lead
generation
to
transportation
services
providers.
The
Uber
Services
enable
an
authorized
transportation
provider
to
seek,
receive
and
fulfill
requests
for
transportation
services
from
an
authorized
user
of
Ubers
mobile
application.
Customer
is
authorized
to
provide
transportation
services
in
the
state(s)
and
jurisdiction(s)
in
which
it
operates,
and
it
desires
to
enter
into
this
Agreement
for
the
purpose
of
accessing
and
using
the
Uber
Services
to
enhance
its
transportation
business.
Customer
acknowledges
and
agrees
that
Uber
is
a
technology
services
provider
that
does
not
provide
transportation
services,
function
as
a
transportation
carrier,
nor
operate
as
an
agent
for
the
transportation
of
passengers.
In
order
to
use
the
Uber
Services,
Customer
must
agree
to
the
terms
and
conditions
that
are
set
forth
below.
Upon
Customers
execution
(electronic
or
otherwise)
of
this
Agreement,
Customer
and
Uber
shall
be
bound
by
the
terms
and
conditions
set
forth
herein.
1. Definitions
1.1. Affiliate
means
an
entity
that,
directly
or
indirectly,
controls,
is
under
the
control
of,
or
is
under
common
control
with
a
party,
where
control
means
having
more
than
fifty
percent
(50%)
of
the
voting
stock
or
other
ownership
interest,
the
majority
of
the
voting
rights
of
such
entity,
the
ability
of
such
entity
to
ensure
that
the
activities
and
business
of
that
Affiliate
are
conducted
in
accordance
with
the
wishes
of
that
entity
or
the
right
to
receive
the
majority
of
the
income
of
that
Affiliate
on
any
distribution
by
it
of
all
of
its
income
or
the
majority
of
its
assets
on
a
winding
up.
1.2. City
Addendum
means
an
addendum
or
supplemental
information
to
this
Agreement
setting
forth
additional
Territory-specific
terms,
as
made
available
and
as
updated
by
Uber
from
time
to
time.
1.3. Device
means
an
Uber
Device
or
Driver-Provided
Device,
as
the
case
may
be.
1.4. Driver
means
a
principal,
employee
or
contractor
of
Customer:
(a)
who
meets
the
then-
current
Uber
requirements
to
be
an
active
driver
using
the
Uber
Services;
(b)
whom
Uber
authorizes
to
access
the
Uber
Services
to
provide
Transportation
Services
on
behalf
of
Customer;
and
(c)
who
has
entered
into
the
Driver
Addendum.
1.5. Driver
Addendum
means
the
terms
and
conditions
that
Customer
is
required
to
enter
into
with
a
Driver
prior
to
such
Driver
providing
Transportation
Services
on
behalf
of
Customer
(as
may
be
updated
by
Uber
from
time
to
time).
1.6. Driver
App
means
Ubers
mobile
application
that
enables
transportation
providers
to
access
the
Uber
Services
for
the
purpose
of
seeking,
receiving
and
fulfilling
on-demand
requests
for
transportation
services
by
Users,
as
may
be
updated
or
modified
by
Uber
at
its
discretion
from
time
to
time.
1.7. Driver
ID
means
the
identification
and
password
key
assigned
by
Uber
to
a
Driver
that
enables
a
Driver
to
use
and
access
the
Driver
App.
1.8. Driver-Provided
Device
means
a
mobile
device
owned
or
controlled
by
Customer
or
a
Driver:
(a)
that
meets
the
then-current
Uber
specifications
for
mobile
devices
as
set
forth
at
www.uber.com/byod-devices;
and
(b)
on
which
the
Driver
App
has
been
installed
as
authorized
by
Uber
solely
for
the
purpose
of
providing
Transportation
Services.
1.9. Fare
has
the
meaning
set
forth
in
Section
4.1.
1.10. Service
Fee
has
the
meaning
set
forth
in
Section
4.4.
1.11. Taxi
Services
has
the
meaning
set
forth
in
Section
3.1.
1.12. Territory
means
the
city
or
metro
areas
outside
of
the
United
States
and
Mainland
China
in
which
Customer
and
its
Drivers
are
enabled
by
the
Driver
App
to
receive
requests
for
Transportation
Services.
1.13. Tolls
means
any
applicable
road,
bridge,
ferry,
tunnel
and
airport
charges
and
fees,
including
inner-city
congestion,
environmental
or
similar
charges
as
reasonably
determined
by
the
Uber
Services
based
on
available
information.
1.14. Transportation
Services
means
the
provision
of
passenger
transportation
services
to
Users
via
the
Uber
Services
in
the
Territory
by
Customer
and
its
Drivers
using
the
Vehicles.
1.15. Uber
Data
means
all
data
related
to
the
access
and
use
of
the
Uber
Services
hereunder,
including
all
data
related
to
Users
(including
User
Information),
all
data
related
to
the
provision
of
Transportation
Services
via
the
Uber
Services
and
the
Driver
App,
and
the
Driver
ID.
1.16. Uber
Device
means
a
mobile
device
owned
or
controlled
by
Uber
that
is
provided
to
Customer
or
a
Driver
for
the
sole
purpose
of
such
Driver
using
the
Driver
App
to
provide
Transportation
Services
and
for
no
other
purpose
whatsoever.
1.17. Uber
Services
mean
Ubers
electronic
services
rendered
via
a
digital
technology
platform,
being
on-demand
intermediary
and
related
services
that
enable
transportation
providers
to
seek,
receive
and
fulfill
on-demand
requests
for
transportation
services
by
Users
seeking
transportation
services;
such
Uber
Services
include
access
to
the
Driver
App
and
Ubers
related
software,
websites,
payment
services
as
described
in
Section
4
below,
and
related
support
services
systems,
as
may
be
updated
or
modified
by
Uber
at
its
discretion
from
time
to
time.
1.18. User
means
an
end
user
authorized
by
Uber
to
use
Ubers
mobile
application
for
the
purpose
of
obtaining
Transportation
Services
offered
by
Ubers
transportation
provider
customers.
1.19. User
Information
means
information
about
a
User
made
available
to
Customer
or
a
Driver
in
connection
with
such
Users
request
for
and
use
of
Transportation
Services,
which
may
include
the
Users
name,
pick-up
location,
contact
information
and
photo.
1.20. Vehicle
means
any
vehicle
of
Customer
that:
(a)
meets
the
then-current
Uber
requirements
for
a
vehicle
on
the
Uber
Services;
and
(b)
Uber
authorizes
for
use
by
a
Driver
for
the
purpose
of
providing
Transportation
Services
on
behalf
of
Customer.
2. Use
of
the
Uber
Services
2.1. Driver
IDs.
Uber
will
issue
Customer
a
Driver
ID
for
each
Driver
providing
Transportation
Services
to
enable
Customer
and
each
Driver
to
access
and
use
the
Driver
App
on
a
Device
in
accordance
with
the
Driver
Addendum
and
this
Agreement.
Customer
agrees
that
it
will,
and
that
it
will
ensure
that
its
Drivers
will,
maintain
Driver
IDs
in
confidence
and
not
share
Driver
IDs
with
any
third
party
other
than
the
Driver
associated
with
such
Driver
ID
for
the
purpose
of
providing
Transportation
Services.
Customer
will
immediately
notify
Uber
of
any
actual
or
suspected
breach
or
improper
use
or
disclosure
of
a
Driver
ID
or
the
Driver
App.
2.2. Provision
of
Transportation
Services.
When
the
Driver
App
is
active,
User
requests
for
Transportation
Services
may
appear
to
a
Driver
via
the
Driver
App
if
the
Driver
is
available
and
in
the
vicinity
of
the
User.
If
a
Driver
accepts
a
Users
request
for
Transportation
Services,
the
Uber
Services
will
provide
certain
User
Information
to
such
Driver
via
the
Driver
App,
including
the
Users
first
name
and
pickup
location.
In
order
to
enhance
User
satisfaction
with
the
Uber
mobile
application
and
Customers
and
Driver(s)
Transportation
Services,
it
is
recommended
that
the
Driver
wait
at
least
ten
(10)
minutes
for
a
User
to
show
up
at
the
requested
pick-up
location.
The
Driver
will
obtain
the
destination
from
the
User,
either
in
person
upon
pickup
or
from
the
Driver
App
if
the
User
elects
to
enter
such
destination
via
Ubers
mobile
application.
Customer
acknowledges
and
agrees
that
once
a
Driver
has
accepted
a
Users
request
for
Transportation
Services,
Ubers
mobile
application
may
provide
certain
information
about
the
Driver
to
the
User,
including
the
Drivers
first
name,
contact
information,
Customer
entity
name,
photo
and
location,
and
the
Drivers
Vehicles
make
and
license
plate
number.
Customer
shall
not,
and
shall
ensure
that
all
Drivers
do
not,
contact
any
Users
or
use
any
User's
personal
data
for
any
reason
other
than
for
the
purposes
of
fulfilling
Transportation
Services.
As
between
Uber
and
Customer,
Customer
acknowledges
and
agrees
that:
(a)
Customer
and
its
Drivers
are
solely
responsible
for
determining
the
most
effective,
efficient
and
safe
manner
to
perform
each
instance
of
Transportation
Services;
and
(b)
except
for
the
Uber
Services
or
any
Uber
Devices
(if
applicable),
Customer
shall
provide
all
necessary
equipment,
tools
and
other
materials,
at
Customers
own
expense,
necessary
to
perform
Transportation
Services.
2.3. Customers
Relationship
with
Users.
Customer
acknowledges
and
agrees
that
Customers
provision
of
Transportation
Services
to
Users
creates
a
legal
and
direct
business
relationship
between
Customer
and
the
User,
to
which
Uber
is
not
a
party.
Uber
is
not
responsible
or
liable
for
the
actions
or
inactions
of
a
User
in
relation
to
the
activities
of
Customer,
a
Driver
or
any
Vehicle.
Customer
shall
have
the
sole
responsibility
for
any
obligations
or
liabilities
to
Users
or
third
parties
that
arise
from
its
provision
of
Transportation
Services.
Customer
acknowledges
and
agrees
that
it
and
each
Driver
are
solely
responsible
for
taking
such
precautions
as
may
be
reasonable
and
proper
(including
maintaining
adequate
insurance
that
meets
the
requirements
of
all
applicable
laws)
regarding
any
acts
or
omissions
of
a
User
or
third
party.
Customer
acknowledges
and
agrees
that
Uber
may
release
the
contact
and/or
insurance
information
of
Customer
and/or
a
Driver
to
a
User
upon
such
Users
reasonable
request.
Customer
acknowledges
and
agrees
that,
unless
specifically
consented
to
by
a
User,
neither
Customer
nor
Driver
may
transport
or
allow
inside
any
Vehicle
individuals
other
than
a
User
and
any
individuals
authorized
by
such
User
during
the
performance
of
Transportation
Services
for
such
User.
Customer
acknowledges
and
agrees,
and
shall
ensure
that
its
Drivers
agree,
that
all
Users
should
be
transported
directly
to
their
specified
destination,
as
directed
by
the
applicable
User,
without
unauthorized
interruption
or
unauthorized
stops.
2.4. Customers
Relationship
with
Uber.
Customer
acknowledges
and
agrees
that
Ubers
provision
to
Customer
of
the
Driver
App
and
the
Uber
Services
creates
a
legal
and
direct
business
relationship
between
Uber
and
Customer.
Uber
does
not,
and
shall
not
be
deemed
to,
direct
or
control
Customer
or
its
Drivers
generally
or
in
their
performance
under
this
Agreement
specifically,
including
in
connection
with
the
operation
of
Customers
business,
the
provision
of
Transportation
Services,
the
acts
or
omissions
of
Drivers,
or
the
operation
and
maintenance
of
any
Vehicles.
Customer
and
its
Drivers
retain
the
sole
right
to
determine
when
and
for
how
long
each
of
them
will
utilize
the
Driver
App
or
the
Uber
Services.
Customer
and
its
Drivers
retain
the
option,
via
the
Driver
App,
to
attempt
to
accept
or
to
decline
or
ignore
a
Users
request
for
Transportation
Services
via
the
Uber
Services,
or
to
cancel
an
accepted
request
for
Transportation
Services
via
the
Driver
App,
subject
to
Ubers
then-current
cancellation
policies.
Customer
will
not,
and
will
ensure
that
its
Drivers
do
not:
(a)
display
Ubers
or
any
of
its
Affiliates
names,
logos
or
colors
on
any
Vehicle(s);
or
(b)
wear
a
uniform
or
any
other
clothing
displaying
Ubers
or
any
of
its
Affiliates
names,
logos
or
colors.
The
foregoing
does
not
apply
if
Customer
and
Uber
have
agreed
otherwise
or
if
so
required
by
law.
Customer
acknowledges
and
agrees
that
it
has
complete
discretion
to
operate
its
independent
business
and
direct
its
Drivers
at
its
own
discretion,
including
the
ability
to
provide
services
at
any
time
to
any
third
party
separate
and
apart
from
Transportation
Services.
For
the
sake
of
clarity,
Customer
understands
that
Customer
retains
the
complete
right
to
provide
transportation
services
to
its
existing
customers
and
to
use
other
software
application
services
in
addition
to
the
Uber
Services.
Uber
retains
the
right
to,
at
any
time
in
Uber's
sole
discretion,
deactivate
or
otherwise
restrict
Customer
or
any
Driver
from
accessing
or
using
the
Driver
App
or
the
Uber
Services
in
the
event
of
a
violation
of
this
Agreement,
a
violation
of
a
Driver
Addendum,
Customers
or
any
Drivers
disparagement
of
Uber
or
any
of
its
Affiliates,
Customers
or
any
Drivers
act
or
omission
that
causes
harm
to
Ubers
or
its
Affiliates
brand,
reputation
or
business
as
determined
by
Uber
in
its
sole
discretion.
Uber
also
retains
the
right
to
deactivate
or
otherwise
restrict
Customer
or
any
Driver
from
accessing
or
using
the
Driver
App
or
the
Uber
Services
for
any
other
reason
at
the
sole
and
reasonable
discretion
of
Uber.
2.5. Customers
Relationship
with
Drivers.
Customer
shall
have
the
sole
responsibility
for
any
obligations
or
liabilities
to
Drivers
that
arise
from
its
relationship
with
its
Drivers
(including
provision
of
Transportation
Services).
Customer
acknowledges
and
agrees
that
it
exercises
sole
control
over
the
Drivers
and
will
comply
with
all
applicable
laws
(including
tax,
social
security
and
employment
laws)
governing
or
otherwise
applicable
to
its
relationship
with
its
Drivers.
Notwithstanding
Customers
right,
if
applicable,
to
take
recourse
against
a
Driver,
Customer
acknowledges
and
agrees
that
it
is
at
all
times
responsible
and
liable
for
the
acts
and
omissions
of
its
Drivers
vis--vis
Users
and
Uber,
even
where
such
liability
may
not
be
mandated
under
applicable
law.
Customer
shall
require
each
Driver
to
enter
into
a
Driver
Addendum
(as
may
be
updated
from
time
to
time)
and
shall
provide
a
copy
of
each
executed
Driver
Addendum
to
Uber.
Customer
acknowledges
and
agrees
that
Uber
is
a
third
party
beneficiary
to
each
Driver
Addendum,
and
that,
upon
a
Drivers
execution
of
the
Driver
Addendum
(electronically
or
otherwise),
Uber
will
have
the
irrevocable
right
(and
will
be
deemed
to
have
accepted
the
right
unless
it
is
rejected
promptly
after
receipt
of
a
copy
of
the
executed
Driver
Addendum)
to
enforce
the
Driver
Addendum
against
the
Driver
as
a
third
party
beneficiary
thereof.
2.6. Ratings.
2.6.1. Customer
acknowledges
and
agrees
that:
(a)
after
receiving
Transportation
Services,
a
User
will
be
prompted
by
Ubers
mobile
application
to
provide
a
rating
of
such
Transportation
Services
and
Driver
and,
optionally,
to
provide
comments
or
feedback
about
such
Transportation
Services
and
Driver;
and
(b)
after
providing
Transportation
Services,
the
Driver
will
be
prompted
by
the
Driver
App
to
provide
a
rating
of
the
User
and,
optionally,
to
provide
comments
or
feedback
about
the
User.
Customer
shall
instruct
all
Drivers
to
provide
ratings
and
feedback
in
good
faith.
2.6.2. Customer
acknowledges
that
Uber
desires
that
Users
have
access
to
high-quality
services
via
Ubers
mobile
application.
In
order
to
continue
to
receive
access
to
the
Driver
App
and
the
Uber
Services,
each
Driver
must
maintain
an
average
rating
by
Users
that
exceeds
the
minimum
average
acceptable
rating
established
by
Uber
for
the
Territory,
as
may
be
updated
from
time
to
time
by
Uber
in
its
sole
discretion
(Minimum
Average
Rating).
In
the
event
a
Drivers
average
rating
falls
below
the
Minimum
Average
Rating,
Uber
will
notify
Customer
and
may
provide
the
Driver
in
Ubers
discretion,
a
limited
period
of
time
to
raise
his
or
her
average
rating
above
the
Minimum
Average
Rating.
If
such
Driver
does
not
increase
his
or
her
average
rating
above
the
Minimum
Average
Rating
within
the
time
period
allowed
(if
any),
Uber
reserves
the
right
to
deactivate
such
Drivers
access
to
the
Driver
App
and
the
Uber
Services.
Additionally,
Customer
acknowledges
and
agrees
that
repeated
failure
by
a
Driver
to
accept
User
requests
for
Transportation
Services
while
such
Driver
is
logged
in
to
the
Driver
App
creates
a
negative
experience
for
Users
of
Ubers
mobile
application.
Accordingly,
Customer
agrees
and
shall
ensure
that
if
a
Driver
does
not
wish
to
accept
User
requests
for
Transportation
Services
for
a
period
of
time,
such
Driver
will
log
off
of
the
Driver
App.
2.6.3. Uber
and
its
Affiliates
reserve
the
right
to
use,
share
and
display
Driver
and
User
ratings
and
comments
in
any
manner
in
connection
with
the
business
of
Uber
and
its
Affiliates
without
attribution
to
or
approval
of
Customer
or
the
applicable
Driver.
Customer
acknowledges
that
Uber
and
its
Affiliates
are
distributors
(without
any
obligation
to
verify)
and
not
publishers
of
Driver
and
User
ratings
and
comments,
provided
that
Uber
and
its
Affiliates
reserve
the
right
to
edit
or
remove
comments
in
the
event
that
such
comments
include
obscenities
or
other
objectionable
content,
include
an
individuals
name
or
other
personal
information,
or
violate
any
privacy
laws,
other
applicable
laws
or
Ubers
or
its
Affiliates
content
policies.
2.7. Devices.
2.7.1. Uber
encourages
Customer
to
use
Driver-Provided
Devices
for
providing
the
Transportation
Services.
Otherwise,
Uber
will
supply
Customer
upon
request
with
Uber
Devices
to
each
authorized
Driver
and
provide
the
necessary
wireless
data
plan
for
such
Devices,
provided
that
Uber
will
require
reimbursement
from
Customer
for
the
costs
associated
with
the
wireless
data
plan
of
each
Uber
Device
and/or
request
a
deposit
for
each
Uber
Device.
Customer
acknowledges
and
agrees
that:
(a)
Uber
Devices
may
only
be
used
for
the
purpose
of
enabling
Driver
access
to
the
Uber
Services;
and
(b)
Uber
Devices
may
not
be
transferred,
loaned,
sold
or
otherwise
provided
in
any
manner
to
any
party
other
than
the
Driver
assigned
to
use
such
Uber
Device.
Uber
Devices
shall
at
all
times
remain
the
property
of
Uber,
and
upon
termination
of
this
Agreement
or
the
termination
or
deactivation
of
a
Driver,
Customer
agrees
to
return
to
Uber
the
applicable
Uber
Devices
within
ten
(10)
days.
Customer
acknowledges
and
agrees
that
failure
to
timely
return
any
Uber
Devices,
or
damage
to
Uber
Devices
outside
of
normal
wear
and
tear,
will
result
in
the
forfeiture
of
related
deposits.
2.7.2. If
Customer
elects
to
use
any
Driver-Provided
Devices:
(i)
Customer
and/or
its
Drivers
are
responsible
for
the
acquisition,
cost
and
maintenance
of
such
Driver-Provided
Devices
as
well
as
any
necessary
wireless
data
plan;
and
(ii)
Uber
shall
make
available
the
Driver
App
for
installation
on
such
Driver-Provided
Devices.
Uber
hereby
grants
the
authorized
user
of
any
Driver-Provided
Device
a
personal,
non-exclusive,
non-
transferable
user
right
to
install
and
use
the
Driver
App
on
a
Driver-Provided
Device
solely
for
the
purpose
of
providing
Transportation
Services.
Customer
agrees
to
not,
and
shall
cause
each
applicable
Driver
to
not,
provide,
distribute
or
share,
or
enable
the
provision,
distribution
or
sharing
of,
the
Driver
App
(or
any
data
associated
therewith)
with
any
third
party.
The
foregoing
right
shall
immediately
terminate
and
Driver
will
delete
and
fully
remove
the
Driver
App
from
the
Driver-Provided
Device
in
the
event
that
Customer
and/or
the
applicable
Driver
ceases
to
provide
Transportation
Services
using
the
Driver-Provided
Device.
Customer
agrees,
and
shall
inform
each
applicable
Driver
that:
(i)
use
of
the
Driver
App
on
a
Driver-Provided
Device
requires
an
active
data
plan
with
a
wireless
carrier
associated
with
the
Driver-Provided
Device,
which
data
plan
will
be
provided
by
either
Customer
or
the
applicable
Driver
at
their
own
expense;
and
(ii)
use
of
the
Driver
App
on
a
Driver-Provided
Device
as
an
interface
with
the
Uber
Services
may
consume
very
large
amounts
of
data
through
the
data
plan.
Uber
advises
that
Driver-Provided
Devices
should
only
be
used
under
a
data
plan
with
unlimited
or
very
high
data
usage
limits,
and
Uber
shall
not
be
responsible
or
liable
for
any
fees,
costs,
or
overage
charges
associated
with
any
data
plan.
2.8. Location
Based
Services.
Customer
acknowledges
and
agrees
that
each
Drivers
geo-location
information
must
be
provided
to
the
Uber
Services
via
a
Device
in
order
to
provide
Transportation
Services.
Customer
acknowledges
and
agrees,
and
shall
inform
and
obtain
the
consent
of
each
Driver,
that:
(a)
the
Drivers
geo-location
information
will
be
monitored
and
tracked
by
the
Uber
Services
when
the
Driver
is
logged
into
the
Driver
App
and
available
to
receive
requests
for
Transportation
Services,
or
when
the
Driver
is
providing
Transportation
Services;
and
(b)
the
approximate
location
of
the
Drivers
Vehicle
will
be
displayed
to
the
User
before
and
during
the
provision
of
Transportation
Services
to
such
User.
In
addition,
Uber
may
monitor,
track
and
share
a
Drivers
geo-location
information
obtained
by
the
Driver
App
and
Device
for
safety,
security,
technical,
marketing
and
commercial
purposes,
including
to
provide
and
improve
Ubers
products
and
services.
3. Drivers
and
Vehicles
3.1. Driver
Requirements.
Customer
acknowledges
and
agrees
that
each
Driver
shall
at
all
times:
(a)
hold
and
maintain
(i)
a
valid
driver's
license
with
the
appropriate
level
of
certification
to
operate
the
Vehicle
assigned
to
such
Driver,
and
(ii)
all
licenses,
permits,
approvals
and
authority
applicable
to
Customer
and/or
Driver
that
are
necessary
to
provide
passenger
transportation
services
to
third
parties
in
the
Territory;
(b)
possess
the
appropriate
and
current
level
of
training,
expertise
and
experience
to
provide
Transportation
Services
in
a
professional
manner
with
due
skill,
care
and
diligence;
and
(c)
maintain
high
standards
of
professionalism,
service
and
courtesy.
Customer
acknowledges
and
agrees
that
each
Driver
may
be
subject
to
certain
background
and
driving
record
checks
from
time
to
time
in
order
for
such
Driver
to
qualify
to
provide,
and
remain
eligible
to
provide,
Transportation
Services.
In
addition
if
Customer
and/or
Driver
are
using
the
Uber
App
to
provide
Transportation
Services
in
conjunction
with
operating
a
taxi
(Taxi
Services),
such
Customer
and/or
Driver
shall
comply
with
all
applicable
laws
with
respect
thereto.
Customer
acknowledges
and
agrees
that
Uber
reserves
the
right,
at
any
time
in
Uber's
sole
discretion,
to
deactivate
or
otherwise
restrict
a
Driver
from
accessing
or
using
the
Driver
App
or
the
Uber
Services
if
Customer
or
such
Driver
fails
to
meet
the
requirements
set
forth
in
this
Agreement
or
the
Driver
Addendum.
3.2. Vehicle
Requirements.
Customer
acknowledges
and
agrees
that
each
Vehicle
shall
at
all
times
be:
(a)
properly
registered
and
licensed
to
operate
as
a
passenger
transportation
vehicle
in
the
Territory;
(b)
owned
or
leased
by
Customer,
or
otherwise
in
Customers
lawful
possession;
(c)
suitable
for
performing
the
passenger
transportation
services
contemplated
by
this
Agreement;
and
(d)
maintained
in
good
operating
condition,
consistent
with
industry
safety
and
maintenance
standards
for
a
Vehicle
of
its
kind
and
any
additional
standards
or
requirements
in
the
applicable
Territory,
and
in
a
clean
and
sanitary
condition.
3.3. Documentation.
To
ensure
Customers
and
each
of
its
Drivers
compliance
with
all
requirements
in
Sections
3.1
and
3.2
above,
Customer
must
provide
Uber
with
written
copies
of
all
such
licenses,
permits,
approvals,
authority,
registrations
and
certifications
prior
to
Customers
and
the
applicable
Drivers
provision
of
any
Transportation
Services.
Thereafter,
Customer
must
submit
to
Uber
written
evidence
of
all
such
licenses,
permits,
approvals,
authority,
registrations
and
certifications
as
they
are
renewed.
Uber
shall,
upon
request,
be
entitled
to
review
such
licenses,
permits,
approvals,
authority,
registrations
and
certifications
from
time
to
time,
and
Customers
failure
to
provide
or
maintain
any
of
the
foregoing
shall
constitute
a
material
breach
of
this
Agreement.
Uber
reserves
the
right
to
independently
verify
Customer's
and/or
any
Drivers
Documentation
from
time
to
time
in
any
way
Uber
deems
appropriate
in
its
reasonable
discretion.
4. Financial
Terms
4.1. Fare
Calculation
and
Customer
Payment.
Customer
is
entitled
to
charge
a
fare
for
each
instance
of
completed
Transportation
Services
provided
to
a
User
that
are
obtained
via
the
Uber
Services
(Fare),
where
such
Fare
is
calculated
based
upon
a
base
fare
amount
plus
distance
(as
determined
by
Uber
using
location-based
services
enabled
through
the
Device)
and/or
time
amounts,
as
detailed
at
www.uber.com/cities
for
the
applicable
Territory
(Fare
Calculation).
Customer
is
also
entitled
to
charge
User
for
any
Tolls,
taxes
or
fees
incurred
during
the
provision
of
Transportation
Services,
if
applicable.
Customer:
(i)
appoints
Uber
as
Customers
limited
payment
collection
agent
solely
for
the
purpose
of
accepting
the
Fare,
applicable
Tolls
and,
depending
on
the
region
and/or
if
requested
by
Customer,
applicable
taxes
and
fees
from
the
User
on
behalf
of
the
Customer
via
the
payment
processing
functionality
facilitated
by
the
Uber
Services;
and
(ii)
agrees
that
payment
made
by
User
to
Uber
shall
be
considered
the
same
as
payment
made
directly
by
User
to
Customer.
In
addition,
the
parties
acknowledge
and
agree
that
as
between
Customer
and
Uber,
the
Fare
is
a
recommended
amount,
and
the
primary
purpose
of
the
pre-arranged
Fare
is
to
act
as
the
default
amount
in
the
event
Customer
does
not
negotiate
a
different
amount.
Customer
shall
always
have
the
right
to:
(i)
charge
a
fare
that
is
less
than
the
pre-arranged
Fare;
or
(ii)
negotiate,
at
Customers
request,
a
Fare
that
is
lower
than
the
pre-arranged
Fare
(each
of
(i)
and
(ii)
herein,
a
Negotiated
Fare).
Uber
shall
consider
all
such
requests
from
Customer
in
good
faith.
Uber
agrees
to
remit
to
Customer
on
at
least
a
weekly
basis:
(a)
the
Fare
less
the
applicable
Service
Fee;
(b)
the
Tolls;
and
(c)
depending
on
the
region,
certain
taxes
and
ancillary
fees.
If
Customer
has
separately
agreed,
other
amounts
may
be
deducted
from
the
Fare
prior
to
remittance
to
Customer
(e.g.,
vehicle
financing
payments,
lease
payments,
mobile
device
usage
charges,
etc.),
the
order
of
those
deductions
from
the
Fare
to
be
determined
exclusively
by
Uber.
Notwithstanding
anything
to
the
contrary
in
this
Section
4.1,
if
Customer
is
providing
Taxi
Services,
the
following
shall
apply:
(x)
the
Fare
is
calculated
pursuant
to
local
taxi
regulations
in
the
Territory;
(y)
Customer
or
Driver
agrees
to
enter
the
exact
Fare
amount
(as
indicated
by
the
official
taxi
meter
in
the
Vehicle)
into
the
Driver
App
upon
completion
of
an
instance
of
Transportation
Services;
and
(z)
in
some
jurisdictions,
Users
will
pay
such
Customer
or
Driver
directly
rather
than
through
Uber's
mobile
application
(Uber
will
notify
Customer
if
(z)
is
applicable
in
its
Territory).
4.2. Changes
to
Fare
Calculation.
Uber
reserves
the
right
to
change
the
Fare
Calculation
at
any
time
in
Ubers
discretion
based
upon
local
market
factors,
and
Uber
will
provide
notice
to
Customer
in
the
event
of
such
change
that
would
result
in
a
change
in
the
recommended
Fare.
Continued
use
of
the
Uber
Services
after
any
such
change
in
the
Fare
Calculation
shall
constitute
Customers
consent
to
such
change.
4.3. Fare
Adjustment.
Uber
reserves
the
right
to:
(i)
adjust
the
Fare
for
a
particular
instance
of
Transportation
Services
(e.g.,
Driver
took
an
inefficient
route,
Driver
failed
to
properly
end
a
particular
instance
of
Transportation
Services
in
the
Driver
App,
technical
error
in
the
Uber
Services,
etc.);
or
(ii)
cancel
the
Fare
for
a
particular
instance
of
Transportation
Services
(e.g.,
a
User
is
charged
for
Transportation
Services
that
were
not
provided,
in
the
event
of
a
User
complaint,
fraud,
etc.).
Ubers
decision
to
reduce
or
cancel
the
Fare
in
any
such
manner
shall
be
exercised
in
a
reasonable
manner.
4.4. Service
Fee.
In
consideration
of
Ubers
provision
of
the
Uber
Services,
Customer
agrees
to
pay
Uber
a
service
fee
on
a
per
Transportation
Services
transaction
basis
calculated
as
a
percentage
of
the
Fare
(regardless
of
any
Negotiated
Fare),
as
provided
to
Customer
via
email
or
otherwise
made
available
electronically
by
Uber
from
time
to
time
for
the
applicable
Territory
(Service
Fee).
Unless
regulations
applicable
to
Customers
Territory
require
otherwise,
taxes
will
be
calculated
and
charged
on
the
Fare,
and
Uber
shall
calculate
the
Service
Fee
based
on
the
Fare
inclusive
of
such
taxes.
Uber
reserves
the
right
to
change
the
Service
Fee
at
any
time
in
Ubers
discretion
based
upon
local
market
factors,
and
Uber
will
provide
notice
to
Customer
in
the
event
of
such
change.
Continued
use
of
the
Uber
Services
after
any
such
change
in
the
Service
Fee
calculation
shall
constitute
Customers
consent
to
such
change.
In
addition,
with
respect
to
Taxi
Services
in
the
applicable
Territory,
Customer
agrees
to
pay
Uber
a
booking
fee
in
consideration
of
Ubers
provision
of
the
Driver
App
and
the
Uber
Services.
4.5. Cancellation
Charges.
Customer
acknowledges
and
agrees
that
Users
may
elect
to
cancel
requests
for
Transportation
Services
that
have
been
accepted
by
a
Driver
via
the
Driver
App
at
any
time
prior
to
the
Drivers
arrival.
In
the
event
that
a
User
cancels
an
accepted
request
for
Transportation
Services,
Uber
may
charge
the
User
a
cancellation
fee
on
behalf
of
the
Customer.
If
charged,
this
cancellation
fee
shall
be
deemed
the
Fare
for
the
cancelled
Transportation
Services
for
the
purpose
of
remittance
to
Customer
hereunder
(Cancellation
Fee).
The
parties
acknowledge
that
and
agree
that
as
between
Customer
and
Company,
this
Cancellation
Fee
is
a
recommended
amount,
and
the
primary
purpose
of
such
Cancellation
Fee
is
to
act
as
the
default
amount
in
the
event
Customer
does
not
negotiate
a
different
amount.
Customer
shall
always
have
the
right
to:
(i)
charge
a
cancellation
fee
that
is
less
than
the
Cancellation
Fee;
or
(ii)
negotiate,
at
Customers
request,
a
cancellation
fee
that
is
lower
than
the
Cancellation
Fee
(each
of
(i)
and
(ii)
herein,
a
Negotiated
Cancellation
Fee).
If
charged,
the
Cancellation
Fee
(regardless
of
any
Negotiated
Cancellation
Fee)
shall
be
deemed
the
Fare
for
the
cancelled
Transportation
Services
for
the
purpose
of
remittance
to
the
Customer
hereunder.
4.6. Receipts.
As
part
of
the
Uber
Services,
Uber
provides
Customer
a
system
for
the
delivery
of
receipts
to
Users
for
Transportation
Services
rendered.
Upon
the
completion
of
Transportation
Services
for
a
User
by
a
Driver,
Uber
prepares
an
applicable
receipt
and
issues
such
receipt
to
the
User
via
email
on
behalf
of
the
Customer
and
applicable
Driver.
Such
receipts
are
also
provided
via
email
or
the
online
portal
available
to
the
Customer
on
the
Uber
Services.
Receipts
include
the
breakdown
of
amounts
charged
to
the
User
for
Transportation
Services
and
may
include
specific
information
about
the
Customer
and
applicable
Driver,
including
the
Customers
entity
name
and
contact
information
and
the
Drivers
name
and
photo,
as
well
as
a
map
of
the
route
taken
by
the
Driver.
Customer
shall
inform
Drivers
that
any
corrections
to
a
Users
receipt
for
Transportation
Services
must
be
submitted
to
Uber
in
writing
within
three
(3)
business
days
after
the
completion
of
such
Transportation
Services.
Absent
such
a
notice,
Uber
shall
not
be
liable
for
any
mistakes
in
or
corrections
to
the
receipt
or
for
recalculation
or
disbursement
of
the
Fare.
4.7. No
Additional
Amounts.
Customer
acknowledges
and
agrees
that,
for
the
mutual
benefit
of
the
parties,
through
advertising
and
marketing,
Uber
and
its
Affiliates
may
seek
to
attract
new
Users
to
Uber
and
to
increase
existing
Users
use
of
Ubers
mobile
application.
Customer
acknowledges
and
agrees
such
advertising
or
marketing
does
not
entitle
Customer
to
any
additional
monetary
amounts
beyond
the
amounts
expressly
set
forth
in
this
Agreement.
4.8. Taxes.
Customer
acknowledges
and
agrees
that
it
is
required
to:
(a)
complete
all
tax
registration
obligations
and
calculate
and
remit
all
tax
liabilities
related
to
the
provision
of
Transportation
Services
as
required
by
applicable
law;
and
(b)
provide
Uber
with
all
relevant
tax
information
(including
a
valid
VAT
number
belonging
to
Customer
and/or
any
Driver,
if
obtaining
a
VAT
number
is
required
of
Customer
and/or
any
Driver
by
applicable
law).
Customer
further
acknowledges
and
agrees
that
Customer
and
each
of
its
Drivers
are
responsible
for
taxes
on
their
own
income
arising
from
the
performance
of
Transportation
Services.
Notwithstanding
anything
to
the
contrary
in
this
Agreement,
Uber
may
in
its
reasonable
discretion
based
on
applicable
tax
and
regulatory
considerations,
collect
and
remit
taxes
resulting
from
Customers
and/or
any
Drivers
provision
of
Transportation
Services
and/or
provide
any
of
the
relevant
tax
information
Customer
and/or
any
Driver
has
provided
pursuant
to
the
foregoing
requirements
in
this
Section
4.8
directly
to
the
applicable
governmental
tax
authorities
on
Customers
and/or
the
applicable
Drivers
behalf
or
otherwise.
5. Proprietary
Rights;
License
5.1. License
Grant.
Subject
to
the
terms
and
conditions
of
this
Agreement,
Uber
hereby
grants
Customer
a
non-exclusive,
royalty-free,
non-transferable,
non-sublicensable,
non-assignable
license,
during
the
term
of
this
Agreement,
to
use
(and
allows
its
Drivers
to
use)
the
Driver
App
in
connection
with
the
provision
by
Uber
of
the
Uber
Services
solely
for
the
purpose
of
providing
Transportation
Services
to
Users
and
tracking
resulting
Fares
and
Fees.
All
rights
not
expressly
granted
to
Customer
are
reserved
by
Uber,
its
Affiliates
and
their
respective
licensors.
5.2. Restrictions.
Customer
shall
not,
and
shall
not
allow
any
other
party
to:
(a)
license,
sublicense,
sell,
resell,
transfer,
assign,
distribute
or
otherwise
provide
or
make
available
to
any
other
party
the
Uber
Services,
Driver
App
or
any
Uber
Device
in
any
way;
(b)
modify
or
make
derivative
works
based
upon
the
Uber
Services
or
Driver
App;
(c)
improperly
use
the
Uber
Services
or
Driver
App,
including
creating
Internet
links
to
any
part
of
the
Uber
Services
or
Driver
App,
framing
or
mirroring
any
part
of
the
Uber
Services
or
Driver
App
on
any
other
websites
or
systems,
or
scraping
or
otherwise
improperly
obtaining
data
from
the
Uber
Services
or
Driver
App;
(d)
reverse
engineer,
decompile,
modify,
or
disassemble
the
Uber
Services
or
Driver
App,
except
as
allowed
under
applicable
law;
or
(e) send
spam
or
otherwise
duplicative
or
unsolicited
messages.
In
addition,
Customer
shall
not,
and
shall
not
allow
any
other
party
to,
access
or
use
the
Uber
Services
or
Driver
App
to:
(i)
design
or
develop
a
competitive
or
substantially
similar
product
or
service;
(ii)
copy
or
extract
any
features,
functionality,
or
content
thereof;
(iii)
launch
or
cause
to
be
launched
on
or
in
connection
with
the
Uber
Services
an
automated
program
or
script,
including
web
spiders,
crawlers,
robots,
indexers,
bots,
viruses
or
worms,
or
any
program
which
may
make
multiple
server
requests
per
second,
or
unduly
burden
or
hinder
the
operation
and/or
performance
of
the
Uber
Services;
or
(iv)
attempt
to
gain
unauthorized
access
to
the
Uber
Services
or
its
related
systems
or
networks,
all
except
to
the
extent
such
actions
must
be
allowed
under
Dutch
law.
5.3. Ownership.
The
Uber
Services,
Driver
App
and
Uber
Data,
including
all
intellectual
property
rights
therein,
and
the
Uber
Devices
are
and
shall
remain
the
property
of
Uber,
its
Affiliates
or
their
respective
licensors.
Neither
this
Agreement
nor
Customers
use
of
the
Uber
Services,
Driver
App
or
Uber
Data
conveys
or
grants
to
Customer
any
rights:
(a)
in
or
related
to
the
Uber
Services,
Driver
App
or
Uber
Data,
except
for
the
limited
license
granted
above;
or
(b)
to
use
or
reference
in
any
manner
Ubers,
its
Affiliates,
or
their
respective
licensors
company
names,
logos,
product
and
service
names,
trademarks,
service
marks
or
other
indicia
of
ownership.
Additionally,
Customer
acknowledges
Ubers
rights
in
its
UBER
family
of
trademarks
and
names,
including
UBER,
alone
and
in
combination
with
other
letters,
punctuation,
words,
symbols
and/or
designs,
the
UBER
Logo
and
EVERYONES
PRIVATE
DRIVER
(UBER
Marks
and
Names).
Customer
agrees
it
will
not,
and
it
will
ensure
that
its
Drivers
do
not,
try
to
register
or
otherwise
claim
ownership
in
any
of
the
UBER
Marks
and
Names,
alone
or
in
combination
with
other
letters,
punctuation,
words,
symbols
and/or
designs,
or
in
any
confusingly
similar
mark
or
name.
6. Confidentiality
6.1. Each
party
acknowledges
and
agrees
that
in
the
performance
of
this
Agreement
it
may
have
access
to
or
may
be
exposed
to,
directly
or
indirectly,
confidential
information
of
the
other
party
("Confidential
Information").
Confidential
Information
includes
Uber
Data,
Driver
IDs,
User
Information,
and
the
transaction
volume,
marketing
and
business
plans,
business,
financial,
technical,
operational
and
such
other
non-public
information
of
each
party
(whether
disclosed
in
writing
or
verbally)
that
such
party
designates
as
being
proprietary
or
confidential
or
of
which
the
other
party
should
reasonably
know
that
it
should
be
treated
as
confidential.
6.2. Each
party
acknowledges
and
agrees
that:
(a)
all
Confidential
Information
shall
remain
the
exclusive
property
of
the
disclosing
party;
(b)
it
shall
not
use
Confidential
Information
of
the
other
party
for
any
purpose
except
in
furtherance
of
this
Agreement;
(c)
it
shall
not
disclose
Confidential
Information
of
the
other
party
to
any
third
party,
except
to
its
employees,
officers,
contractors,
agents
and
service
providers
("Permitted
Persons")
as
necessary
to
perform
under
this
Agreement,
provided
Permitted
Persons
are
bound
in
writing
to
obligations
of
confidentiality
and
non-use
of
Confidential
Information
no
less
protective
than
the
terms
hereof;
and
(d)
it
shall
return
or
destroy
all
Confidential
Information
of
the
disclosing
party
upon
the
termination
of
this
Agreement
or
at
the
request
of
the
other
party
(subject
to
applicable
law
and,
with
respect
to
Uber,
its
internal
record-keeping
requirements).
6.3. Notwithstanding
the
foregoing,
Confidential
Information
shall
not
include
any
information
to
the
extent
it:
(a)
is
or
becomes
part
of
the
public
domain
through
no
act
or
omission
on
the
part
of
the
receiving
party;
(b)
was
possessed
by
the
receiving
party
prior
to
the
date
of
this
Agreement
without
an
obligation
of
confidentiality;
(c)
is
disclosed
to
the
receiving
party
by
a
third
party
having
no
obligation
of
confidentiality
with
respect
thereto;
or
(d)
is
required
to
be
disclosed
pursuant
to
law,
court
order,
subpoena
or
governmental
authority,
provided
the
receiving
party
notifies
the
disclosing
party
thereof
and
provides
the
disclosing
party
a
reasonable
opportunity
to
contest
or
limit
such
required
disclosure.
7. Privacy.
Subject
to
all
applicable
laws,
Uber
may
provide
to
a
third
party
any
information
(including
personal
data
and
any
Uber
Data)
about
Drivers
provided
hereunder
if:
(a)
there
is
a
complaint,
dispute
or
conflict,
including
an
accident,
between
a
Driver
and
a
User;
(b)
it
is
necessary
to
enforce
the
terms
of
the
Agreement;
(c)
it
is
required,
in
Ubers
or
any
Affiliates
sole
discretion,
by
applicable
law
or
regulation;
(d)
it
is
necessary,
in
Ubers
or
any
Affiliates
sole
discretion,
to
(1)
protect
the
safety,
rights,
property
or
security
of
Uber,
the
Uber
Services
or
any
third
party,
(2)
detect,
prevent
or
otherwise
address
fraud,
security
or
technical
issues,
and/or
(3)
prevent
or
stop
activity
which
Uber
or
any
of
its
Affiliates,
in
their
sole
discretion,
consider
to
be,
or
to
pose
a
risk
of
being,
illegal,
unethical
or
legally
actionable;
or (e)
it
is
required
or
necessary,
in
Ubers
or
any
Affiliates
sole
discretion,
for
insurance
or
other
purposes
related
to
Customers
and/or
Drivers
ability
to
qualify,
or
remain
qualified,
to
use
the
Uber
Services.
Customer
understands
that
Uber
may
retain
Customers
and/or
Driver(s)
personal
data
for
legal,
regulatory,
safety,
and
other
necessary
purposes
after
this
Agreement
is
terminated.
Uber
processes
personal
data
(including
that
referenced
in
Section
2.8
above)
in
accordance
with
its
privacy
policy
located
at
www.uber.com/legal.
8. Insurance
8.1. Customer
agrees
to
maintain
during
the
term
of
this
Agreement
on
all
Vehicles
operated
by
Customer
and
its
Drivers
commercial
automobile
liability
insurance
that
provides
protection
against
bodily
injury
and
property
damage
to
third
parties
at
levels
of
coverage
that
satisfy
all
applicable
laws
in
the
Territory.
This
coverage
must
also
include
any
no-fault
coverage
required
by
law
in
the
Territory
that
may
not
be
waived
by
an
insured.
8.2. Customer
agrees
to
maintain
during
the
term
of
this
Agreement
commercial
general
liability
insurance
that
provides
protection
against
personal
injury,
advertising
injury
and
property
damage
to
third
parties
at
levels
of
coverage
required
by
all
applicable
laws
in
the
Territory.
8.3. Customer
agrees
to
maintain
during
the
term
of
this
Agreement
workers
compensation
insurance
as
required
by
all
applicable
laws
in
the
Territory.
If
permitted
by
applicable
law,
Customer
may
choose
to
insure
itself
against
industrial
injuries
by
maintaining
occupational
accident
insurance
in
place
of
workers
compensation
insurance.
Customers
subcontractors
may
also,
to
the
extent
permitted
by
applicable
law,
maintain
occupational
accident
insurance
in
place
of
workers
compensation
insurance.
8.4. Customer
shall
add
Uber
(or
any
Affiliate
which
may
be
designated
by
Uber
from
time
to
time)
to
Customers
insurance
policies
required
in
Sections
8.1
and
8.2
above
as
an
additional
insured,
and
shall,
upon
Ubers
request,
provide
Uber
with
a
copy
of
such
insurance
certificate(s)
within
seven
(7)
days
of
such
request.
9. Representations
and
Warranties;
Disclaimers
9.1. By
Customer.
Customer
hereby
represents
and
warrants
that:
(a)
it
has
full
power
and
authority
to
enter
into
this
Agreement
and
perform
its
obligations
hereunder;
(b)
it
is
duly
organized,
validly
existing
and
in
good
standing
under
the
laws
of
the
jurisdiction
of
its
origin;
(c)
it
has
not
entered
into,
and
during
the
term
will
not
enter
into,
any
agreement
that
would
prevent
it
from
complying
with
this
Agreement;
(d)
it
will
comply
with
all
applicable
laws
in
its
performance
of
this
Agreement,
including
holding
and
complying
with
all
permits,
licenses,
registrations
and
other
governmental
authorizations
necessary
to
provide
(i)
Transportation
Services
using
the
Drivers
and
Vehicles
pursuant
to
this
Agreement,
and
(ii)
passenger
transportation
services
to
third
parties
in
the
Territory
generally;
and
(e) it
shall
require
all
Drivers
to comply
with
the
Driver
Addendum,
the
applicable
terms
and
conditions
set
forth
in
this
Agreement
and
all
applicable
laws.
9.2. Disclaimer
of
Warranties.
Uber
provides,
and
Customer
accepts,
the
Uber
Services,
Driver
App
and
the
Uber
Devices
on
an
"as
is"
and
"as
available"
basis.
Uber
does
not
represent,
warrant
or
guarantee
that
Customers
or
any
Drivers
access
to
or
use
of
the
Uber
Services,
Driver
App
or
the
Uber
Devices:
(a)
will
be
uninterrupted
or
error
free;
or
(b)
will
result
in
any
requests
for
Transportation
Services.
Uber
functions
as
an
on-demand
lead
generation
and
related
service
only
and
makes
no
representations,
warranties
or
guarantees
as
to
the
actions
or
inactions
of
the
Users
who
may
request
or
receive
Transportation
Services
from
Customer
or
any
Driver
hereunder,
and
Uber
need
not
screen
or
otherwise
evaluate
Users. By using
the
Uber
Services
and
Driver
App,
Customer
acknowledges
and
agrees
that
Customer
or
a
Driver
may
be
introduced
to
a
third
party
(including
Users)
that
may
pose
harm
or
risk
to
Customer,
a
Driver
or
other
third
parties.
Customer
and
Drivers
are
advised
to
take
reasonable
precautions
with
respect
to
interactions
with
third
parties
encountered
in
connection
with
the
use
of
the
Uber
Services
or
Driver
App.
Notwithstanding
Ubers
appointment
as
the
limited
payment
collection
agent
of
Customer
for
the
purpose
of
accepting
payment
from
Users
on
behalf
of
Customer
as
set
forth
in
Section
4
above,
Uber
expressly
disclaims
all
liability
for
any
act
or
omission
of
Customer,
any
Driver,
any
User
or
other
third
party.
9.3. No
Service
Guarantee.
Uber
does
not
guarantee
the
availability
or
uptime
of
the
Uber
Services
or
Driver
App.
Customer
acknowledges
and
agrees
that
the
Uber
Services
or
Driver
App
may
be
unavailable
at
any
time
and
for
any
reason
(e.g.,
due
to
scheduled
maintenance
or
network
failure).
Further,
the
Uber
Services
or
Driver
App
may
be
subject
to
limitations,
delays,
and
other
problems
inherent
in
the
use
of
the
internet
and
electronic
communications,
and
Uber
is
not
responsible
for
any
delays,
delivery
failures
or
other
damages,
liabilities
or
losses
resulting
from
such
problems.
10. Indemnification
10.1. Customer
shall
indemnify,
defend
(at
Ubers
option)
and
hold
harmless
Uber
and
its
Affiliates
and
their
respective
officers,
directors,
employees,
agents,
successors
and
assigns
from
and
against
any
and
all
liabilities,
expenses
(including
legal
fees),
damages,
penalties,
fines,
social
security
contributions
and
taxes
arising
out
of
or
related
to:
(a)
Customers
breach
of
its
representations,
warranties
or
obligations
under
this
Agreement;
or
(b)
a
claim
by
a
third
party
(including
Users,
regulators
and
governmental
authorities)
directly
or
indirectly
related
to
Customers
provision
of
Transportation
Services
or
use
of
the
Uber
Services.
10.2. As
between
Customer
and
Uber,
Customer
is
and
shall
be
solely
responsible
for
its
Drivers
provision
of
Transportation
Services.
As
such,
Customer
shall
indemnify,
defend
(at
Ubers
option)
and
hold
harmless
Uber
and
its
Affiliates
and
their
respective
officers,
directors,
employees,
agents,
successors
and
assigns
from
and
against
any
and
all
liabilities,
expenses
(including
legal
fees),
damages,
penalties,
fines,
social
security
contributions
and
taxes
directly
or
indirectly
arising
out
of
or
related
to
its
Drivers
provision
of
Transportation
Services
or
use
of
the
Uber
Services.
11. Limits
of
Liability.
Uber
and
its
Affiliates
shall
not
be
liable
under
or
related
to
this
Agreement
for
any
of
the
following,
whether
based
on
contract,
tort
or
any
other
legal
theory,
even
if
a
party
has
been
advised
of
the
possibility
of
such
damages:
(i)
any
incidental,
punitive,
special,
exemplary,
consequential,
or
other
indirect
damages
of
any
type
or
kind;
or
(ii)
Customers,
Driver's
or
any
third
partys
property
damage,
or
loss
or
inaccuracy
of
data,
or
loss
of
business,
revenue,
profits,
use
or
other
economic
advantage.
Except
for
Ubers
obligations
to
pay
amounts
due
to
Customer
pursuant
to
Section
4
above,
but
subject
to
any
limitations
or
other
provisions
contained
in
this
Agreement
which
are
applicable
thereto,
in
no
event
shall
the
liability
of
Uber
or
its
Affiliates
under
this
Agreement
exceed
the
amount
of
Service
Fees
actually
paid
to
or
due
to
Uber
hereunder
in
the
six
(6)
month
period
immediately
preceding
the
event
giving
rise
to
such
claim.
Customer
acknowledges
and
agrees
that
any
and
all
claims
Customer
has
or
purports
to
have
against
Uber
and/or
its
Affiliates
should
be
notified
to
Uber
and/or
its
Affiliates
within
one
(1)
year
after
the
event(s)
that
gave
rise
to
such
claim
and
that
Customer
forfeits
all
rights
in
respect
of
that
claim
if
Customer
fails
to
do
so.
These
limitations
do
not
purport
to
limit
liability
that
cannot
be
excluded
by
applicable
law.
12. Term
and
Termination
12.1. Term.
This
Agreement
shall
commence
on
the
date
that
the
Agreement
is
executed
by
Customer
(electronically
or
otherwise)
and
shall
continue
until
terminated
as
set
forth
herein.
12.2. Termination.
Either
party
may
terminate
this
Agreement:
(a)
without
cause
at
any
time
upon
seven
(7)
days
prior
notice
to
the
other
party;
(b)
immediately,
without
notice,
for
the
other
partys
material
breach
of
this
Agreement;
or
(c)
immediately,
without
notice,
in
the
event
of
the
insolvency
or
bankruptcy
of
the
other
party,
or
upon
the
other
partys
filing
or
submission
of
request
for
suspension
of
payment
(or
similar
action
or
event)
against
the
terminating
party.
In
addition,
Uber
may
terminate
this
Agreement
or
deactivate
Customer
or
a
particular
Driver
immediately,
without
notice,
with
respect
to
Customer
and/or
any
Driver
in
the
event
Customer
and/or
any
Driver,
as
applicable,
no
longer
qualifies,
under
applicable
law
or
the
standards
and
policies
of
Uber,
to
provide
Transportation
Services
or
to
operate
the
Vehicle,
or
as
otherwise
set
forth
in
this
Agreement.
12.3. Effect
of
Termination.
Upon
termination
of
the
Agreement,
Customer
and
all
Drivers,
as
applicable,
shall:
(a)
promptly
return
to
Uber
all
Uber
Devices;
and
(b)
immediately
delete
and
fully
remove
the
Driver
App
from
any
applicable
Driver-Provided
Devices.
Outstanding
payment
obligations
and
Sections
1,
2.3,
2.5,
2.6.3,
4.7,
4.8,
5.3,
6,
7,
9,
10,
11,
12.3,
13,
14
and
15
shall
survive
the
termination
of
this
Agreement.
13. Relationship
of
the
Parties
13.1. Except
as
otherwise
expressly
provided
herein
with
respect
to
Uber
acting
as
the
limited
payment
collection
agent
solely
for
the
purpose
of
collecting
payment
from
Users
on
behalf
of
Customer,
the
relationship
between
the
parties
under
this
Agreement
is
solely
that
of
independent
contractors.
The
parties
expressly
agree
that:
(a)
this
Agreement
is
not
an
employment
agreement,
nor
does
it
create
an
employment
relationship
(including
from
a
labor
law,
tax
law
or
social
security
law
perspective),
between
Uber
and
Customer
or
Uber
and
any
Driver;
and
(b)
no
joint
venture,
partnership,
or
agency
relationship
exists
between
Uber
and
Customer
or
Uber
and
any
Driver.
13.2. Customer
has
no
authority
to
bind
Uber
and
undertakes
not
to
hold
itself
out,
and
to
ensure
that
each
Driver
does
not
hold
himself
or
herself
out,
as
an
employee,
agent
or
authorized
representative
of
Uber
or
its
Affiliates.
Where,
by
implication
of
mandatory
law
or
otherwise,
Customer
or
any
Driver
may
be
deemed
an
employee,
agent
or
representative
of
Uber,
Customer
undertakes
and
agrees
to
indemnify,
defend
(at
Ubers
option)
and
hold
Uber
and
its
Affiliates
harmless
from
and
against
any
claims
by
any
person,
entity,
regulators
or
governmental
authorities
based
on
such
implied
employment,
agency
or
representative
relationship.
13.3. Customer
expressly
acknowledges
and
agrees
that
by
agreeing
to
the
terms
and
conditions
of
this
Agreement,
Customer
intends
to
perform
Transportation
Services
in
a
non-incidental
manner
and,
as
such,
Uber
will
consider
Customer
and
its
Drivers
to
be
taxable
persons
in
accordance
with
all
applicable
VAT
and
indirect
tax
legislation.
14. Miscellaneous Terms
14.1. Modification. Uber reserves the right to modify the terms and conditions of this Agreement or
the Driver Addendum at any time, effective upon publishing an updated version of this
Agreement or the Driver Addendum, as applicable, on the online portal available to Customer
on the Uber Services. Uber reserves the right to modify any information referenced at
hyperlinks from this Agreement from time to time. Customer hereby acknowledges and agrees
that, by using the Uber Services, or downloading, installing or using the Driver App, Customer is
bound by any future amendments and additions to this Agreement, information referenced at
hyperlinks herein, or documents incorporated herein, including with respect to Fare
Calculations. Continued use of the Uber Services or Driver App after any such changes shall
constitute Customers consent to such changes.
14.2. Supplemental Terms. Supplemental terms may apply to Customers and Drivers use of the Uber
Services, such as use policies or terms related to certain features and functionality, which may
be modified from time to time (Supplemental Terms). Customer may be presented with
certain Supplemental Terms from time to time. Supplemental Terms are in addition to, and shall
be deemed a part of, this Agreement. Supplemental Terms shall prevail over this Agreement in
the event of a conflict.
14.3. Severability. If any provision of this Agreement is held to be illegal, invalid or unenforceable, in
whole or in part, under any law, such provision or part thereof shall to that extent be deemed
not to form part of this Agreement but the legality, validity and enforceability of the remainder
of this Agreement shall not be affected. In that event, the parties shall replace the illegal, invalid
or unenforceable (part of the) provision with a (part of a) provision that is legal, valid and
enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or
unenforceable (part of the) provision, given the contents and purpose of this Agreement.
14.4. Assignment. Customer may not assign or transfer this Agreement or any of its rights or
obligations hereunder, in whole or in part, without the prior written consent of the other party.
Uber may assign or transfer this Agreement or any or all of its rights or obligations hereunder, in
whole or in part, under this Agreement from time to time without consent.
14.5. Entire Agreement. This Agreement, including the recitals and all Supplemental Terms,
constitutes the entire agreement and understanding of the parties with respect to its subject
matter and replaces and supersedes all prior or contemporaneous agreements or undertakings
regarding such subject matter. In this Agreement, the words including and include mean
including, but not limited to. The recitals form a part of this Agreement.
14.6. No Third Party Beneficiaries. Except as otherwise set forth in Section 2.5 above, Customer
acknowledges that there are no third party beneficiaries to this Agreement. Nothing contained
in this Agreement is intended to or shall be interpreted to create any third party beneficiary
claims.
14.7. Notices. Any notice delivered by Uber to Customer under this Agreement will be delivered by
email to the email address associated with Customers account or by posting on the online
portal available to the Customer on the Uber Services. Any notice delivered by Customer to
Uber under this Agreement will be delivered by contacting Uber at http://partners.uber.com in
the Contact Us section. Additional Territory-specific notices may be required from time to
time.
15. Governing Law; Arbitration. Except as otherwise set forth in this Agreement, this Agreement shall
be exclusively governed by and construed in accordance with the laws of The Netherlands, excluding
its rules on conflicts of laws. The Vienna Convention on the International Sale of Goods of 1980
(CISG) shall not apply. Any dispute, conflict or controversy, howsoever arising out of or broadly in
connection with or relating to this Agreement, including those relating to its validity, its construction
or its enforceability, shall be first mandatorily submitted to mediation proceedings under the
International Chamber of Commerce Mediation Rules (ICC Mediation Rules). If such dispute has
not been settled within sixty (60) days after a Request for Mediation has been submitted under such
ICC Mediation Rules, such dispute can be referred to and shall be exclusively and finally resolved by
arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC
Arbitration Rules). The ICC Rules' Emergency Arbitrator provisions are excluded. The dispute shall
be resolved by one (1) arbitrator to be appointed in accordance with the ICC Rules. The place of
arbitration shall be Amsterdam, The Netherlands. The language of the arbitration shall be English.
The existence and content of the mediation and arbitration proceedings, including documents and
briefs submitted by the parties, correspondence from and to the ICC, correspondence from the
mediator, and correspondence, orders and awards issued by the sole arbitrator, shall remain strictly
confidential and shall not be disclosed to any third party without the express written consent from
the other party unless: (i) the disclosure to the third party is reasonably required in the context of
conducting the mediation or arbitration proceedings; and (ii) the third party agrees unconditionally
in writing to be bound by the confidentiality obligation stipulated herein.

consequences of this Agreement, that Customer agrees to be bound by the terms and conditions of this
