Service Agreement Form

This Service Agreement is made at Islamabad on the 30/12/2016 Effective Date by and between
Telenor Pakistan (Pvt.) Ltd. a company incorporated under the laws of Pakistan and having its
registered office at 38 Paris Plaza, F-11 Markaz, Islamabad, Pakistan, hereinafter referred to as
Telenor which expression shall be deemed to include its successors in interest and permitted
assigns, of the first part;
and Mid-Pak Food Industries having its registered office at 34-A Industrial Area Rahim Yar Khan
hereinafter referred to as the Customer which expression shall be deemed to include its successors
in interest and permitted assigns, of the second part.

Telenor and the Customer shall hereinafter wherever the context so permits shall be individually
referred to as the Party and collectively as the Parties.
WHEREAS

Telenor is a telecommunications service provider duly authorized by the Government of Pakistan and
Pakistan Telecommunication Authority to provide cellular telecommunication services in Pakistan.
The Customer is a SME.
The Customer desires to obtain a certain number of mobile phone connections at corporate rates
from Telenor.

NOW THEREFORE THIS AGREEMENT WITNESSES AS UNDER

1. The mobile phone connections and services to be provided by Telenor to the Customer shall be in
subject to the terms and conditions contained herein and the Customer Activation Form (CSAF).

2. The Customer shall deposit the cash security of PKR 5000/- for the mobile phone connections and
services to be provided by Telenor.

3. Telenor shall provide mobile phone connections for voice subscription to the Customer.
The number(s) to be provided to the Customer are listed herewith as Annexure A
(hereinafter referred to as the Numbers).

4. New numbers shall be added to Annexure A from time to time, at the request of the
Customer.

5. All Special number(s) availed without charges would not be port-out from the Telenor
network atleast for one calendar year from the date number(s) are issued in TP
database.

i. If for some reason, the customer wishes to terminate the numbers


during the first year, the numbers can be terminated after settling all
the outstanding dues.

6. Telenor shall take reasonable steps to ensure that the Numbers and personal data of the
Customer are not disclosed to any third party or personnel other than for the provision of
services. However, Telenor shall not be responsible or liable for the disclosure from any source
other than Telenor.

7. Telenor reserves the right to revise the fees, tariffs, costs, rates and charges during the term of
this Agreement.

8. In case if customer is Telenor Pakistan Vendor, Telenor Pakistan has the rights to deduct any
payables from vendors invoice in case of non-payment.

9. The Customer agrees to pay the average billing of PKR 5000/- per month for the services
provided by Telenor under this Agreement. Telenor shall raise an invoice on a monthly basis
which shall be paid by the Customer within sixty (60) days of receiving the invoice. The Customer
agrees to pay for the services provided by Telenor on time.

10. In the event of non-payment for a period over sixty (60) days after the date of invoice, Telenor
shall make all reasonable efforts of communication with the Customer for payment of the
outstanding amount. In case payment is still not made by the Customer, the Numbers shall be
considered vacant and Telenor reserves the right to assign the Numbers to other users without
any notice to the Customer and to use legal action to recover the full outstanding amount.

11. This Agreement and the rights and obligations created hereunder shall be governed by and
construed under the laws of Pakistan and the courts at Islamabad shall have exclusive jurisdiction
in regard thereto.

12. All disputes arising between the Parties hereto arising from or in any manner connected with this
Agreement except termination shall be referred to arbitration under the Arbitration Act, 1940 or
any amendment, modification or re-enactment thereof and the rules made there under. The
arbitration shall be carried out by an arbitrator to be appointed by the mutual consent of the
Parties hereto. The decision of the arbitrator shall be final and binding. The venue of arbitration
shall be at Islamabad. Until determined by the arbitrator, each of the Parties shall bear their own
cost in respect of arbitration.

13. In case of any contradiction between the terms of this Agreement and those of the
Customer Activation Form (CSAF), the terms of this Agreement shall prevail.

14. The Parties hereby expressly agree that notwithstanding any other provision of this Agreement,
all decisions made by Telenor shall be final and conclusive.

IN WITNESS WHEREOF, the Parties hereto have signed and executed this Agreement by their
respective duly authorized representatives as of the date first given above.
