DISCLOSURE ON INTERESTED PARTY TRANSACTION

Please note that while responding to this offer/ tender of Deepak Fertilisers
And Petrochemicals Corporation Limited (DFPCL/ Company) you are
required to disclose and declare as to if you are related/connected/associated
directly or indirectly in whatever capacity, involving self, relatives (as defined
under Companies Act, 1956), friends or otherwise by whatever name called,
including firms, HUF, company etc., in the present offer/ tender issued to you
or in any ongoing transaction with the Company, with any of our employee.
Such a transaction is herein after referred to as Interested Party Transaction.

In the case of all Interested Party Transactions, you are required to disclose
Name of such Employee, Designation and nature of relationship/association
with the employee and the nature of interest direct or indirect, if any, of the
concerned employee in the transaction. You should also undertake to inform
the Company in writing immediately as and when any of our employees so
get associated or get interested in any of the ongoing transaction with the
company

Accordingly, you should attach a declaration to your offer on the following

line, failing which your offer/tender is likely to be not considered at the
discretion of the Company:

I/We hereby certify:

(i) * That to the best of my/our knowledge and belief, there is no on-
going Interested Party Transaction presently under execution by us.
There is also no such order pending with us as on date which is yet to
be executed.

(ii) * That the offer/ tender submitted by us now is not hit by Interested
Party Transaction principle, as no employee of DFPCL is in any way
related to us, so as to become an interested party transaction, as
defined by DFPCL.

(iii) That I/We undertake to inform you in writing immediately if in any

of my/our transaction with you, any of your employee become an
interested Party Transaction at any future date.

(iv) That I/we understand that non-disclosure of such an interest at the

appropriate time would render the transaction voidable at the sole
option of DFPCL, apart from inviting other legal liabilities.
