DEED OF EASEMENT: RIGHT OF WAY

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT OF EASEMENT OF RIGHT OF WAY, entered into this _25th day
of ____October_____, 2016 by and between Luis Geraldez Gran owner of the dominant estate,
of legal age, single and a resident of _____Sibalom, Antique___ and Vicente Occenola
Esponilla, owner of the servient estate, also of legal age, single and a resident of ___Sibalom,
Antique__ witnesseth:

That Luis Geraldez Gran is the owner of a parcel of agricultural land located in the
municipality of ___Sibalom__, province of _Antique_, which property is covered by T.C.T. No.
_____ S-61176 ___ of the Register of Deeds of ____Sibalom_____, province of
____Antique_____, which lot is adjacent to Vicente Occenola Esponillas property,which
property is covered by T.C.T. No. ____ S-61177 ___ of the Register of Deeds of the province of
Antique .

That Luis Geraldez Gran, in order to have an access to and from, and to cultivate the
above-mentioned land, and so as to have an outlet to ____Sibalom Main Road _____, which is the
nearest public road and least burdensome to the servient estate and to third persons, it would be
necessary for her to pass through Vicente Esponillas property, and for this purpose, a path or
passageway of not less than two (2) meters wide through the whole length of the western side of
Vicente Esponillas property is necessary for the use of Luis Geraldez Gran and for all his
needs in cultivating her estate;

That said path or passageway is particularly described in the attached plan, Annex A.

WHEREFORE, for and in consideration of the sum of _ FIFTY-FIVE THOUSAND _


PESOS (P____55,000_____) the receipt whereof is hereby acknowledged by Vicente Esponilla,
the latter agrees and permits Luis Geraldez Gran to have a permanent easement of right of way
over the above-mentioned property of said Vicente Esponilla limited to not more than two (2)
meters wide throughout the whole length of the western side of said property and as specifically
indicated in the attached plan which is made an integral part of this contract, as Annex A.

It is further agreed that,Vicente Esponilla, shall deliver unto Luis Geraldez Gran, all
the necessary papers, deed, and titles in relation to the servient estate in order to facilitate the
registration of the above-mentioned right of way, in accordance with.

This agreement shall be binding between the parties and upon all their heirs, successors,
and assigns.

IN WITNESS WHEREOF, the parties hereto have signed this agreement the day and the
year first above written, in the municipality of Sibalom, province of Antique, Philippines.

USUFRUCT AGREEMENT

This AGREEMENT, made and entered into this 25th day of October, 2016_, at San
Fernando City, Philippines, by and between:

ALARM DISTRIBUTION PACIFIC INC. a corporation duly organized and existing under and
by virtue of the laws of the Philippines, with principal office and place of business located at
Dagat-dagatan, Malabon City represented herein by its Officer/Director, -
CHARLEEN O. MUOZ, hereinafter known as the CORPORATION

and

OLIVIA M. ONOFRE, married, a Filipino Citizen, hereinafter known as


the GRANTOR, and owner of a residential building, herein after
referred to as REALTY, located at Malabon City

WHEREAS, the corporation desires to use Lot No. 12 Blk. 2 Dist. 6 and the structure thereon and
to make therein necessary improvements to accommodate its offices.

WHEREAS, the grantor accepts the offer of the grantee provided that the corporation shall assume
all the obligations of a usufructuary insofar as they are consistent with this agreement.

NOW THEREFORE, for and in consideration of the foregoing premises, the parties hereby agree
as follows:

1. RIGHT TO USE
The grantor hereby grants unto the corporation the right to use Lot No. 12 Blk. 2 Dist. 6 and
the structure thereon. This right to use includes the right to make improvements necessary
to accommodate office space for the exclusive use of the corporation.

2. OWNERSHIP OF THE IMPROVEMENTS


Upon the expiration of this contract all improvements upon the realty shall belong to the
grantor.

3. DURATION OF THE USUFRUCT


The right of the corporation to use the realty shall terminate on the 31st of December 2014.

4. OBLIGATIONS OF THE CORPORATION


The corporation hereby obligates itself to:

a. Preserve the form and substance of the realty except to the extent necessary to
accommodate its offices. This clause shall not be interpreted as an impossible obligation.
It is understood that this obligation is complied with so long as at least a single story of
the structure is dedicated for residential purposes with all necessary amenities and with
unhindered access for ingress and egress.
b. Assume all necessary AND extraordinary expenses and repairs upon the realty and the
improvements made by the corporation.
c. To pay all taxes, charges, liens over the realty existing at the time of this contracts
execution and those that may accrue within this duration AND upon its expiration
including transfer and realty taxes if any.

5. TOTAL CONSIDERATION
NO other consideration shall be due except as may be later on agreed upon.

6. BREACH
In case of breach of contract by one party, the other party has the right to terminate the
contract.
IN WITNESS HEREOF, the parties have hereunto, signed their names in the place and on the date
first above written, upon this instrument consisting of three pages.

DEED OF DONATION

KNOW ALL MEN BY THESE PRESENTS:

That this DEED OF DONATION, made and entered into by and between PLACIDO P.
LARUAN, of legal age, Filipino citizen, widow residing at Sison, Pangasinan hereinafter called
the DONOR, and BRENDA D. LARUAN, daughter of the DONOR, likewise of legal age, single,
Filipino citizen and a resident of Bahohg, La Trinidad, Benguet hereinafter referred to as the
DONEE.

WITNESSETH:

That the Donor is an owner of a certain parcel of land covered and embraced by TAX
DECLARATION NO.00533, located at Camagsingalan,Sual,Pangasinan, with property Index No.
013-41-008-09-013, with an area of THREE THOUSAND EIGHT HUNDRED FOURTY
SEVEN (3847) SQUARE METERS and bounded as follows:

North: Ass. Lot No. 43 South: Ass. Lot No. 50


East: Calombuyan River West: Ass. Lot No. 48

That for and in consideration of the love and affection which the DONOR has for the DONEE,
and as an act of liberality and generosity, the DONOR hereby voluntarily and freely gives, transfers
and conveys, by way of donation, unto said DONEE, her heirs, executors, administrators and
assigns, all of the rights and interests which the said DONOR has in the above-described real
property, together with all the improvements which may be found therein, free from all liens,
encumbrances and charges whatsoever.

That the DONOR has reserved for himself sufficient property to support himself in consonance
with his standing in society.

That the DONEE hereby receives and accepts this gift and donation made in her favor by the
DONOR, and she hereby expresses her appreciation and gratefulness for the kindness and
generosity of the DONOR.

That the property covered by TAX DECLARATION No. 00533 not having been registered under
Act No. 496 nor the under the Spanish Mortgage Law the parties have agreed to register this
instrument under the provision of Act No. 3344.

Finally the parcel of land subject of the DONATION are now in possession of the respective
donees.
IN WITNESS WHEREOF, the DONOR and the DONEE have hereunto signed this DEED OF
DONATION this ____ day of November 2009 at La Trinidad, Benguet.
