we have audited the accompanying Statment of financial results of Venky's (lndia) Llmlted ("the
Cornpany") for the quarter ended lrarch 31, 2017 and for the year ended March 31, 2017 ("the Statement')'
being submittd by the Company pursuant to the requirement of Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulation, 2015, rcad with SEBI Circular No
CIRyCFD/FACi62|2016 dated July 05, 2016. This Statement, has been prepared on the basis of financial
statements, which are responsibility of the Company's management. Our responsibjlity is to express an
opinion on the Statement based on our audit of such financial statements, which have been prepared in
accordance with the recognition and measurement principles laid down in Indian Accounting Standard (lnd
jssued thsreunder;
AS), prescribed, under section 133 of the Companies Act, 20'13 read with rclevant rules
and other accounting principles generally accepted in India.

We- conducted our audit in accordance with the auditing standards generally accepted in India Those
standards require that we plan and perform lhe audit to obtain reasonable asslrance about whether the
Statement is fiee of material misstatement(s). An audit includes examining, on a test basis, evidence
supporting the amounts disclosed as financial results. An audit also includes assessing the accounting
principles used and significant estimates made by l\,lanagement. We believe that our aud;t provides a
reasonable basis for our opinion,

In our opinion and to the best of our information and according to ihe explanations given 10 us, the
statement:
i. are presented in accordance with the requirements of Regulation 33 of the SEBI (Listing Obligation
and Disclosure Requirements) Regulatioh,2015 read with SEBI Circular No. ClNCFDlFACl62l2016
- dated July 05, 2016 in this regardi and

ii. give a true and fair view of the net profit and total comprehensive income and other financial
information for the quarter ended l\rarch 31, 2017 and for the year ended Match 31,2017.

The-statement includes the results for the quarter ended March 3'1, 2017 being the balancing figure between
audlted figures in respect of full financial year and published year to date figures up to the third quarter ofthe
current financialyear,
