CONTRACT TO BUY AND SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO BUY AND SELL made and executed by and

between by surviving spouse GUILLERMO M. FRANZUELA, of legal age,
widower and son BENJAMIN JOSE RAMOS FRANZUELA, of legal age, single
and are residents of Metro Manila, Philippines hereinafter referred to as
VENDORS

-and-

ALBERT BENASING CASTILLO, of legal age, Filipino, widower and a

resident of Apolinario Loop Guiwan, Zamboanga City, Philippines herein after
referred to as VENDEE.

WITNESSETH:

That the VENDOR is a registered owner of certain parcels of land

identified as Lot 1756-D-2 containing an area of FIVE HUNDRED (500) Square
Meters covered by TCT No. 53.139 situated at Barangay Sta. Maria, Zamboanga
City Philippines and Lot 1756-D-3 containing an area of ONE THOUSAND
NINETY ONE (1,191) Square Meters covered by TCT No. T-53,140, which are
more particularly described as follows, to wit:

A parcel of land (Lot 1756-D-2) of the subdivision plan PSD-09-002419,

being a portion of Lot 1756-D, PSD-71818, situated in Barangay Sta.Maria,
Zamboanga City, Island of Mindanaocontaining an area of FIVE HUNDRED
(500) Square Meters

TCT No. 53.139

A parcel of land (Lot 1756-D-3) of the subdivision plan PSD-09-002419,

being a portion of Lot 1756-D, PSD-71818, situated in Barangay Sta.Maria,
Zamboanga City, Island of Mindanaocontaining an area of ONE THOUSAND
NINETY ONE (1,191) Square Meters

WHEREAS, one of the registered co-owner, PILAR R. FRANZUELA

already passed away and is herein represented by her surviving spouse,
GUILLERMO M. FRANZUELA and son BENJAMIN JOSE RAMOS
FRANZUELA;

 WHEREAS, the BUYER has offered to buy and the SELLER has agreed to
sell the above-described parcel of land, for the price and under the terms and
conditions set forth herein below;

NOW THEREFORE, for and in consideration of the premises, and more

specifically the total sum of THREE MILION THREE HUNDRED EIGHTY TWO
THOUSAND (P 3,382,000.00) PESOS, Philippine currency, which the BUYERS
binds to pay under the terms and conditions:

1. The BUYER shall pay the cash down payment of TWO HUNDRED
THOUSAND (P200,000.00) PESOS, Philippine currency on the 20th
of September 2017, the receipt whereof is acknowledge from the
BUYER to the entire satisfaction of the SELLERS;

2. The remaining balance of THREE MILLION ONE HUNDRED

EIGHTY TWO THOUSAND (P3,182.00) PESOS, Philippine currency
shall be paid through post-dated checks in 24 monthly installments
starting on the 20th October 2017 and every 20th of the succeeding
months until October 2019;

3. All expenses relative to the sale shall be borne by the seller;

4. The SELLERS hereby warrant valid title over the above-mentioned

real property and the same is free and clear from all liens and of any
kind whatsoever. Provided, the SELLERS shall execute the Final
Deed of Absolute Sale in the event the BUYERS shall have
completed payment of the entire agreed purchase price, selling,
transferring and conveying, in a manner absolute and irrevocable in
favor of the BUYERS, her heirs and assigns, the above-described
real property.
