El presente convenio se celebra el da 31 del mes de
Marzo del ao 2016.

Begonias 415, Interior 2301 San Isidro, debidamente
representada por el seor Deng Tao, de nacionalidad China,
identificado con Carn de extranjera N 001307292 segn
poderes inscritos en la Partida Electrnica N 11599959 del
Registro de Personas Jurdicas de Lima, a quien en lo
sucesivo se denominar HUAWEI; y de la otra parte,

AREQUIPA, AREQUIPA, PER debidamente
representada por el Sr. Edgardo Isaac Loayza
Cordero, identificado con DNI N 30406031, segn
poderes inscritos en la Partida Electrnica N
11231226 del Registro de Personas Jurdicas de
Arequipa, a quien en lo sucesivo se denominar EL
COOPERADOR.
1. Definiciones. Con motivo de este Acuerdo,
"Informacin Confidencial" significar cualquier
informacin revelada por una Parte (la Parte
Informante) a la otra (la Parte Receptora),
incluyendo sin que esto implique una limitacin,
secretos comerciales, secretos relativos a las
telecomunicaciones conforme a lo establecido en
las diversas normas de la materia, know-how,
ideas, investigacin de patentes, planes de
negocio, informacin de comercializacin,
informacin de clientes, estado patrimonial y
cualquier otra informacin tcnica, comercial y/o
financiera, comunicada por medio de notas, cartas,
faxes, memos, acuerdos o contratos, anlisis,
reportes, actas, documentos, manuales,
recopilaciones, cdigos o frmulas de software, e-

This Agreement is made on the 31st day of March
2016.
BETWEEN
HUAWEI DEL PER S.A.C., identified with Single
Taxpayer Number N. 20507646728, domiciled at Las
Begonias 415, Interior 2301 San Isidro, duly represented
by Mr. Deng Tao, Chinese, identified by Foreign ID N
001307292 according to the powers of attorney
registered in Public Record N 11599959 of the Lima
Registry of Legal Entities, hereinafter referred to as
HUAWEI; and,
EMPRESA SATELECOM SAC identified by Single
Taxpayer Number 20539606345, domiciled at Cal.
Jos Baquijano N 155 Urb. Ferroviarios,
Arequipa, Arequipa, PER, duly represented by
Mr. Edgardo Isaac Loayza Cordero, identified with
DNI 30406031, according to the powers of
attorney registered in the Public Record N
11231226 of the Arequipa Registry of Legal
Entities hereinafter referred to as THE
COOPERATOR
1. Definitions. For the purpose of this Agreement,
"Confidential Information" shall mean any
information disclosed by one Party (the "Disclosing
Party") to the other Party (the "Receiving Party"),
including but not limited to trade secret, know-how,
ideas, patents research, business plans, marketing
information, information of customers, financial
situation, and any other technical, commercial
and/or financial information, either expressed in
notes, letters, facsimile, memoranda, agreement,
contract, analyses, report, minutes, document,
manual, compilations, software code or formulae,
electronic mail, or disclosed orally and identified as
confidential at the time of disclosure.

2. Excepciones. Sin embargo, las obligaciones
precedentes relacionadas con la revelacin de
Informacin Confidencial no ser aplicable a
ninguna Parte respecto de la Informacin
Confidencial que: (a) ya se encuentre en dominio
pblico o que se haga pblica sin culpa atribuible a
la Parte Receptora; (b) ya sea conocida por la
Parte Receptora o legalmente revelada a sta
antes de la suscripcin del presente documento, lo
cual debe probarse con documentacin escrita; (c)
se reciba de un tercero sin una restriccin similar o
sin incurrir en incumplimiento de este acuerdo; (d)
sea desarrollada independientemente por la Parte
Receptora sin haber tenido acceso a informacin
propietaria y no ha violado las obligaciones del
presente Acuerdo; (e) tenga la aprobacin escrita
de la Parte Informante para que dicha informacin
se publique; (f) se revele para dar cumplimiento a
cualquier solicitud, requerimiento u orden judicial,
gubernamental, administrativa, policial, fiscal u otra
autoridad competente. En caso que cualquiera de
las Partes o sus representantes fuesen requeridos
por cualquier autoridad competente a revelar
Informacin Confidencial, deber notificar de esta
circunstancia a la otra Parte dentro de las 24
(veinticuatro) horas de recibido dicho
requerimiento; o (g) se revele para dar
cumplimiento a cualquier solicitud, requerimiento o
auditora iniciada por la SUNAT.
3. Confidencialidad. La Parte Receptora no deber
utilizar la Informacin Confidencial de la Parte
Informante para fines que no estn relacionados
con la ejecucin de este Acuerdo o de cualquier
otro acto jurdico que las Partes pudiesen convenir.
Por ello la Parte Receptora:
(a) Deber utilizar los mismos medios que utiliza
para proteger su propia Informacin
Confidencial, pero bajo ninguna circunstancia
deber utilizar menos medios que los
razonables para evitar la revelacin de dicha
Informacin Confidencial a terceros.
(b) No podr, sin el consentimiento por escrito de

disclosure of Confidential Information shall not
apply, however, to any part of the Confidential
Information which: (a) was already in the public
domain or which becomes so through no fault of the
Receiving Party; (b) was already known or lawfully
disclosed to the Receiving Party prior to receipt
hereof, proven by written documentation; (c) is
received from a third party without similar restriction
and without breach of this Agreement; (d) is
independently developed by the Receiving Party
who has not had access to any of the proprietary
information and without violating its obligations
hereunder; (e) is expressly approved for release by
written authorization of the Disclosing Party; (f) is
disclosed to comply with any request or judicial
order, governmental, administrative, police, tax or
other competent authority. In case any of the parties
or their representatives were required by any
competent authority to disclose confidential
information shall notify this fact to the other party
within 24 (twenty four) hours of receipt of that
request; or (g) is disclosed in order to comply with
any request or audit initiated by SUNAT.
3. Confidentiality. The Receiving Party shall not
utilize any of the Disclosing Party Confidential
Information other than for the purpose of the
performance of this Agreement or in connection with
any other agreement the parties may have enter in.
For that reason, the Receiving Party:
(a) Shall use the same means it uses to protect its
own Confidential Information, but in any event
not less than reasonable means, to prevent the
disclosure of such Confidential Information to
third parties.
(b) Shall not, without the written consent of the

la Parte Informante, revelar, divulgar, transferir,
ceder u otorgar acceso o licencias sobre dicha
Informacin Confidencial, ya sea en un todo o
en parte, a ningn tercero sea ste una
organizacin o un individuo que no deba
conocer dicha informacin a los fines de este
Acuerdo, salvo por empresas vinculadas.
(c) Salvo por lo sealado en los literales (f) y (g)
de la Clusula 2 del presente Acuerdo, si
existiera la necesidad de revelar Informacin
Confidencial a algn tercero, deber obtener el
consentimiento por escrito de la Parte
Informante autorizando la revelacin de la
misma y para procurar y/o impulsar al tercero a
celebrar un acuerdo de confidencialidad para
proteger dicha informacin;
(d) Deber garantizar que sus empleados,
agentes, subcontratistas y en general cualquier
tercero del cual se valga para el cumplimiento
de sus obligaciones y que tenga acceso a la
informacin confidencial, estn al tanto y
cumplen las obligaciones de confidencialidad
incluidas en este Acuerdo, debiendo mantener
indemne a la Parte Informante por cualquier
prdida y/o perjuicio que pudiera sufrir o
causar como resultado del no cumplimiento de
la obligacin de confidencialidad por parte de
alguno de sus empleados, agentes,
subcontratistas y en general, cualquier tercero
del cual se valga para el cumplimiento de sus
obligaciones y que tenga acceso a la
Informacin Confidencial.
4. Secreto a las Telecomunicaciones. Conforme a
lo dispuesto en la Norma que establece medidas
destinadas a salvaguardar el derecho a la
inviolabilidad y el secreto a las telecomunicaciones
y la proteccin de datos personales, y regula las
acciones de supervisin y control a cargo de
Ministerio de Transportes y Comunicaciones,
aprobada por Resolucin Ministerial N 111-2009-
MTC/03, y dems normas relativas al Secreto de
las Telecomunicaciones COOPERADOR se obliga
a no divulgar cualquier informacin que pudiera
facilitar o coadyuvar a la vulneracin del Secreto de
Disclosing Party, disclose, divulge, transfer,
assign, license or grant access to such
Confidential Information, in whole or in part, to
any third party, either organization or individual,
who is not allowed to know such information for
the purpose of this Agreement.
(c) Besides what is stated on points (f) and (g) from
Clause 2 of this Agreement, if there is a
necessity to disclose any such Confidential
Information to any third party, it shall obtain the
prior written consent from the Disclosing Party
for the disclosure of the same and to procure
and/or cause the third party to execute a
confidential agreement to protect such
information;
(d) Shall ensure that its employees, agents or sub-
contractors are aware of and comply with the
confidentiality and non-disclosure obligations
contained herein and shall indemnify the
Disclosing Party against any loss and/or
damage they may sustain or incur as a result of
any breach of confidence by any of its
employees, agents or sub-contractors; and in
general, regarding any third party that has the
access to Confidential Information for the
compliance of their obligations.
4. Secret to Telecommunications. According to the
Norm that establishes measures to safeguard the
right to the inviolability and secrecy of
telecommunications and personal data protection,
and regulates the actions of supervision and control
by the Ministry of Transport and Communications,
approved by the Ministerial Resolution No. 111-
2009-MTC/03, and other norms related to the
Secret to Telecommunications; The
COOPERATOR agrees not to disclose any
information that may facilitate or contribute to the
violation of the Secret to Telecommunications.

las Telecomunicaciones.
Asimismo, COOPERADOR se obliga a
salvaguardar toda informacin relativa a la
existencia de una comunicacin entre los clientes y
usuarios finales de los clientes de HUAWEI con
terceros, incluyendo las caractersticas y/o el
contenido de la misma.
Igualmente, COOPERADOR se obliga a
salvaguardar la informacin relativa a los datos
personales de los clientes y usuarios finales de los
clientes de HUAWEI, incluyendo la informacin
vinculada a pagos, cortes, suspensiones,
reconexiones, deuda, grabaciones por gestin de
deuda, historial de llamadas, trfico, entre otros,
siendo esta lista meramente enunciativa y no
taxativa.
EL COOPERADOR no podr proporcionar a
terceros informacin confidencial relativa a
HUAWEI y a los clientes y usuarios finales de los
clientes de HUAWEI, de la cual conozca, se entere
o tome conocimiento en virtud del cumplimiento de
las obligaciones contradas con HUAWEI. Lo
anterior se extiende a todos los trabajadores,
personal y/o subcontratistas contratados por
COOPERADOR, debiendo para ello suscribir los
acuerdos de confidencialidad respectivos con su
personal, estableciendo claramente el deber de
proteccin al Secreto de las Telecomunicaciones y
Datos Personales de Abonados o Usuarios.
Para el cumplimiento de las disposiciones de
confidencialidad establecidas en el presente
numeral, COOPERADOR deber implementar
medidas de seguridad que cautelen el
cumplimiento de su deber de confidencialidad y del
correspondiente al personal a su cargo con acceso
a dicha informacin. Por ello, COOPERADOR
declara que a la fecha de suscripcin del presente
documento, todos sus trabajadores han suscrito un
Acuerdo de Confidencialidad que incluye el Secreto
de las Telecomunicaciones establecido en la
legislacin peruana. Del mismo modo, se

Also, the COOPERATOR agrees to safeguard all
information related to the existence of
communication between the clients and final users
of HUAWEI clients with third parties, including the
characteristics and/or the contents of it.
At the same time, COOPERATOR agrees to
safeguard the information related to the personal
data of the clients and end users of HUAWEI
clients, including the information related to
payments, cuts, suspensions, reconnections, debts,
debt management recordings, call histories, traffic,
among others, being this list merely illustrative and
not exhaustive.
The COOPERATOR can not provide to third parties
any confidental information related to HUAWEI and
to the clients and final users of HUAWEI clients,
from which may know, hear or become aware under
obligations complied for HUAWEI. This extends to
all employees, staff and/or subcontractors hired by
the COOPERATOR, having to sign all the
corresponding non-disclosure agreements with their
respective staff, establishing clearly the duty to
protect the Secret to Telecommunications and the
Personal Data of Suscribers and Users.
For the compliance of the confidentiality provisions
set out in this chapter, the COOPERATOR must
implement security measurements which safeguard
the compliance of their duty of confidentiality to the
relevant responsible personnel with access to such
information. Therefore, the COOPERATOR
declares that upon the date of signature of this
agreement, all their employees have signed the
Confidentiality Agreement that includes the Secret
to Telecommunications established in the Peruvian
legislation. At the same time, agrees to sign
Confidentiality Agreements with all their future

compromete a suscribir Acuerdos de
Confidencialidad con sus futuros trabajadores
De igual forma, COOPERADOR o sus trabajadores
no podrn elaborar bases de datos a partir de la
informacin que HUAWEI le pudiera proporcionar
ni utilizar cualquier informacin a la que tenga
acceso en virtud de sus obligaciones contraas con
HUAWEI.
5. Revelacin impuesta por la Ley. Salvo por lo
sealado en el literal (g) de la Clusula 2 del
presente Acuerdo, si la Parte Receptora es
obligada por algn proceso legal, judicial o
administrativo a revelar Informacin Confidencial a
algn tercero, sta deber notificar por escrito de
manera razonable a la Parte Informante antes de
producirse la revelacin de la misma. No obstante,
la Parte Receptora acuerda revelar al
correspondiente tribunal y/o organismo
gubernamental slo aquella Informacin
Confidencial que su asesor legal aconseje que es
legalmente requerida y se acuerda que har el
mayor esfuerzo por preservar la confidencialidad
de la Informacin Confidencial, cooperando con la
Parte Informante para obtener una orden
preventiva adecuada u otra garanta confiable que
asegure el trato confidencial de la Informacin
Confidencial por parte de dicho tribunal y/u
organismo gubernamental.
6. Propiedad y Devolucin de la Informacin
Confidencial. Las Partes reconocen y acuerdan
que toda la Informacin Confidencial ser de
propiedad nicamente de la Parte Informante. La
Informacin Confidencial as como todas sus
copias y reproducciones debern devolverse o
destruirse dentro de los quince (15) das de
presentada la solicitud escrita de dicha Parte. En
caso de destruccin, la Parte Receptora deber
proporcionar a la otra Parte una nota escrita de
cumplimiento con dicho procedimiento dentro de
los quince (15) das de dicha solicitud escrita.
7. Derechos. Las Partes convienen que en ningn
caso se deber interpretar que este Acuerdo otorga

5. Revelation imposed by law. Besides what is stated
on points (f) and (g) from Clause 2 of this
Agreement, if the Receiving Party is bound by legal,
judicial or administrative process to disclose
Confidential Information to any third party, it shall
provide written notice to the Disclosing Party before
revealing it. However, the Receiving Party agrees to
disclose to the relevant court and / or government
agency only Confidential Information which its legal
counsel advises that is legally required; also agrees
that it will make its best efforts to preserve the
confidentiality of the Confidential Information,
cooperating with the Disclosing Party to obtain a
adequate preventive order or other reliable
guarantee that ensures the confidentiality of the
Confidential Information by the court and / or
government agency.
6. Ownership and Return of Confidential
Information. The Parties acknowledge and agree
that all Confidential Information shall be the sole
property of the Disclosing Party. Confidential
Information and all copies and reproductions shall
be returned or destroyed within fifteen (15) days of
the written request of such Party. In case of
destruction, the Receiving Party shall provide to the
other Party a written note of compliance with the
procedure within fifteen (15) days of such written
request.
7. Rights. The Parties of this Agreement agree that in
any case shall interpret this Agreement as grant or

o transfiere a la Parte Receptora algn derecho de
propiedad y/o derecho de propiedad intelectual
existente en la Informacin Confidencial
proporcionada, sino que slo otorga el derecho
limitado de revisar dicha Informacin Confidencial.
La Parte Receptora no deber revertir la ingeniera,
desmontar o descompilar ningn prototipo,
esquemas, hardware, software u otros objetos
tangibles que contengan Informacin Confidencial.
8. Garanta. No obstante cualquier disposicin en
contrario en este acuerdo, la Parte Receptora no
realizar declaraciones o garantas de ninguna
naturaleza en relacin con la Informacin
Confidencial revelada, incluyendo entre otras,
cualquier garanta de comerciabilidad o aptitud
para un objetivo especifico o contra la violacin de
alguna patente, derecho de autor, marca registrada
u otros derechos de cualquier tercero. Cada Parte
proporciona informacin nicamente Tal y como
est.
9. Otras obligaciones. Ninguna de las Partes
obligar a la otra a celebrar o abstenerse de
celebrar posteriores acuerdos o negociaciones con
la otra Parte, excepto aquellos trminos y
condiciones que se acuerden mutuamente. Cada
Parte actuar como contratista independiente y no
como un representante de otras partes por
cualquier propsito y ninguna de ellas tendr la
autoridad de obligar a la otra Parte.
10. Acuerdo nico. Este Acuerdo es el nico
celebrado entre las Partes relacionado con la
obligacin de salvaguardar la Informacin
Confidencial y constituye el acuerdo nico de las
Partes en relacin con dicho objeto. Cualquier otro
acuerdo anterior o contemporneo, declaracin o
garanta relacionada con la proteccin de la
Informacin Confidencial, ya sea en forma oral o
por escrito ser reemplazada y sustituida por este
Acuerdo.
11. Plazo y culminacin. El presente Acuerdo ser
efectivo desde la fecha de su suscripcin y por un
periodo de cinco (5) aos, pudiendo ser renovado

faculty for a specific purpose, or against the
violation of any patent, copyright, trademark or
other rights of any third party. Each Party provides
information only "As it is".
9. Other obligations. Nothing in this Agreement shall
oblige either Party to enter into or abstain from
entering into further agreements or negotiations
with the other Party, except for those terms and
conditions mutually agreed upon. Each Party shall
act as an independent contractor and not as a
representative of other parties for any purpose and
neither shall have the authority to bind the other
Party.
10. Unique Agreement. This Agreement is the unique
agreement between the Parties related to the
matter hereof and constitutes the sole agreement of
the Parties regarding such subject matter. Any
other prior or contemporaneous agreements,
statement or warranties related to the protection of
confidential information, either orally or written, will
be replaced and superseded by this Agreement.
11. Term and completion. This Agreement will be
effective from the date of its subscription and for a
period of five (5) years and may be renewed by

deber de confidencialidad se mantendr vigente
por un periodo adicional de cinco (5) aos desde
su culminacin.
12. Modificaciones. Cualquier modificacin, variacin
y/o complemento de este Acuerdo ser acordado
entre las Partes por escrito.
13. Renuncia. El no ejercicio o la demora en el
ejercicio de algn derecho de las Partes en
cualquier momento conforme con alguna
disposicin de este Acuerdo, no debe limitar o ser
considerado una renuncia al mismo, tampoco el
ejercicio simple o parcial del mismo deber impedir
o limitar el ejercicio de un derecho o recurso con
respecto al mismo.
14. Divisibilidad. Si alguna disposicin de este
Acuerdo es declarada, por un tribunal o rbitro,
ilegal, nula, prohibida o inexigible ser invlida con
el alcance de dicha ilegalidad, nulidad, prohibicin
o inexigibilidad sin invalidar las disposiciones
restantes del presente Acuerdo y dicha ilegalidad,
nulidad, prohibicin o inexigibilidad no invalidar o
tornar ilegal, nula o inexigible ninguna otra
condicin, estipulacin, disposicin, clusula o
promesa incluida en el presente Acuerdo.
15. Quiebra. La obligacin de no revelar Informacin
Confidencial no ser afectada por la quiebra,
administracin judicial, asignacin, confiscacin o
embargo, ya sea iniciado por o contra una de las
Partes, ni por el rechazo de un acuerdo entre las
Partes, por un sndico de una de ellas en
bancarrota o concursado que contina en la
administracin de los bienes o el equivalente a
cualquiera de los anteriores conforme a la ley local.
16. Cesin. Ninguna de las Partes, sin el previo
consentimiento por escrito de la otra, puede ceder
este Acuerdo. Este Acuerdo ser vinculante entre
las Partes y sus respectivos representantes
legales, sucesores y cesionarios autorizados.
17. Incumplimiento. Cada Parte acuerda que las

12. Modifications. Any modification, variation and / or
supplement to this Agreement shall be agreed
between the Parties in written.
13. Waiver. The failure to exercise or delay in
exercising any right of the Parties at any time in
accordance with any provision of this Agreement
shall not limit or be deemed as waiver, either single
or partial exercise should not prevent or limit the
exercise of a right or remedy with respect to it.
14. Divisibility. If any part of this Agreement is held by
a court or arbitrator unlawful, void, prohibited or
unenforceable shall be invalid to the extent of such
illegality, invalidity, prohibition or unenforceability
without invalidating the remaining provisions hereof
and such illegality, invalidity, prohibition or
unenforceability will not invalidate or be turned
unlawful, void or unenforceable any other condition,
stipulation, provision, covenant or promise
contained herein.
15. Bankruptcy. The obligation not to disclose
Confidential Information will not be affected by
bankruptcy, receivership, assignment, confiscation
or embargo, whether initiated by or against any
Party, nor by the rejection of an agreement
between the Parties, by a trustee of a receiver in
bankrupt or insolvent that continues in the
administration of the goods or the equivalent of any
of the foregoing under local law.
16. Assignment. Neither Party without the prior written
consent of the other may assign this Agreement.
This Agreement shall be binding upon the Parties
and their respective legal representatives,
successors and permitted grantees.
17. Incompliance. Each Party agrees that the

obligaciones expresadas en el presente Acuerdo
son necesarias y razonables a fin de proteger a la
otra Parte y los negocios de sta y por lo tanto
acuerdan expresamente que los daos monetarios
seran inadecuados para compensar a la otra Parte
por el incumplimiento de cualquier clusula o
acuerdo estipulado en el presente documento. Por
consiguiente, cada Parte acuerda y reconoce que
cualquier incumplimiento o amenaza de
incumplimiento causar un dao irreparable a la
otra Parte y que, adems de algn otro recurso que
pueda estar disponible, en derecho o en equidad,
la otra Parte afectada tendr derecho a obtener
una medida cautelar contra la amenaza del
incumplimiento de este Acuerdo o de la
continuacin de dicho incumplimiento, sin
necesidad de probar los daos reales. En caso que
alguna Parte entable un juicio o arbitraje para exigir
o proteger cualquiera de sus derechos conforme a
este Acuerdo, la parte vencedora tendr derecho a
recuperar, adems de los daos y perjuicios, los
costos y costas razonables incurridos en relacin
con dicho juicio.
Sin perjuicio de lo antes sealado, ante el
incumplimiento del deber de confidencialidad
relativo al Secreto de las Telecomunicaciones,
podrn iniciarse las acciones civiles o penales que
correspondan conforme a la normativa aplicable.
18. Ley aplicable. Este Acuerdo ser regulado e
interpretado de acuerdo con las leyes de la
Repblica del Per.
19. Generalidades. Este Acuerdo ser vigente a partir
de la firma de las Partes. Todas las obligaciones
incluidas en el presente Acuerdo tambin sern
vinculantes para los abajo firmantes y redundar
en su beneficio, sus filiales, subsidiarias,
cesionarios permitidos o derechohabientes y
deber continuar siendo vinculante para las Partes
hasta que lo esencial de la Informacin
Confidencial haya entrado en dominio pblico sin
culpa o negligencia de ninguna de las Partes, o
hasta que la Parte Informante permita por escrito la
publicacin de la misma.

reasonable in order to protect the other Party and
the business of the other Party and expressly
agrees that monetary damages would be
inadequate to compensate the other Party for
incompliance of any term or accordance in this
Agreement. Accordingly, each Party agrees and
acknowledges that any breach or threatened
breach will cause irreparable harm to the other
Party and also for other resources that may be
available, in law or in equity or otherwise, the other
party shall have the right to obtain an injunction
against the threatened breach of this Agreement or
the continuation of such default, without having to
prove real damages. In the event that any Party
starts a lawsuit to enforce or protect any of their
rights under this Agreement, the prevailing party
will be entitled to recover, in addition to damages,
costs and expenses reasonably incurred in
accordance with such lawsuit.
Without prejudice to the above statements, the
incompliance regarding the duty of confidentiality
on the Secret of Telecommunications, may initiate
any civil or criminal responsibilities in accordance
with the applicable laws.
18. Applicable Law. This Agreement shall be
governed by and interpreted in accordance with the
Republic of Peru laws.
19. General. This Agreement will become effective
upon signature of the Parties. All obligations shall
be binding for the undersigned and their interest,
their affiliates, subsidiaries, or successors and
permitted grantees and shall continue to be binding
for the parties until the essence of the Confidential
Information has entered the public domain through
no fault or negligence of the Parties, or until the
Disclosing Party allows its publication through
written means.

20. Arbitraje. Cualquier controversia relacionada con
este Acuerdo deber resolverse mediante
amigables componedores entre ambas Partes. En
caso de no resolverse mediante este medio, las
Partes debern resolver las disputas, controversias
o reclamos surgidos de este Acuerdo o
relacionadas con l, incluyendo entre otras,
cualquier disputa relacionada con la validez,
rescisin, o cumplimiento del mismo ser resuelta
definitivamente mediante arbitraje de derecho en
Lima ante el Centro Internacional de Arbitraje de
AmCham Per, conforme a las leyes de la
Repblica del Per y los procedimientos, trminos
y otras reglas estipuladas en las regulaciones de
dicho Centro, que estn vigentes a la fecha de la
controversia. El tribunal de arbitraje estar
conformado por tres (3) rbitros, de los cuales dos
(02) debern ser asignados por separado por cada
una de las Partes. El tercer rbitro, quien presidir
el tribunal de arbitraje ser asignado por los
rbitros as elegidos. Los rbitros debern aplicar
las leyes y debern tener siempre en cuenta los
trminos de este Acuerdo y los usos y costumbres
de la Repblica del Per. El laudo arbitral no podr
ser apelado.
21. Datos Personales
21.1 Introduccin.-
Las Partes acuerdan que en caso alguna de
ellas provea y/o suministre datos personales,
entendindose como tales a aquellos que
constituyen datos biomtricos que por s
mismos pueden identificar al titular, datos
referidos al origen racial y tnico, ingresos
econmicos, opiniones y convicciones
polticas, religiosas, filosficas y/o morales,
afiliacin sindical, e informacin relacionada a
la salud y a la vida sexual (en adelante los
Datos), a la otra Parte respecto de sus
Titulares, entendindose por Titulares a las
personas naturales que incluyen pero no se
limitan a los trabajadores, accionistas,
funcionarios, subcontratistas, o cualquier
tercero relacionado directa o indirectamente
con alguna de las Partes, y stos no hubieran
20. Arbitration. Any dispute related to this Agreement
shall be resolved by both Parties conciliators. If not
resolved by this means, the Parties shall resolve
disputes, controversies or claims arising out of this
Agreement or related to it or not based on the
Agreement, including without limitation, any dispute
relating to the validity , termination , or enforcement
thereof will be finally settled by arbitration in law in
Lima before the International Arbitration Center
AmCham Peru, under the laws and procedures of
the Republic of Peru, upon terms and other rules
stipulated in the regulations of the Center, which
are in effect on the date of the dispute. The arbitral
tribunal shall consist of three (3) arbitrators, of who
two (2) must be assigned separately by each one of
the Parties. The third arbitrator, who shall chair the
arbitration tribunal, shall be appointed by the 2
arbitrators so appointed. The arbitrators shall apply
the laws and should always take into account the
terms of this Agreement and the customs of the
Republic of Peru. The arbitration award may not be
appealed.
21. Personal Data
21.1 Introduction.-
The Parties agree that in case any of them
provide personal data, considering such as
those that constitute biometric data that may
identify the person, data related to its race
and ethnicity, incomes, opinions and political
convictions, religious, philosophical and/or
moral, union associations, and information
related to health and sexual life (hereinafter
The Data), to the other Party regarding
Data Owner, considering as Data Owner to
the natural persons such as, among others,
employees, shareholders, executives,
subcontractors, or any other person directly
or indirectly related to any Party, y any of
these (Data Owner) would not have
released such Party from its confidentiality
duty, such Party must comply with:

relevado a alguna de ellas de su deber de
confidencialidad, stas debern cumplir con lo
siguiente:
a) Remitir, de as ser solicitado, las
autorizaciones de los Titulares respecto a sus
Datos, en virtud de las cuales stos expresan
su libre consentimiento para utilizar y entregar
de sus Datos. Dicho consentimiento debe
haber sido otorgado por los Titulares
necesariamente de manera previa, expresa y
por escrita, as como de modo inequvoco e
informado.
b) En caso de no contar con la autorizacin
sealada en el literal anterior, la Parte se
obliga a obtener de los Titulares de dichos
Datos, su consentimiento libre, previo,
expreso, por escrito, inequvoco e informado
para utilizar y entregar sus Datos, con
anterioridad a la entrega de los Datos a la otra
Parte.
c) Incluir en los bancos de datos personales
correspondiente la informacin obtenida; as
como actualizar, rectificar, incluir o suprimir
los Datos de acuerdo con lo establecido en el
siguiente prrafo.
Una vez obtenido de los Titulares el
consentimiento al que se hace referencia en
la presente Clusula, la otra Parte se obliga a
guardar confidencialidad respecto de los
Datos y de los antecedentes de los mismos
que hubieren sido proporcionados y/o
suministrados por la otra, salvo que el Titular
de los Datos releve a la/s Parte/s de su
obligacin de confidencialidad mediando
consentimiento previo, informado, expreso,
por escrito e inequvoco.
21.2 Supresin de los Datos Personales.-
Las Partes se obligan a suprimir los Datos de
sus bases de datos personales, cuando se
verifique cualquiera de los siguientes

a) If requested, provide the correspondent
authorizations form the Data Owners, by
which Data Owners authorize freely to use
and disclose The Data. Such authorization
must be granted by the Data Owners in an
express and written form, without any
possibility of misunderstanding.
b) In case the above mentioned authorization
has not been granted, the correspondent
Party is obliged to obtain it from the Data
Owners in an express and written form,
without any possibility of misunderstanding,
before disclosing it to the other Party.
c) Include in the correspondent personal data
bank the information obtained; update,
correct, include or delete The Data in
accordance with the following paragraph.
Once the correspondent authorization is
granted by the Data Owner, the other Party
shall keep the Data confidential as well as
any background that may have been provided
by the other Party, unless the Data Owner
releases the Party/ies of its confidentiality
obligation by a written way without any
possibility of misunderstanding.
21.2 Deletion of The Data.-
The Parties commit to delete The Data from
its correspondent personal databank, when
any of the following situations occur:

supuestos:
a) A la fecha de terminacin del o de los
contratos y/o acuerdos que vinculen a
ambas Partes, siempre y cuando no
exista otro contrato o acuerdo vigente.
b) Cuando los Datos hayan dejado de ser
necesarios y/o pertinentes para
cualquiera de Las Partes.
c) Cuando as lo solicite su Titular o
alguna de Las Partes, de ser el caso.
21.3 Otras Obligaciones.-
Sin perjuicio de lo previsto anteriormente, las
Partes quedan obligadas a cumplir con
cualquier otra disposicin establecida en la
Ley de Proteccin de Datos Personales
(aprobada mediante Ley N 29733) y su
Reglamento (aprobado mediante Decreto
Supremo N 003-2013-JUS), as como en las
normas que modifiquen, reemplacen,
sustituyan y/o complementen a estas ltimas.
22. Idioma. Las Partes declaran que el presente
Acuerdo se suscribe tanto en espaol como en
ingls, acordando que, en caso de contradiccin
entre ambos idiomas, la versin en espaol
prevalecer.
EN SEAL DE CONFORMIDAD, las Partes suscriben
el presente documento por duplicado.

21.3 Other Obligations.-
Notwithstanding the above mentioned, the
Parties must comply with any other
disposition stated by Personal Data
Protection Law (Law N 29733) and its
Regulation (Supreme Decree N 0003-
2013-JUS), as in any other law that may
modify, replace or complement such laws.
22. Language. The Parties hereby state that this
Agreement is signed in both, Spanish and English
language. Also agree that in case of any
contradiction between both languages, the
Spanish version will prevail.
IN WITNESS WHEREOF, the Parties agree and sign
two counterparts of this Agreement with the signature of
authorized representatives of the parties.
