Gov't Code 156.552.022 and $52,110 Dear Sir or Madam, On April 27,2017, The Human Rights Campaign (HRC) was notified by the Austin Independent School District (Austin ISD) that it has received a formal request to inspect or copy a file containing records received from The Human Rights Campaign Foundation (HRCF). See Ex. 1. We write here to inform you of our objection to the release of our records under the Texas Public Information Act, (“Texas PIA" or "PIA") Tex. Gov't Code §552." The records a issue are excepzed from disclosure under the PIA pursuant to § 552.110. Specifically the records contain trade secrets, 43s well a confidential commercial information tha, if disclosed, would cause substantial competitive harm to HRC. 1. Eactual Summary A. HRCF's Welcoming Schools Program HRCis the lagest civil rights organization representing the LGBTQ community in, the United States. We have over two million members and supporters nationwide, HRCF is our 501(c)(3) organization working to increase understanding and ‘encourage the adoption of LGBT-inclusive policies and practices. We build support for LGBTQ people among families and friends, co-workers and employers, pastors and parishioners, doctors and teachers, nelghbors, and the general public, ‘Through our programs and projects, we are enhancing the lived experiences of LGBTQ people and their families, as we change hearts and minds across America and around the globe. + An interested third party is allowed ten business days after the date of ts receipt ‘of notice to submit the reasons, if any, its information should not be released. Tex. Gov't Code § 552.305(4)(2)(B). HRC received notice from the Austin ISD via email ‘on April 27, 2017. See Ex. 1. Thus, our objections are timely under the statute, 1 HRCF’s Welcoming Schools program isthe nation’s premier professional ‘development program dedicated to creating respectful and supportive elementary schools by embracng family diversity, creating LGBTQ- and gender-inclusive schools, preventing bias-based bullying, and supporting transgender and non-binary students tthe heart of the program, HRCF deploys highly trained Welcoming Schools Certified Facilitators who conduct professional development training and provide technical assistance to educators in elementary schools and districts. Our facilitators help school staff work together to identify areas of change within the school and to provide strategies io make sure that all students feel included ~ from the playground to the classroom. B. The Austin Independent School District Decided Not to Engage LHRCF to Present the Welcoming Schools Program at Issue Here. Upon information and belief, the Austin ISD has created its own policies aimed at ‘promoting a positive school environment where all students have the right to learn inn environmentfree of harassment, bullying and violence. According its web site, the Social and Emotional Learning Department ofthe Austin ISD has its own “welcoming schools” approach that provides school staff with information on how to engage in conversations about embracing family diversity, creating gender- inclusive environments, and preventing bias-based bullying and name calling, See Ex Laté. The Austin ISD did consider whether to participate in HRCF's current Welcoming. Schools program, but ultimately declined to enter into a contract to have our Certified Facilitators visit the District and conduct our training or to host adistrict- ‘wide Facilitator Ce-tfication Training to develop their own Certified Facilitators, In those discussions, HRCF agreed to share proprietary materials so that Austin could see what our training modules looked like. Those materials come from the heart and soul of our program, which isa fee-for-service, “train the trainers” curriculum, ‘The materials were labeled as proprietary and provided on the condition that the school district would keep the information confidential and, after review, delete it See Ex.2. HIRCF would be happy to enter into a contract with the Austin ISD, and send our ‘Welcoming Schools Certified Facilitators to the district to conduet our latest training ‘modules on how tocreate a bias-free environment. The Austin ISD chose not to hire HRCF for that purpose, however. ‘The Records at Issue. Exhibit 2 contains ¢list of the fles provided to the Austin ISD. The records are labeled "WS Propristary Materials," and were transmitted to the Austin ISD 2 pursuant to an express verbal agreement to keep the materials confidential and delete them after review. They include .pdf files containing power point presentations and training manual materials that are included in four of the Individual modules that are contained in our program. See Ex. 2.? These records include the term “Full Module" in the list contained in Ex. 2, and are not available to the public absent a contract with HRCF. Exhibit? also contains fies that consist of handouts addressing the topics covered bby the Welcoming Schoo's program. These records include the term “handouts” in thefiletite. A listof therecords contained in the "handouts" files is included here at Ex.3. Except for five tens, which are underlined and listed in bold, those materials were or are available on our website and can be produced here. ? The handouts Which are underlined and appear in bold should not be produced, however, since they are records that arenot available to the public absent a contract with HRCF. U. LegalAnalysis| ‘The Texas PIA gives the public the right to access information in the Texas government's possessior. Tex. Gov't Code § 552.221. Its purpose is to provide access “to complete information about the affairs of government and the official acts of public officials and employees." Tex. Gov't Code § 552.001, While the statute favors broad avallability of government records, it also specifically excepts from disclosure certain categories of information. These include: (2) a trade secret obtained from a person and privileged or confidential by statute or judicial decision; and (2) commercial or financial information for which It is demonstrated based. (on specific factualevidence that disclosure would cause substantial competitive harmto the person from whom it was obtained, ‘Tex. Gov't Code §552.110. When a third party challenges the production of Information under §552 of the PIA it must make a prima facie case that an exception applies. As demonstrated below, both exceptions are directly applicable to the HRCF records at issue here. 2 HRC provided the Aus:in ISD with only a portion of our program. Videos contained in the identified training modules were not provided. In addition, there are other training modules that make up the Welcoming Schools program which ‘were not shared, but would have been available if Austin had wanted HRCF to come inand present our existing Facilitator Certification Program. 2 The requestor, like everyone else, is welcome to visit our website and learn about ‘our mission and Welcoming Schools program. We note, however, that the records are sought by a vocal supporter of Mass Resistance Texas, an organization that Is dedicated to fighting against LGBTQ equality and that regularly uses hateful and discriminatory language o describe the LGBTQ community. 3 A. The Materials at Issue Are Confidential and Proprietary Trade Secrets That Are Excepted from Production Under the Texas PIA. The scope ofa trade secret under the Texas PIA is determined by reference tothe common law. Thus, when applying §552.110, both the Attorney General and Texas courts rely on the Restatement of Torts definition ofa trade secre, and apply the Restatement’ six-factortestto determine whether a given claim of trade secret protection i valid. Hyde Carp.v, Huffines, 314 S.W.2d 776 (Tex. 1958); Inre Bass, 113 SW.3d 735 (Tex. 2003); Texas ORD 592 (Aug. 1991). 4. The Restatement of Torts Under Texas common law, a trade secret is “any formula, pattern, device or compilation of information which is used in one's business and presents an ‘opportunity to obtain an advantage over competitors who do not know or use it” In re.Bass, 113 SW.3d at 739, ‘To determine whether a trade secret exists, the courts have examined the following six factors: (2) the extent to which the information is known outside ofthe business; (2) the extent which tis known by employees and others involved in the business; (3) theextent of the measures taken to guard the secrecy of the information; (4) che value ofthe information to the business and its ‘competitors; (5) the amount of effort or money expended in developing the information; and (6) the ease or difficulty with which the information could ‘be properly acquired or duplicated by others. Each ofthese factors supports the conclusion that the records at issue constitute trade secrets excepted from disclosure under the Texas PIA. |g, Texas courts weigh these factors in the context of the surrounding circumstances when determining whether trade secret protections apply ina given case, Id.at 740. HRCF's Welcoming School's program consists of proprietary training modules and related materials that are presented by Certified Facilitators who have completed a ‘multi-year certification program. Similar training programs and curricula have been given trade mark protection in Texas and elsewhere. See.eg. Vianet Grp, PLC. V. ‘Tap Acquisition Inc, 2016 US. Dist. LEXIS 108296, °64 (ND. Tex. Aug. 16,2016) (Genying a motion for summary judgment ina trade secrets misappropriation case addressing, among other information, a training program taken to a competitor); 190F. Supp.3d 812, 816-17 (NO. Il 2016) (denying motion to dismiss trade secret misappropriation case based on use of curriculum and training materials); Picker Int. Inc.v, Blanton, 756 F.Supp. 971, 980 (N.D. Tex. 1990) (finding that training and 4 training manuals were trade secrets). Our Welcoming Schools program isa “compilation of information” that is used in our business and reflects significant advances in inclusion training that are the result of HRCF's years of workin this field. The program is leaps and bounds ahead of the often ineffective or even harmful practices seen in many educational facilities around the country. ‘The Welcoming Schools program also fits neatly within the six factors used to analyze a potential trade secret. And while itis not necessary to establish that all six factors are present in agiven case, Inre Bass, 113 SW.3d at 740, they are all satisfied here, First, the Welcoming Schools training modules are not available outside of HRCF's program. To date, HRCF has conducted one district-wide Facilitator Certification ‘Training and a national facilitator Certification Training in Washington DC. We are preparing to conduct additional trainings this summer. Atthe conclusion of the training sessions the Welcoming Schools staff and expert trainers leave with a Participating school district copies of various power point presentations, as well as materials to include in atraining manual. They may also leave materials which are publically available on our website. None of the information contained in the training modules (otherthan the materials freely accessible on our website) has been made available to others, except in connection withthe sale or implementation of the program.* Second, HRCF's Welcoming Schools program has been created and is administered byalimited group of people three to four staff members and up to five trained facilitators. The Program has its own protected computer portal and storage space ‘hich employees and Certified Facilitators can access only if they work on this particular program, le, have a “need to know.” Knowledge of the particulars of the program is not freely available, even within HRC or HRCF. See 412 SW.3d 1,10 (Tex. App. Austin 2012), red on other grounds, 466 S.W.3d 831(Tex. 2015) (finding trade secret protection when Boeing had not generally ‘made the information krown outside its business and lied its availability to certain employees); Sharma v. Vinmar Int, Lid, 231 $.W3d 405, 425 (Tex. App. ‘Asnoted above, HRCF provided some ofits current Welcoming Schools program ‘materials tothe Austin ISD in connection with discussions about whether the Austin {SD wished to use the program in its schools and pursuant to an express agreement thatthe materials woulé be kept confidential. Disclosure of information in connection wth a possible sale or collaboration does nat constitute the type of disclosure that would destroy the protected nature ofa trade secret. See Vianet Gra, LC 2016 US. Dist LENS at*64-66; EEMSO. Inc v.Compax Techs. nc, 2006 US Dist LEXIS 67225, t*7 (ND. Tex. Aug 31, 2006) ("ifdisclosue is limited and communicated to further economic interests the requirement of secrecy is met”) Metallurgical Indus. Int Faurtek. Inc, 790 F-24 1195, 1200 (5% Cir. 1986) ("the disclosures were not public announcements; rather, Metallurgical divulged its information to only two businesses with whom itwas dealing). 5 Houston 2007) (finding trade market protection when only employees with a need to know had access tothe information); JAC. Lid, V. ell Helicopter Textron, Inc, 160 ‘SW2d 191, 198 (Tex. App. Fort Worth 2005) (finding trade secret protection when Bell limited access to data on its internal computer systems). ‘Third, HRCF takes reasonable, extensive and thoughtful measures to protect Its Intelectual property. Access to its building is key card controlled. Computers are password protected. Program materials are kept on a dedicated computer portal and storage space, accessible only to people involved in the program. Staff members ‘and program facilitators have signed confidentiality agreements and are trained on HRCF's policies to protect confidential and proprietary information, These are the types of measures that have supported trade market protection in the case law. See ‘Shama, 231 S.W.3d at 425 (finding trade market protection when there was controlled access to the building, password protection on computers, confidentiality agreements and policies, and limitation of access to employees with a need to know); IAC. Ltd, 160 S.W.3d at 198 (finding trade secret protection when Bell limited access to its plants, access to data on its internal computer systems, and use¢ confidentiality agreements). Fourth, schoo district pay fr access to the training modules and materials avaiable with the program, The value of the Welcoming Schools program during fiscal year 2017 was meaningful to HRC, and that revenue will triple this year. © Whi the dollar value may not rival that of large companies or defense contractors, itisa significant sum toa nonprofit trying to achieve results and funded by Individuals who care about the mission. HRCF hopes to grow the program, thereby increasing the school systems that provide welcoming and inclusive school communities and producing funds to finance additonal programs and project at HRC Fifth, HRCF personnel have spent approximately 10 years developing the expertise and materials that go into the Welcoming Schools program. Costs to the ‘organization from this program are typically inthe hundreds of thousands of dollar each year. See Sharma, 231 SW.3d at 425 (appellant presented evidence that it ‘expended time, effort and money developing the trade secret information); IAG, lid, 160 5.W.34 at 198 (appellee presented evidence on the amount of effort expended in developing the data). Finally, the program cannot be properly acquired without contracting with HRCF. ‘And because the program is evidence-based and the result ofthe intensive and long- term efforts that were put into developing our expertise and creating the program it canrot be duplicated without substantial effort, time and money. However, we request that any specific cost and pricing data be placed under seal. 6 are not subject to bias-based discrimination, See Sharma, 213 S.W.3d at 426 (finding that other publically available sources on the same topic were flawed, incomplete and did not capture the entire body of work in once place). Because ‘others cannot obtain the Welcoming Schools program materials without (1) paying ‘a substantial sum for a license or right to view the materials; or (2) paying an even larger sum tocreate their own program, this factor supports trade secret protection aswell. InreBass, 113 S.W.3d at 741, 2, The Texas Uniform Trade Secrets Act ‘The Texas UTSA does not establish a new privilege or grounds to withhold information under the PIA. Tex. Gov't Code § 1344.007(d); see also, Boeing, 412 5.W.3d at 9 (Fnding that the Texas UTSA does not establish anew exception under § 522.022 ofthe Texas PIA). However, to the extent the Attorney General isinclined to interpret the definition ofa trade secret under §522.110 by reference to the new Texas UTSA, HRCF's Welcoming Schools program fits comfortably with the terms of the statute aswel ‘The Texas UTSA, adopted in 2013, defines a trade secret as follows: “Trade Secret” means information, including a formula, pattern, compilation, progrem, device, method, technique, process, financial data, or list of actual or potential customers or suppliers that (A) derives independent economic value, actual or potential, from not ‘being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (B) isthe subject of efforts that are reasonable under the circumstances to maintain its secrecy. ‘Tex. Gov't Code 134.002. HRCF's Welcoming Schools program is a fee-for-service program, created around training modules presented by expert trainers. HRCF personnel spent 10 years developing tke training modules and materials used in the program. The materials can correctly be categorized as a formula, compilation, program or process under the statute. See Vianet Grp, PLC, 2016 U.S. Dist. LEXIS 108296,*64 (denying a ‘motion for summary judgment in a trade secrets misappropriation case addressing, among otherinformation, a training program taken to a competitor). ‘The programas real and important economic value to HRCF. School districts pay for access tothe HRCF's training modules and experts. Revenues from the product for this year are expect to triple from that of last year. For a non-profit organization devoted to pursuing equal treatment and respect for LGBTQ persons, the program provides a significant revenue stream that helps fund our educational and Informational services. ‘The Welcoming Schools training modules are not generally known to the public or ascertainable by other proper means. A school district or other tody must enter {into a contract with HRCF to obtain the training. This is the heart ofthe business ‘model that makes the program sustainable. Moreover, the program cannot be easily duplicated, as tis based on years of experience and research inthe field, as well as countless employee hours of work. HIRCF takes significant measures to protectthis product. As noted supra, the Welcoming Schools program was created by paid HRCF staff members that have all signed confidentiality agreements which require them to protect HRC proprietary business information and intellectual property. The Welcoming Schools facilitators are typically consultants employed by HRCF, and they have also all signed confidentiality agreements. HRC has employee policies and procedures that require stalf to safeguard the organization's intellectual property and follow physical and electronic sectrity measures, and staf are trained to follow these procedures. The ‘Welcoming Schools training modules were created and are maintained at HRC's headquarters on Rhode Island Avenue, NW in Washington DC. The building is access-controlied, and work spaces cannot be entered without a key card, Computers that house the Welcoming Schools curriculum are password protected and maintained on HRC servers. B. The Materials Contain Commercial Information That Would Cause Substantial Competitive Harm to HRC If Made Public. In addition to protecting trade secrets, the Texas PIA excepts from disclosure “commercial o financial information for which its demonstrated based on specific factual evidence that disclosure would cause substantial competiive harm to the person from whom it was obtained.” Tex. Gov't Code §552.110. s explained above, HRCF's Welcoming Schools Program isa fee-for-service product that delivers training modules and materials to school districts that seek HRCF's help creating school environments that are inclusive and welcoming to al students, regardless of, their family makeup, sexual orientation or gender identity. Because the records sought are the very materials that are provided for a fee, release of those materials to the public will necessarily destroy HRC’s business model. Under any definition, the release of confidential and proprietary intellectual property taat was created at and is owned by HRCF, and that is marketed for sale through the organization, ‘would cause substantial competitive harm to us. ML, CONCLUSION Based on the above facts and legal analysis, we urge the Attorney General's Office to protect our coafidential and proprietary business information. We strongly believe that the HRCF Welcoming Schools materials retained by the Austin ISD (despite our understanding hat they would be deleted after review) are not subject to disclosure under the Texzs PIA because they contain trade secrets as well as commercial 8 Information that if released, would cause substantial competitive harm to HRC.
