We are pleased to appoint you on the following terms and conditions:

1. DATE OF APPOINTMENT
Your appointment will be effective from 10.10.2011.

2. DESIGNATION
You will be designated as 2D Animation Faculty

3. PLACE OF POSTING
You will be posted at ZICA ___________ However, your appointment will be subject to the
condition that you will be posted and transferred anywhere in India or in any
department, office or establishment owned or managed by the Company or any group
company / affiliates, which are in existence or which might be set up in future at the
discretion of the Management

4. SERVICE CONDITIONS
You shall be bound by the service conditions as annexed hereto as Annexure A (2).

5. JOB DESCRIPTION
Your job description is subject to your KRAS as projected for the year, but we expect
you to take care of those incidental services which though not covered in your KRAs,
but are very crucial and important in the interest of the organization. However it is
pertinent to note that the same shall be subject to change/revisions/additions
depending of the requirement and exigencies of work.

6. SALARY
You will be paid a monthly salary of Rs. ________________/- (Rupees __________________
only) for the days of attendance.

7. PROBATION
You will be on probation for a period of three months from the date of joining. During
your probation, the Company holds the right to terminate your services with immediate
effect, without any notice or payment in lieu of notice. In case if you want to resign from
the services of the Company during the probation period, you are required to serve 30
days notice.

8. LEAVE
The leave benefits applicable to you is enclosed herewith in Annexure A (1)
9. CONFIRMATION
At the end of the probation period, if your overall performance is found satisfactory,
your appointment will be confirmed in writing. The probation period can be extended
further at the sole discretion of the Management depending on the assessment of your
overall performance. You will continue to remain on probation unless your services are
confirmed in writing by the duly authorized authority. Upon confirmation, either party
will be entitled to terminate the contract of employment by giving one months notice /
pay in lieu. In case of the 30days notice given by you, 25 days service is mandatory,
failing which the company shall forfeit any amount due to you as and by way of your full
and final settlement. However you shall be liable under such circumstances to
immediately clear all or any dues or loans payable by you to the Company.

10. RETIREMENT
You will automatically retire from the service of the company on attaining the
superannuation age of 60 years. Your date of birth is in accordance to the documents
submitted as proof for the same. You are required to take this date of birth for all
purposes throughout your services with the company, and will not be changed under
any circumstances.

17.CONFIDENTIALITY, CONDUCT & RECORDS


I. Your appointment will be subject to the understanding that you will not engage
yourself or devote your time or attention to any other work except with the prior
permission of the company. Records and information that fall within your
knowledge during the employment in the Company be maintained by you with
absolute secrecy and shall not be divulged to anybody. The disclosure of which will
be prejudicial to the interest of the company without the prior consent or sanction
of the Company. Breach of this will entitle the Company to initiate your immediate
dismissal and take such further action as the Company may deem fit.
II. All technical documents, records, data, physical property, source code etc, whether
or not pertaining to Confidential information which are furnished to you by the
company or are produced by you in connection with the your employment shall be
the sole property of the Company including the material or medium from which any
Confidential information may be ascertained or derived as and when required by
the Company. In any event you will return all such materials and property
immediately upon termination of your employment for any reason whatsoever. You
shall not retain any such material or property or copies, compilations or analysis
thereof after such termination
III. You will be bound by the rules and regulations of the company as existing from
time to time with regard to conduct, discipline, retirement, medical and any other
matter as though these rules and regulations were part of your terms of
appointment.
IV. The Copyright, as per the Copyrights Act of any nature whatsoever, in any work
carried out by you including idea or concept visualized, artistic or otherwise
creative / intellectual work / project undertaken during the service period shall be
sole property of the company and you will specifically give up any right to the
same, if any.
V. You undertake that after leaving the service of the Company you shall not
approach any of the clients/ Franchisees of the Company or any of its contacts with
the criminal intent of cheating the Company or of causing harm to the Company.
VI. For a period of 6 months after leaving the service of the Company you shall not
engage in service with any of the competitors of the Company.

18. TERMINATION
a. Your services are liable to be terminated without any notice or salary in lieu for
misconduct, in the case of reasonable suspicion of misconduct, disloyalty, and
commission of any act involving moral turpitude, any act of indiscipline or
inefficiency as compared to other employees of your category.
b. Upon termination of your employment, you will return to the company, all
papers, documents and any other company property that might have come into
your possession during the course of your employment with the company and
you will not retain any copies or extracts thereof.
c. In case of any dispute, City name only will be considered as a place where the
cause of action shall be deemed to have arisen and only the courts in, Bangalore
shall have exclusive jurisdiction to entertain any issues or matters relating to this
Appointment or its implementation.

This letter is being issued in duplicate. Kindly return the duplicate copy duly signed by you as a
confirmation of your having accepted the terms and conditions contained herein.

ANNEXURE A

1. LEAVE RULES
1. Leaves quantum is 18 days per annum. Where as 12 days towards personal leave and 6 days
towards sick leave. Leaves will be credited every month on prorata basis to the employees
account
2. The annual cycle of the leave will be calendar year. If an employee joins the organization in
between a calendar year, leave would accrue on pro-rata basis
3. Eligibility to avail the leave is on confirmation only. Unclaimed leaves can be carried forward
to the next year but the pending leaves cannot be adjusted against the notice period.
Employees are not eligible to take leave in the probation period.
4. Sundays / Paid holidays may be pre-fixed or /and suffixed to leave. Sundays / Paid holidays
falling during the leave period will not be treated as leave.
5. At the time of separation, only in case of employees who have served their Notice period or
have been approved to leave at any shorter notice by their Senior/Reporting Officer can
claim encashment of the leave lying to their credit with the Company
6. At the time of separation, only in case of the confirmed employees the leave balance lying to
the credit of the employee till the date of separation will be encased.

2. SERVICE RULES
a) Your services will be governed by the Rules, regulations and code of conduct of the
organization (including any amendments / modifications thereof). The nature of your work
and responsibilities have been explained to you and you have confirmed having understood
the same and theses are subject to amendments, additions etc in accordance with the
exigencies of work from time to time which shall be communicated to you.
b) During the period of your employment with us, if you achieve any inventions process,
improvement, operational improvement or other processes /methods likely to result in more
efficient operation of any of the activities of the Company, the Company shall be entitled to
use, utilize and exploit such improvements. You shall assign all your rights to the company
for the purpose of seeking any patent rights in respect thereof or for any other purpose.
c) You shall be governed by the rules and regulations for employments, hours of work, holidays,
discipline and general work practices applicable to the establishment where you are posted
to work.
d) You shall communicate to the Company any change in your address as well as personal
status. All communications sent to you in the normal course on the address given by you
shall be deemed to have been received by you.
e) You shall be responsible for the safe-keeping and return in good conditions and order, of all
the companys property which may be in your use, custody or charge
f) You shall during the tenure of your service devote your whole time and attention to the
business affairs of the establishment in all respects, conform to the directions and
regulations made by your superiors and obey their orders.
g) You shall faithfully serve and use the utmost endeavor to promote the interest and serve at
such places and in such capacity as the Management may decide or direct from time to time.
h) You shall observe courtesy and politeness.
i) You shall not enter into monetary dealings with your colleagues, subordinates, clients or
customers. Management shall not be responsible for any such dealings.
j) You shall not use the name of the Company properties for your own purpose and benefits
except when permitted to do so by the Management in writing.
k) You shall be liable for disciplinary action if found guilty of any misconduct or any
misbehavior.
l) Any damage or breakage caused to any asset of the organization will be borne by the
concerned individual.
m) You are required to conform to all rules and regulations in force of the organization from
time to time and shall carry out all other lawful orders/instructions /directions of your
superiors as are given to you in connection with the day to day discharge of your duties
while in employment.
n) It is understood and agreed that in case you are sponsored for any
training/seminars/workshops, are suppose to attend and successfully complete the same and
also ensure that the relevant feedbacks are implemented in the organization.
