DEED OF RELEASE

WHERE AS:

A. Mr. Dickson Langa, signed a letter of resignation from employment

with South Pacific Brewery Limited (SP Brewery) which was
forthwith accepted by SP Brewery.

B. Mr. Langa later appealed to the Apprenticeship and Trade Testing

Board (Board) on the alleged premise that he was forced by his
immediate supervisors to sign the said resignation letter.

C. SP Brewery disputed the appeal on the basis that the circumstances

surrounding Mr. Langas resignation amounted to a termination by
mutual agreement as provided for in Section 25 of the Apprenticeship
and Trade Testing Act and that the Board had no jurisdiction to hear
and/or make any decision on same.

D. The Board has decided that Mr. Langa should be reinstated by SP

Brewery, whereafter SP Brewery gave notice to Mr. Langa that it will
appeal the Boards decision to the National Court.

AND WHERE AS:

Mr. Langa has since had several meetings with representatives from
SP Brewery and agreed with them that SP Brewery will refrain from
prosecuting its intended appeal on the condition that Mr. Langa
acknowledges that his resignation was voluntary, which by these
presence he hereby acknowledges.

NOW WITNESSETH:

1. SP Brewery has agreed with Mr. Langa as follows:-

(i) To pay Mr. Langa the sum of money equal to 26 fortnights pay
at the same rate payable to Mr. Langa when he resigned,
totaling K1,686.82.

(ii) pay for Mr. Langas repatriation airfare to Rabaul, and

 (iii) give character references to any prospective employer that Mr.
Langa may apply to for a position, provided Mr. Langa notifies
SP Brewery of the prospective employer.

2. In consideration of the presence herein contained, Mr. Langa and SP

Brewery agree with each other to abandon the Boards decision and
refrain from taking further action on the whole matter AND
accordingly from this day forth FOREVER RELEASE each other from
all responsibilities and actions AND further undertake that this Deed
of Release may be pleaded in bar and operate and constitute a
complete defence to any and all claims against each other.
