MATERIAL FACT

Usinas Siderrgicas de Minas Gerais S.A. (Usiminas or Company) hereby

informs its shareholders and the general market, pursuant to 4 of article 157
of Law n 6.404/76 and CVM Instruction n 358/02, that, on a meeting held
today, the Board of Directors, for the majority of its members, approved the
removal of Mr. Rmel Erwin de Souza from the positions of Chief Executive
Officer CEO and Director Vice-President of Technology and Quality.

Because of this deliberation, the Board of Directors approved, also for the
majority of its members, the appointment of Mr. Sergio Leite de Andrade for the
positions previously held by Mr. Rmel Erwin de Souza.

In sight of the deliberations mentioned above, the new composition of the

Companys Executive Board is: SERGIO LEITE DE ANDRADE, as Chief
Executive Officer CEO, Director Vice-President of Technology and Quality
and Commercial Vice-President Officer; RONALD SECKELMANN, as Finance
and Investors Relations Vice-President Officer and Subsidiaries Vice-President
Officer; TULIO CESAR DO COUTO CHIPOLETTI, as Industrial Vice-President
Officer; and TAKAHIRO MORI, as Vice-President of Corporate planning.
