CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this _____ day of

January, 2014 by and between:

GLOBE SECURITY SERVICES CORPORATION, A Corporation duly

organized and existing under the laws of the Republic of the
Philippines, with corporate address at 87 Clarinda Soriano St., BF
Resort Village, Las Pinas City 1740, herein represented in this Act by its
VP-Finance, ACELA A. CANTOS, hereinafter referred to as the
VENDOR;

AND

BLESILDA P. OCOP, Filipino, of legal age, single and with postal

address at 727 Paterno St., Quiapo, Manila, hereinafter referred to as
the VENDEE

WITNESSETH

WHEREAS, the VENDOR is the absolute and registered owner of a

parcel of land consisting of TWO HUNDRED THIRTY EIGHT (238) square
meters, more or less; located at Lot 4 Block 6 Piazza Venezia St., BF
Resort Village, Las Pinas City and covered by Transfer Certificate of
Title No. T-99489, issued by Registry of Deeds of Las Pinas City;

WHEREAS, the VENDEE has offered to buy and the VENDOR as

agreed to sell the above mentioned property under the terms and
conditions herein set forth;

NOW THEREFORE, for and in consideration of the total sum of

PESOS: TWO MILLION TWENTY THREE THOUSAND (Php2,023,000.00)
and the covenants herein after set forth, the VENDOR agrees to sell
and the VENDEE agrees to buy the aforesaid property, subject to the
following terms and conditions:

1. The total consideration shall be PESOS: TWO MILLION

TWENTY THREE THOUSAND (Php2,023,000.00), payable as
follows:

a. The amount of PESOS: THREE HUNDRED

THOUSAND (Php300,000.00) representing
earnest money shall be paid by the VENDEE to
the VENDOR;
b. The amount of PESOS: SIX HUNDRED
THOUSAND (PHP600,000.00) shall be paid by
the VENDEE to the VENDOR upon signing of this
Contract to Sell;

c. The remaining balance in the amount of PESOS:

ONE MILLION ONE HUNDRED TWENTY THREE
THOUSAND (P1,123,000.00) shall be paid by the
VENDEE to the VENDOR upon the release of the
Certificate Authorizing Registration (CAR) from
 the Bureau of Internal Revenue;

2. Capital Gains Tax and Documentary Stamp Tax shall be for

the account of the VENDOR;

3. Registration fees, Notarial fees and other miscellaneous

expenses shall be for the account of the VENDEE;

4. Possession to the subject property shall be delivered by the

VENDOR to the VENDEE upon full payment of the total
consideration;

5. Upon receipt by the VENDOR from the VENDEE of the full

payment of the total consideration, the VENDOR agrees to
sign and execute a DEED OF ABSOLUTE SALE in favor of
the VENDEE. The VENDOR likewise agrees to execute and
deliver any and all documents including but not limited to
the original copy of the Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the
transfer of ownership from the VENDOR to the VENDEE.

IN WITNESS WHEREOF, the parties have hereunto affixed their

signatures this _____ day of January, 2014 at Las Pinas City, Manila,
Philippines.
