MATERIAL FACT

Usinas Siderrgicas de Minas Gerais S.A. USIMINAS (Usiminas or Company),

hereby, in addition to the Material Fact dated January 10, 2017, announces that on this date
an Extraordinary General Meeting of its subsidiary MINERAO USIMINAS S.A. ("MUSA") was
held, in which its shareholders unanimously approved the proposal for the reduction of
MUSA's capital stock in the amount of one billion reais (R$ 1,000,000,000.00), as it was
deemed excessive, pursuant to articles 173 and 174 of Law No. 6,404/1976 (Capital
Reduction"), and also consequently approved the amendment of article 5 of its Bylaws, so
that its wording may reflect the aforementioned Capital Reduction.

Once the procedures for the Capital Reduction have been completed, the corresponding
amounts for reimbursement of capital will be delivered to MUSAs shareholders proportionally
to their participation in the capital stock of MUSA, being due to the Company the amount of
seven hundred million reais (R$700,000,000.00) in cash, thus excluding one of the
hypotheses of early maturity of the definitive documents for the renegotiation of the
Company's debts, as informed in the Material Fact dated 09.09.2016.
