SECURITY SERVICES AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

These AGREEMENT made and entered into by and between ARGO SECURITY and
INVESTIGATION AGENCY, a duly licensed security agency organized and existing under the laws of
the Philippines, with business address at Blk 15,Lot 10 J-L Kraft ST. South Villa Ma-a, Davao City
represented by P/Supt. ALBERTO C.GENISE (Ret.), Operation Manager hereinafter referred to as the
AGENCY;

VELOX ENERGY PHILS. CORPORATION with office address at TORIL, DAVAO

BRANCH, TORIL, DAVAO CITY represented by MR. JUNE LOUIS TAN, Chief Finance Officer
hereinafter referred to as the CLIENT;

WITNESSETH:
WHEREAS, the CLIENT is desirous to engage the services of the AGENCY in order to protect
the properties contained in its properties and premises of VELOX ENERGY PHILS. CORPORATION,
located at TORIL, DAVAO BRANCH, TORIL, DAVAO CITY from theft, robbery, arson, destruction
or damages as well as to protect its family, staff, customers, employees from assault, harassment and
intimidation which may be committed therein;
WHEREAS, the AGENCY has offered to provide the desired security services to the CLIENT
which accepted it.
NOW THEREFORE, for and in consideration of the foregoing, the PARTIES have agreed TO DO
HEREBY AGREE to implement and enforce the AGREEMENT with the terms and considerations
provided to wit:
I
SECURITY SERVICES
The AGENCY shall provide comprehensive and complete guard and security services at the
CLIENT OFFICE located at TORIL, DAVAO BRANCH, TORIL, DAVAO CITY. In order to protect
this from theft, pilferage, robbery and other crime against property as well as to protect its personnel,
employees, client assault, harassment and intimidation committed therein. The areas to be guarded and
secured and the number of hours of security shall be determined by the CLIENTS and the AGENCY.
The AGENCY shall provide security guard or more as may be necessary to secure CLIENT
premises subject to mutual agreement of the PARTIES.
The AGENCY shall provide the monthly report of SSS/PHIL contribution to their security guards
assigned in the clients premises.
II
MONTHLY FEES
The CLIENT shall pay the AGENCY the amount of ELVEN THOUSAND PESOS (P
11,000.00) ONLY per guard/ per month for the months of February, April, June, September, and
November, and ELEVEN THOUSAND AND THREE HUNDRED THIRTYTHREE PESOS (P
11,333.33/c) per guard/ per month for the months of January, March, May, July, August, October, and
December who render twelve hours (12) duty. (From 6:00 pm to 6:00 am). That collection of payments of
services shall be made every 15th day and 30th of the month (Quencena) and thereafter and payment shall
be made under the name of MR. ALBERTO C. GENISE, the Operation Officer.

III
SUPERVISION AND CONTROL
The AGENCY shall have the exclusive right to control, supervise, discharge or dismiss the guards
assigned to the CLIENT. The determination of the wages, salaries or compensation of these security guard
and the terms and conditions of their employment shall be the AGENCY as an independent contractor and
as such the AGENCY has agreed to comply with all the requirements prescribed by law to it.

IV
LIABILITY TO GUARD AND THIRD PARTY
Nothing in this contract shall be interpreted as creating an employer-employee relationship
between CLIENT and the Security Guard assigned to the CLIENT by the AGENCY. It is understood and
agreed that the Security Guards provided by the AGENCY only not of the CLIENT. The AGENCY shall
have entire charge, control and supervision of the work and services herein, in coordination with the
CLIENT shall in no manner be answerable or accountable for the incident of injury which may occur to
any guards of the AGENCY during the period and the time of their assignment in the premises of the
CLIENT.
 V
LOSSES AND DAMAGES
The AGENCY shall not liable for losses/damages due to fortuitous or force majeure or acts
beyond human control of all personal properties of the CLIENTS unless such properties are under control
and responsibility of the guard nor shall it be liable for such losses and damages or defacement of
CLIENTS property which are kept/left in open space or storage for which no physical inventory has been
made to the AGENCY.
VI
REPLACEMENT OF GUARDS
The CLIENT reserve the right to ask for the immediate replacement of any Security Guards
assigned to it by the AGENCY of any given time. However, CLIENT has no right to terminate the
services of any particular guard or personnel assigned by the AGENCY to the CLIENT. The SECURITY
AGENCY shall required the guard who may be assigned to the CLIENT premises under this contract to
abide with the rules and regulations that are now or may thereafter be prescribed by the clients.
The CLIENT has the right to pre-terminate this agreement for any reason subject to 30 days
notice prior to the AGENCY.
VII
TERMS
The contract shall take effect December 1, 2016 and shall be enforced for a period of one (1) year
from said date. Thereafter, it shall deemed renewed for another term from unless a written notice not to
renew it is given by the party to the other not later than one (1) month before the expiry date of the
contract.

All judicial and extra-judicial expenses which will be incurred by the AGENCY in connection
with the performance by the Security Guards of their duties and functions particularly those carried out
pursuant to the orders of the CLIENTS shall be for the accounts of the later.

Either party may terminate this contract for a legal at anytime by written notice given to the other
party not later than thirty (30) days prior to the intended date of termination
