Dear Mr. Sood,

We are thrilled to have the chance to submit a proposal that will help Vodafone to be part of
Next generation Services. It will increase our revenue potential, market penetration and
expose us to next generation innovation opportunities. In the accompanying proposal, we
have outlined how Vodafone can extend its services from being telecom service provider to a
lead bidder collaborating with different third parties to form a consortium and for
implementing the Smart City mission at the city level on Build, Own, Operate and Transfer
(BOOT) model on Public Private Partnership (PPP) Basis (the Project) for a specified
Concession Period i.e. implementation period of 9 months and operation and maintenance
period of 15 years. After a thorough analysis of the complete bid by Bhopal Municipal
Government for their smart pole project, we found that by incorporating our proprietary
expertise) Bhopal Smart City Development Co. Ltd (BSCDCL) can:

Implement, manage, operate, monitor and evaluate the Smart City

development projects
Designing, engineering, financing, procurement, construction, operation
and maintenance of the Project under and in accordance with the provisions of a long-term
concession agreement
Consortium shall be liable jointly and severally for the execution of the
Contract in accordance with the Contract terms, ensure good Turnover profitability, financial
solvency and effective human resource management for the smart pole project in Bhopal,

Smart Pole with LED street light- 400(minimum) 2. WI-FI Services in 100
Hot Spots identified by BSCDCL 3. Optical Fiber (200 Km minimum) 4. Surveillance 5.
 Environmental Sensors 6. EV Charging Points 7. Smart Bill Board 8. SOS Application 9.
Mobile Application 10. Central command and control Centre (NOC)
Undertaking on Service Level Compliance, Exit Management and
Transition and undertaking to open an office in Bhopal which will act as a control room for
the smart poles in the city
Integrate necessary sensors such as environmental sensor for providing air
quality, temperature, humidity, etc and keep a database of the record collected by the sensors
Electronic Vehicle charging points for charging the Electronic Vehicles
( Auto Rickshaw and Two wheelers only) as part of supporting the smart city project as
documented in RFP
.
Financial Aspects & Provisions of the project

Senior term loan lending to SPV with provision of recourse for the construction
period of building the smart poles with specified requirements as stated
Non- Recourse loan for the construction period to diversify risk
Cash flows received by SPV to be used 100% towards debt repayments.
Loans to be arranged via term loans and senior notes in the corporate bond market.
Project Design and Project Partners:
Telecom Services Vodafone cellular will reserves the right to any new and existing
telecom pole, under the jurisdiction of Indore Municipality Corporation
Paramount Cables India: Paramount Communications Ltd, is one of Indias leading
cable manufacturing company. Also, the company has prior experience and expertise
of being a part of a PPP (Project Ekta)
Nokia: The Company has been in talks with various state and central government and
might soon bid for various projects. Nokia has been working in areas such as 5G
networking, cloud and IoT. This will help Vodafone in the networking aspects of the
smart poles and also provide expertise in sensor technologies
LED - Orient Electronic to provide the requisite LED lighting for 100% of the lamps
Advertisement Bright Advertisement Indias largest outdoor advertisement agency
to be provided lease on smart pole advertisement
Moxa: Moxas strength and existing success in various vertical markets in India,
including Solar Power, Smart Grid, Railway, Metro, and CCTV Surveillance Systems,
will certainly enhance the companys value proposition for Smart Cities Mission
proposals
Esskay Telecom Ltd: Antenna operators would help assist Vodafone in getting the
smart poles to be 4G/5G LTE compatible.
Construction Period: 1 year Concession Period: 15 years

What Vodafone will have Exclusive rights on telecom poles; Value added services like
Parking, Traffic Congestion reports, Theft monitoring etc and Advertisement based revenues.
And also, Vodafone will have the exclusive right to use approx.20000 existing street Lighting
Poles in BSCDCL area to create infrastructure to enable multiple digital services. Please e-
