Cast and Crew Agreement

PERMISSION

For the opportunity to participate in the Production, I agree that the Production may be broadcast and/or distributed without
limitation through any means and I shall not receive any additional compensation for my participation. I also understand that
the Productions title listed above is tentative and can change without releasing me from the terms of this contract.

I confirm that any and all material furnished by me for the Production is either my own or otherwise authorized for such use
without obligation to me or any third party. I grant the Producer(s) the irrevocable and unrestricted right of use of my name,
likeness, image(s), voice, and biographical material produced via my participation in the Production. Producer(s) may exhibit,
advertise, promote, and otherwise exploit Production or any portion thereof in any medium, whether or not such uses contain
audio and/or the visual reproduction of myself and whether I am identifiable or unidentifiable. I understand that the Producer(s)
has the right to use the materials created for the Production in any way he/she chooses and I have no right to inspect or approve
those materials.

Producers agree that there is a Director of Photography on the Production and that Production will be shot on the RED
CAMERA. Producers agree that the Production is intended as an artistic/drama-oriented film and is in no way affiliated with
the adult film industry or market. Producers intend to target both domestic and international markets, film festivals, and
appropriate DVD distribution companies.

PUBLICITY

I agree to participate in the promotion and publicity of the Production.

Independent Contractor shall not directly or indirectly circulate, publish or otherwise disseminate any news story, article, book
or other publicity concerning the Picture, or Independent Contractors or others services without Production Companys prior
written consent, provided that Independent Contractor may issue personal publicity mentioning the Picture so long as such
references are not derogatory. Independent Contractor has permission to show video of Picture in connection with seeking
future employment. Employer shall have the right to use the Independent Contractors name, voice, picture, and likeness in
connection with the Picture, the advertising and publicizing thereof, and any promotional films and clips respecting the Picture
without additional compensation therefore. Production will provide me with clip footage of me in 6 months after principle
photography/post production for the sole purposes of said clips to be incorporated in my acting reel and no other use.

CONFIDENTIALITY

I agree to keep confidential, all written, creative, technical and financial details of the Production unless specifically requested
by the Producer(s) to disclose such information.

LIABILITY

I further agree that my participation in the Production confers upon me no rights of use, ownership, or copyright. I understand
that all materials and intellectual properties produced in association with my participation become properties of the
Producer(s). I release the Producer(s), their Independent Contractors, individuals assisting with the Production, agents, assigns,
and/or third parties associated with filming locations from all liability which may arise from any and/or all claims by me or any
third party in connection with my participation in the Production. I agree to pay for damages to any and all items, property,
and/or equipment related to the Production that results from my negligent and/or reckless behavior. I accept full responsibility
for all personal risks during my work on the Production.

FORCE MAJEURE

If because of illness of actors, director or other essential artists and crew, weather conditions, defective film or equipment or
any other occurrence beyond Producers control (including without limitation any Writers Guild of America or Screen Actors
Guild strike or lock-out), Producer is unable to start work on the date designated and/or work in progress is interrupted,
Producer shall have the right to reschedule at a later date to be mutually agreed upon, without payment of additional fees.
USAGE

It is understood that the Producer(s) are under no obligation to broadcast or distribute the Production. I give the right to the
Producer(s) to assign all terms stated in this contract. I also understand that by agreeing to the terms of this contract, I am not
guaranteed participation in this Production.

DATES

I shall be available for Production(s) commencing approximately _________________ and continuing until approximately
______________________ inclusive. If Producer requires my presence prior or subsequent to the foregoing dates, then
Producer may schedule said presence on mutually agreeable dates.

FEES

As complete and full payment for all of the rights granted to Producer(s) hereunder, Producer(s) shall pay to me the total
amount of $ ____ per day payable upon commencement of work on the Production, during, and/or within 30 days of
completion of Production.

NIGHTS, WEEKENDS, HOLIDAYS, WORK TIME

Unless expressly provided elsewhere in this agreement, no increased or additional compensation shall accrue or be payable to
Independent Contractor for rendering of services at night or on weekends or holidays, or after the expiration of any particular
number of hours of service in any period.

MEALS

The Production Company will provide meal breaks and/or food services.

PURCHASES

Independent Contractor will be held personally responsible for purchases, rentals and expenses not approved in advance by
production.

CREDIT

Provided I am not in breach of this agreement, I shall receive billing for opening credits, main titles, blocks of paid ad on
poster/box cover and advertising on a Most Favored Nations basis with other cast members that appear in advertising with the
exception of Excluded Ads.

TERM

Production reserves the right to discharge Independent Contractor at any time, subject only to the obligation to pay the balance
of any guaranteed compensation due. This agreement is subject to immediate suspension and/or termination (at Productions
election) without further obligation on the part of Production in the event of any incapacity or default of Independent
Contractor or in the case of any suspension, postponement of the production by labor controversy, strike, earthquake, act of
God, governmental action, regulation, or decree or for any other customary force majeure reason.

WORK-FOR-HIRE

Production shall be the owner of all the results and proceeds of Independent Contractors services, including all copyright,
trademark and any other intellectual property rights in any work or property created by Independent Contractor, or anyone
under Independent Contractors direction. Independent Contractor acknowledges that Independent Contractors work is a
work made for hire within the scope of Independent Contractors agreement, and therefore Employer shall be the author and
copyright owner of any work created under this agreement. In the event of any proceeds of Independent Contractors work are
not considered a work for hire, then Independent Contractors copyright to such work is hereby assigned to the Employer.

MISCELLANEOUS

This agreement is the entire agreement of the parties with respect to the subject matter hereof and cannot be modified or
cancelled except by written instrument signed by both parties. This agreement shall be interpreted in accordance with the laws
of the State of California. Owner acknowledges that it has not entered into this Agreement in reliance upon any representation
(written or oral, express or implied) of Producer not contained herein. Owner agrees that Producer may assign this Agreement
and its rights hereunder to any third party. This Agreement shall inure to the benefit of and be binding upon the parties
respective successors, licensees and assigns. Paragraph headings are for convenience only and are of no legal force or effect
whatsoever.
