400 FIRM FIXED ORDER - UNITED STATES


To: Columbia Aircraft Manufacturing Corporation, 22550 Nelson Road, Bend, OR, 97701, hereinafter referred to as CAM.
The undersigned (hereinafter referred to as Buyer) hereby enters this order (the Order) to purchase the CAM Aircraft model and the options and accessories chosen by Buyer (the
Aircraft).
BUYER UNDERSTANDS THAT THE CAM STANDARD TERMS AND CONDITIONS OF SALE, INCLUDING THE LIMITED WARRANTY, AS WELL AS THE STANDARD
EQUIPMENT LIST, ALL OF WHICH ARE ATTACHED HERETO AND WHICH BUYER HAS READ, ARE INCORPORATED IN FULL AS PART OF THIS ORDER.
Required Deposit: CAM acknowledges receipt of $15,000.00 (USD) from Buyer as a deposit to secure this Order. In the event of Buyers breach or default hereunder, including but
not limited to Buyers failure to otherwise consummate this transaction under the terms agreed upon, CAM shall retain, not as forfeiture, but as liquidated damages for default, all deposits
previously made by Buyer and this Order shall be terminated.
Final Payment: FULL PAYMENT TERMS ARE CASH DUE WITHIN TWENTY-ONE (21) CALENDAR DAYS AFTER THE DATE ON WHICH THE BUYER IS NOTIFIED THAT
THE AIRCRAFT HAS RECEIVED AN FAA AIRWORTHINESS CERTIFICATE. (Please see Sections 4 and 5 of the CAM Standard Terms and Conditions of Sale, attached, for specific
terms.)

by CAM in Bend, Oregon. Upon CAMs written acceptance, the terms and conditions
of this Order, which include CAMs Standard Terms and Conditions of Sale, the Limited

a binding contract between Buyer and CAM (the Contract).

STANDARD TERMS AND CONDITIONS OF SALE


1. Conditional Acceptance: Buyer has entered into an Order for one Columbia 400 Aircraft together
with options and accessories selected by Buyer (hereafter Aircraft). The Aircraft is being sold in
accordance with these terms and conditions, which have been expressly agreed to by Buyer signing
a copy of this Order. If Columbia Aircraft Manufacturing Corporation (CAM) accepts this Order,
CAM will sign the Order at CAMs home office and acknowledge acceptance. This Order shall not be
binding until CAM signs the Order and all deposit money has been received by CAM. The terms of
CAMs acceptance are solely limited to the terms and conditions contained herein (hereinafter referred
to as the Terms). The Order, the Terms, the Limited Warranty referenced in Section 8 below, and
the Standard Equipment List comprise the Contract between CAM and Buyer.
2. Models, Options: This Order is for the Columbia 400 Aircraft model as described in the attached
Standard Equipment List and in the configuration portions of this Order, subject to availability at the
delivery date. If no color or interior is identified on the front of this Order at 90 calendar days from
the estimated delivery date of this Order, then CAM shall assign a color and interior configuration
at CAMs discretion, and the Order shall reflect this color and interior configuration and, by default,
be approved by Buyer.
3. Price and Taxes: All prices and payments are based on United States Dollars. The price for the
Aircraft is Free Carrier (FCA) CAMs Bend, Oregon plant and does not include present and future
federal, state and local excise, sales, use, property, gross receipts and similar taxes (Taxes). All such
Taxes, whenever and wherever applicable, will be paid by the Buyer. If Buyer does not properly pay
Taxes, import duties or other import/export charges and such payments are sought from CAM, then
Buyer shall be solely responsible for and agrees to indemnify CAM from all payments, and any and
all other expenses, costs, attorney fees, etc., incurred by CAM.
Prices listed in the Contract are fixed unless Buyer has requested a specific deferred delivery date, in
which case the price will be adjusted to the pricing in effect on the deferred delivery date requested
by Buyer.
4. Terms of Payment: Full payment to CAM in Bend, Oregon is due on the earlier of a) the date
the Aircraft is delivered to Buyer, or b) twenty-one (21) calendar days after the date on which the
Buyer is notified by CAM that the Aircraft has received an FAA Standard Airworthiness Certificate.
CAM will use its best efforts to give Buyer approximately thirty (30) days notice of the date CAM
anticipates the Aircraft will receive its airworthiness certificate. All payments shall be made by certified check, bank cashiers check or wire transfer, unless otherwise agreed to by CAM. If, in CAMs
sole judgment, the financial condition of the Buyer at any time does not justify the commencement
or continuation of the performance of the Contract, CAM may, in addition to CAMs other rights and
remedies, discontinue performance until given adequate assurance of due performance by the Buyer
and/or cancel the Contract and any other orders from Buyer, and/or may require full or partial payment
in advance for the Aircraft, all at CAMs sole option.
5. Default: If Buyer fails to timely pay any deposit, the balance due on the Aircraft or any other
charges under the Contract when due, or if the Contract is breached, canceled or terminated by Buyer
for any cause whatsoever, or if Buyer fails to accept delivery of the Aircraft within twenty-one (21)
calendar days after being notified that the Aircraft has received an FAA Standard Airworthiness Certificate, then CAM may retain, not as forfeiture, but as liquidated damages for default, all deposits
previously made by Buyer and the Contract shall end. If CAM fails to make delivery of the Aircraft
as described in Section 6 below, then Buyer shall have the right to cancel the Contract and receive a
refund of all deposits, without interest.
6. Sale and Delivery: The Aircraft will be sold and delivered to the Buyer at CAMs Bend, Oregon
plant after CAM has received full payment for the Aircraft. Buyer agrees to inspect, flight test and
accept delivery of the Aircraft at Bend, Oregon within twenty-one (21) calendar days after the date on
which the Buyer is notified that the Aircraft has received the FAA Standard Airworthiness Certificate.
All responsibility of CAM shall cease and the risk of loss shall pass to the Buyer upon execution of a
receipt acknowledging delivery. Title to the Aircraft shall remain with CAM until the receipt by CAM
of the full purchase price of the Aircraft. Under no circumstances shall CAM be liable for damages
resulting from any delay in delivery, however caused.
7. Non-Conforming Aircraft: In any case where the Aircraft is rejected by Buyer prior to acceptance
of the Aircraft, Buyer shall notify CAM immediately in writing of said rejection. If the Aircraft is
properly rejected by Buyer (as reasonably determined by CAM), CAM may notify Buyer of its intention
to cure any defects in the Aircraft and may then proceed to cure the defects and make a conforming
delivery. However, if CAM fails to notify Buyer of its intention to cure the defects or fails to proceed
to cure the defects and make a conforming delivery, Buyer may return the Aircraft to CAM and receive
a full refund, without interest, of any amount of the purchase price already paid by Buyer to CAM.
THE IMMEDIATELY PRECEDING REMEDY SHALL BE BUYERS SOLE AND EXCLUSIVE
REMEDY FOR AIRCRAFT PROPERLY REJECTED BY BUYER.
8. Limited Warranty and Limitations on Liability: THE AIRCRAFT IS BEING SOLD TO BUYER
WITH THE CAM LIMITED WARRANTY (ATTACHED HERETO) WHICH CONSTITUTES
THE ENTIRE WARRANTY AGREEMENT BETWEEN BUYER AND CAM AND IS INCORPORATED AS A PART OF THIS ORDER AND THE TERMS. BUYER ACKNOWLEDGES THAT
IT UNDERSTANDS AND AGREES THAT EXCEPT AS SET FORTH IN THE LIMITED WARRANTY, CAM MAKES NO OTHER OR FURTHER WARRANTIES, EXPRESSED OR IMPLIED,
AND SPECIFICALLY EXCLUDES THE IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE OR USE AND NONINFRINGEMENT. BUYER
ACNOWLEDGES THAT THE AIRCRAFT IS A GENERAL AVIATION AIRCRAFT NOT SUITED
FOR COMMERCIAL TRANSPORT OR ACROBATICS. BUYER ALSO ACKNOWLEDGES
AND AGREES THAT THE CAM LIMITED WARRANTY SHALL BE NULL AND VOID IF ANY
ISSUE LISTED IN THE CAM LIMITED WARRANTY AS DEEMING THE WARRANTY TO BE
NULL AND VOID OCCURS.
9. Limitation of Liability: NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN,
UNDER NO CIRCUMSTANCES SHALL CAMS LIABILITY TO CUSTOMER EXCEED THE
REFUND OF THE PURCHASE PRICE LESS REASONABLE RENTAL FOR PAST USE OF THE
AIRCRAFT. ALL OTHER OBLIGATIONS OR LIABILITIES OF CAM IN CONTRACT OR TORT,
WHETHER UNDER A THEORY OF BREACH OF CONTRACT, BREACH OF WARRANTY,
NEGLIGENCE, MISREPRESENTATION OR STRICT LIABILITY OR OTHERWISE, WHETHER
FOR SPECIAL, CONSEQUENTIAL, LOST PROFIT, INDIRECT, INCIDENTAL, PUNITIVE,
EXEMPLARY OR OTHER DAMAGES ARISING OUT OF THE SALE, USE OR OPERATION OF

THE AIRCRAFT, OR OTHERWISE, ARE EXCLUDED BY CAM AND HEREBY EXPRESSLY


WAIVED BY BUYER.
10. Amendments and Cancellation: All amendments to the Contract must be agreed upon in
writing by CAM and Buyer, except that CAM may revise the estimated Delivery Period in light
of production timing.
CAM shall not be liable to Buyer for any delay in making delivery of any Aircraft for any cause
whatsoever; provided, however, if CAM should fail to make delivery of the Aircraft within ninety
(90) days after the end of the estimated Delivery Period as originally set forth on the front page
of the Order at the time CAM accepted the Order, Buyer shall have the right to cancel the Order
and receive a refund of all deposits, without interest.
11. No Conveyance of Patents or Right to Copy, Manufacture or Assemble: The sale of the
Aircraft shall not be deemed to convey any license or right (whether expressly, by implication,
estoppel or otherwise) under any patent claim of CAM or of any other person, firm, corporation
or government. Buyer shall not, by virtue of the Contract nor of the purchase and delivery to
Buyer of Aircraft, be entitled to manufacture, assemble, copy, reproduce or imitate such Aircraft
or its components or the designs thereof.
12. Aircraft Performance: Aircraft performance as presented in data and charts in CAM advertising materials, POH (Aircraft Flight Manual) and handbooks are calculated based on actual
flight tests with the airplane and engine in good condition and the engine power control system
properly adjusted. The flight test data has been corrected to International Standard Atmosphere
Conditions and then expanded analytically to cover various airplane gross weights, operating
altitudes and OAT conditions. It is not possible to make allowance in the charts for varying levels
of pilot technique, proficiency or environmnetal conditions. Therefore, Aircraft performance is
not warranted or guaranteed.
13. Security Interest: Buyer hereby grants to CAM a purchase money security interest in the
Aircraft sold pursuant to the Contract and the proceeds thereof in the amount of the purchase price
until the Aircraft has been paid for in full. Buyer hereby agrees to perform all acts necessary or
appropriate to assist CAM in perfecting and maintaining such security interest. In the event of
default by Buyer on any of its obligations to CAM, CAM shall have the right, without liability
to Buyer, to repossess the Aircraft, and shall have all rights of a secured party under the Oregon
Uniform Commercial Code.
14. Notices: All notices, requests, and other communications given hereunder shall be in writing
and shall be deemed to have been given or made (i) if by mail, when received by certified mail,
postage prepaid, return receipt requested; or (ii) if by courier, when received. Notices to either
CAM or Buyer shall be directed to the address for such party indicated on the front page of this
Order; provided, however, that either party may change its address for notices by providing notice
to the other party of such change in the manner provided herein.
15. General Conditions:
(a) BUYER AND CAM EXPRESSLY WAIVE ANY RIGHT TO TRIAL BY JURY WITH
RESPECT TO ANY CLAIM OR ACTION ARISING OUT OF OR IN ANY WAY RELATED
TO THE CONTRACT.
(b) No delay or failure on the part of CAM in exercising any right or remedy under the Contract,
and no partial or single exercise thereof, shall constitute a waiver of such right or remedy or any
other right or remedy.
(c) If any term or condition of these Terms or the application thereof shall be illegal, such illegality shall not affect any other term or condition thereof, and such other terms or conditions
shall continue in full force and effect.
(d) CAM shall not be obligated to perform any term or condition of the Contract if such performance might, in the opinion of CAMs counsel, violate any governmental law, regulation
or ordinance (foreign or domestic), and CAM shall not be liable for damages or otherwise as a
result of such nonperformance.
(e) CAM reserves the right to make changes in design and/or to add improvements to any
model Aircraft it manufactures at any time without incurring any obligation to install the same
in Aircraft previously sold.
(f) CAM shall be given a reasonable opportunity to correct any defect in, or failure of, the Aircraft for which CAM is legally responsible prior to Buyers rejecting or revoking its acceptance
of the Aircraft.
(g) The Contract represents the entire understanding of the parties with respect to the subject
matter hereof, and supersedes all prior discussions, negotiations, correspondence or agreements
relating to the subject matter thereof; however, all stenographic or clerical errors or omissions
are subject to correction.
(h) Buyer and CAM expressly agree to exclude from the Contract the United Nations Convention
on Contracts for the International Sale of Goods, 1980, and any successor thereto. The Contract
between CAM and Buyer shall be governed in all respects and shall be construed, and the legal
relationships between the parties shall be determined, in accordance with the applicable commercial law of the State of Oregon, U.S.A.
(i) The Contract is assignable by Buyer, provided that: (i)CAM consents to the assignment,
which consent will not be unreasonably withheld, and (ii)Buyer pays a reasonable fee to CAM
to cover the administrative costs.

1.

This Limited Warranty constitutes the entire warranty agreement between the Buyer and Columbia Aircraft ManuCorporation (hereinafter referred to as CAM). This warranty will become null and void if any of the following
occurs:
a. Aircraft is sold to a subsequent buyer, unless application for transferring this limited warranty is accomplished within
30 days of transfer of ownership as evidenced by a written notice from the original Buyer along with an FAA Aircraft
Registration certificate or applicable document from a country other than the United States of America in the name of
the new owner. In no event shall this Limited Warranty pass to another person or entity until it has been received
and approved by CAM, which approval shall not be unreasonably withheld;
b. Aircraft is modified from type design without accompanying Supplemental Type Certification; or
c. Owner fails to comply with all CAM Service Bulletins within the time frame specified on the Service Bulletins.

CAM warrants that:


a. The new Aircraft airframe structure and its accompanying CAM-proprietary components sold hereunder will be free
from defects in material and workmanship for a period of three (3) years or nine-hundred (900) flight hourswhichever
occurs firstfollowing initial FAA Standard Airworthiness Certificate for the Aircraft, under normal use and service.
CAMs Proprietary components are defined as those components designed by CAM and initially installed in the Aircraft at the CAM factory prior to new Aircraft delivery. Normal use and service means that the Aircraft is operated and
maintained in accordance with CAMs FAA Approved Flight Manual/Pilots Operating Handbook (AFM/POH), and
CAMs FAA Approved Aircraft Maintenance Manual (AMM).
b. The components other than CAM-Proprietary components have been properly installed.

Any action concerning this warranty must be commenced within one year after a breach of this warranty has been or reasonably should have been discovered.
Unless an affirmation, representation or warranty is specifically included within this warranty, it shall not be enforceable
by owner.
3.

CAM does not make any warranties with respect to:


a. Components subject to normal wear including but not limited to upholstery, soft trim, appearance items, exhaust system,
belts, and rubber or rubber-like items.
b. Paint, or items subject to maintenance replacement.
c. Any act or repair by any party not authorized by CAM.
d. Components, such as power plant, propeller, avionics, equipment, etc., covered under separate Original Equipment
Manufacturer (OEM) warranties, Airworthiness Directives or Service Bulletins, or letters pertaining to those items.
As part of the sale of Aircraft, CAM assigns such warranties and obligations to the original Buyer referenced herein.
CAM is not responsible for transfer of any warranty other than this Limited Warranty to subsequent owners.

4. CAMs obligation under this Limited Warranty shall be to repair or replace, in CAMs discretion and at CAMs expense
(excluding shipping and freight charges), at CAMs manufacturing facility or at a service facility approved by CAM, any
component covered by Paragraph 2 of this Limited Warranty when it is disclosed to CAMs reasonable satisfaction that such
component is defective. Replacement parts or components subject to this Limited Warranty will continue to be warranted for the
duration of the original warranty period. If (a) CAM is unable to repair or replace, or arrange for the repair or replacement of,
the defective component, and (b) the defective component is a material part of the Aircraft, then Buyer may return the Aircraft
to CAM and receive a refund of the purchase price less a reasonable rental for past use of the Aircraft. The remedies provided
in this Paragraph 4 are Buyers exclusive remedies.
5. To the extent allowed by applicable law, this warranty by CAM is made expressly in lieu of any other warranties expressed or implied in fact or by law, including any implied warranty of merchantability, fitness for a particular purpose or
use and noninfringement, which warranties are disclaimed, and is in lieu of any other obligation or liability on the part of
CAM to anyone of any nature whatsoever by reason of the manufacturer and/or the sale and/or the use of such aircraft.
CAM shall in no event be liable to Buyer or to any other party or parties for special, indirect, incidental, consequential,
or punitive damage, either to property (including the Aircraft referenced herein) and/or for injury or death to persons,
resulting from improper operation, misuse, accident, negligence or failure to complete routine repair or maintenance whether
caused by Buyer, or by CAMs negligence, gross negligence or arising by strict liability. CAM neither assumes nor authorizes Buyer or anyone else to assume for CAM any obligation or liability in connection with the Aircraft other than that
expressly set out herein. No bill of sale or transfer of title to this aircraft shall modify, alter or nullify the provisions
of this Paragraph 5. This warranty may not be assigned by the Buyer other than as provided for in Paragraph 1 part a.
The laws of some states do not permit certain limitations on warranties or remedies. In the event such law(s) apply(s), the
foregoing exclusions and limitations will be amended insofar and only insofar as required by said law(s).
