TERMS OF BUSINESS
1. Prices
The indication of price in the price-list is in euros (). The prices of the respective last
valid price-list are to be considered. The prices are net-prices and do not include the
respective effectual VAT.
The prices are quoted ex works, packing and freight charges are excluded. The prices
apply to ordinary quality and size according to the catalogue. If the orderer deviates
from these standards, a new price assessment is made by the seller without any explicit previous notice.
If the seller allows an exceptional offer for a particular product, he is bound to it when
the offer on the part of the orderer is accepted within the period of 14 days starting with
the day of the offer. Acceptances coming in afterwards do not lead to an obligation.
2. Delivery
If the order value is above 1000 net, the goods are delivered freight paid ex the railway
station of Heddesheim to the railway station of the addressee within Germany.
Machines are always delivered ex works, the packing is excluded.
Delivery conditions outside Germany:
Below 1000 net, postage and packing excluded, duty unpaid, uninsured. All other
costs thereby incurred are at the expense of the addressee.
Above 1000 net, we pay 1 % as part of the freight charges of the respective invoice
value and value of the goods including the packing, duty unpaid. All other costs thereby
incurred are at the expense of the addressee.
The minimum order value is 50 net.
Delivery dates and time limits are to be confirmed in written form.
If the time of delivery cannot be met in case of force majeure (war, strike, business
disruption, etc.), the agreed delivery dates or time limits are no longer binding and
additionally, in particular cases, the seller / supplier is entitled to withdraw from the
execution of the orders or to carry out partial deliveries.
Concerning tools sensitive to fractures or cold as well as custom-made products, the
seller / supplier reserves the right to carry out overdeliveries or underdeliveries up to 10
% of the quantity ordered without any further agreements. The quantity ordered can at
least be exceeded or fallen short of 2 units. The quantity delivered is calculated.

Our favourable prices oblige us to raise the herein after called service charges for small
orders (customs form, issuing of customs documents, bank charges), as these costs
could not be absorbed by our extremely narrow calculation.

3. Payment
The payment of the goods delivered has to be effected to the seller / supplier within 8
days with a cash discount of 2 % or within 30 days, respectively at the invoice date in
cash without any discount.
Repair orders and sharpening orders are excluded from this. These are immediately
payable after the receipt of the invoice without any discount. In case of delay in payment, the seller / supplier is entitled to demand out of the invoice amount interests with
2 % above the respective regional discount rate. If it was agreed to accept part-payment and if the orderer / purchaser is behind schedule with more than two part-payments, the balance becomes immediately due in its entirety.
The same also occurs if the seller / supplier comes to know any circumstances surrounding the transaction which put the security of the outstanding money at risk.
Bills of exchange and cheques are only accepted for payment purposes and when all
accruing charges will be paid. If the seller / supplier comes to know any circumstances
surrounding the transaction which put the security of the outstanding money at risk,
then he is entitled, also prior to maturity of accepted drafts for payment purposes, to
demand the immediate payment of the whole purchase price.
4. Transfer of perils
At the point of transfer to the carrier, the risk is transferred to the orderer / purchaser.
This also applies to deliveries free from transportation charges. Unless otherwise
agreed, the dispatch is effected on account of the purchaser / orderer. On request of
the orderer the delivery will be insured at his cost against theft, breakage, transport and
fire and water damage as well as against other insurable risks.
5. Packing
The packing charges are borne separately by the purchaser / orderer. The charging is
effected at cost price.
6. Retention of title
The supplier / seller retains the ownership of the delivery item / object of purchase until
all demands are fulfilled. In case of an agreed partial delivery, all partial deliveries shall
be in the possession of the supplier / seller until all partial deliveries are paid. The passage of title of the partial deliveries is not effected until after the payment of the last
partial delivery.
The orderer / purchaser is entitled to resell the delivery item in the normal course of
business. However, all claims occurring from the resale against the recipient of the
delivery or third parties are herewith withdrawn from the supplier. The orderer /
purchaser is authorised to collect the claim even after this withdrawal. The authority of
the supplier / seller to collect the claim by himself will remain unaffected by this.
However, the supplier / seller commits himself not to collect the claims as long as the
orderer / purchaser duly fulfils his obligation to pay. The supplier / seller can claim that
the orderer / purchaser discloses the transferred claims and their debtors, gives all necessary

particulars for the collection, delivers the corresponding documents and discloses the
withdrawal to the debtor. If the delivery item is resold together with other goods which
do not belong to the supplier / seller, the sellers / purchasers claim against the recipient
of the delivery is valid as assigned to the amount of the contract price agreed between
the supplier / seller and the orderer / purchaser.
7. Withdrawal
If the orderer / purchaser does not collect the delivery item, the supplier / seller is
entitled to allow an additional period of 14 days containing the statement that he refuses
to execute the order after expiration of this additional period. After unsuccessful expiration of this extended period, the supplier / seller is entitled to withdraw from the
agreement or to demand damages for non-performance by sending a written statement.
If the orderer / purchaser seriously and finally refuses to receive the goods, an additional
period is not allowed.
If the supplier / seller demands damages, the damages amount to 20 % of the order
price. The amount of damage is assessed higher or lower, if the supplier / seller proves
a higher or the orderer / purchaser a lower damage.
8. Cancellation
If the orderer / purchaser cancels the contract, the written consent of the supplier /
seller is needed in order for the cancellation to be valid. When the consent is given, the
orderer / purchaser is obliged to compensate the supplier / seller in all costs thitherto
incurred. In this case, the supplier / seller retains the ownership of drawings, models
etc. manufactured by himself.
9. Liability
The supplier / seller is liable for the guaranteed quality according to the statutory provisions; besides, he is only liable for damages caused by gross negligence of contract
violation on his part or on the part of a legal agent or an auxiliary person. The same
applies to damages caused by breach of duty during the contract negotiations.
10. Guarantee
The guarantee claims against the supplier / seller are at the option of the supplier /
seller limited to the right of rectification or replacement. Should an attempt to rectify
or replace fail, the orderer / purchaser will expressly be entitled to withdraw from the
contract or to reduce the purchase price.
No guarantee is given by the supplier / seller for damages occurring due to incorrect
handling, improper use, unauthorised modification or incorrect use. If any complaints
are asserted on the part of the orderer / purchaser, the rejected goods are to be sent
back to the supplier / seller, free of charge, with details about the conditions of use for
checking purposes.
Designs and other documents provided by the orderer / purchaser for the execution of
orders remain in possession of the supplier / seller. The documents are to be kept at
least for 4 months. The return is only effected on explicit demand of the orderer /
purchaser.
11. Notification of defects
Obvious defects are to be notified in written form by the orderer / purchaser not later
than within a period of 2 weeks after receipt of the goods. If the orderer / purchaser fails
to notify the defect, the delivery is considered to be free from defect. Traders are to
follow the article concerned with examination and notice of non-conformity under 377
of the German Commercial Code, if the contract belongs to the company of their commerce.

Externally visible defects or shortfalls of packages are to be recorded at once on the
consignment note. Not externally visible defects are to be reported to and confirmed by
the deliverer in written form and within 24 hours. In case of non-observance you loose
your right to regress. In case of a justifiable claim please inform us without delay and
wait for further instructions. Returns without our explicit consent entail considerable
costs for you.
12. Returns
The orderer / purchaser is allowed to return the goods only after a prior written agreement was reached between him and the supplier / seller. Without such a written agreement of the supplier / seller the costs of the return are to be borne by the orderer /
purchaser. The supplier / seller is entitled not to accept returns sent freight collect.
Custom-made products cannot be returned.
13. Trade-in-credit
If a trade-in-credit is allowed, the amount of the credit arises from the amount of the
original invoice less 15 % service charges; however, the service charge is at 15 minimum.
If the goods are returned by virtue of a trade-in-credit agreement, the orderer /
purchaser is to bear all the costs thereby incurred.
14. Legal venue and place of performance
The place of performance for all deliveries and payments is the domicile of the supplier
/ seller. The local legal venue for all business disputes arising from contracts with merchants entered as such in the commercial register is 69469 Weinheim.
15. Placing of orders
In placing the order the orderer / purchaser agrees even without explicit consent to
the aforesaid conditions.
16. Technical modifications
The seller / supplier explicitly reserves the right to make modifications to tools and
machines if required. The orderer / purchaser cannot assert any rights from this.
17. Reprints
Reprints of the content of the price-list, even in extracts, of illustrations or graphs
require an explicit prior written consent. With this price-list all price-lists and offers prior
to this cease to be valid.
The prices of this list can be changed without any previous notice. The seller / supplier
reserves the right to calculate the prices / alloy surcharges valid at the day of dispatch.
