Contest Rules:

By entering the Scribd Most Interesting Hard Drive Contest (hereafter, the
Contest), you agree to be bound by these Official Rules:

Eligibility

General Requirements. This contest is open to all members of the Scribd.com


website that are at least eighteen (18) years of age. Misrepresentation of age,
upon discovery by Sponsor, will disqualify the applicable entrant. Void where
prohibited by law. Employees of Scribd, Nowigo, Inc., their affiliates,
participating vendors, and subsidiaries, and promotional agencies are not
eligible to participate in the Contest.

Published Authors. Persons who have achieved the status of "Published" (as
defined in the Official Rules) are not eligible to participate in the Contest. For
purposes of these Official Rules, the term "Published" shall mean any individual
who, as of the Start Date has received sole or shared writing credit for any
published work of any genre in any form, including self-published and ebooks,
with an assigned International Standard Book Number (ISBN).

Membership. The Content is open only to active users of the Scribd.com


website. If a Contest participant’s account on Scribd.com is terminated for any
reason during the course of the Contest, the participant will be disqualified from
the Contest, effective at the same time as the termination.

Contest Description:

The Contest is a search for the Scribd user with the most interesting as-yet-
unpublished content. Entrants will be allowed to upload new, unpublished
content to a special part of the Scribd website for browsing by the general
public. Scribd will begin counting the number of views each document receives
from 12:01 AM PDT on May 12, 2008 until 11:59 PM PDT on June 16, 2008.
The number of document views for each Entrant will be totaled, and the
Entrants with the three highest total numbers of views achieved during the Entry
Period will win the Contest.

Entry Period

The contest begins at 12:01 AM PDT on May 5, 2008 and ends at 11:59PM
PDT on June 16, 2008. All entries must be received prior to the close of the
Contest Entry Period. Any entries submitted after 11:59PM PDT on June 16,
2008 will be disqualified.

How to Enter
No purchase necessary. Entrants must have a valid account on Scribd.com.
New users can sign up for a Scribd account at http://scribd.com/login To register
for the Contest, visit the Contest home page at http://scribd.com/contest.

Submission Requirements

Each Submission that is entered into the Contest must meet ALL of the
submission requirements set forth below:

• Your submissions may be in the the following formats: doc, docx, xls,
xlsx, pdf, ps, txt, rtf, open office formats
• Entrants must prove that the content submitted for the Contest is owned
by the Entrant or is appropriately licensed for sharing on Scribd
(scribd.com) via Creative Commons, GPL, or other legally viable
licensing mechanism.
• Submissions must convert to iPaper and successfully display on the
Scribd.com website. Documents that fail to convert will be disqualified.
• Submissions may not include obscene, lewd, hateful, or pornographic
images
• Entrants may not submit documents for the Content that they had
previously published on Scribd.com prior to the Start Date.

Ascertainment of Winners

The first, second, and third prize winners of the Contest will be ascertained
automatically through the tabulation of the total number of times each Entrant’s
submissions were viewed on Scribd.com during the Entry Period.

Winners' Notification

Entrants agree that all documents submitted to Scribd for the purpose of the
Contest will be presented in a publically accessible area of Scribd.com for the
during the duration of the Contest, until the documents are removed from
consideration by the entrant, or until they are disqualified by the Contest
administrator, whichever comes first.

Rights to Use Entries


Privacy control over Contest submissions will revert to the entrant within sixty (60) days
of the End Date of the Contest. Entrants grant the Sponsor unlimited rights to use
documents submitted to Scribd for the purpose of the Contest to promote Scribd.com
and the Contest, during the duration of the Contest, until the documents are removed
from consideration by the entrant, or until they are disqualified by the Contest
administrator, whichever comes first.

Right of Disqualification

Scribd reserves the right to disqualify any entrant or any submission, for any
reason, at any time.

Limitation of Liability

Disclaimer of Warranties. The Contest Sponsor and Administrators make no


warranties, and hereby disclaim any and all warranties, express or implied,
concerning any prize furnished in connection with the Contest. WITHOUT
LIMITING THE FOREGOING, THE CONTEST AND ALL MATERIALS
PROVIDED ON OR THROUGH THE WEBSITE ARE PROVIDED "AS IS"
WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-
INFRINGEMENT. The Contest Sponsor and Administrators are not responsible
for any incorrect or inaccurate information, reviews, Ratings, or other materials,
whether caused or created by Contestants, by tampering or by any of the
equipment or programming associated with or utilized as part of the website or
the Contest, and Sponsor assumes no responsibility for any error, omission,
interruption, deletion, defect, delay in operation or transmission,
communications line failure, theft, destruction, or unauthorized access to the
website. Although Sponsor attempts to ensure the integrity of the Contest,
Sponsor is not responsible for the actions of entrants in connection with the
Contest, including entrants' attempts to circumvent the Official Rules or
otherwise interfere with the administration, security, fairness, integrity, or proper
conduct of the Contest. Sponsor is not responsible for injury or damage to any
Contestant's or to any other person's computer, other equipment, or person
related to or resulting from participation in the Contest, or downloading
materials from or using the website.

General Release. By entering the Contest, Contestants agree that: (1) any and
all disputes, claims, and causes of action arising out of or connected with the
Contest, or any prizes awarded, shall be resolved individually, without resort to
any form of class action; (2) any and all claims, judgments and awards shall be
limited to actual out-of-pocket costs incurred, including costs associated with
entering the Contest, but in no event will attorneys' fees be awarded or
recoverable; and (3) under no circumstances will any Contestant be permitted
to obtain any award for, and entrant hereby knowingly and expressly waives all
rights to seek punitive, incidental or consequential damages and/or any other
damages, other than actual out-of-pocket expenses, and/or any and all rights to
have damages multiplied or otherwise increased. Each Contestant
acknowledges and agrees that the Contest Sponsor and Administrators are not
responsible for any costs, injuries, losses, or damages of any kind arising from
or in connection with: (i) incomplete, lost, late, misdirected or illegible entries or
for failure to receive entries due to any cause, including without limitation
human, transmission, or technical problems, failures, or malfunctions of any
kind, whether originating with sender, with Sponsor, or otherwise, that may limit
a Contestant's ability to participate in the Contest or send or receive email
notifications requiring action or response by such Contestant; (ii) any injury or
damage resulting from participation in the Contest and/or the use of any prize
(including, without limitation, claims, costs, injuries, losses and damages related
to personal injuries, death, damage to, loss or destruction of property, or any
claims, costs, injuries, losses, or damages related to or based on the entrant's
rights of publicity or privacy, or the entrant's claim that he or she has somehow
been defamed or portrayed in a false light).

Governing Law/Arbitration. This Agreement, the rights and obligations of the


Parties, and any claims or disputes relating in any way thereto shall be
governed by and construed in accordance with the internal laws of the State of
California, without regard to its choice of law principles which would require
application of the laws of another jurisdiction. Any dispute between the Parties
arising out of or relating to this Agreement shall be submitted to binding
arbitration. The arbitration shall take place in California before a single
arbitrator, selected pursuant to such rules, and shall be conducted on an
expedited basis and in strict confidence. Each party hereby waives any and all
rights and benefits which it might otherwise have or be entitled to under federal
law or the laws of California or any other state to litigate any such dispute in
court, it being the intention of the parties to arbitrate all such disputes. The
arbitrator's decision shall be controlled by the terms and conditions of these
Official Rules, and any other agreements the applicable Contestant may have
entered into with Sponsor in connection with the Contest, and shall be final and
binding, and shall provide for each party to bear its own costs of arbitration and
attorneys' fees. EACH PARTY EXPRESSLY WAIVES ANY RIGHT TO A JURY.
Judgment upon the award of the arbitrator may be entered or enforced in any
court of competent jurisdiction. If either party shall fail to appear at the hearing
on the date designated in accordance with the rules of the American Arbitration
Association, or shall otherwise fail to participate in the arbitration proceeding,
the arbitrator is hereby empowered to proceed ex parte. If you do not agree to
this (or any other provision herein), do not participate in the Contest.

CAUTION: ANY ATTEMPT BY A CONTESTANT OR ANY OTHER INDIVIDUAL


TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE
LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL
AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS
RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH
CONTESTANT TO THE FULLEST EXTENT PERMITTED BY LAW. Without
limiting the foregoing, Sponsor may disqualify any entrants from the Contest
who deliberately damage, tamper with or undermine the legitimate operation of
the Contest or the host website(s).
