CiscoAcademyMembershipAgreement

WelcometotheCiscoNetworkingAcademy.ThisagreementgovernsyourAcademysparticipationintheCiscoNetworkingAcademy.

TheNetworkingAcademyMembershipGuideforCiscoAcademies(NAMGCA)describesthebenefits,rolesandresponsibilitiesofCiscoSystems,Inc.oritssubsidiary
responsiblefordistributioninthecountryinwhichyouarelocated(Cisco)andyourAcademy.TheNAMGCAformspartofthisagreement,andwillbemadeavailableto
yourAcademybyCisco.YourAcademyshouldreviewtheNAMGCAcarefullybeforeagreeingtoparticipateintheCiscoNetworkingAcademy.Byacceptingthisagreement
yourAcademyagreestocomplywiththeNAMGCA.AstheCiscoNetworkingAcademyevolves,changestotheNAMGCAmaybeappropriate.Ciscowillexercise
reasonableeffortstoprovideadvancenoticetoyourAcademyofanymajorchangestotheNAMGCA.

Ciscoprovidesallresources,coursematerials,services,websitesorotherdeliverablesasis,withoutwarrantyofanykind(asfarasCiscoispermittedtodosobylaw).
FurtherdetailsaresetoutintheNAMGCA.

Thefollowingprovisions(a)(c)governyourtreatmentofpersonalinformationofAcademyandCiscoNetworkingAcademyparticipants(i.e.employees,students,instructors,
administrators,oranyotherofyourCiscoNetworkingAcademyparticipants)(CiscoNetworkingAcademyParticipants)providedtoorotherwiseobtainedbyCiscofromyour
AcademyinconnectionwiththeCiscoNetworkingAcademy:
(a)Byenteringintothisagreement,yourAcademywillensurethatCiscoNetworkingAcademyParticipantshavegiventheirunambiguousconsent,tothe
processingoftheirpersonalinformationbyCisco:(i)fromwithinandoutsideoftheEuropeanEconomicAreaandthosecountriesdeemedtohaveadequatedata
protectionlawsinconnectionwithprocessingthepersonalinformationand(ii)inaccordancewithCiscoNetworkingAcademyPrivacyPolicy,asamendedfromtime
totimeandlocatedhere(http://www.cisco.com/web/siteassets/legal/privacy.html).
(b)YourAcademyagreestocomplywith:(i)applicabledataprotectionlawsandregulations,includingyourAcademysobligationsasdatacontrollerunder
thoselawsandregulationsand(ii)CiscosNetworkingAcademyPrivacyPolicylocatedhere(http://www.cisco.com/web/siteassets/legal/privacy.html).
(c)Tothemaximumextentpermittedbylaw,yourAcademyshalldefend,indemnifyandholdharmlessCiscoanditsofficers,directors,employees,
shareholders,customers,agents,successorsandassignsfromandagainstanyandallloss,damages,liabilities,settlement,costsorexpense(includinglegal
expensesandtheexpensesofotherprofessionals)asincurred,resultingfromorarisingoutofyourAcademysbreachofapplicablelawsrelatingtothetreatmentof
personalinformationincludinganyclaimfortheunauthorizedsolicitation,collection,storage,forwarding,oruseofpersonalinformation.Asaconditiontosuch
defenseandindemnification,CiscowillprovideyourAcademywithpromptwrittennoticeoftheclaimandpermityourAcademytocontrolthedefense,settlement,
adjustmentorcompromiseofanysuchclaim.Ciscomayemploycounselatitsownexpensetoassistitwithrespecttoanysuchclaimprovided,however,thatif
suchcounselisnecessarybecauseofaconflictofinterestofeitheryourAcademyoryourAcademyscounselorbecauseyourAcademydoesnotassumecontrol,
yourAcademywillbeartheexpenseofsuchcounsel.CiscoshallhavenoauthoritytosettleanyclaimonbehalfofyourAcademy.

YourtermofmembershipintheCiscoNetworkingAcademyisthreeyears(36months),commencingonthedatewhenCiscoexecutesthisagreement.Thetermshallbe
automaticallyrenewedforadditionaltwelve(12)monthtermsunless(i)sixty(60)dayspriortotheendofthethencurrenttermonepartygiveswrittennoticetotheotherparty
ofitselectionnottorenewthisagreement.Notwithstandingtheforegoing,eitherCiscooryourAcademymayterminatethisagreementwithoutanyliabilitytotheotherparty
foranyreasonorfornoreasonbyprovidingatleastthirty(30)dayswrittennoticetotheother.Eitherpartymayrefusetoextendorrenewthethreeyeartermforanyreason
ornoreason.

ByclickingAccept,yourepresentthatyouareauthorizedtoenterintothisagreement(includingtheNAMGCA)onbehalfofyourAcademy.

andknowledgetoyourstudents,thefuturearchitectsofthenetworkedeconomy!
