3C Pro GmbH, organization identification number CH-170.4.010.881-8, hereinafter referred to as the
Customer, represented by Director Graziano Pedroja, acting by the articles of association of the
company, and Gotfrids Noviks, personal identification number 150935-13552, residence at Kosmonautu
5-49, Rezekne, Latvia, LV-4604, hereinafter referred to as the Author, agreed on and made the
following authors contract, hereinafter referred to as the Contract:
Article 1. Subject-matter of the Contract
1. Hereunder the Customer shall order and the Author shall make every creative effort to prepare the
methodical tool Eco-Innovation (Joint Degree Study Programme Technology and Innovation
Management) (hereinafter referred to as the Work). While creating the Work, the Author shall
follow the Customers instructions on quality and due date for completion of works.
Article 2. Obligations of the Author
1. The Author hereby undertakes to prepare the course handbook on Eco-Innovation (Joint Degree
Study Programme Technology and Innovation Management) pursuant to the
Recommendations for the Preparation of the Publication for Studies (enclosed to the Authors
Contract).
2. The Author hereby undertakes to create the Work and hand it over to the Customer not later than until
1 March 2015.
Article 3. Obligations of the Customer
1. The Customer hereby undertakes to accept the result of creative work, delivered by the Author, if it
meets the quality requirements.
2. The Customer hereby undertakes to pay royalty to the Author for the completed authors Work in the
amount of 1500 Eur 00 ct (one thousand five hundred Eur and 00 cents). The Author shall deduct
income tax of individuals from the above amount and pay the same to the tax controlling institution in
the manner prescribed by the laws.
3. Payment shall be made under the certificate of delivery and acceptance of works.
4. Royalty shall be paid to the Authors account DnB Banka, LV09RIKO0001300146524.
Article 4. Quality of the Work and delivery and acceptance
1. The Customer shall assess the quality of the Work and take the decision to either approve or not
approve the Work. In case, if the Work gets negative evaluations, the Customer shall make motivated
remarks and give reasons for the same.
2. If the Work gets negative evaluations, the royalty shall not be paid to the Author. In case, if the
Customer partially accepts the Work, the amount of royalty due shall be reduced pro rata such
unaccepted part of the Work as well as the Customers damages.
3. The Customer shall be entitled to hand over the Work at his own discretion to the Author or the third
persons for them to eliminate defects.
4. Upon the approval of the Work by the Customer, the Author shall hand over the final version of the
Work including any and all appurtenance to the Customer. Delivery of the Work shall be executed by
drawing the certificate of delivery and acceptance, signed by both contracting parties.
Article 5. Copyrights to the Work
1. The Author hereby undertakes to implicitly hand over to the Customer any and all intellectual property
(including the authors property rights) of the Work. Any and all intellectual property of the Work shall
pass to the Customer as of the date of payment of royalty to the Author.

2. The Customer shall be entitled to alter and modify the Work for the purposes of teaching and scientific
research as well as multiply, distribute, and hand over the same to the third persons without the
Authors consent and without paying royalty.
3. The Author shall have the following non-property rights:
3.1 To demand recognizing the authorship of the Work, by indicating the Authors name on any and all
copies of the Work published as well as in such other ways, when the Work is made public (copyright);
3.2 To take objection to any misrepresentation or any other modification of the Work or its title as well as
such other measures that could violate the Authors dignity or status (right to the immunity of the
Work).
4. The Author hereby guarantees that the Work created by him or individual parts thereof do not violate
and will not violate any rights of the third persons. The Author shall be liable for the violation
irrespective of that the claim or such other demands are made to the Customer.
Article 6. Liability of the parties
1. In the event of breach of provisions hereof as well as such other rights and legal interests, as provided
by the rules of law, another party shall be entitled to demand the restoration of such violated right and
the indemnification of damages.
2. Should the Author fail to fulfill his obligations in a due and timely manner, the Customer shall be
entitled to terminate the present Contract and demand from the Author to repay any and all payments,
made by the Customer.
Article 7. Final provisions
1. The Contract shall come into effect as of the date of signing thereof and shall be valid until full
settlement between the Customer and the Author.
2. Supplements and amendments to the Contract shall only be valid, if they are made in writing and
signed by both parties.
3. The parties hereby undertake to keep secret any technical, commercial, financial or such other
information, which has been made available to each other, also the information on the present
Contract, as well as take any and all steps to make sure that such information is not made available to
the third persons for the period of validity of the Contract and for the unlimited period of time
afterwards.
4. Either party shall have the right to unilaterally terminate the Contract upon a written notice of the
expected termination, given to another contracting party not later than one month before such expected
date of termination of the Contract, as well as fulfillment of its duties, provided in the Contract.
5. Any and all disputes in connection hereto shall be settled by negotiations. Should the parties fail to
come to an understanding, such disputes shall be settled in the manner prescribed by the laws of the
Republic of Lithuania.
6. The Contract is made in two original copies one for each party.
