*Project scope and pricing is valid for ninety (90) days from date
indicated on Statement of Work form.

Description of Work

The following campaigns will be updated with new creative and


content using client-provided layouts as part of a creative-refresh:

Shopping Cart Abandonment

Creative-refresh includes a creative call to discuss layout


requirements for responsive HTML, Listrak developed responsive
HTML and quality assurance testing for functionality and rendering.
If client-provided creative does not meet specifications for responsive
HTML, Listrak will provide mobile-friendly HTML.
Creative-refresh does not include logic or functionality revisions to the
automated campaigns or Conductor Conversations.

Assumptions

You have an active Listrak account.

All necessary eCommerce platform extensions, modules,


and/or cartridges have been installed and fully vetted.

If the scope of work includes Listrak Recommender


merchandise block or recipe setup, product data is
assumed to be correct and usable in its current state.

If the scope of work involves utilizing dynamic coupon


codes through Listraks coupon manager:
o

Your eCommerce system can export and accept


dynamic coupon codes.

You can export a preliminary list of dynamic coupon


codes and specify a backup static code to use in
case of technical error or an empty coupon pool.

You can successfully implement JavaScript


subscription code, if deemed necessary.

If were updating a current Listrak solution, its assumed


to be fully finished and functioning in its current state.

If the scope of work includes using Listraks API:


o

Youre aware of the delay caused by hitting the


Listrak API and the Listrak email queues. Emails may
take 30 seconds to 10 minutes to be sent to the
inbox, based on the queue times throughout the day.

Youre familiar with API and SOAP protocols or youll


work with a third-party integrator in order to utilize the
Listrak API.

If the scope of work involves using Listraks API or


building a custom application (aka middleware), youre
aware that Listrak uses the email address as the primary
record, so all emails sent from Listrak will key off of the
associated email address. All data for a given email will be
overwritten by subsequent API calls triggering that same
email (e.g., order confirmation data will be overwritten for a
given email address when another order is processed and
the order confirmation API call is made using that same email
address).

Your Creative
Responsibilities

If you want to keep the creative in-house, heres how it works:

If this scope of work includes email messages, weve


made it easy for you to design your own mobile-friendly
emails by building several responsive-ready email
wireframes for your creative team to use as a guide.
Simply select the email wireframe option that best matches
your needs and design within the bounding boxes (as
indicated by the guide lines). All content must lie within the
bounding boxes, as any content that extends outside a
bounding box may render the design inappropriate for
responsive use.

For all solutions, you agree to provide:

Final, fully approved, layered Adobe .psd files (one


PSD file per solution or message) containing
whatever copy youd like us to use. All creative and
copy you provide is assumed to be final and correct
as-is, so all additions or revisions (responsive or
otherwise) will need to be completed by your team.
Note that if you need Listraks team to make these
revisions for you, all time spent will be billable at the
prevailing rate.
Please only design for desktop rendering; if you want
a responsive solution, the Listrak team has a
thorough understanding of responsive design best
practices and will create design compositions for
each solution showing its mobile layout.

Any applicable font files and linked images included


in your design.

After reviewing the PSD file(s) you provide to us, your project
manager will let you know if anything in your design or
content needs to change in order to be responsive or adhere
to best practices.
After your team makes these changes, just send the files
back to us. Well review once again and if everything is in
order, well proceed to the next phase of the project.
If your design still requires updates to be responsive or bestpractice-friendly, you have two options:
1. You can employ the Listrak team to continue to analyze
your design and content and provide you with additional
lists of revisions your team needs to make. If you choose
this option, all time spent will be billable at the prevailing
rate.
2. You can choose to move on to the next phase of the
project with the design as-is (not responsive or bestpractice-friendly).

After the design/content is where you want it to be, you agree

to provide approval of all designs and HTML tests.

Youll complete all necessary solution testing prior to go-live,


as outlined by your assigned project manager.

Youll give ultimate approval that youve tested everything


and approve the launch.

Listraks Creative
Responsibilities

If youre providing the creative, we will

Provide you with any applicable responsive wireframes to


give you a best-practice starting point.

Review your provided creative/content and let you know if


anything in your design or content needs to change in order
to be responsive or adhere to best practices.

(If you opt to continue with additional rounds of analysis,)


well provide you with a list of all edits your team needs to
make in order for your design to be responsive or bestpractice-friendly. Note that these hours are billable.

Convert all creative to HTML, test for proper rendering and


functionality, and submit to you for approval.

After you provide approval, well complete final quality


assurance testing and launch.

Listraks Technical
Responsibilities

Not applicable.

Out-of-Scope
& Limitations

Standard Approval Process


You must provide written or verbal approval when requested
before Listrak can continue work and progress to the next

phase of the solution (e.g., provide approval of a design


composition before Listrak can convert it to HTML).
If you already gave approval, we cant make edits to any
previous phase without potentially incurring fees e.g., if you
approved a design composition and weve already converted
it to HTML, we cant go back and make design edits without
that time being billable.
Please note that delays during this approval process can
impact the overall timeline of the project.

Creative Limitations
Changes to Client-Provided Creative: All creative and copy
you provide is assumed to be final and correct as-is, so all
additions or revisions will need to be completed by your
team. Note that if you need Listraks team to make these
revisions for you, all time spent will be billable at the
prevailing rate.
Mobile Responsive Design: Responsive design (design
that allows for more optimal rendering on mobile devices)
may require creative changes to designs you provide. As
stated above, all revisions (responsive or otherwise) will need
to be completed by your team. If you need Listraks team to
make these revisions for you, all time spent will be billable at
the prevailing rate.
All solutions we design are coded for optimal display on
supported mobile devices and browsers at the time of
solution development. Listrak stays abreast of device and
browser updates to ensure that our responsive designs
function optimally in as many places as possible. However,
these future updates could cause your existing solutions to
render incorrectly. If youd like us to modify an existing design
to accommodate a new device or browser update, time spent
will be considered out-of-scope and billable at the prevailing
rate.
If youd like your solution to be responsive, our design team
needs all graphics (logos, images, etc.) provided in highresolution or vector format. If you cant provide us with high-

resolution or vector files, we cant guarantee optimal viewing


on retina screens.

Updates / Break-Fix
If you or your team modifies any finished solution (as
provided/completed by Listrak), your website, or an
established data feed in any way that would affect your
Listrak solutions performance, necessary fees may be
charged at the prevailing billable rate to troubleshoot and
correct the resulting issues.
The same applies to any break-fix scenarios within the
Listrak application, including (but not limited to): lists,
segmentation fields, Listrak Conductor Conversations,
subscription settings, external events, and messages.

Dynamic Coupons & Listrak Coupon Manager


After your initial batch of dynamic coupons has been
exhausted, you must export new batches from your
eCommerce platform and import them into the Listrak coupon
manager for ongoing use. If you dont replenish your coupon
pool and you run out of coupons, a backup static coupon
code will be delivered to subscribers until you replenish the
coupon pool. This is why we strongly recommend assigning a
backup static code to every coupon pool created.

API Support
Any additional API support beyond the hours outlined in the
above Listraks Technical Responsibilities section will be
considered out-of-scope and billable at the prevailing rate.

Data Requirements / File Feeds


Unless otherwise outlined, all additional data requests,
including any updates to current file feeds or platform
installations, will be considered out-of-scope and billable at
the prevailing billable rate.

If You Make an Out-of-Scope Request:


We will notify you of the nature of your request and any
remaining in-progress work will be paused until additional
scope requirements are discussed, quoted, and approved.

Out-of-scope requests are defined as any work not explicitly


covered in this document.

Budget Cost

$2,681.25 (Includes 18.75 hours)


This is an estimate.
For quotes over 10 hours: During solution execution, if factors
dictate that budget is insufficient, youll be notified within 5 hours of
budget with an estimate of additional hour requirements.

Your Responsibilities Pursuant to This Agreement


By signing, you agree to complete your portion of the identified tasks within the timeframe of the
schedule. If you arent able to complete the tasks within the timeframe, Listrak will provide written
notice of the delay. We reserve the right to place the project on hold until youve paid Listrak for the
amount of time Listrak has spent.
