specified in this application, Mt Vernon Marketplace has the right to ask you to remove such item on the day of the event. Please note, Mt Vernon Marketplace may
decide product exclusivity at any time. All vendors will be made aware of this product exclusivity in advance of the event.

Please note: AT NO TIME may beer, wine or liquor be sold or distributed. AT NO TIME may food or beverages be sold. PLEASENOTEMobile Vendors
may need to be placed near street closures. WE CANNOT GUARANTEE SPECIFIC SPACES WITHIN THE FESTIVAL FLOORPLAN. Note that electricity
is not provided. See Rules and Regulations appended to form for information on generators.

Mt Vernon Market reserves the right to decline applications, or with 10 days notice, cancel applications, based on existing or new sponsorships and/or
exclusivity rights that may be put in place for event. Spaces are limited. Approval of the application is within the sole discretion of Mt Vernon Marketplace.
This is a rain or shine event. There is no rain date. No refunds will be given for any reason. Vendor agrees to comply with the terms and conditions of this
Vendor Application & Agreement as well as the Festival Rules & Regulations and Additional Terms & Conditions. Violation of the Festival Rules &
Regulations or any violation of law will result in forfeiture of Vendors space, and Vendor expressly agrees to waive any rights to recourse or to demand a
refund or to claim damages on such grounds.By signing below, Vendor acknowledges receipt of the Festival Rules & Regulations and Additional Terms &
Conditions and agrees to comply with, and be bound by, the terms set forth therein and represents that the person signing on Vendors behalf has the
authority to do so.

Rules & Regulations


1. All festivals will be held rain or shine. There are no rain dates. You are responsible for protecting your
equipment and/or merchandise from inclement weather.
2. You may start set-up no earlier than 8:00 am and your exhibit must be completely installed by 11:30 am.
Failure to be on-site and set-up by 11:30 am may result in a reassignment of your space. All vehicles must be
out of the area by 11 am and cannot return to the site before 8:00 pm. Break-down will commence no sooner
than 8:00 pm and your exhibit must be completely off the street no later than 10 pm.

No special permits are available for vendor parking. Vendor parking is available on the street and in the
Franklin Street Parking Garage (on Franklin Street between Cathedral and Park). Residential street parking is
also available at Paca and Druid.

Booth numbers will not be assigned until the day of the festival. Report to Taps Fill Station for your booth
location.

5.

You are required to have an attendant at your space during all event hours, 12pm to 8pm, as well as during
set- up and break-down. You must keep your display and sampling/promotions within your 8 x 10
assigned space. All draping material etc. must be flame retardant.

6.

Your Vendor Application & Agreement required you to specify EXACTLY what items are being sold,
exhibited, promoted or distributed at the event. If, on the day of the event, you include items that were not
specified in the Vendor Application & Agreement, or if you include items that are of a controversial nature, (e.g.,
not family-oriented), the the organizers have the right to ask you to remove such item(s) or leave the festival.
You must not engage in any illegal activity of any kind.

No microphones or playing of music is allowed. No raffles or games of chance will be permitted unless
pre- approved by the festival organizers.

8. AT NO TIME mav beer. wine or liquor be sold or distributed unless specifically authorized by the festival
organizers. AT NO TIME may food or beverages be sold from an Arts & Crafts booth.

9.

Use of generators is severely restricted; requests to use them must be submitted at least 10 days in
advance of the event and the festival organizers have the right to refuse requests based on space allowance.
Vendors with generators may be moved to a less central location within the festival grounds at the sole
discretion of the festival organizers.

10. DO NOT leave trash behind, nor any leftover merchandise. You must leave space as you found it. Any
vendor violating this rule will be barred from future events and fined $100 for removal of items left behind.
11. Submission of the Vendor Application and Agreement shall constitute a valid and binding agreement between the
vendor and the festival organizers.
12. Spaces are non-transferable and cannot be resold. You may not sublet your space or any portion of it.
13. Neither the festival organizers, its directors, officers, employees, representatives, agents and volunteers, nor the
City of Baltimore, are liable for any damage to or destruction of any exhibit, booth or other vendor space from
any cause whatsoever, or for the theft or disappearance from any vendor space of any property contained in or
about the exhibit area or for any loss you may sustain.
14. Vendor is solely responsible to maintain all appropriate and/or required insurance of whatever nature, including
but not limited to, liability insurance and workers compensation insurance, at your own expense and initiation.
The festival organizers assumes no responsibility of any kind for insurance on behalf of any vendor or exhibitor.
15. Vendor agrees to indemnify, defend and hold harmless the festival organizers and their directors, officers,
employees, representatives, agents and volunteers from any and all claims, demands, suits, and actions,
including attorneys fees and costs, arising as a result of any direct, indirect, willful, or negligent act or omission of
the vendor, its employees, agents, or volunteers, EXCEPT for activities caused by the sole negligence of the
festival organizers and their directors, officers, employees, representatives, agents and volunteers.
16. The festival organizers, and their directors, officers, employees, representatives, agents and volunteers shall not
be liable for any claims, liabilities, costs, and charges (including attorneys fees and costs) for injury, loss, or
damage to persons or property (including death) arising out of vendors activities in connection with the festival,
or any breach of representation, warranty, or covenant in this agreement. Under no circumstances shall the

festival organizers be liable for consequential, indirect, special, or punitive damages of any kind in connection
with its activities or omissions relating to the festival or this agreement, regardless of whether such damages
were foreseeable.
17. Vendor shall pay all sales and other taxes, fees, and assessments required by any applicable federal, state, or
local law in connection with vendors participation in the festival.
18. Vendors violation of any of these rules or regulations or of applicable law will result in the forfeiture of your space
and your removal from the event. By signing the Vendor Application and Agreement, you expressly agreed to
waive any right to recourse or to demand refund or to claim damages on such grounds.
19. Each provision of this agreement shall deem to be a separate, severable, and independently enforceable
provision. The invalidity or breach of any provision shall not cause the invalidity or breach of the remaining
provisions, which shall remain in full force and effect.
20. This agreement constitutes the entire agreement between the parties and supersedes and other agreement or
representations between the parties, whether oral or written. No provision, term, or condition of this agreement
may be amended, waived, or modified except by written agreement signed by both parties.
21. The interpretation of all rules and regulations is the sole responsibility of the festival organizers and all decisions
of the festival organizers shall be final and enforceable.
