MUTUAL AGREEMENT AND TERMS OF RELATIONSHIP

This Agreement is made between TeamSpeak Systems GmbH having its principal place of business at Soiernstr. 1,
82494 Krn, Germany (hereinafter called TeamSpeak) and ________________________, administrator and director of
R4P3.net (hereinafter called R4P3.net).
The parties hereto agree as follows:
1. COMPANY CONFIDENTIALITY
I acknowledge that in the course our discussions, I will gain access to and may gain possession of Confidential
Information (as defined below) of the other party. I agree to keep all Confidential Information strictly confidential and
not to use Confidential Information for any purpose or disclose Confidential Information to any person or entity except
as expressly authorised by and for the benefit of the other party.
Confidential Information shall mean any confidential or proprietary information of the other party, including, but not
limited to, any technical information, any information relating to software architecture, design or code, any research
and development information, any plans or projections, any customer lists, employee lists, advertiser lists, supplier
lists, customer sales analyses, price lists, any other non-public information concerning the other partys business, and
any software or information purchased by or licensed to the other party.
Confidential Information shall not include:
a. Information disclosed publicly in published materials, except where such information has been collected or
analysed, or
b. Information generally known to the public.
2. GENERAL TERMS
a. I acknowledge that R4P3.net shall communicate to TeamSpeak its findings and information regarding
vulnerabilities and exploits through security research of TeamSpeak 3 server and client software only.
b. TeamSpeak shall not request information, nor do they wish to be informed of security vulnerabilities of software
developed by other 3rd parties.
c. TeamSpeak or a designated agent of TeamSpeak shall pay compensation in the amount of $150 USD per month
to R4P3.net in exchange for security research of TeamSpeak 3 software only. Any adjustment to this fee will
require consent of both parties.
d. TeamSpeak may request questionable content be deleted from R4P3.net, its forums and subpages, including but
not limited to:
i. Cracked TeamSpeak 3 software and/or links to other sites that contain cracked TeamSpeak 3 software
ii. Descriptions, documentation, or links to instructions on how to crack TeamSpeak 3 software.
iii. Tools and automated exploits, such as TeamSleep, that may be used with malicious intent.
iv. Information regarding security vulnerabilities that has not already been disclosed to Teamspeak.
v. Content and/or threads that may damage the image of TeamSpeak the company and its employees.
3. AGREEMENT TO DISCLOSE
a. R4P3.net may publish their finding regarding security research of TeamSpeak 3 software on www.R4P3.net
and/or its subpages no sooner than 30 days after presenting the relevant information to TeamSpeak.
TeamSpeak may occasionally request an extension of the 30 days due to unforeseen circumstances.
b. The parties are permitted to disclose the existence of the relationship between the parties so long as it is made
clear that the relationship only pertains to security research of TeamSpeak software only; and that research and
exchange of information regarding 3rd parties and 3rd party software are excluded.
c. TeamSpeak has no opinion regarding the timing of and content published in regards to 3rd party
applications/software, nor does TeamSpeak wish to be informed of security vulnerabilities of 3rd party
applications/software prior to the information being made public.
d. TeamSpeak does not endorse the release of information regarding security vulnerabilities of 3rd party
applications/software. R4P3.net has full discretion and takes full responsibility regarding the information
disclosed of 3rd party applications/software.
4. NEED FOR THIS AGREEMENT
I agree that because of the nature of the other partys business, the restrictions contained in this Agreement are
reasonable and necessary in order to protect the legitimate interests of the other party.

5. REMEDIES
I understand that if I violate any provision of this agreement relating to Confidential Information, or to my duty to
cooperate in matters relating to protection of intellectual property, the other party will suffer immediate and irreparable
injury.
6. SEVERABILITY
If any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, such
invalidity will not affect any other provision of this Agreement.
7. GOVERNING LAW
The parties hereby agree that all disputes arising out of and in connection with this agreement, regardless of conflict
of law provisions, are subject to the law of the Federal Republic of Germany. The parties agree that German courts
have jurisdiction over all controversies arising out of and in connection with this agreement. The place of performance
is Krn, Germany.
8. ENTIRE AGREEMENT
This Agreement represents the entire agreement between the parties and supersedes all prior or contemporaneous
oral or written agreements relating to this subject matter. This Agreement may not be amended or altered except in
writing and signed by both parties.

I ACKNOWLEDGE THAT I HAVE READ THIS AGREEMENT CAREFULLY, AND THAT I FULLY UNDERSTAND AND
AGREE TO ALL OF ITS TERMS.
