RELEASE WAIVER AND QUITCLAIM
THE PUBLIC IS NOTIFIED:
I, BERNARDO E. TAPALES, Filipino, of legal age,
married, residing at 345 Cayco Street, Sampaloc, Metro
Manila, and formerly employed at Spice Tomorrow
Corporation (STC), acknowledges receipt of the sum of
Twenty-five thousand pesos, Philippine Currency, from
Cardo Dalisay and Ador De Leon, Secretary and Treasurer
respectively of said Corporation, in full payment and final
settlement of the financial assistance due to me or which
may be due to me from STC Corporation under the law or
under any existing agreement with respect thereto, as well
as any and all claims of whatever kind and nature which I
have or may have against STC Corporation, arising from my
employment with and the termination of my employment
with STC Corporation.
In consideration of said payment, I hereby quitclaim,
release, discharge and waive any and all actions of whatever
nature, expected, real or apparent, which I may have against
STC Corporation, its directors, officers, employees, agents
and clients by reason of or arising from my employment with
the company. I will institute no action, whether civil,
criminal, labor or administrative against STC Corporation, its
directors, officers, employees, agents and clients. Any and
all actions which I may have commenced either solely in my
name or jointly with others before any office, board, bureau,
court, or tribunal against STC Corporation, its directors,
officers, employees, agents and clients are hereby deemed
and considered voluntary withdrawn by me and I will no
longer testify or continue to prosecute said action(s).

forgoing and in support of the claim against the insurer for

and herein referred to as the SELLER.

herein referred to as the BUYER.
The SELLER is the registered and subscribed owner of
2,000 fully paid shares of Krispy Sticks Candy, Inc. (KSCI)
a domestic corporation with business address located at the
20th Floor, High Tower, Quezon Avenue, Quezon City;
The SELLER desires and intends to sell said 2,000 fully
paid shares to the BUYER at a price of two million pesos
per share and said BUYER has agreed to the said proposal;
NOW, THEREFORE, for and in consideration of the
foregoing, the parties herein have agreed to the following
terms and conditions, to wit:
CONSIDERATION: The total consideration shall be:
Two million pesos (PHP 2,000,000.00), Philippine currency;
MISCELLANEOUS : All expenses, fees and charges,
EXCEPT the applicable tax on the sale of shares of stock
which is to be shouldered by the SELLER, shall be for the
sole account of the BUYER.
