ORFORACHARGEATYOURDESIGNATION.
IFYOUDONOTAGREETOTHESETERMS,YOUCANNOTUPLOAD,PUBLISHORDISTRIBUTE,USERCONTENTON
THESCRIBDPLATFORM.
1.ELIGIBILITY
InordertouploadUserContenttoScribd,Youmust:(i)registerforanaccountontheScribdPlatform(YourScribdAccount)
(ii)beatleast18yearsofage(ortheageofmajorityinyourstateofresidenceifitisotherthan18)and,ifYouareuploading
UserContenttoScribdonbehalfofanorganization,Youmustbeanauthorizedrepresentativeofsuchorganizationwiththe
authoritytobindsuchorganizationtothesetermsandagreetothesetermsonbehalfofsuchorganizationand(iii)Your
ScribdAccountmustbeactiveandingoodstanding(amongotherthings,thismeansthatYouraccountcannotberestrictedor
suspended.).Scribdreservestherighttorefuseparticipationtoanyapplicantorparticipantatanytimeinitssolediscretion.
2.INCORPORATIONBYREFERENCE
ThefollowingadditionalScribdterms,policies,andguidelinesareexpresslyincorporatedhereinandformabindingpartof
thisAgreementasifreproducedfullyherein:
1.ScribdPrivacyPolicy
2.ScribdTermsofUse
3.ScribdAPITermsofService
3.CERTAINRIGHTSOFSCRIBD.
ScribdwillsolelycontroltheScribdPlatformandallfeaturesandfunctionalitythereofandwillhavetherighttomodify,
change,oramendthesameatalltimes,initssolediscretion.Scribdreservestherighttoremoveordeleteanyparticular
pieceofUserContentfromtheScribdPlatformatanytime,atitssolediscretion,withoutcauseandwithoutnoticetoYou.
4.AUTHORIZATIONTOUPLOAD
SubjecttoYourfullandtimelycompliancewithallofthetermsandconditionssetoutinthisAgreement,Scribdhereby
authorizesYoutousetheScribdPlatformfortheuploadinganddistributingofauthorizeddigitalcontent,includingelectronic
documents(UserContent).UserContentisuploadedatYourownrisk.Notwithstandinganythingtothecontraryherein,
ScribddoesnotguaranteethattherewillbenounauthorizedcopyingordistributionofUserContentnorwillScribdbeliable
foranyunauthorizedcopyingorusageoftheUserContent.
5.PROHIBITEDUSES
YourauthorizationtousetheScribdPlatformfortheuploadinganddistributionofUserContentissubjecttothefollowing
restrictions:
(i)Youmaynotshare,copy,adapt,redistribute,reconfigure,modify,createderivativeworksfrom,resell,profitfrom,or
otherwiseexploitanyUserContentpurchasedonorthroughtheScribdStoreotherthanaspermittedbyScribdor
(ii)Youmaynotactinanywaythatviolatesanyguidelines,oranyotheragreementbetweenScribdandYourself,or
engageinanyactionorpracticethatdisparagesordevaluesScribdsreputationorgoodwill.
YouacknowledgethatanyattemptedoractualviolationofanyoftheforegoingisamaterialbreachofthisAgreementandthat
ScribdmaypursueanyandallapplicablelegalandequitableremediesagainstYou,includinganimmediatesuspensionof
YouraccountorterminationofthisAgreement,andthepursuitofallavailablecivilorcriminalremedies.
6.GRANTOFLICENSETOSCRIBDINUSERCONTENT
ByuploadingUserContentviatheScribdPlatform,youherebygranttoScribdaworldwide,nonexclusive,transferable,
assignable,fullypaidup,royaltyfree,license(withtherighttograntandauthorizesublicenses)tohost,transfer,display,
perform,reproduce,distribute,compressorconvertfordistribution,monetize,chargemoneyfor,restrictaccesstoview,restrict
accesstodownload,advertiseagainst,andotherwiseexploitYourUserContent,inanymediaformatsandthroughanymedia
channels,inordertopublishandpromotesuchUserContentinconnectionwithservicesofferedortobeofferedbyScribd.
Suchlicensewillapplytoanyform,media,ortechnologynowknownorhereafterdeveloped.Whetheryourcontentis
uploadedunderthefreeaccessorpaidaccessterms,yougrantScribdtherighttorestrictaccesstoviewortodownloadyour
content(forexample,withoutlimitation,topayingusers)andtochargeusersforaccesstoyourcontent,subjecttocertain
configurationoptionsprovidedtoyoubyScribd,Subjecttothetermsandlimitationssetforthherein,youmayterminatethis
grantoflicensetoScribdastoanyspecificpieceofUserContentbyremovingordeletingthatpieceofUserContentfromthe
ScribdPlatformprovided,however,thatitisunderstoodandagreedthatScribdmayretainacopyofanyUsercontentas
necessarytomakeitavailabletoanyotheruserwhohaspaidforthataccess,andprovidedfurtherthatScribdmay,butisnot
requiredto,retainindefinitelyacopyofanyUserContentforarchivalpurposes.
7.GRANTOFLICENSETOOTHERSCRIBDUSERS
ByuploadingUserContentviatheScribdPlatform,youherebygranttoeachUserwhoisauthorizedtoaccessYourUser
ContentanonexclusivelicensetoaccessanduseYourUserContentunderthetermsindicatedbyYouwhenYouuploaded
suchUserContent(e.g.,freeaccessorpaidaccess).Notwithstandingtheforegoing,YouherebygranttoeachsuchUserat
leastalimited,nonexclusive,licensetoview,download(including,withoutlimitation,downloadtoaportabledevice,but

subjecttodownloadrestrictionseithermadebyScribdorbyyou),printandhaveprintedsuchUserContentforpersonaluse
inthemannercontemplatedbythisAgreementandtheScribdPlatform.Ifyourcontentisuploadedunderapaidaccess
model,youadditionallygranttoallUsers(includingUsersnotauthorizedtoaccessthecontent),alicensetoviewalimited

toaspecificpieceofUserContentonceYouremoveordeletesuchUserContentfromtheScribdPlatformprovided,however,
thatUserrightstosuchUserContentarisingoutofdistributionsoccurringonorpriortodeletionofsuchUserContentfromthe
ScribdPlatformsurviveanyterminationorexpirationofthelicensegrantedinthissection7.
8.RESERVATIONOFRIGHTS
Subjecttothelicensesgrantedherein,YouretainallofYourownershiprightsinUserContentuploadedandownedbyYou.
9.CONFIDENTIALITY
YouagreenottodisclosetheConfidentialInformationofScribdwithoutScribdspriorwrittenconsent.Forthepurposesofthis
section,ConfidentialInformationincludeswithoutlimitation:(a)software,technology,specifications,guidelines,
documentationorothermaterialsrelatingtotheScribdPlatform(b)ratesorstatisticsrelatingtheScribdPlatformand(c)any
otherinformationdesignatedbyScribdas"confidential"oranequivalentdesignation,whetherorallyorinwriting.Youmay
accuratelydisclosetheamountofScribdsgrosspaymentstoYou.
10.TERMANDTERMINATION.
10.1Term.ThetermofthisAgreementwillbeginonthedateYouuploadYourUserContentandwillcontinueuntil
terminatedinaccordancewiththeprovisionssetforthinthisSection10(theTerm).
10.2Termination.Scribdmay,atitsdiscretionandwithoutcause,liability,orpriornoticetoYou,immediatelyterminate
thisAgreement,YourScribdAccount,orsuspendYourScribduploadprivilegesatanytime.Youmayterminatethis
AgreementbyprovidingScribdwithwrittennotificationofintendedterminationthroughelectronicmailat
support@scribd.com.ThisAgreementwillbedeemedterminatedbyYoufifteen(15)businessdaysafterScribdsreceipt
ofsuchnotification.
10.3EffectofTermination.UponterminationofthisAgreement,anyprovisionwhich,byitsnatureorexpressterms,
shouldsurvivewillsurvivesuchterminationorexpiration.
10.4RetiringUserContent.IfYouchoosetoremoveordeleteYourUserContentfromtheScribdPlatformitwillnotbe
availabletoUsersfollowingthedateofsuchremovalordeletion(theDeletionDate).Notwithstandingtheforegoingor
anythingelsetothecontraryinthisAgreement,,ScribdmaypermitthoseUsersthatpurchasedYourUserContentprior
totheDeletionDatetocontinuetohaveaccesstoYourUserContentaftertheDeletionDate,andScribdmaycontinueto
reproduce,display,host,andotherwiseusesuchUserContentasnecessarytoenablesuchaccess.Additionally,Users
whohavedownloadedofflinecopiesofYourUserContent(including,withoutlimitationtoScribdsMobileApplications),
maycontinuetoaccessthatcontent.
11.YOURREPRESENTATIONSANDWARRANTIES
YouaresolelyresponsibleforYourUserContentandtheconsequencesofuploadingandpublishingthem.Byuploading
andpublishingYourUserContent,Yourepresentandwarrantthat:
(i)alloftheinformationthatYouprovidetoScribdunderthisAgreementiscurrentandaccurate
(ii)Youarethecreatorandowneroforhavethenecessarylicenses,rights,consents,releasesandpermissionstouse
andtoauthorizeScribdandScribdsUserstouseYourUserContentinthemannerpermittedherein
(iii)YourUserContentdoesnotandwillnotslander,defame,orlibelanyotherparty,violateanyotherpartyspublicity
rightsortradesecretrights,beobscene,orotherwiseunlawful
(iv)YouhavenotenteredintoanyotheragreementthatisinconflictwiththetermsofthisAgreement
(v)YourUserContentdoesnotcontainanyviruses,adware,spyware,worms,orothermaliciouscode
(vi)YourUserContentisfreeofanydigitalrightsmanagement,includinganysoftwaredesignedtolimitthenumberof
timesUserContentmaybecopiedorplayed
(vii)noclaimhasbeenassertednorhaveanyproceedingsbeeninstitutedbyanythirdpartyagainstYouorYour
predecessorsintitlefortheinfringementofintellectualpropertyrightsinYourUserContentand
12.SCRIBDDISCLAIMEROFWARRANTIES
InadditiontothewarrantiesdisclaimedintheScribdTermsofUse,Scribdexpresslydisclaimsanywarrantythatthesecurity
measuresusedtoprotectUserContentusedbyScribdhereinwillbeeffective.Scribdmakesnoassurancesthatsuchsecurity
measureswillwithstandattemptstoevadesecuritymechanismsorthattherewillbenocracks,disablementsorother
circumventionofsuchsecuritymeasures.
13.RELATIONSHIPOFTHEPARTIESREMEDIESCUMULATIVE
Thepartiesareindependentcontractorswithrespecttoeachother.ThisAgreementdoesnotconstituteandmaynotbe
construedasconstitutingapartnershiporjointventureamongthepartieshereto,oranemployeeemployerrelationship.No
partyshallhaveanyrighttoobligateorbindanyotherpartyinanymannerwhatsoever,andnothinghereincontainedshall
give,orisintendedtogive,anyrightsofanykindtoanythirdparties.RightsandremediesprovidedinthisAgreementare
cumulativeandnotexclusiveofanyrightorremedyprovidedatlaworinequity.
14.CUSTOMERSERVICE
ForassistancewithquestionsregardingthisAgreement,Youcansendusanemailatsupport@scribd.com.Responsesto
emailswillbeprovidedassoonaspossible.
15.UNITEDSTATESEXPORTCONTROLS
YoushallnotatanytimeuploadanyUserContentthatrequireslicensesorauthorizationsfromanyGovernmentagencies.
RelevantU.S.regulationsincludebutarenotlimitedtotheStateDepartmentsInternationalTrafficinArmsRegulationsand
theCommerceDepartmentsExportAdministrationRegulations.YoushallnotpostanyITARcontrolledtechnicaldataand
otherapplicableinformation,includinganyofficialDepartmentofDefensedocuments,onScribd.comthathavenotbeen

authorizedforpublicreleasebytheappropriateGovernmentagency.Itisyourresponsibilitytoensurethatyoucomplywith
theselawsanddonotpostanyitemonScribd.comthatisnotauthorizedforpublicreleaseundertheapplicablelaws,
regulationsandrestrictions.YourrightsundertheseTermsarecontingentonYourcompliancewiththisprovision.
16.FREECONTENT,CONTENTFORSALE,ANDFEESANDCOMPENSATION.
16.1WhenuploadingUserContenttotheScribdPlatform,youhavetheoptiontomakeitavailableforfreetoScribd
Usersortomakeitavailableforsale.IfyouchoosetomakeitavailableforsaleviatheScribdPlatformyoumaysetthe
priceyouwouldliketoreceivefromScribdUserstoaccessYourUserContentviatheScribdPlatformasdescribed
herein.
16.2Payments.InordertopurchaseUserContentonorthroughtheScribdStore,aUsermustpossesseitheravalid
creditcardoraPayPalaccount(https://www.paypal.com).Subjecttothedeductionsandwithholdingssetforthinthis
Agreement,ifaUserpurchasesYourUserContentonorthroughtheScribdStore,ScribdwillremittoYoueightypercent
(80%)ofthepricesetbyyou,providedhoweverthatScribdmaydeductfromthepaymentstobeprovidedpursuantthis
Section$0.25persaleforcreditcardfixedcoststogetherwithanycreditsforrefundsorchargebacksasmaybe
authorizedherein.PaymentshallbecalculatedsolelybasedonrecordsmaintainedbyScribd.Noothermeasurements
orstatisticsofanykindshallbeacceptedbyScribdorhaveanyeffectunderthisAgreement.AnypaymentstoYou
hereundershallbesentbyScribdwithinapproximatelythirty(30)daysaftertheendofeachcalendarquarter,aslongas
youhaveprovidedvalidpaymentinformation.IfScribdowesYoulessthan$20forsoldUserContentwithinagiven
quarter,Scribdreservestheright,atitsdiscretion,torollYourrevenueforwardtothefollowingquarteruntil$20is
reached.IntheeventtheAgreementisterminated,ScribdshallpayYourremainingearnedbalancetoYouwithin
approximatelyninety(90)daysaftertheendofthecalendarquarterinwhichtheAgreementisterminated.Therightto
receivepaymentsmadeunderthisAgreementtoYoumaynotbetransferredorinanymannerpassedontoanythird
partybyYou.Youaresolelyresponsibleforprovidingandmaintainingaccuratecontactandpaymentinformation
associatedwithYouraccount.
16.3ExpressExemptions.ScribdshallnotbeliableforanypaymentifYouraccountinformationisnotvalidorupto
date,orbasedonaresultofanybreachofthisAgreementbyYou.
16.4ChargebacksWithheldPayments.ScribdreservestherighttochargebackYouraccountforanypayments
otherwisedueyouasaresultofsalesofyourUserContentifYoubreachthisAgreement(pendingScribd'sreasonable
investigationofanybreachofthisAgreementbyYou).Inaddition,Scribdreservestherighttowithholdpaymentdueto
YouforanyamountsthatScribddecidestorepaytoUsersintheeventthatYourUserContentisremovedfromthesite
asprovidedherein.IntheeventofabreachoftherepresentationsorwarrantiesmadebyyouinSection11above,you
willindemnifyScribdasprovidedinSection13oftheScribdTermsofUseandpaymentstoyouwillbesuspendeduntil
theclaimisresolved.
16.5Reporting.Reportingofaccruedamounts,paymentsdue,andchargebacksagainstYouraccountisavailablevia
Youraccountonline.
16.6TaxMatters.YouaresolelyresponsiblefordeterminationandpaymentofanyU.S.federal,state,localorforeign
taxesincluding,butnotlimitedto,anysalesorusetaxes,requiredtobecollectedorpaidinconnectionwiththe
transactionscontemplatedbythisAgreementandYoushallindemnifyScribdagainstanyandallsuchTaxes.Youhave
reviewedwithYourowntaxadvisorstheU.S.federal,state,localandforeigntaxconsequencesofthetransactions
contemplatedbythisAgreement.Youarerelyingsolelyonsuchadvisorsandnotonanystatementsorrepresentations
ofScribdoranyofitsagents.Scribdshallbeentitledtodeductandwithholdfromanypaymentspursuanttothis
AgreementinsuchamountsasmayberequiredtobedeductedorwithheldtherefrompursuanttoanyprovisionofU.S.
federal,state,localorforeigntaxlaworanyapplicablelegalrequirement.Totheextentsuchamountsaresodeducted
orwithheld,suchamountsshallbetreatedforallpurposesunderthisAgreementashavingbeenpaidtothepersonto
whomsuchamountswouldotherwisehavebeenpaid.
16.6U.S.Taxpayers.IfYouareaU.S.taxpayerandreceivepaymentsfromScribdof$600ormoreinataxyear,Scribd
willissueYouanInternalRevenueService(IRS)Form1099reportingsuchpayments.IfrequestedbyScribd,Youwill
needtocompleteandreturnviafaxormailanIRSFormW9(RequestforTaxpayerIdentificationNumberand
Certification).IfYoureceivepaymentsfromScribdoflessthan$600inataxyear,itisYourresponsibilitytoreportsuch
paymentstotheIRS.
16.7NonU.S.Taxpayers.IfYouareanonU.S.taxpayerandreceivepaymentsfromScribd,suchpaymentsshallbe
treatedasroyaltypaymentstoYouforU.S.federalincometaxpurposesandsubjecttowithholdingtaxinanamount
equalto30%ofsuchpayment.Youmaybeeligibleforanexemptionorforareducedrateofwithholdingpursuanttoan
applicabletaxtreaty.Ifso,YoumustcompleteandsubmitasignedFormW8BEN(CertificateofForeignStatusof
BeneficialOwnerforU.S.TaxWithholding)toScribdandestablishYoureligibilityforsuchexemptionorreducedrateof
withholding.
16.8NoOtherFeesDisputeofPayments.ExceptasexpresslysetforthinSection16.2,above,nootherfeesor
royaltieswillbepayablebyScribdtoYouunderthisAgreement,inconnectionwiththeScribdStore,ortheprovisionof
othermaterialsorservicesunderthisAgreement.Scribdmaychangeitspricingand/orpaymentstructureatanytime.If
youdisputeanypaymentmadeundertheScribdStore,youmustnotifyScribdinwritingwithinthirty(30)daysofany
suchpaymentfailuretosonotifyScribdshallresultinthewaiverbyyouofanyclaimrelatingtoanysuchdisputed
payment.
16.9WithholdingPaymentsSpecialCircumstances.ScribdreservestherighttowithholdpaymentfromYouif(i)Your
UserContentisremovedbyScribdforanyreason(ii)YourScribdAccountissuspendedorrestrictedorYouraccessto
theScribdPlatformisdisabled(iii)YouviolatetheAPITermsofService,ortheScribdPlatformTermsofUse,including
anyapplicableguidelinesor(iv)YourUserContentisthesubjectofallegationsofinfringementorotherviolationsoflaw
ortherightsofthirdparties.
