STIULTION
It is stipulated by and between the undersigned pares, by their respective attorneys , that:

The Cour has jursdiction over the subject matter of ths action and of the paries

hereto, and venue of this action is proper in the Distrct of Columbia.

The paries stipulate that a proposed Final Judgment in the form attched as

Exhibit A may be entered by the Cour, upon the motion of any par or upon the Cour' s own

motion , at any time afer compliance with the requirements of the Antitrst Procedures and

Penalties Act, 15 U. C. , and without fuer notice to any pary or other proceedngs,
provided that the United States has not withdrawn its consent, which it may do at any tie before

the entr of the proposed Final Judgment by serving notice thereof on Defendant and by filing

that notice with the Cour.

Defendant shall abide by and comply with the provisions of the proposed Final

Judgment , pending the Judgment s entr by the Cour, or until expiration of time for all appeals

of any Court ruling declining entr of the proposed Final Judgment , and shall, from the date of

the signng of this Stipulation by the pares , comply with all the terms and provisions of the
proposed Final Judgment as though the same were in ful force and effect as an order of the

Cour.

This Stipulation shall apply with equal force and effect to any amended proposed

Final Judgment agree upon in writing by the pares and submitted to the Cour.

In the event the United States has withdrawn its consent or the proposed Final

Judgment is not entered pursuant to ths Stipulation, the tie has expired for all appeals of any

Cour ruling declining entr of the proposed Final Judgment, and the Cour has not otherwise

ordered continued compliance with the terms and provisions of the proposed Final Judgment,

then the paries are released from all fuer obligations under ths Stipulation, and the makng

this Stipulation shall be without prejudice to any par in this or any other proceeding.
