crores.

Jaya Hume Pipes (P) Ltd designs and develops the Rcc pipes for usage in diverse

Formation of the company
Jaya Hume Pipes (P) Ltd is a private limited company.
Meaning of Private limited company
Private limited companies are those companies where minimum number of
members/shareholders is two and maximum number is two hundred. A private limited
company has the limited liability of members but at the same time it has many
characteristics as those of a partnership firm. A private limited company has all
advantages of partnership namely flexibility, greater stability and legal entity. In this
sense, a private limited company stands between partnerships. Identifying marks of a
private limited company are name; number of members, shares, formation, management,

Jaya Hume Pipes (P) Ltd (JHP) was established in 2002 with the object of
manufacturing, popularizing and marketing Hume Pipes and allied products. Over a
period of time the company has developed Prestressed Concrete Pipes (NonCylinder),
Prestressed Concrete Cylinder Pipes, Bar Wrapped Steel Cylinder Pipes, Hume Steel
Pipes, Welded Steel Penstocks, Prestressed Concrete Railway Sleepers and specialized in
execution of Turnkey Water Supply and Sewerage Projects.
Today the Company has wide network of over ten factories and over 25 projects
under execution in south India. The Company has earned a reputation for excellence
through employing modern technology, stringent quality control measures, timely
execution and continuous Research and Development. As a result the company's products
have found acceptance in highly competitive markets. The company's Expertise is at
work right from designing of custom made pipes to the company's total engineering
packages for pipeline projects.
The Company is actively involved in the strengthening of the nation's
infrastructure in varied fields viz. Water Supply, Irrigation, Drainage, Power Generation
and Rail transport by executing numerous turnkey pipeline projects for Water Supply,
Sewerage and Hydroelectric Power Generation and supplying millions of Concrete
Sleepers for the track modernization of Railways in India. JHP has also executed projects
in neighboring countries like Nepal, Srilanka, and Malaysia.

This company was registered and commenced its business on 4th day of February
2002.
In the year 2002, they formed JAYA HUME PIPES (P) LTD With collaboration
of HUMES (Australia) for the manufacture of Reinforced Cement Concrete Pipes and the
Company has never had any occasion to look back.

The registered office of the company is situated in the Andhra Pradesh.
The objects for which the company is estimated are:
(A) Ancially objects to the attainment of the main objects mentioned at above are as
follows:-

1.1 To purchase or otherwise acquire, erect, maintain, reconstruct and adapt any
buildings, offices, workshops, mills, plant, machinery, accessories and other things found
necessary or convenient for the purpose of the company and also to extend the business
of the company by adding to, altering, enlarging all or any of the buildings, premises and
machinery for the time being the property of the company, on all or any of the lands for
the time being the property of or in possession of the company, and by expending from
time to time such sums of the moneys as may be necessary or expedient for the purpose
of improving, adding or altering repairing and maintaining the buildings and machinery
and property for the time being of the company.
1.2 To employ experts to investigate and examine into the condition, prospects, value,
character and circumstances of any business concerns and undertakings and generally of
any assets, property of rights.
1.3 To undertake any other business (whether manufacturing or otherwise) which may
seem to the company capable of being conveniently carries on in connection with the
above or calculated directly or indirectly to enhance the value of or render profitable any
of the companys property or rights.
1.4 To acquire in India or elsewhere by purchase, lease or otherwise for the purpose of
the company any real or personal, movable or immovable property, rights or privileges,
including any land, buildings, right of way ,easements,licenses,concessions and
privileges, patents, patent rights,trademarks,machinery, rolling stock, plant, accessories
and stock in trade.
1.5 To purchase or any other means acquire and protect, prolong and renew, whether in
India or elsewhere ,any patents, patent rights, brevets invention, licenses, protections, and
concessions which may appear likely to be advantageous or useful to the company ,and to
use and turn to account, and to manufacture and tender or grant licenses or privileges in
respect of the same and to spend money in experimenting upon and testing and in
improving or seeking to improve any patents, inventions or rights which the company
may acquire or propose to acquire.
1.6 Generally to carry on in any place in the world any other trade or business, whether
manufacturing or otherwise subsidiary or auxiliary to, or which can be conveniently
carried in connection with any of the companys objects; and to establish and maintain

any agencies in any part of the world for the time being at the disposal of the company
for sale; and to advertise and adopt means of making known all or any of the
manufacturers, products or goods of the company, of any articles, or goods traded or dealt
in by the company in any way that may be thought advisable, including the posting of the
bills in relation thereto, and the issue of circulars, books, pamphlets and price lists, and
the conducting of competitions , and the given of prizes, rewards and donations but not
by way of lottery .
1.7 To be interested in promote, and undertake the formation and establishment of some
institutions, business, companies (industrial, agricultural, trading, manufacturing or other)
may be considered to be conductive to the profit and interest of the company. And to
carry any other business (industrial, agricultural, trading, manufacturing or other) which
may seen to the company capable of being conveniently carried on in connection with
any of the objects or otherwise calculated directly or indirectly to render any of the
companys properties or rights for the time being profitable; and also to acquire, promote,
aid, foster, subsidize acquire interests in any industry or undertaking in any country or
countries whatever.
1.8 To purchase or otherwise acquire and undertake the whole or any part of the business
property ,rights and liabilities of any person, firm or company, carrying on any business
whether the company is authorized to carry on or possessed of property or rights suitable
for any of the purposes of the company, and to purchase, acquire, sell and deal in
property, shares stock, debenture stock of any such person, firm or company , and to
conduct make or carry into effect any arrangements, in regard to the winding up of the
business any such person, firm or company, association of society.
1.9 To enter into partnership or into any agreement of sharing profits union of interest,
reciprocal concession, amalgamation or co-operation, with any person or persons,
corporation company carrying on or about to carry on or engage in any business or
transaction capacity of being conducted so as directly or indirectly to benefit this
company and to take otherwise acquire and hold, reissue, with or without guarantee or
promote any other company or companies for the purpose of acquiring all or any of the
property, rights and liabilities of the company or for any other purpose, which may seem
directly or indirectly calculated to be the company.

2.0 To amalgamate with any other company or companies having objects altogether of
the similar to those of this company.
2.1 To draw, accept and make and to endorse, discount and negotiable promissory notes,
hundies, bills of exchange, bills of lading and all negotiable instruments in connection
with the business of the company.
2.2 To incur debt for the conduct of any business of the company or to purchase or to hire
goods, materials or machinery on credit or otherwise for any business or purpose of this
company.
2.3 To lend money to persons or companies on such terms as may seem expedient and in
particular to customers and other having dealings with the company and to act as surety
for and guarantee the performance of contracts by any persons, or companies provided
that the company shall not do any banking business within the meaning of banking
regulation act, 1949.
2.4 subject to section 292 of the act to borrow or raise money in such a manner as the
company shall think fit and in particular by the issue of debentures or debenture stock
(perpetual or otherwise) either at par or premium or discount and redeemable or
irredeemable on any terms without security or on the security of land, buildings,
equipments, machinery, bills of exchange promissory notes, bonds, bill of lading,
warrants, stocks shares and book debts, undertaking of the company and properties of
every description or anyone or more of them, provided that the company shall not do any
banking business within the meaning of the banking regulation act, 1949.
2.5 Subject to provision of Sec 293 to lease, let out on hire, mortgages, pledges, sell
otherwise dispose of the whole or any part of the undertaking of the company or many
lands, business, property, right or assets of any kind of the company or any share of
interest there in respectively in such manner and for such consideration as the company
many think fit and in particularly for shares, debentures or securities of any of the
corporations having objects altogether or in art similarly to those of the company.
2.6 Subject to section293A of the act, to support, donate, contribute or subscribe to any
charitable, benevolent or public object or any other general or useful object or any
institution, society or club or any other body or to any other object with any town or place
where the company has business connections and to give or award pension, annuities,

gratuities and superannuates or other allowances or benefits or charitable and to any


persons who are have served the company and to the wives, widows and other relatives
and dependents of such persons or to make payment towards insurance, and to setup,
establish, support and maintain superannuation and the funds or schemes (whether
contributory or non- contributory ) for the benefit or any such person or persons, and their
wives, widows and other relatives and dependents.
2.7 Subject to Sec.58A of the act and the regulation made there under and the direction
issued by R.B.I to receive fixed or other deposits to withdrawal by cheques, draft, or
orders and to lend money of such person or companies and on such terms as amy seem
expedient and to particular to customers and other having dealing with the company and
to guarantee the performance of contracts, by such persons or companies subject to
provision of the bank regulation act, 1949.
2.8 To provide for the welfare of the employees, ex-employees of the company and the
widows and families or the departments or connections of such persons, by buildings or
contributing to the building of houses, dwellings or crawls, or by grants or money,
pension allowances, bonus or other payments or, by creating and form time to time
subscribing or contributing to provident or other associations, institutions, funds or trusts
and by providing or subscribing or contributing towards places of instruction and
recreation, hospitals, and dispensaries, medical and other attendance and other assistance
as the company shall think fit, and to subscribe or contribute or otherwise to assist or to
guarantee money to charitable benevolent, religious, scientific, national or other
institutions and objects which shall have any moral or other claim to support or aid by the
company either by reasons of locality of operations or of public and general utility or
otherwise.
2.9 To place to reserve or to distribute as dividends or bonus among the members, or
otherwise to apply, as the company may from time to time think fit, any moneys received
by way or premium on shares or debentures issued at a premium by the company, any
money received in respect of dividend accrued on forfeited shares, and moneys arising
from the sale by the company of forfeited shares or from unclaimed dividends.
3.0 To adopt such means of making known the products of business carried on by the
company as many deem expedient, and in particular by advertising in the press, by

circulars or exhibition of work of art and interest and publication of books and periodicals
and by granting prizes, awards and donations.
3.1 To do all or any of the things and all such other things as are incidental or may be
thought conducive to the attainment of the above objects or any of them in any part of the
union of India and of the world, and as principals, agents, contractors, trustees or
otherwise and by or through trustees, agents or otherwise and either alone or in
conjunction with others.
LIABILITY OF THE MEMBERS OF THE COMPANY LIMITED.
The 10 share capital of the company is 1000000 divided into 10000 equity shares
of 100 each subject to the various provisions of the companies act the company shall
have the power to consolidate, subdivide, reduce, or increase the capital, and to issue any
new shares with any preferential or special rights and conditions attached there to.
ARTICLES OF ASSOCIATION OF JAYA HUME PIPES (P) LTD
The following articles shall be the regulations for the management of the
company:
The regulations contained in table A of the first schedule to the companies act
1956 so far applicable to a private company, shall apply to this company save in so far as
they are expressly or by implication excluded or modified, by the following articles.
Company to be private:
1.1 The company is private company within the meaning of section 3(1)3 of the
companies act, 1956 and accordingly.
No invitation shall be issued to the public to subscribe for any shares in of debentures of
the company.(no invitation to public).
1.2 The members of the company (exclusive of persons, who are in the employment of
the company, and of persons who having been formerly in the employment of the
company were members of the company, while in that employment of the company were
members of the company , while in that employment and have continued to be members
after the employment ceases shall be limited to fifty provided that for the purpose of this

article where two or more persons hold one or more shares in the company jointly that
shall be treated as single member and (number of members restricted to 50).
1.3 The right to transfer shares of the company: is restricted.
1.4 prohibits any invitation or acceptance of deposits from person other than its member,
director or their relative.
1.5 The share capital of the company is 1000000 dividends into 10000 equity shares of
100 each. Each subject to the various provisions of companies act the company shall have
the power to consolidate, subdivide, reduce, or increase the capital, and to issue any new
shares with any preferential or special rights and conditions attached there to.
1.6 The shares shall be under the control of the directors who may allot or otherwise
dispose the same to such person and on such conditions as to payment by way of deposit
or as to the amount or time for payment of calls, either at par or, subject to the provisions
of the companies act, at discount and at such time as the directors may think fit.
1.7 If the company shall within the space of twenty eight days after being served with
such notice find a member days after being served with such notice find a member or
person selected as aforesaid and it shall give notice thereof to the proposing transferor
and he or she shall give notice thereof to the proposing transferor and he or she shall be
bound upon payment of the fair value to transfer the shares to the purchasing members.
1.8 The fair value of the shares of the company shall be determined as per the latest
balance sheet available.

Transfer and transmission of shares


Shares cannot be transferred except to a person to by a majority of directors as
being a fit and proper person to hold such shares. This shall not apply where the holder of
shares proposes to transfer to any relative as defined in section 6 of the companies act,
1956.
The person proposing to transfer any share (here in after called the proposing
transferor0 shall give notice in writing to the company that he desires to transfer the same
such notice shall specify the sum he fixed as the sale valued and shall constitute the
company as his agent for transferring the shares to members of the company or persons
selects as aforesaid at the fair value to be ascertained here under the transfer notice may

include several shares and in such case shall operate as if it were a separate notice in
respect of each. The transfer notice shall not be revocable except with the sanction of the
board of directors.
Borrowing power
Subject to as aforesaid any bonds, debentures stock or other securities issued by
the company shall be under the control of directors who may issue them upon such
consideration as they shall consider being for the benefit of the company.
General meeting
A general meeting of the company may be held by giving not less than twenty one
days clear notice in writing.
If consent is accorded there to in the case of annual general meeting by all the members
entitled to vote there at and in the case of any other meeting by the members of his
company holing not less than 95 percent of such part of the paid up capital of the
company as given right to vote at the meeting.
Quorum
Two members personally present shall be quorum for a general meeting. No
Business shall be transacted at any general meeting unless the quorum requisite shall be
present at the commencement of the business.
Voting:
On a show of hands, every member present in person, or by proxy or attorney and
being a holder of equity shares and entitled to vote shall gave one vote for each share
held by him. On a poll the voting rights off members shall be as laid down in the act
preference share have right to vote in accordance with the provisions of the act.

ALL INDIA NETWORK OF MANUFACTURING UNITS
For catering the needs of above products, the company has twenty units spread all
over India. The manufacturing plants are equipped with all the required quality control
and laboratory equipments and facilities to produce products in accordance with the
relevant Indian Standards Specifications. Most of the units are having BIS License and
ISO Certifications. In case of substantial order for any of the products, JHP can establish
local manufacturing units near to the site.

involving various components such as Intake Wells Electrical Transmission Lines,
Pumping Stations with Pumping Machineries, Water Treatment Plants, Water

Company achievements abroad


The Company is also experienced in manufacturing and supplying pipes abroad
and had attained outstanding performance in manufacture of large diameter Concrete
pipes for Baghdad Storm Water Drainage. The Company has supplied technical knowhow
for manufacture of PSC Monoblock Railway Sleepers at Samawa for the New Railway
Implementation Authority, Iraq. The Company has also supplied technical services &
operational expertise for operating a Concrete Sleeper plant at Abu Ghraib, Iraq.

1. PRESTRESSED CONCRETE NON CYLINDER PIPES (PSC):


Prestressed Concrete pipes were introduced in the year 2003. It is universally
accepted fact that PSC pipe is an ideal pipe material for water supply and drainage. These
pipes can be designed for external load much more than NP4 class loading.
These pipes are made as per Indian Standard IS: 784: 2001. Till date the company has
laid more than 7000 Kms of pipelines, most of which are giving satisfactory service as on
today. PSC pipes are the best choice for:
Pressure main for water supply, irrigation & sewerage, Recirculation and cooling
water pipelines for Thermal Power, Chemical, Cement, Fertilizer and Refineries etc.
Large diameter inverted siphons, High external load.

2. BAR WRAPPED STEEL CYLINDER (BWSC) PIPES:
BWSC pipe has been extensively used in USA, Europe and Middle-East countries
for last more than 50 years. These pipes were introduced in India by JHP in 2007. So far
the company has completed 48 projects to an aggregate length of 365 KMs and about 15
projects to an aggregate length of 760 KMs are under execution.
Manufacture of BWSC pipes begins with a fabricated steel cylinder with joint
rings, which is hydraulically tested. A cement mortar lining is placed by the centrifugal
process inside the cylinder. After the lining is cured, the cylinder is wrapped with a
smooth, hot-rolled steel bar, using moderate tension in the bar. The size and spacing of
the bar as well as the thickness of the steel cylinder are proportioned to provide the

required pipe strength. The cylinder and bar wrapping are covered with cement slurry and
a dense mortar coating that is rich in cement by JHPs patented high velocity impaction
process.
In fact, BWSC pipe is custom designed and an improved version of Steel pipe with
lining and out coating.

Structural Integrity:
Since bars are helically wrapped under tension, the structural integrity of these
pipes is greatly enhanced because of the interlocking of steel elements of the pipe. This
complete construction greatly increases the rigidity of pipe, beam strength and resistance
to impact.
Corrosion Resistance:
The cement mortar encasement maintains the steel elements in a highly alkaline
environment (pH of 12.5 or greater) in which galvanic corrosion is permanently inhibited.
Under severe conditions, supplemental protection can be provided for any unusual
surrounding conditions.
Stiffness:

Stiffness of the pipe is the result of the keying action of the pretension bar wrap
over steel cylinder and the high velocity impaction cement mortar coating. From the
result of Pipe stiffness Vs. Diameter Vs. Type of pipes, it is observed that these pipes are
stiffer than Steel pipes lined and coated with cement mortar, PVC and Ductile Iron Pipes,
resulting in reduction of cost of bedding and side support making it economical.
In view of the popularity this pipe is gaining with Water Supply and Drainage
Departments, the Bureau of Indian Standards (BIS) published Indian Standard IS: 151552002 for the pipe.
Bar Wrapped Steel Cylinder (BWSC) Pipes are more economical to the extent
of 20 to 30% compared to M.S. Pipes with lining and out coating and 25% to 50%
compared to Ductile Iron Pipes.

3. PRESTRESSED CONCRETE CYLINDER PIPES (PCCP):
PCCP is the most widely used type of concrete pressure pipe in Western countries.
Applications for this product include transmission mains, distribution mains, water intake
and discharge lines, pressure siphons, low-head penstocks, industrial pressure lines
(including power plant cooling-water lines), sewer trunk mains, subaqueous lines (into
both fresh and salt water) and spillway conduits.

Advantages of PCCP over Steel pipes are:


1. Efficient use of steel
PCCP makes optimum use of steel. The composite action of steel cylinder, concrete core
and HT wire results in a saving of about 40% of the total steel in a steel pipe.
2. Usage of local raw materials and minimum usage of steel plates.
3. Manufacturing can be done nearer to site depending upon quantum of job.
4. No need of external painting.
No periodical external painting is required after commissioning; hence maintenance cost
which steel pipe requires is eliminated.
5. External load strength:
Conventional steel pipes can deflect significantly under external loads as those are
flexible pipes. Steel pipes depend upon the soil support on each side to resist horizontal
deflection. To achieve proper compaction special equipments, careful supervision by the
contractor and regular inspection by the owner are very much essential. This will result in
Substantial additional cost compared to Prestressed Concrete Cylinder Pipes which are
rigid.

Prestressed Concrete Cylinder Pipes (PCCP) is more economical to the extent of 15 to


40% compared to M.S. Pipes with lining and out coating and 20% to 50% compared to
Ductile Iron Pipes.

4. STEEL PIPES:
The Company started making Steel Pipes in collaboration with Humes of
Australia during the year 1932. The centrifugal concrete lining which is now accepted
throughout the world as a positive anti-corrosive lining was introduced in 2006. These
Steel Cylinder Concrete Pipes, have a very enviable position in the pressure ranges above
20kg/cm2 and sometimes, in special situations such as exposed pipeline, undersea
pipeline etc. Pipes are supplied with plain ends suitable for butt weld or slip-in-ends
suitable for fillet welds. External protection to Steel Pipes is by cement rich mortar
applied by JHP patented brush coating process. Epoxy or bituminous coating is also
offered.
