DEED OF SURRENDER OF LEASE

BETWEEN

Thiru.K.N.Govindarajan, S/o Late. Thiru.Natesa Udayar, Hindu, aged about 74 years, residing at
No.19/12. 7th street, Sowrashtra Nagar, Choolaimedu, Chennai 600 094 (hereinafter referred to as
Lessor) which expression shall, unless repugnant to the context or meaning thereof, be
deemed to mean and include his legal heirs, assigns, executors, administrators) of ONE PART;
AND
Thiru.K.N.Govindarajan, Managing Trustee of Samy Chidambaranar Kalvi Nilyam Trust,
No.101, Nehru Street, Choolaimedu, Chennai 600 094, registered as Doc. No.323/03 at SRO
Kodambakkam, Chennai 600 024 and School Agency, Secretary of Samy Chidambaranar Kalvi
Nilayam approved by District Educational Officer dated 4.1.99 (hereinafter, referred to as the
Lessee which expression shall, unless repugnant to the context or meaning thereof, be deemed
to mean and include its subsidiaries, affiliates, successors and assigns) of the OTHER PART.
The Lessor and the Lessee are hereinafter collectively referred to as the Parties

1. WHEREAS by a Lease Deed dated 29.4.03 (Doc. No.1715 /2003 (hereinafter referred to as
Lease Deed), made between Parties hereto, the Lessor granted by a way of lease on terms
and conditions contained herein, all that land with an extent of 3564 sq.ft. situated at bearing
Block No.19,Town Survey No.57, Egmore, Nugambakkam revenue Taluk and situated at
Chennai Corporation Door No.101, Nehru Street, Choolaimedu, Chennai-94 bearing part of
Paimash No. 312 and 313, situated within the Puliyur village, Ezhumbur Nugambakkam
Taluk, Registration sub-district of Kodambakkam and Registration District of South
Chennai. The Lessor has leased the Schedule Property to the Lessee for a term of twenty
(20) years from 29.4.03. The Lessor also agreed with the Lesee to construct building as per
Sanction Plan issued by the Corporation of Chennai dt. 13.2.03.
2. WHEREAS the Lessee had constructed a Primary School building as per the Building
permit bearing T5/237/2003 and Planning permit bearing 5/713/2003. After running the
school for a certain period, they had to eventually close down the school. The school is now
closed down as per Rule 26 of the Code of Regulations for approved Nursery & Primary
School in Tamil Nadu.

WHEREAS the Lessee is desirous of surrendering the Schedule Property and does not
intend to continue with its lease hold rights and hence executing this Deed thereby
surrendering the lease and handing over of the physical possession thereof with regard to the
Schedule Property and the Lessor have agreed to accept the said surrender on the terms and
conditions set out herein below.

4. WHEREAS the parties hereto have accordingly agreed to surrender the Schedule Property
on the terms and conditions hereinafter mentioned.
NOW THE PARTIES HERETO AGREE AS FOLLOWS AND THIS DEED
WITNESSETH AS HEREUNDER:i.

The Lessee hereby surrenders its leasehold rights over the Schedule Property along with the
physical possession of the Schedule Property to the Lessor with effect from [] (Effective
Date), henceforth the Lessor shall be entitled to hold, possess and enjoy the Schedule
Property, freed and discharged from the leasehold rights and interest of the Lessee thereon.

ii.

Further, the Lessor hereby expressly agree that the Lessee has paid all rents, water and
electricity charges and other charges owing to Lessor till the Effective Date and nothing is
due with respect to the Schedule Property. However, under no circumstances shall the
Lessee be liable to pay to the Lessor, the lease rentals, water charges, electricity charges or
any other charges with respect to the Schedule Property after the Effective Date. Also the
Lessor hereby agree that they have collected the necessary documents from the Lessee for
the relevant period with respect to Schedule Property.

iii.

The Lessee hereby relinquishes all its right, title and interest with regards to Schedule
Property and/or any improvements done therein and that the Lessee shall no longer have
any right, title or interest therein.

iv.

The Lessor and the Lessee confirm that there are no claims against each other pertaining to
the Schedule Property.

v.

The Lessee covenants with the Lessor that the Lessee has, in any manner, neither
encumbered the Schedule Property nor created any charge, lien or third party rights with
regard to the Schedule Property.

vi.

In pursuance of the aforesaid surrender, the Lessor confirms that the Lessee has delivered
back the vacant possession of the Schedule Property to the Lessor with effect from the
Effective Date.

vii.

The Lessee covenants with the Lessor that the Lessee has not made any additions,
improvements and modifications to the Schedule Property in any manner.

viii.

The Lessor and Lessee hereby jointly agree that no consideration has been raised,
demanded or paid by the Parties for this surrender of lease with respect to Schedule
Property.

ix.

It is mutually agreed between the Parties that the costs for the registration and stamp duty
of the Deed, if any, shall be borne by the Lessee.

x.

This Deed is executed in two counterparts, one copy to be retained by each of the Parties.

xi.

Consequently either of the Parties shall have no further claims, rights or interests, liabilities
against the other party for any reason whatsoever. All obligations between the Lessor and
the Lessee as specified under the Lease Deed with respect to Schedule Property shall stand
terminated with effect from the Effective Date.
SCHEDULE PROPERTY

All that piece and parcel of land situated at bearing Block No.19,Town Survey No.57, Egmore,
Nugambakkam revenue Taluk and situated at Chennai Corporation Door No.101, Nehru Street,
Choolaimedu, Chennai-94 bearing part of Paimash No. 312 and 313, and bounded on the
North by: Common Road
South by: Shop
East by: Sarojammal and her daughters land,
West by: Subramani land
Ad-measuring North to South 81 ft, East to West 44 ft, aggregating in all 3564 sq.ft. situated at
109,Puliyur village, Ezhumbur Nugambakkam Taluk, Registration sub-district of Kodambakkam
and Registration District of South Chennai
