This letter sets forth the parameters of our interest in the above referenced location. Said terms are
subject to Dollarstore, Inc. Management’s approval. As discussed, time is of the essence and your
quick response is therefore greatly appreciated.

Conditions to Lease: Review and approval of the lease document by Dollarstore Senior
Management.

Use: General merchandise, discount, priced at approximately one dollar


($1.00). Tenant shall abide by existing use restrictions for the property.
Please provide any that may affect the operation of this type of discount
store.

Lease Term: Five year term with one five year option.

Rent and Net


Charges Commencement: One hundred twenty days (120) days after tenant opens for business.

Schedule of Rents: Annual rent shall equal $XX.XX per square foot. Rent to increase by X
% at the anniversary of each 12 month period.

Additional Charge: Tenant agrees to pay its pro rata share of the real estate taxes and
building insurance, payable upon commencement of rent.

Security Deposit: Upon execution of agreement to lease, tenant shall provide
landlord/sub-lessor an amount equal to two months base rent. Half of
this amount shall be applied towards the first month’s rent and
estimated first month’s NNN charges.

Merchant's Association: None

Landlord's Work: Premises shall be delivered per tenants specifications which will
include the following:

Adequate lighting for retail, storage, office and bathroom areas


Floor covering of equivalent quality to linoleum, or high traffic carpet
tiles
Restroom for store employee’s
Office to be constructed for store manager
Demising wall for storage area with adequate access

Landlord Contribution: Should Landlord elect not to perform some or all of the work listed
above, then Landlord shall provide a prorated tenant contribution of
$5.00 per square foot for tenants standard store improvements.

Commission: Landlord will pay a commission as agreed.

Assignment/Subletting: Tenant shall have the affirmative right to assign or sublease a portion or
all of the Premises subject to Landlord’s prior written consent which
shall not be unreasonably withheld, delayed or conditioned.
Additionally, Tenant shall have the affirmative right to assign to any
parent, subsidiary or affiliated entities or in connection with a merger,
consolidation, stock or asset sale without Landlord’s consent or
approval, but upon notice to Landlord.

Tennant Exclusive Use: If located in a mall or complex owned by the landlord, landlord will not
allow another similar discount store in the complex.

Signage: Tenant shall have the right to place signage on all monument and pylon
signs within the center only with landlords written consent and
approval. In addition, tenant shall have the right to display signage
above subject premises to the extent of local governmental and landlord
approvals.

Agency Disclosure: TO PROSPECTIVE LESSOR: Lessor acknowledges that Lessor is so


informed, both orally and by this written disclosure, that: (1)
TENNANT AGENT’S COMPANY is acting on behalf of the Lessee and
(2) information given to TENNANT AGENT’S COMPANY by Lessor
may be disclosed to the Lessee.

In an effort to consummate this transaction quickly, please note this offer will remain open until
MONTY 99, 2005. After which time, all information pertaining to this transaction will be null &
