1. Payment Terms. Within fourteen days of execution of this Agreement, the Sponsor shall pay The Heart of Leadership
International Conference 2010 a deposit of 50% of the amount due in order to guarantee your sponsorship and exhibit space,
with the remaining balance due 0cc% to the event start date of #%)c1c.

2. Restrictions in Operation of Exhibits. The Heart of Leadership International Conference 2010 and its representatives reserve
the right to restrict or remove exhibits which, because of noise, method of operation, materials, or any reason, become
objectionable to the reasonable attendee. In the event of such restriction or eviction, The Heart of Leadership International
Conference 2010 is not liable for any refunds, rentals, or other exhibit expenses incurred by the Sponsor.

3. Care of Building. The Sponsor shall not injure or deface the walls or floors of the building, the tables, or the equipment of the
exhibit space. When such damage occurs, the Sponsor is liable to the owner of the property damaged.

4. Catastrophe. In the event that because of war, fire, strike, government regulation, public catastrophe, act of God, or other
cause, the conference or any part thereof is prevented from being held, or is canceled by The Heart of Leadership International
Conference 2010 , The Heart of Leadership International Conference 2010 shall determine and refund to the Sponsor a
proportionate share of the balance of the aggregate exhibit fees received which remain after deducting expenses incurred by
The Heart of Leadership International Conference 2010 but in no case shall the amount of the refund to the Sponsor exceed the
amount of the fee paid.

5. Liability and Insurance. The Sponsor assumes responsibility and agrees to indemnify and defend The Heart of Leadership
International Conference 2010 and the Hotel and their respective employees and agents against any claims or expenses arising
out of the use of the exhibition premises. The Sponsor understands that neither The Heart of Leadership International
Conference 2010 nor the Hotel maintains insurance covering the Sponsor's property and it is the sole responsibility of the
Sponsor to obtain such insurance.

6. Cancellations. Cancellations made by the Sponsor 60 days prior to the event are liable for 50% of the Sponsorship fee
indicated herein. Cancellations made within 60 days of the event are liable for the entire fee. All cancellations must be made in
writing to The Heart of Leadership International Conference 2010.

7. Sponsors and Exhibitor agrees to abide by established hours for display installation, dismantling and to remove all exhibit
materials from the designated space by the established deadline.

8. Compliance with Regulations: Sponsors and exhibitors shall comply, at exhibitor͛s sole expense, with all state, city and other
government and facility rules and regulations including but not limited to: fire safety laws, the Americans with Disabilities Act;
and all applicable trademark and copyright laws including any reproduction or use of musical, artistic and literary works.

9. Security: It is the sole responsibility of the exhibitor and sponsor to safeguard goods, materials, equipment, and displays at
all times. Neither The Heart of Leadership International Conference 2010 nor the facility will be liable for any damages or loss
of property arising from the exhibitor͛s occupancy of the exhibit space and participation in the program.
