CONSULTANCY MANAGEMENT AGREEMENT

(Hereinafter called the client") of the one part.

T&T Porfolio Consultancy of No 40, Tingkat 1, Jalan 13/5, Taman Melati, Setapak 53300 Kuala
Lumpur, Wilayah Persekutuan. (hereinafter called "the company") of the other part.
Whereas:The Client hereby engages the exclusive professional services of the company to provide
consultancy services in connection with all matters relating to and to do all things as may be
reasonable and/or necessary and/or required in connection with the foregoing. (herinafter
called "the services");
-Consultation, arrangement, assessment and submission of credit/loan application for banking
facility(s) to respective Banks and Financial Institutions which are suitable and applicable.
Now it is hereby AGREED as follow:1. Authorization
The Client hereby authorizes the company and/or its associates to take instructions from any
agent/person/bodies that the client may appoint from time in carrying out the services.
2. Professional Charges
2.1

The professional charges of the services payable by the client to the company shall be
(hereinafter called "the professional charges")

Client would be charged a contractual sum of 25% (TWENTY FIVE PERCENT) from the total loan
amount approved.
2.2

The professional charges payable by the client to the company for the services shall be
due and payable by the client one day after the disbursement of loan from respective
banks.

3. Cancellation
3.1

In the event the client cancels the appointment midway through the company's services,
a fee of RM5,000 /- is due and payable immediately for the services already rendered by
the company.
OR

3.2

Should the banking facilities procured is not accepted by the client, a flat fee of
RM10,000/-is payable to the company.

4. Indemnity
You shall fully indemnity our company against any loss or expenses (including legal fees on a
solicitors and client basis) which the company may incur as a consequence of any default on
your part in due performance of any of the obligations expressed to be assumed by you in
relation to the services(s).
5. Cost, expenses, fees
All cost and expenses inclulding legal fees (on a solicitor and client basis), stamp duty, incidental
fee or other charges incurred in the preparation of all documentation shall be borne by you. In
the event you having accepted this Letter, fail for any reason whatsoever incurred by the
company and any parties instructed by the company shall be borne by you. You shall liable to
pay all the fees and expenses including the company's legal fees if any monies shall be required
to be recovered by any process of law or by the company's solicitors.

6. Other term and conditions - Effective from the date of accepted


6.1

The applicant shall not, without the written consent of our company, submit any loan
applications to any banks or financial institutions.

6.2

The applicant shall be responsible for the prompt and proper conduct of payment of all
its existing facilities and current accounts with other banks and financial institution.

6.3

The applicant shall be absolutely liable for, any hereby indemnifies our company from
and against all claims in respect of the cancellation by Bank or Financial Institutions
regards the application and letter of offer due to whatsover reason and caused by you
or your company directly or indirectly.

6.4

Our company and consultants shall not at any time be liable for rejection of your loan
applications.

IN WITHNESS WHEREOF the parties hereto have hereunto set their hands the day and year first
